Pioneer-Standard Electronics did not shut down. On February 28, 2003, it sold substantially all of its Industrial Electronics Division to Arrow Electronics, then restructured around its enterprise computer-systems business and changed its name to Agilysys Inc.
What Pioneer-Standard sold—and what remained
Before the sale, Pioneer-Standard had two main divisions: Computer Systems, which focused on enterprise systems, and Industrial Electronics, which distributed electronic components. Its 2003 annual report says each division represented, on average, about half of company revenue.
The annual report records that on February 28, 2003, Pioneer-Standard completed the sale of substantially all of the Industrial Electronics Division’s assets and liabilities to Arrow Electronics. The preliminary pre-tax proceeds were $240 million. The company said it intended to use the proceeds to increase financial flexibility, reduce debt and support growth in its enterprise computer-systems business. The report gives preliminary proceeds; it does not establish the final adjusted purchase consideration.
Pioneer-Standard also reported IED and Aprisa results as discontinued operations and announced restructuring to reduce overhead, eliminate unneeded facilities and assets, and downsize the corporate structure.

Why did Pioneer-Standard sell the division?
Contemporaneous coverage by EE Times described the sale as a response to the difficulty and expense of competing with larger distributors on a global scale. The company had invested in online component-selection databases, research tools, engineering support and e-business tools, but Arrow and Avnet were expanding their international reach through acquisitions and integrated operations.
That mattered as original equipment manufacturers (OEMs) and electronics manufacturing services (EMS) providers shifted production toward lower-cost Asian regions, particularly China. The EE Times article cited analyst Thomas Sheerin of Thomas Weisel Partners, who said distributors without a global footprint risked losing suppliers or customers as manufacturing moved from North America to Asia.

Did Arrow buy all of Pioneer-Standard?
No. Arrow bought substantially all of the assets and liabilities of Pioneer-Standard’s Industrial Electronics Division, not the entire company. Pioneer-Standard retained its enterprise computer-systems operations and redirected its focus toward that business, according to the 2003 annual report.
Why did Pioneer-Standard change its name?
The company changed its name to Agilysys Inc. in 2003. In its proxy statement, Pioneer-Standard explained that its old name was closely associated with electronic-components distribution. Management wanted a name that better reflected the company’s focus on enterprise computer systems and its role as a comprehensive IT solutions provider.

What is Pioneer-Standard called now?
The successor company is Agilysys Inc. The name change accompanied a strategic repositioning, not a dissolution of the business: the company sold its components-distribution division and continued with its enterprise-systems operations.
