Before you sign for a family restaurant, café, bakery, food truck or other food business, prove the seller’s story against independent records. Build a secure data room, reconcile sales and cash to bank deposits and tax filings, verify ownership and liabilities, test the lease and every permit, inspect food-safety systems and equipment, and interview the family and staff separately. Make the purchase conditional on financing, consents, inspections and truthful representations. A friendly handover is useful, but it is not a substitute for evidence.

Start with a documented due-diligence process

Nominate one person to control the request list and keep an index of every document, version and unanswered question. Give the seller a written deadline and require explanations in writing rather than relying on conversations. Use a secure, read-only data room for sensitive records and preserve originals of signed leases, licences, tax filings and contracts.

Issue a first request list

  • Three to five years of financial and tax records, plus current-year monthly results.
  • Corporate, partnership or sole-trader records and proof of ownership.
  • All leases, licences, permits, insurance policies and material contracts.
  • Staff, payroll, safety, supplier, customer and equipment records.
  • Litigation, tax, regulatory and insurance-claim correspondence.

Ask for a schedule of missing items. “Not available” is a risk to price and timing; it is not evidence that the item does not matter. Obtain written permission to contact the landlord, key suppliers, delivery platforms, insurers, lenders and regulators where lawful.

Set decision gates

Use gates instead of allowing enthusiasm to drive the closing date: financial evidence, legal ownership, lease and consent, food-safety and licence status, people and payroll, physical condition, and financing. A failed gate should trigger a pause, a price adjustment or a walk-away decision.

Prove the financial performance

Request at least three to five years of filed tax returns, business activity statements or equivalent filings; monthly profit-and-loss statements; balance sheets; cash-flow statements; point-of-sale (POS) sales reports; bank statements; accounts receivable and payable; debt schedules; payroll; owner compensation; inventory counts; and sales by channel. Government guidance for prospective buyers specifically identifies tax returns, business activity statements, receivables and payables, balance sheets, profit-and-loss records, cash-flow statements and sales records as records to review independently.

Reconcile the sales trail

  1. Export daily or weekly totals from every POS terminal, online ordering system and delivery platform.
  2. Match those totals to bank deposits after allowing for card settlement timing, platform fees, refunds and chargebacks.
  3. Reconcile reported sales to tax filings and the general ledger for the same periods.
  4. Investigate every variance, including cash sales, voids, discounts, complimentary meals, gift-card redemptions and deposits for future catering.
  5. Trace a sample of supplier invoices and payroll payments to bank transactions and the accounting records.

Ask for a separate cash-up sheet for each trading day. A seller who refuses POS exports or bank evidence leaves you unable to distinguish a profitable operation from an overstated one.

Normalize earnings without hiding costs

Prepare a bridge from reported profit to maintainable operating cash flow. Show each adjustment and supporting document. Separate recurring operations from:

  • Wages paid to family members who will leave, and the market-rate replacement wage for their roles.
  • Personal expenses, private vehicle use, family meals and other benefits charged to the business.
  • One-off repairs, unusual legal bills and disaster-related costs.
  • Related-party purchases, rent or management fees that are above or below market.
  • Seller “add-backs” that would continue under new ownership.

Then model debt service, working capital, maintenance capital expenditure, tax, insurance and a realistic management wage. Do not apply a universal restaurant margin or valuation multiple: no authoritative, sector-wide target is established here, and margins vary by concept, geography, service model and lease cost.

Check working capital and hidden obligations

Count inventory on a specified date, separating usable stock from expired, damaged, slow-moving or committed items. Review food waste, yield and portion controls. Test whether supplier price increases have been passed through to menu prices. Identify customer deposits, unredeemed gift cards, loyalty points, refunds in progress and chargebacks. Age receivables and payables, then ask why any balance is overdue. List loans, equipment finance, tax debts, payroll liabilities, deferred maintenance and guarantees.

Stress-test the forecast

Build monthly scenarios for seasonality, a sales decline, food-price inflation, a key-person departure, equipment failure and a slower ramp after closing. Include the cash needed for opening inventory, payroll, rent, deposits, licence fees and repairs. A forecast that works only when the selling family works unpaid hours or defers maintenance is not maintainable cash flow.

Confirm who owns what and which liabilities follow

Obtain formation documents, shareholder or partnership agreements, registers, resolutions, ownership percentages and authority to sign. Confirm that the seller owns the trading name, recipes, trademarks, domain, website, social accounts, phone numbers, customer lists, equipment and other assets advertised in the deal. Search applicable security-interest and company registers, and obtain releases for secured assets at closing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Choose an asset or entity purchase deliberately

With acquisition counsel, compare an asset purchase with a share or entity purchase. An asset deal can let you exclude specified liabilities, but contracts, licences, employees, tax attributes and permits may not transfer automatically. Buying the entity preserves continuity but can carry historical tax, employment, regulatory, contractual and litigation exposure. The agreement must list every assumed and excluded liability in plain language.

Check successor-tax exposure

Ask the relevant tax authorities for clearance or a certificate where available, and obtain written advice on local successor-liability rules. Rules differ by jurisdiction. For example, Indiana warns that a purchaser acquiring more than 50% of tangible personal property may be liable for certain unpaid sales, use, food-and-beverage or related taxes, including penalties and interest. That example is not a universal rule; your lawyer must apply the law where the business operates.

Search disputes, claims and security interests

Request litigation notices, threatened claims, demand letters, regulatory investigations, tax correspondence, workers’ compensation claims and insurance-loss runs. Ask whether any customer, supplier, employee or family member has a side agreement. Require the seller to disclose guarantees, unpaid loans, liens, leases of equipment and obligations to related parties.

Test the lease and premises rights

Read the complete lease and every amendment, not just the rent page. Confirm the remaining term, renewal options, rent reviews, service charges, permitted use, exclusivity, assignment and change-of-control provisions, landlord consent, demolition or redevelopment rights, relocation clauses, make-good obligations, security deposit and personal guarantees.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Make transfer a closing condition

Obtain the landlord’s written consent to the proposed transaction, new tenant and intended use before becoming irrevocably committed. Confirm whether a new lease, guarantee or refurbishment covenant will be required. A short unrenewable term, an aggressive rent review or a landlord redevelopment right can destroy the value of otherwise good trading results.

Map every contract that supports trading

List supplier, delivery-platform, franchise, waste, pest-control, linen, maintenance, point-of-sale, payment-processing, music, internet and software contracts. Check assignment, termination, price-change, exclusivity and personal-guarantee terms. Obtain replacement quotes where consent is uncertain and identify any account, domain or login that is tied to the seller personally.

Verify every licence, approval and food-safety obligation

Make a jurisdiction-specific register of approvals required for the actual activities and premises. It may include food-business registration, local health approval, meat or dairy approval, alcohol licensing, zoning or occupancy approval, outdoor trading, signage, waste, fire, environmental and delivery permissions. For each item record the holder, premises, permitted activity, expiry date, transfer or reissue process, fees, inspection requirements and regulator contact.

Do not assume a licence transfers

Ask each regulator in writing whether an asset sale, entity sale, ownership change, new manager or premises alteration requires a new application. A permit may be personal, premises-specific, non-transferable or conditional on landlord consent. Make the relevant approval or written confirmation a condition precedent, and set a long-stop date so the deal cannot drift indefinitely.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Review the food-safety system

Inspect the food-safety management plan, hazard controls, cleaning and pest records, temperature logs, allergen controls, supplier traceability, recall history, employee training, inspection reports and corrective actions. The UK Food Standards Agency, for example, states that food businesses must register with the local authority and maintain food-safety procedures, training, allergen information and traceability; an establishment requiring approval must not begin the relevant activity before receiving conditional or full approval. Those are UK examples, not a substitute for the rules in another country.

Ask for the last several inspection reports and proof that every critical finding was closed. Interview the person who actually records temperatures and cleaning, then compare their answers with the logs. Look for blank entries, identical readings copied across days, missing calibration records and corrective actions signed without evidence.

Inspect the building, kitchen and equipment

Walk the premises during preparation, a normal service and a peak period. Check cold-room and freezer temperatures, door seals, shelving, hand-wash facilities, hot-water capacity, extraction, grease management, plumbing, drainage, electrical and gas systems, fire protection, accessibility, ventilation and pest entry points.

Establish condition, ownership and replacement cost

  • Match serial numbers to an asset register, invoices and finance releases.
  • Obtain service history, warranties, inspection certificates and maintenance contracts.
  • Ask for age and expected remaining life of refrigeration, cooking, extraction, HVAC, plumbing and point-of-sale hardware.
  • Get specialist inspections for refrigeration, extraction, building condition and food-safety systems when the risk or price warrants it.
  • Price immediate repairs and near-term replacement, then include them in working-capital and purchase-price negotiations.

Equipment that is essential, leased, unsafe or near failure should not be treated as included value merely because it appears on the floor.

Investigate the family and the workforce

Create a staff census covering every employee, family worker, contractor and casual worker. Record role, tenure, pay, overtime, tips, benefits, leave accruals, work-authorisation status where lawful, contractor classification, disciplinary matters and disputes. Reconcile the census to payroll, timesheets and workers’ compensation or pension records. Check payroll tax, social-insurance, retirement and leave liabilities.

Interview family owners separately

Meet each owner without the others present. Document ownership percentages, loans and guarantees, who can sign, which relatives are employees or contractors, who controls recipes and supplier relationships, and who will stay after closing. Ask directly about informal cash withdrawals, personal expenses, side agreements, family disputes and succession promises. A family member’s statement is an interview lead, not proof; verify it against records.

Measure key-person dependence

Identify what disappears if the founder, chef or buyer-facing relative leaves: recipes, customer relationships, supplier credit, staff scheduling, social-media access or regulatory knowledge. Ask employees who actually makes decisions and who can cover each critical task. Price a replacement manager, chef or buyer into the forecast rather than assuming the buyer can perform every role.

Write the transition plan

Specify the seller’s handover obligations: training hours, introductions to suppliers and the landlord, recipe and process documentation, social-account credentials, customer announcements, inventory count, regulatory or lender questions and availability after closing. Set dates, deliverables and a remedy for non-performance. Use any non-compete or non-solicit language only after local counsel confirms it is lawful and appropriately limited.

Confirm supplier terms independently

With the seller’s authorization, call key suppliers to verify account status, pricing, credit terms, arrears, exclusivity, rebates, minimum orders and whether a new owner needs consent. Compare supplier statements to the accounts payable ledger. A margin that depends on an undocumented family discount may disappear on day one.

Observe controls in real time

Watch ordering, receiving, storage, preparation, portioning, waste recording, cash-up and closing. Compare recipes and portion sizes with actual food cost. Check who can void a sale, issue a refund, alter a price or take cash. Review delivery-platform settlement reports rather than relying on the seller’s dashboard summary.

Plan for disruption

Ask for written procedures for refrigeration failure, power outage, staffing shortage, product recall, flood, fire and supplier interruption. Confirm backup power or cold-storage arrangements where relevant, emergency contacts, alternate suppliers and communication plans. Review insurance limits, deductibles, exclusions and claims history for property, business interruption, liability, workers’ compensation and vehicles.

Use red flags to pause, reprice or walk away

Escalate any of the following to counsel and your accountant:

  • Missing tax returns, bank statements, POS exports or unexplained cash sales.
  • Refusal to provide independent evidence or to permit landlord, supplier or regulator contact.
  • Recurring critical food-safety findings, an unresolved recall or an expiring approval.
  • An unassignable, short or redevelopment-threatened lease.
  • Unpaid payroll, sales, use, food-and-beverage or other taxes.
  • Undocumented family labour, related-party pricing or side agreements.
  • Undisclosed litigation, employment claims, liens or personal guarantees.
  • Equipment with no ownership proof, unsafe systems or unexplained inventory shrinkage.
  • A forecast that relies on unpaid family hours, deferred repairs or unverified add-backs.
  • A seller who will not provide a defined transition and post-closing assistance.

Government guidance for business buyers also urges investigation of why the owner is selling, the lease, licences, permits and staff, with particular attention to litigation, customer complaints and overstated cash trading. A single red flag may be fixable; a pattern of evasive answers is usually a transaction risk.

Compare two opportunities on verified evidence

Do not compare asking prices alone. Put both businesses on the same normalized basis and record the evidence behind every number.

Comparison area Questions to answer
Maintainable cash flow What remains after market wages, recurring repairs, tax, debt service and working capital?
Sales quality How concentrated are customers and channels, and how severe is seasonality?
Lease How long is the secure term, what are the options and can the landlord consent?
Food safety and permits Are approvals current, transferable and supported by clean inspection and corrective-action records?
Equipment What is the age, ownership status and near-term capital requirement?
Labour Are payroll, leave, tax and classification compliant, and is staffing deep enough?
Family dependence Which relationships, skills and hours disappear when the seller leaves?
Supplier and platform exposure Would one supplier, delivery app or rebate change materially alter margins?
Tax and litigation What historical liabilities could follow the buyer, and are clearances available?
Post-closing cash need How much is required for inventory, deposits, payroll, repairs and licence fees?

Protect yourself in the purchase agreement

Have counsel convert the diligence findings into a written purchase agreement. Government guidance notes that the written contract gives legal force to the agreed price, payment method and obligations. The agreement should include:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Conditions precedent for financing, landlord and contract consents, licences, inspections, regulatory approvals and satisfactory verification.
  • Precise asset schedules and an explicit list of assumed and excluded liabilities.
  • Seller representations and warranties covering accounts, taxes, employees, permits, food safety, ownership, contracts, litigation and undisclosed liabilities.
  • Indemnities, survival periods, notice procedures and an escrow or holdback for specified risks.
  • Working-capital, inventory and debt adjustments using an agreed counting and accounting method.
  • Confidentiality, permitted pre-closing access and rules for communicating with employees, customers and suppliers.
  • A detailed handover schedule with credentials, training, introductions, recipes, operating procedures and post-closing availability.

Require the seller to update representations at closing. Recheck bank balances, inventory, payroll, tax status, permits, liens and material contracts immediately before funds are released.

A practical closing checklist

  1. Open and index the data room; mark every missing or inconsistent item.
  2. Reconcile POS, bank, tax, payroll, inventory and supplier records.
  3. Obtain legal ownership searches, tax advice and liability analysis for the chosen structure.
  4. Secure written landlord, regulator, lender and contract consents.
  5. Complete food-safety, building, equipment, fire, gas, electrical and accessibility inspections.
  6. Confirm staff liabilities, family exits, key-person replacements and lawful transfer arrangements.
  7. Finalize insurance, financing, working-capital funding and contingency reserves.
  8. Sign only after conditions precedent are satisfied and the agreement contains enforceable protections.
  9. At handover, count inventory, transfer keys and credentials, notify staff and regulators, and document every delivered asset.

The right outcome is not merely a lower price. It is a business whose cash flow, permissions, people, premises and liabilities you can explain—and defend—with documents.
