The Commodity Futures Trading Commission (CFTC) administers and enforces the Commodity Exchange Act (CEA), with primary responsibility for futures and other derivatives markets. Its jurisdiction includes commodity futures, commodity options, most leverage contracts subject to statutory exceptions, certain swaps, and futures on broad-based security indexes.

The Securities and Exchange Commission (SEC) regulates securities markets. The boundary is not simply “commodities versus securities,” however. Congress assigned some products to both agencies—most notably single-stock futures and futures on narrow-based security indexes—and divided swaps authority according to their legal characteristics. To identify the regulator for a particular product, classify the instrument first, then apply the statutory exceptions and current agency rules.

The CFTC’s legal foundation and core mission

The Commodity Exchange Act is the central statute defining CFTC authority. The Commission implements that statute through rules in Title 17 of the Code of Federal Regulations and uses enforcement powers to protect market integrity. The CFTC Enforcement Manual describes the enforcement division’s mission as protecting the public and preserving market integrity by detecting, investigating and prosecuting violations of the CEA and its regulations.

The CEA framework is aimed at derivatives rather than at every transaction involving a physical commodity. A company that sells grain, metals or energy in a cash market is not automatically dealing in a CFTC-regulated futures product. The legal form of the contract, how it is margined or leveraged, where it trades and whether a statutory exception applies determine the agency’s authority.

Products generally within CFTC jurisdiction

  • Commodity futures: standardized contracts to buy or sell a commodity or a financial instrument at a future date.
  • Commodity options: options on commodities or commodity futures, subject to the CEA’s definitions and exceptions.
  • Leverage contracts: contracts covered by the CEA, except where a statutory exception removes them from CFTC jurisdiction.
  • Certain swaps: the post-Dodd-Frank framework gives the CFTC substantial authority over swaps that are not security-based swaps.
  • Broad-based security-index futures: futures on indexes that meet the statutory broad-based classification are under exclusive CFTC jurisdiction.

The CFTC also has authority to pursue fraud and manipulation involving commodities in interstate commerce. In addition, specified CEA anti-fraud provisions apply to retail foreign-exchange transactions and retail commodity transactions entered into on a leveraged, margined or financed basis. Those enforcement provisions do not mean that every retail financial product is a CFTC product; they are targeted statutory powers that apply in the circumstances defined by Congress.

What the SEC regulates

The SEC is the federal regulator for conventional securities markets. Its core responsibilities cover securities offerings, trading markets, broker-dealers, investment advisers, public-company disclosure and other activities governed by the federal securities laws. Stocks, corporate and municipal bonds, mutual funds and exchange-traded funds are familiar examples of securities-market products that generally fall within the SEC’s regulatory system.

Derivative exposure to a security does not automatically make the SEC the sole regulator. Congress created specific categories for security futures and swaps, so the underlying asset is only the starting point. A futures contract on an individual stock, for example, is not treated the same way as a direct purchase of that stock, and a futures contract on a broad stock index is not treated the same way as one on a narrow index.

Why security futures are a joint-regulation category

Security futures combine a futures contract with a security reference asset. Congress therefore assigned single-stock futures and futures on narrow-based security indexes to both the CFTC and the SEC. Each agency retains responsibilities under its own statute, and firms offering or trading these products must account for requirements from both regulatory systems.

Single-stock futures

A single-stock future gives exposure to the future price of one company’s stock through a futures contract. It is not regulated solely as an ordinary equity trade. The CFTC and SEC jointly regulate this security-futures product, so an analysis that looks only at the stock underlying the contract will miss the futures classification.

Narrow-based security-index futures

A futures contract on a narrow-based security index is also a security future. Whether an index is narrow-based is determined by statutory tests involving its component count, concentration and trading volume. The classification is technical: “narrow” does not simply mean that an index contains fewer companies than another index, and a casual description of an index as diversified is not enough to establish its legal status.

Broad-based security-index futures belong exclusively to the CFTC

Futures on broad-based security indexes fall under exclusive CFTC jurisdiction. “Broad-based” is a statutory classification, not a synonym for “large,” “popular” or “diversified.” The legal tests examine the index’s composition and trading characteristics. Component weights, concentration and trading-volume information can affect the result.

Because index facts change, the classification can require a current review. The CFTC’s overview includes a Path B constituent list dated July 1, 2026; a person evaluating a particular index should verify the current constituents and apply the statutory criteria rather than relying on an old label or a marketing description.

How Dodd-Frank changed CFTC swaps oversight

The Dodd-Frank reforms expanded the CFTC’s role in swaps. The Commission oversees swap dealers and major participants within its assignment and can impose requirements covering capital, margin, business conduct, recordkeeping and reporting.

Trading and clearing requirements

Standardized derivatives may be required to trade on regulated exchanges or swap execution facilities and to use central clearing. These requirements are part of the market-structure framework, not a rule that every privately negotiated contract must be exchange-traded or centrally cleared. Whether a requirement applies depends on the swap’s legal category and the applicable CFTC rules.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Where the SEC remains responsible

The SEC has sole jurisdiction over security-based swaps. These are swaps based on a single security, a loan on a single security, or a narrow group of securities under the governing definitions. Mixed swaps combine characteristics that bring both agencies’ statutes into play and are subject to shared CFTC/SEC authority. The distinction turns on the instrument’s legal characteristics, not on whether a sales document happens to mention a stock or an index.

Enforcement authority is a separate question from market regulation

Readers often ask which agency “regulates” a product when they are really asking who can investigate misconduct. Those questions overlap but are not identical.

  • Market and product oversight: determines which agency’s registration, trading, clearing, capital, margin, reporting and conduct rules apply.
  • Anti-fraud and manipulation enforcement: determines which agency can investigate and prosecute deceptive or manipulative conduct under the relevant statute.

The CFTC can prosecute fraud and manipulation involving commodities in interstate commerce and can use specified CEA anti-fraud provisions for covered retail forex and leveraged, margined or financed retail commodity transactions. The SEC separately enforces the federal securities laws against fraud and manipulation in securities markets. A product can therefore involve a specialized jurisdictional rule as well as an enforcement theory that depends on the conduct and the market involved.

A practical method for identifying the regulator

Use this sequence for an initial classification. It helps explain the boundary, but it does not replace legal advice for a specific contract.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Identify the legal instrument. Determine whether the transaction is a security, a futures contract, a commodity option, a leverage contract or a swap. Do not classify it solely by the name used in a term sheet or advertisement.
  2. Identify the reference asset. Record whether the contract references a physical commodity, a single security, a group of securities, a security index, a currency or another financial variable.
  3. Check statutory exceptions. Leverage contracts and other instruments can be excluded or treated specially by the CEA. A product that resembles a future may not receive the same treatment if an exception applies.
  4. For an index future, test the index category. Determine whether the index satisfies the statutory narrow-based or broad-based criteria. Review component count, concentration, weights and trading-volume information using current data.
  5. For a swap, determine whether it is security-based or mixed. Security-based swaps are assigned to the SEC; mixed swaps involve shared CFTC/SEC authority; other swaps within the CFTC’s statutory assignment are handled under the CFTC framework.
  6. Separate the product question from the conduct question. Ask which agency’s rules govern the market and which agency has an enforcement hook for the alleged fraud, manipulation or reporting failure.
  7. Confirm current law and agency rules. Definitions, index constituents and implementing rules can change. For a transaction with legal or compliance consequences, use the current CEA, federal securities laws, Title 17 rules and agency interpretations.

Common mistakes when comparing the agencies

“The CFTC regulates only physical commodities”

This is too narrow. The CFTC’s jurisdiction centers on derivatives and includes financial products such as broad-based security-index futures and many swaps. Physical delivery is not the test that decides every CFTC case.

“Anything linked to a stock belongs exclusively to the SEC”

This is also incorrect. Single-stock futures and narrow-based security-index futures are jointly regulated, while broad-based security-index futures are under exclusive CFTC jurisdiction. Swaps linked to securities must be classified as security-based, mixed or another statutory type.

“A broad index is whatever looks diversified”

Broad-based status is determined by statutory criteria. An index’s name, reputation or number of constituents does not by itself settle the question. Concentration and trading-volume tests can matter.

“The agency that writes the market rules always handles every enforcement issue”

Jurisdiction can differ by product and by alleged conduct. Anti-fraud provisions, manipulation provisions and reporting rules may create distinct enforcement paths, especially for retail forex, retail commodity transactions and swaps.

What this means for businesses and individual traders

A firm launching a derivative, operating a trading venue or acting as a dealer should map each product to its statutory category before selecting registrations, disclosures, controls and reporting systems. Swaps activity may require analysis of dealer status, capital and margin, business-conduct procedures, record retention, reporting and clearing or execution obligations.

An individual trader should not assume that a broker’s label answers the jurisdiction question. “Index future,” “security future,” “contract for difference,” “forex transaction” and “swap” can carry different legal consequences depending on the contract terms and the applicable jurisdiction. If the product involves a stock index, ask whether it is legally narrow-based or broad-based. If it is a swap, ask whether it is security-based or mixed. For a disputed transaction or compliance decision, obtain advice based on the actual documents and current rules.

Limits of a general jurisdictional overview

The CFTC–SEC boundary is established by statute and implementing rules, but applying it to a specific instrument can require detailed facts. Contract language, settlement method, margining, the underlying asset, index composition, trading volume, participant type and venue can all matter. A current agency rule or statutory amendment can also change the analysis. This overview explains the principal categories and shared-authority cases; it is not a product-by-product legal determination.

Key takeaways

  • The CEA is the core statute for CFTC authority, and Title 17 contains the Commission’s implementing rules.
  • The CFTC’s center of gravity is futures and derivatives, including commodity futures and options, covered leverage contracts, certain swaps and broad-based security-index futures.
  • The SEC is the principal federal regulator for securities markets, but it is not the sole regulator of every securities-linked derivative.
  • Single-stock futures and narrow-based security-index futures are jointly regulated by the CFTC and SEC.
  • Broad-based security-index futures are under exclusive CFTC jurisdiction, using statutory tests rather than informal descriptions.
  • The SEC has sole jurisdiction over security-based swaps, while mixed swaps involve shared CFTC/SEC authority.
  • For a real product, classify the instrument and underlying asset, apply statutory exceptions, distinguish market oversight from enforcement and verify current law before relying on the result.
