A nonprofit board of trustees is the organization’s governing body and ultimate steward. It protects the mission, sets direction and policy, oversees finances and risk, supervises the chief executive, and ensures the organization follows its governing documents and the law. Trustees govern collectively; staff usually carry out the board’s decisions through day-to-day operations.
The title “trustee” is not used identically everywhere. Many nonprofits use “director” instead, and state law, the articles of incorporation, bylaws, membership structure, donor restrictions, and tax status can materially change the details. This is general U.S.-oriented information, not legal advice.
What is a nonprofit board of trustees?
The board is the nonprofit’s governing body. It exercises the organization’s corporate powers directly or through properly authorized delegation, adopts policies, approves major commitments, and remains accountable for the organization’s stewardship even when employees or consultants perform the work.
For federal Form 990 purposes, the IRS generally treats a director or trustee as a voting member of the organization’s governing body. Someone serving only on an advisory board, without governance authority, is not treated as a director or trustee for that purpose. An organization may call its governing members “trustees,” “directors,” governors, or another title; the legal documents and applicable statute control.

In practical terms, the board answers three questions:
- What charitable purpose are we pursuing?
- What policies, resources, and safeguards are needed to pursue it responsibly?
- How do we know the organization and its leaders are performing lawfully and effectively?
The board’s core responsibilities
Protect the mission and set strategy
Trustees protect the charitable purpose stated in the articles, bylaws, and other governing documents. They approve or guide strategic priorities, decide which major programs or changes fit the mission, and monitor whether services are reaching the intended beneficiaries. A board should challenge attractive projects that would divert money, staff, or reputation from the organization’s lawful purpose.
Strategy is not a one-time plan. Boards periodically review goals, outcomes, community needs, financial capacity, and material changes in the operating environment. They can require better information or revise priorities when assumptions no longer hold.
Make policy and major organizational decisions
The board adopts policies and makes decisions reserved to the governing body. Depending on the documents and state law, this can include approving the annual budget, strategic plan, major contracts, mergers, dissolution, borrowing, significant purchases or sales, investment policies, executive compensation, and the appointment or removal of officers.
Board authority is collective. An individual trustee normally cannot bind the nonprofit, direct employees, sign contracts, or announce policy merely because of board membership. Authority comes from a board vote, a valid resolution, the bylaws, or a written delegation.
Select, support, and evaluate the chief executive
The board usually hires, supports, supervises, and evaluates the executive director or chief executive officer. It sets expectations, approves compensation through a proper process, receives performance information, and plans for succession. The chief executive is generally the top management official, not the governing board itself.

Trustees should give the executive a clear mandate and useful feedback without turning every operational choice into a board decision. If the executive’s performance, compensation, or succession is under review, the board should use a documented, disinterested process and keep appropriate records.
Steward money, property, and reserves
Financial stewardship includes approving a realistic budget, reviewing financial statements, monitoring cash flow and reserves, checking that restricted gifts are used for their stated purposes, and understanding significant variances. The board should know who can authorize payments, how duties are separated, and how unusual transactions are reviewed.
Trustees do not need to perform bookkeeping, but they must be able to interpret the information presented to them. A board that never examines bank reconciliations, audit findings, debt, insurance, investment performance, or financial forecasts is not exercising meaningful oversight.
Oversee legal compliance, risk, and accountability
The board oversees required federal, state, and local filings; corporate records; fundraising compliance; insurance; data and operational risks; and policies addressing conflicts of interest, whistleblowing, document retention, and similar controls. It should ask whether management has identified material risks, assigned owners, and reported changes.
New York guidance, for example, places responsibility on the governing body to ensure that required reports and filings, including Form 990 and state charity filings, are submitted. The exact filings depend on the nonprofit’s activities, state, tax classification, and fundraising footprint.

Represent the nonprofit without replacing governance
Trustees can be important ambassadors. They may explain the mission, cultivate community relationships, introduce potential funders, attend events, and advocate for public policies consistent with the organization’s purpose. Those activities support governance, but fundraising or public visibility does not replace financial oversight, conflict management, or the duty to make informed decisions.

The three fiduciary duties
Nonprofit governance is commonly organized around the duties of care, loyalty, and obedience. They overlap, but each addresses a different failure risk.
| Duty | What it requires | What it looks like in practice |
|---|---|---|
| Care | Act with the care an ordinarily prudent person would use in a similar position. | Attend meetings, prepare, read financial and program reports, ask reasonable questions, and make decisions on an informed record. |
| Loyalty | Put the nonprofit’s interests ahead of personal interests and avoid improper private benefit. | Disclose actual or potential conflicts, leave conflicted decision-makers out of disinterested deliberation when required, compare alternatives, and document the vote. |
| Obedience | Follow applicable law, the articles, bylaws, donor restrictions, and the charitable mission. | Use restricted gifts as promised, honor the stated purpose, follow adopted policies, and reject activities outside the organization’s lawful authority. |
Ohio Attorney General guidance describes trustees’ fiduciary obligation as ensuring that the mission is honored and resources are used wisely in support of that purpose. Minnesota guidance emphasizes that directors must be active, informed, and engaged because they are fiduciaries. These duties apply to the board as a body and to individual trustees participating in decisions.
Governance versus daily operations
The board decides what the nonprofit is trying to accomplish, establishes guardrails, approves significant resources and policies, and monitors results. The executive director and staff generally decide how to implement those decisions each day.

| Approve mission, strategy, policies, and major commitments. | Design work plans, procedures, schedules, and service delivery. |
| Hire, support, evaluate, and if necessary replace the chief executive. | Hire and supervise staff within the approved structure and budget. |
| Approve the budget and monitor financial condition. | Run accounting processes, pay vendors, manage cash, and report variances. |
| Set risk tolerance and require controls. | Operate controls, manage incidents, and escalate material risks. |
| Review outcomes and hold leadership accountable. | Collect performance data and improve programs. |
Delegation is not abdication. Minnesota guidance explains that directors are responsible for the corporation’s affairs in the governance sense, but are not required to manage day-to-day activities. The IRS also expects the governing body to monitor delegated functions and periodic reviews; using outside experts does not remove the board’s responsibility to ensure those reviews occur.
What powers does a nonprofit board have?
The answer depends on the nonprofit’s state of incorporation and documents. The usual sources are the state nonprofit corporation statute, articles of incorporation, bylaws, membership provisions, board resolutions, committee charters, donor restrictions, federal tax rules, and sector-specific requirements.
As one statutory example, Florida law states that all corporate powers must be exercised by or under the authority of the board of directors and that the corporation’s affairs are managed under the board’s direction, subject to limits in the articles. Florida’s 2026 general-director standard requires action in good faith, in the corporation’s best interests, and with the care an ordinarily prudent person in a like position would reasonably use in similar circumstances. It also permits reasonable reliance on properly delegated functions and qualified professionals when that reliance is not unwarranted.

In practice, a board commonly has authority to:
- approve or amend policies and, where permitted, bylaws;
- adopt budgets and financial controls;
- appoint officers and authorize signatories;
- hire and evaluate the chief executive;
- approve major transactions, debt, investments, leases, or property decisions;
- authorize committees and define their powers;
- accept restricted gifts subject to proper conditions; and
- approve mergers, dissolution, or other fundamental changes when law and governing documents allow.
A board cannot use those powers to disregard donor restrictions, violate tax-exemption rules, confer improper private benefit, or act outside the authority granted by law and the nonprofit’s documents.

Conflicts, compensation, records, and oversight
Handle conflicts before the vote
A trustee should disclose a financial or personal interest that could affect a decision. The minutes should identify the interested person, describe the interest, record who participated in the disinterested discussion, note alternatives considered, and document the action and vote. The conflicted person may provide requested factual information, but should not control the process.
Review compensation reasonably
Compensation for the chief executive or another insider should be approved by authorized, disinterested decision-makers using appropriate comparability information and a documented rationale. The board should periodically review whether the arrangement remains reasonable and consistent with the nonprofit’s resources and mission.
Monitor partnerships and private benefit
Joint ventures, management agreements, related-party transactions, and other partnerships can create charitable-purpose, tax, or private-benefit risks. The board should examine control rights, economics, conflicts, mission alignment, and exit provisions before approval and during periodic review.
Keep reliable records
Accurate minutes, resolutions, financial reports, conflict disclosures, contracts, policies, and filing records show what the board knew and decided. Minutes should capture the substance of deliberation without becoming a transcript. Missing records make it harder to demonstrate informed oversight or reconstruct why a decision was reasonable.

- Attend board and assigned committee meetings consistently.
- Read agendas, financial statements, dashboards, and supporting materials before meetings.
- Ask questions about programs, finances, legal compliance, staffing, and material risks.
- Vote independently while respecting duly adopted board decisions.
- Disclose conflicts promptly and follow recusal and confidentiality rules.
- Complete assigned committee or project work.
- Avoid directing staff through private side requests unless authorized by the board or executive leadership.
- Support appropriate fundraising and community relationships without treating fundraising as the entire job.
- Keep learning about the nonprofit’s field, obligations, and beneficiaries.
Some organizations encourage or expect trustees to make a personal gift, but that is an organizational practice rather than a universal legal requirement. A trustee’s fiduciary service cannot be replaced by a donation.

Board chair, officers, committees, and staff
| Role | Typical contribution | Important limit |
|---|---|---|
| Board chair or president | Leads meetings, helps set agendas, coordinates the board–executive relationship, and supports effective governance. | Does not ordinarily act as a sole governing authority unless the documents or a board resolution provide that power. |
| Treasurer or finance committee | Leads detailed review of budgets, financial statements, controls, investments, and audit work. | Does not replace the full board’s financial responsibility. |
| Secretary or records officer | Helps maintain minutes, resolutions, notices, and corporate records. | Recordkeeping duties do not make the secretary the organization’s general manager. |
| Standing or special committee | Researches issues, recommends action, and may exercise specifically delegated authority. | Its powers should be written, monitored, and consistent with law and bylaws; delegation does not erase full-board accountability. |
| Executive director or CEO | Manages staff and operations, implements strategy, and reports results and risks to the board. | Works under board oversight and cannot override reserved board authority. |
| Ordinary trustee | Prepares, participates, asks questions, votes, protects confidentiality, and helps fulfill fiduciary duties. | Generally cannot bind the nonprofit or supervise staff individually without authorization. |
Officer titles and responsibilities come from the organizing documents, bylaws, board resolutions, or applicable state law. The IRS notes that common titles include chair or president, vice president, secretary, and treasurer, but there is no universal allocation that overrides the nonprofit’s own documents.
Can a nonprofit board member be personally liable?
Potentially, but the answer is jurisdiction-specific. A trustee is not automatically personally responsible for every organizational debt or employee decision. Personal exposure can arise when a person breaches fiduciary duties, engages in self-dealing or unlawful conduct, knowingly participates in a violation, or fails to perform responsibilities imposed by applicable law. The scope of statutory protections, indemnification, insurance, and exceptions varies by state and by the facts.
Good governance reduces risk: participate actively, rely reasonably on qualified professionals, disclose conflicts, document decisions, follow the governing documents, and obtain advice before approving a disputed transaction, compensation arrangement, restricted gift, merger, dissolution, or other high-stakes action.

Most nonprofit corporations have a governing board, and some states expressly require one. California Attorney General guidance, for example, states that every California nonprofit corporation must have a board of directors. Other legal forms, such as certain charitable trusts or unincorporated associations, may use different governing structures, but they still need an authorized body or fiduciary structure to make decisions and oversee assets.
Federal tax status does not by itself answer every governance question. Before forming or restructuring an organization, check the state of incorporation, the proposed entity type, membership rights, articles, bylaws, and applicable tax and charity-registration rules.
A practical board-governance checklist
- Confirm authority: Read the articles, bylaws, membership provisions, committee charters, and recent resolutions.
- Clarify reserved decisions: List matters requiring a full-board vote, such as the budget, chief-executive appointment, major contracts, debt, or dissolution.
- Set an information calendar: Schedule regular financial, program, risk, compliance, and executive-performance reports.
- Use a conflict procedure: Collect disclosures, identify interested persons, obtain disinterested review, and record the decision.
- Test internal controls: Review authorization limits, bank access, reconciliations, restricted funds, insurance, and audit findings.
- Document delegation: Put committee and executive authority in writing, define reporting requirements, and review results.
- Evaluate the board itself: Assess attendance, preparation, skills, independence, succession, and training.
The strongest boards are neither passive nor operationally intrusive. They stay informed enough to detect problems, make decisions at the right level, and hold leadership accountable while allowing staff to do their jobs.
When professional advice is appropriate
General governance guidance cannot resolve a live dispute or determine the legal effect of a particular document. Obtain advice from qualified nonprofit counsel or a tax professional in the relevant jurisdiction when the issue involves a contested board election, compensation or related-party transaction, donor restrictions, tax classification, merger, dissolution, significant liability, or an alleged fiduciary breach. State of incorporation, religious or educational status, membership model, fundraising locations, and local filing obligations can all change the result.
