Relying on second-half earnings growth concentrates delivery risk in the quarters investors have not yet seen. The plan can be reasonable when it follows documented seasonality, signed orders, visible capacity and already-booked demand. It is fragile when it depends on uncommitted sales, cost reductions that have not arrived, favorable interest rates or currencies, delayed product launches, or a macroeconomic recovery that is still hypothetical.

If the second half disappoints, there is less time to repair the annual result. The consequences can include earnings-estimate cuts, revised guidance, lower valuation multiples and sharp share-price volatility. The central question is not whether the second half is normally stronger; it is how much of the promised improvement is both incremental and supported by evidence today.

What “second-half earnings growth” means

Companies often publish a full-year revenue or earnings target while expecting a disproportionate share of the improvement in the final two quarters. A business might report flat or declining first-half earnings and still maintain its annual target because management expects a stronger launch schedule, customer spending cycle, production ramp, cost program or economic recovery later in the year.

That is different from ordinary seasonality. Retailers, travel companies, semiconductor suppliers and many software businesses may have recurring calendar patterns. A second-half-heavy forecast becomes a risk when the expected increase is above the normal seasonal pattern or when the assumptions supporting it are not yet committed.

Consello’s June 5, 2024 analysis of the S&P 500 estimated that 58% of FY2024 sales-growth guidance was expected in the second half. The report described this as a “back-end loaded” setup and said the comparison was above its prior-ten-year average excluding COVID-19 and 2016. That figure describes the concentration of guidance, not a prediction that every company would miss.

How to measure how back-end loaded a forecast is

Start with the company’s reported first-half results and full-year target. Calculate the amount of annual growth that must still be delivered after the midpoint:

Second-half growth required = full-year target − first-half actual result − expected first-half baseline

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A simpler concentration measure is:

Deferred growth share = growth expected in the second half ÷ total full-year growth expected

For example, if a company expects full-year revenue to rise by $100 million but has delivered only $20 million of year-over-year growth by June, $80 million—or 80% of the planned increase—still depends on the second half. That is not automatically unacceptable. It is a warning to investigate what supports the $80 million.

  • Committed: signed contracts, purchase orders, subscription renewals with enforceable terms, backlog scheduled for delivery, or capacity already producing.
  • Probable but not booked: late-stage pipeline, customer budgets verbally confirmed, or projects awaiting final approval.
  • Uncommitted: market-share gains, new-customer wins, price increases not yet accepted, a product launch with no orders, or a macro recovery that has not appeared.

The larger the uncommitted portion, the more sensitive the annual target is to one bad quarter. Ask management to quantify these categories rather than accepting a broad statement that demand is “building.”

Why concentration leaves little time to recover

A shortfall in the first quarter can often be repaired over three more reporting periods. A shortfall in the fourth quarter cannot. When most of the annual improvement is scheduled for the final months, a delayed order, factory outage or launch problem can push revenue beyond the period in which it was needed.

There is also a compounding effect. Missing revenue can reduce operating leverage, so profit may fall by more than sales. A business that expected fixed costs to be spread across a larger volume may face lower margins when that volume arrives late. Management may then need deeper discounts, overtime, expedited freight or restructuring charges to catch up.

The one-quarter-slip test

Move each major second-half assumption forward by one quarter. If a launch planned for July happens in October, or a customer order expected in September arrives in December, calculate the resulting full-year revenue, margin and cash-flow impact. A robust plan still produces an acceptable range of outcomes. A fragile plan requires every milestone to occur on schedule.

Seasonality is evidence, not a guarantee

Historical seasonality can justify a stronger second half, but it does not prove that the current year will match the historical pattern. The comparison must be year over year and seasonality adjusted. A business can have a large holiday quarter and still post weak annual growth if the holiday period is weaker than normal or if the first half created an unusually large deficit.

A CFA Institute digest reported that the median analyst forecast captured 93% of recurring seasonal movement in seasonal firms, leaving 7% unanticipated. That 2017 evidence shows that seasonality is useful information but not a perfect forecast. The missed portion can matter when margins are thin or when investors have priced in the full seasonal pattern.

Questions that distinguish seasonality from incremental growth

  • How did the same customer, product and region perform in the comparable period over several years?
  • Is the forecast above the normal seasonal uplift, and what new evidence supports the extra growth?
  • Were prior-year results distorted by a one-time promotion, supply shortage, acquisition or currency move?
  • Does the company have enough inventory, staffing and production capacity for the expected peak?
  • Are customers placing orders earlier, or is management merely assuming the usual late-year rush?

Macro shocks can arrive before the revenue does

Second-half assumptions are exposed to events that occur between the forecast date and the selling period. Higher interest rates can delay capital purchases and increase financing costs. Inflation can reduce household purchasing power or compress gross margin when prices cannot be raised quickly. Currency movements can lower the value of overseas revenue when translated into the reporting currency.

Geopolitical disruptions, trade restrictions, energy prices, supply-chain interruptions and changes in China demand can affect both sales and costs. These risks are particularly important when management is counting on a broad economic recovery rather than on identifiable customer commitments.

MSCI’s annual-report risk disclosure lists market conditions, client demand, inflation, interest rates, currency fluctuations and geopolitical instability among factors that can make guidance inaccurate. It also warns that failing to meet or revising guidance may reduce investor confidence and increase volatility in the market value of securities.

Why forecasts can be wrong even with current information

Analysts use the information available at the time, but the information set can change rapidly. A July 2024 Federal Reserve FEDS study found that macroeconomic nowcasts could predict large and statistically significant errors in bottom-up S&P 500 earnings forecasts for the current quarter and the next quarter. In practical terms, a forecast can be internally consistent and still miss because the economy moves in a direction that company-level models did not capture.

This matters more for a back-end-loaded plan because the forecast horizon includes several months of exposure. A rate decision, currency shock or demand slowdown can occur after the first-half results but before the sales that are supposed to deliver the annual target.

Stress-test the variables, not just the final EPS

Build separate cases for volume, price, gross margin, operating expense, interest expense and currency. Do not model only a single “downside EPS” number. For example, a 5% volume shortfall may reduce profit more than 5% if the company loses fixed-cost absorption; a weaker currency may help exports but raise imported input costs. The purpose is to identify which assumptions have the greatest leverage on the result.

Guidance can become less reliable as the quarter progresses

Information about the quarter accumulates over time, but management may not disclose it evenly. The SEC’s Regulation FD enforcement perspective states: “It is generally safer to confirm guidance in the first half of a quarter than in the second, unless intervening events have occurred since the last public disclosure that could reasonably raise a question whether earnings would be affected.”

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The warning is about selective disclosure and timing, not a rule that every late-quarter update is misleading. Academic evidence finds that guidance information increases as a quarter progresses and that managers tend to issue downward guidance toward quarter-end. Guidance news can change uncertainty, returns and volatility around the release.

For investors, a late-quarter reaffirmation deserves scrutiny. Ask whether management has seen enough of the quarter to support the forecast, whether the statement merely repeats an old target, and whether any intervening event should have triggered a formal update.

How a miss can trigger a market repricing

Investors may value a stock on the assumption that the promised second-half growth will arrive. If it does not, three adjustments can happen at once:

  1. Earnings estimates fall as analysts remove the missing revenue and margin.
  2. The valuation multiple contracts if the market now sees slower growth or greater uncertainty.
  3. Confidence in management declines if the target was reaffirmed shortly before the miss.

The market reaction can therefore exceed the mechanical reduction in earnings. Guidance studies find short-window responses around guidance releases and links between guidance news, uncertainty and volatility. MSCI’s filing similarly warns that a revision or failure to meet guidance may negatively affect investor confidence and the market value of securities.

Management incentives can make the plan more fragile

Emphasizing a near-term EPS target can encourage actions that improve the next report while weakening durable business drivers. Examples include cutting research, maintenance or hiring, delaying necessary spending, accelerating shipments to customers, or using discounts that pull demand forward at the expense of future margins.

McKinsey describes the concern as “an unhealthy focus on short-term profits at the expense of long-term strategy, growth, and sustainability,” while noting that short-term guidance can still help investors understand seasonality or unexpected developments. A second-half promise should therefore be examined alongside investment levels, customer retention, product quality and cash conversion—not just adjusted EPS.

Research by Houston, Lev and Tucker found that poor operating performance, missed forecasts and lower anticipated profitability are major reasons companies stop issuing guidance. Firms that stop guidance show greater forecast errors and dispersion. A change in guidance policy is not proof of trouble, but it is a signal to investigate whether visibility or credibility has deteriorated.

Second-half-heavy plan versus steadier plan

Test Second-half-heavy plan Steadier plan
Deferred share of annual growth Large portion remains after the midpoint; quantify the exact percentage. Growth is distributed across periods, leaving more time to correct a miss.
Demand evidence May depend on pipeline, renewals not yet signed or new-customer wins. More of the forecast is supported by backlog, contracts or recurring demand.
Macro sensitivity More months of exposure to rates, inflation, currency and geopolitical shocks. Earlier revenue provides evidence before the full-year target is at risk.
Capacity and launch timing Requires multiple milestones to occur in a narrow window. Production and launches are less concentrated.
Seasonality-adjusted growth Must exceed the normal seasonal pattern or rely on a new driver. Closer to established year-over-year operating patterns.
Guidance history Frequent revisions or late reaffirmations increase credibility risk. Stable targets and transparent updates provide better evidence.
One-quarter delay Can leave the annual target unrecoverable. Usually leaves additional periods to adjust.

The table is a decision framework, not a claim that one structure always wins. A seasonal company with firm orders can rationally be second-half heavy; a supposedly steady plan can still fail if its assumptions are weak.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A practical checklist before trusting the guidance

  1. Compute the concentration. Use reported first-half results and the full-year target to determine the revenue and EPS still required.
  2. Request a bridge. Separate price, volume, mix, acquisitions, cost savings, currency and one-time items.
  3. Check commitment. Identify what is contracted, in backlog, capacity-ready or merely expected.
  4. Normalize seasonality. Compare several years of seasonal performance and remove unusual prior-year effects.
  5. Test a one-quarter delay. Recalculate the annual result if each major launch or order slips.
  6. Stress macro variables. Model adverse rate, inflation, currency and demand cases independently.
  7. Review execution capacity. Look for hiring, inventory, factory, logistics and implementation constraints.
  8. Examine guidance behavior. Compare the current target with prior revisions, late-quarter statements and the company’s historical accuracy.
  9. Watch cash flow. Earnings growth that does not convert to cash may reflect inventory build, receivables or aggressive capitalization.
  10. Assess incentives. Check whether meeting the target could encourage cuts or pull-forwards that damage long-term performance.

What a credible second-half case looks like

A credible case identifies the specific customer, product, contract or capacity event that produces the additional earnings. It shows how much is already booked, gives a schedule for the remaining milestones, explains the margin effect and provides downside sensitivity. Management should be willing to update the forecast when new information changes the probability of delivery.

An unreliable case relies mainly on phrases such as “momentum,” “a stronger macro backdrop” or “normal seasonality” without quantifying the required improvement. It also treats every assumption as independent, even though a demand slowdown can reduce volume, margin and cash flow simultaneously.

Bottom line for investors

Second-half earnings growth is not inherently unsafe. It becomes dangerous when a large deferred share of the annual target rests on unbooked demand, optimistic seasonality, favorable macro conditions or tightly timed execution. Measure the back-end-loaded portion, verify what is committed, stress a one-quarter delay and examine how management has handled guidance before. The less visible and less recoverable the remaining growth is, the greater the risk that one missed assumption becomes an earnings reset and a market repricing.
