A VC partner’s departure does not automatically remove a board member, change a startup’s investor, or freeze a fund’s investments. The result depends on the fund agreements, the company’s governance documents, the partner’s role, and applicable law. For a portfolio company, the first practical question is who holds the right to designate its board or observer seat—and what the relevant documents say happens when that person leaves.
Separately, a fund’s key-person clause may suspend its investment period while investors consider a replacement or other remedy. That fund-level pause does not itself decide who serves on a portfolio-company board or stop the company’s existing operations. Companies and fund managers should review the two issues separately, then make a documented plan for continuity, information access, and any required notices or approvals.
What happens to a startup when its VC partner leaves?
Usually, the company’s immediate concern is continuity: whether its board or observer seat remains covered, who will be its contact at the fund, and whether the departure changes investment decisions or follow-on support. None of those outcomes follows automatically from a partner leaving. The governing agreements and the specific roles assigned to the departing person determine what happens.

A partner may have been the fund’s lead investor for a company, a director, an observer, or some combination of those roles. The person may also have employment, economic, or information rights within the fund’s management structure. Those roles can have different owners and different rules. Leaving the firm, for example, does not by itself answer whether someone keeps a board role, retains carried interest, or may access confidential company information.

For a startup, it is useful to separate four questions:
- Who holds the designation right? The right to choose a director or observer may belong to the fund, its general partner (GP), the manager, an affiliate, or the individual.
- What do the company documents require? Investor-rights and voting agreements, board consents, and management-rights letters may specify resignation, replacement, notice, or approval procedures.
- Does the fund have a key-person event? The departure may trigger a fund-level investment-period suspension under the limited partnership agreement (LPA).
- Who handles the transition? The fund and company should identify interim coverage, a company contact, and controls for confidential information and conflicts.
These questions are related but not interchangeable. A key-person suspension is not, on its own, a board-seat removal rule. Nor does a board-seat transition automatically determine whether a fund may make new investments.
Can the VC firm take back or replace its board seat?
It can do so only as the applicable company and fund documents permit. There is no universal rule that a board seat belongs to the VC firm—or to the partner who has been occupying it.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Start with the documents that created the right. The designation right may be granted to a particular investor, the fund, the GP, the manager, an affiliate, or a named person. The documents may also distinguish between a right to designate a director and a right to appoint an observer. An observer generally is not a director merely by virtue of that title, but the documents still control the observer’s access, participation, and replacement. Do not infer the holder of either right from the person’s title or from who has attended meetings.
Then identify the event that matters. Some provisions may address a director’s departure from the investment firm, while others may focus on the fund’s continued ownership, a party’s status, or a required consent. The text may require the departing director to resign, authorize another party to designate a replacement, or require notice or approval before a change takes effect. The relevant documents may differ across portfolio companies, even where the same partner led the investments.
Cooley’s July 8, 2026 guidance captures the planning risk: “The firm should not discover during a contested departure that the board seat was personal to the departing partner.” A fund and company can reduce that risk by checking the designation language before a departure becomes contentious, rather than assuming the firm can substitute another representative.
A departing partner may remain a director if the documents and applicable law permit it, or may need to resign even if the person and the firm agree otherwise. Conversely, a firm may have a right to nominate a successor but still need to follow notice, voting, or consent procedures. The company should not treat a request to replace a director as self-executing: verify the process and authority in the controlling documents.

Does a partner’s departure freeze new investments?
It may suspend a fund’s investment period if the departure satisfies a key-person trigger in the LPA. Whether that occurs, how long the suspension lasts, and how investing can resume are agreement-specific.
Key-person provisions are fund-level controls. An LPA typically identifies the relevant key persons and defines the event that triggers consequences. The trigger may be framed around personnel or time devoted to the fund, but the exact test must be read in the agreement rather than assumed. Cuatrecasas describes the LPA as the place to identify key persons, define key-executive events, state whether suspension lasts until replacement or LP acceptance, and specify any agreed remedies. Those remedies can include GP replacement or winding up the fund, if the agreement provides for them.
ILPA Principles 3.0 says that a key-person or for-cause event should automatically suspend the investment period and become permanent within 180 days unless a defined LP supermajority affirmatively votes to reinstate it. This is ILPA’s governance guidance, not a substitute for the fund’s actual LPA. Invest Europe likewise describes temporary suspension as a usual key-person consequence, with prompt communication to LPs and a plan from the GP; majority LP or LPAC approval commonly governs replacement or lifting the suspension. The agreement determines what applies to a particular fund.
A suspension should not be casually equated with a ban on every activity involving an existing portfolio company. The LPA may distinguish new investments from follow-on investments, already-committed activity, or other fund actions. The fund’s authority during a suspension therefore requires a close reading of its terms. A portfolio company should ask whether a specific funding commitment is already documented and how the fund’s agreements treat that commitment; it should not assume either that a pause cancels it or that follow-on capital remains available.
Also distinguish a partner’s departure from a key-person event. A person can leave without meeting the contractual trigger, and a departure can trigger a clause even if the person has no board seat at a particular company. The fund’s investors may have approval or waiver rights, but those rights come from the LPA, side letters, and applicable law—not from a universal approval rule.
Who must be notified, and who approves a replacement?
Check the LPA and side letters for notice requirements, recipients, deadlines, and voting thresholds. LP or LPAC involvement is not automatic in every fund, though timely notice is an industry expectation and key-person clauses often provide for investor involvement.
ILPA Principles 3.0 says LPs should be notified in a timely manner of personnel changes that could affect fund performance, not just formal key-person events, and notified immediately when key-person provisions are tripped. Invest Europe similarly says a GP should inform LPs promptly and provide a plan. These are governance standards and expectations; they do not override the notice and consent language negotiated for a specific fund.

For a portfolio-company board change, the approval path may be different. The company’s investor-rights or voting agreement may give a designation right to one party, require approval from another group, or set out how a vacancy is filled. Board consents and management-rights letters may also be relevant. A fund-level LPAC process does not automatically replace the company-level appointment process, and company approval does not necessarily waive a fund’s key-person clause.

Record who must send notice, to whom, by when, what approvals are needed, and what event starts the clock. If the documents do not make a procedure clear, the fund and company should resolve authority before changing access or treating a replacement as appointed.
Who supports the portfolio company after the lead partner exits?
The company should establish a clear interim contact and confirm who has authority to act for the fund. The departing partner’s relationship history does not by itself establish that the person, the firm, or a proposed successor has continuing authority to make decisions or receive information.
A transition plan should identify the person who will handle board materials, company questions, financing discussions, and any urgent approvals. It should also specify whether the departing partner is expected to remain involved temporarily, whether a replacement has been designated, and how the company will be told when the arrangement changes. If the fund has a key-person process underway, the contact plan should explain what is known without representing that future investment decisions are guaranteed.
Continuity also means protecting the company’s information. Confirm who remains entitled to board materials and other confidential information, how access will be changed when someone’s role ends, and how the fund will handle any conflict between the departing individual and the firm. A person’s employment status, board role, information rights, and economic interest may not end together. The company and fund should review each separately rather than assume that an employment departure automatically answers every access question.
Directors have duties that are distinct from their relationship with the investor that designated them. The company should consider those duties and applicable corporate law before requesting a resignation, changing access, or seating a substitute. The governing documents and local law determine the appropriate process; a fund’s preference alone may not settle it.
What happens to the departing partner’s economics and authority?
Economic rights and decision-making authority are separate questions. Someone may leave the firm yet retain carry or another economic interest, while losing some authority—or the reverse—depending on the governing documents and any transition arrangement.

Review the relevant fund documents, management-company and GP agreements, and any written departure or transition agreement. The issues may include carried interest, capital obligations, repurchase rights, information rights, management-company interests, and transition payments. A board role should be examined separately under the company’s agreements and applicable law. Do not infer that a partner who retains economics can still act for the fund, or that a partner who loses employment necessarily loses every economic or information right.
Where appropriate, a written transition agreement can address board resignation, confidentiality, communications, releases, economic arrangements, and future conduct. It should align with—not silently override—the fund and company documents, and the parties should confirm any required approvals. This is especially important when the partner’s departure is disputed or when the individual and firm may have competing interests.

Build a document-based transition plan before changing a board seat, information access, or investment process. The following sequence helps keep the fund-level and company-level questions distinct.
- Inventory the affected funds and companies. Identify each fund vintage and each portfolio company connected to the departing partner. Do not assume one fund’s LPA or one company’s board agreement governs the others.
- Gather the controlling documents. Review the LPA, side letters, GP and management agreements, company investor-rights and voting agreements, board consents, and management-rights letters.
- Map each seat and observer right. Record the party that holds the designation right, whether it is personal or institutional, the resignation and replacement process, notice periods, and approvals.
- Test for a key-person trigger. Compare the facts of the departure with the LPA’s definition. Determine whether investment activity is automatically suspended and what the agreement says about duration, replacement, waiver, or reinstatement.
- Check existing and follow-on commitments. Identify any investment already committed and confirm how the LPA treats it during a suspension. Do not assume a new-investment pause answers the status of every existing-company action.
- Send required notices and prepare a proposal. Follow the documents’ timing and delivery rules for LPs, the LPAC, and affected companies. If a replacement or waiver is proposed, state who will fill the role and what approvals are being requested.
- Set interim company coverage. Name the fund contact for each company, clarify who may receive confidential materials, and document conflict controls and the board or observer plan.
- Review duties and law before changing a director. Consider the director’s fiduciary duties and local corporate law before seeking resignation or seating a substitute.
- Resolve economics separately. Analyze carry, capital obligations, repurchase rights, information rights, management-company interests, and any transition payments under their respective agreements.
- Document the outcome. Use a written transition agreement where appropriate and retain the notices, approvals, resignation, replacement designation, and revised access instructions.
This is a governance checklist, not a substitute for reviewing the actual documents with qualified counsel. The relevant agreements, company structure, and law can vary by fund, company, and jurisdiction.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How can two departure scenarios be compared?
Use the same document-based questions for each scenario; the headline fact that a partner has left is not enough to predict the outcome.
| Question | What to establish | Why it matters |
|---|---|---|
| Who holds each designation right? | Whether the fund, GP, manager, affiliate, or individual holds the board or observer right | Identifies who can nominate, retain, or replace the representative |
| Does the departure trigger a key-person clause? | The defined event and the facts that satisfy it | Determines whether the investment period may be suspended |
| How does suspension end? | Duration, replacement process, waiver, and any reinstatement vote | Shows who must act and what approval threshold applies |
| What notice or consent is required? | Fund-level LP or LPAC rules and company-level procedures | Prevents treating separate approval processes as one |
| What happens to existing commitments? | The LPA’s treatment of already-committed and follow-on activity | Clarifies what the fund may do during a suspension |
| How are duties and information controlled? | Fiduciary duties, confidentiality, access, and conflicts | Supports continuity without assuming access follows employment |
| What economic rights continue? | Carry, capital, repurchase, information, and transition terms | Separates economics from authority and board service |
The comparison should be specific to each fund and company. A departure can affect one board seat but not another, or trigger a key-person clause at one fund while leaving another fund’s investment period unchanged. There is no representative statistic in the cited governance materials for how often departures change board seats, suspend investment periods, or affect portfolio-company outcomes, so a universal frequency or average financial impact should not be inferred.
How should a startup interpret a promised replacement or continued support?
Treat it as a proposal until the relevant authority and required process are confirmed. A departing partner’s assurance, a firm announcement, or an investor’s preference may not by itself satisfy a fund vote, company designation procedure, or legal requirement.

Ask the firm to identify the person who will cover the relationship, the party authorized to designate or replace the board representative, the relevant documents, and any remaining approvals or notices. Separately ask whether a key-person trigger has been invoked and how the fund will handle existing commitments and follow-ons. Written answers help the company distinguish operational coverage from contractual authority and from a commitment to invest.
For a company facing a time-sensitive board matter or financing decision, the priority is to establish who can validly act and what approvals are needed, not to presume either that the former partner still speaks for the fund or that the firm has already appointed a successor. The fund’s internal transition and the company’s governance process should be coordinated, but each must follow its own governing rules.
Frequently Asked Questions
Can a former VC partner keep serving on a startup board after leaving the firm?
Possibly, but continued service is not established just because the person was previously the fund’s representative. The designation documents, resignation requirements, director duties, and applicable law must be considered together.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsDoes a VC partner’s departure mean my startup should expect less funding?
Not necessarily. A departure alone does not establish that a fund will reduce or stop support, and the cited governance materials do not provide an average funding impact. Check the fund’s key-person provisions and any documented investment commitments rather than treating a change in personnel as a funding decision.
Do LPs have to vote every time a VC firm changes a partner?
No universal vote requirement applies to every personnel change. The LPA and side letters determine notice, consent, and voting rights; ILPA guidance encourages timely notice, while a defined key-person event may invoke a separate suspension and reinstatement process.
Is a board observer treated the same as a VC director when the partner leaves?
Not necessarily. An observer is not a director solely by being an observer, and the observer’s access and replacement terms may differ from a director’s designation and resignation rules. Review the specific company documents for each role.
