Restructuring, relief and default describe different things. Sovereign debt restructuring is a negotiated change to the contractual terms of government debt. Debt relief is the economic benefit of concessions that reduce the present value or near-term cost of servicing that debt. Default is a failure to pay an obligation in full when it is due, subject to any grace period or cross-default clause.
A country can restructure while it is still making every payment (a pre-emptive restructuring), or it can negotiate after missed payments have created arrears. A restructuring may provide substantial relief without cancelling principal, while a default can occur without any agreement to reduce what is owed.
The three terms in plain English
Debt restructuring changes the contract
The IMF’s External Debt Statistics defines debt reorganization, also called debt restructuring, as “arrangements involving both the creditor and the debtor (and sometimes third parties) that alter the terms established for servicing an existing debt.” The essential feature is an agreed alteration of an existing obligation.
The amended terms can cover the payment date, interest rate, grace period, principal amount, currency, collateral, repayment profile or another contractual provision. Rescheduling, refinancing, debt conversion, prepayment, assumption of another party’s debt and forgiveness can all fall within the broad restructuring umbrella when they alter how the original debt is serviced.

Restructuring is therefore a process and a legal transaction, not a synonym for a crisis. It can be arranged when the sovereign is current on payments or after it has stopped paying.
Debt relief is the benefit produced by a concession
In the same IMF chapter, debt relief is described as occurring when there is “(1) a reduction in the present value of these debt-service obligations; and/or (2) a deferral of the payments due.” Relief measures the economic improvement for the debtor, rather than naming the legal document that creates it.
A maturity extension can lower the present value of payments or reduce cash requirements in the next few years even when the face value of the loan is unchanged. A lower interest rate, a payment holiday or a longer grace period can have a similar effect. A principal haircut reduces the debt stock or its present value and is generally a more extensive form of relief.
Debt forgiveness is narrower language: it normally means cancelling some or all principal or accrued claims. Forgiveness is debt relief, but relief can be delivered without forgiveness.
Default is non-payment when due
Default is an event or status, not a negotiated modification. IMF arrears guidance treats an external obligation as being in arrears when it “has not been paid in full at the time it is due,” taking any applicable grace period and cross-default provision into account. A missed payment can be cured, waived or followed by a restructuring, but those later steps do not change the fact that non-payment occurred.
The IMF’s statistical guidance makes the distinction explicit: “Similarly, a failure by a debtor economy to honor its debt obligations (default, moratorium, etc.) is not debt reorganization.” A moratorium or unilateral payment suspension can therefore be a default-related event without itself being a restructuring agreement.
Side-by-side comparison
| Question | Restructuring | Debt relief | Default |
|---|---|---|---|
| What is it? | An agreed change to existing debt-servicing terms. | A reduction in present value and/or a deferral of payments. | Failure to pay an obligation in full when due, subject to contractual grace and cross-default provisions. |
| Does creditor consent matter? | Usually yes; the arrangement involves the debtor and creditor, and sometimes third parties. | Relief normally comes from a creditor concession documented through an agreement or transaction. | No. A payment can be missed unilaterally, although a waiver or subsequent deal may follow. |
| Can the sovereign be current? | Yes. A pre-emptive deal is negotiated before a missed payment. | Yes. Lower rates, longer maturities or deferred payments can provide relief while payments remain current. | No for the affected obligation; a failure has occurred once the due date and any applicable grace period pass. |
| Must principal fall? | No. Terms can change while face value remains unchanged. | No. Deferral or a lower interest rate can be sufficient. | No. Default describes payment performance, not the eventual amount written off. |
| Typical legal form | Amended loan documents, an exchange of bonds, an agreed minute, a memorandum of understanding or another consent-based instrument. | The concession embedded in those documents or commitments. | Arrears, acceleration, enforcement rights or contract-triggered consequences, depending on the instrument. |
How the concepts overlap
Pre-emptive restructuring before default
When debt is judged unsustainable or near-term financing is inadequate, a government may approach creditors before a payment is missed. Creditors and the sovereign then amend maturities, interest or other terms while the old schedule is still being honored. The objective is to close the financing gap and restore sustainability without the disruption associated with a payment failure.

Post-default restructuring
If a sovereign misses a scheduled payment and does not cure it within the applicable grace period, arrears accumulate. Negotiations then seek to regularize those arrears and establish a sustainable schedule for the future. New instruments may replace old ones, and creditors may accept a lower present value, deferred payments or a principal reduction.
IMF lending-into-arrears policies govern when Fund financing can proceed while a country is behind on payments to creditors. The existence of those policies does not turn a default into a restructuring; it addresses the conditions under which financing and program support may continue during negotiations.
Relief without a principal haircut
Suppose a loan’s face value is unchanged, but its final maturity is extended, the first payment is deferred and the interest rate is reduced. The government still owes the stated principal, yet the present value and near-term cash burden can fall. That is debt relief delivered through restructuring, not debt forgiveness.

Relief with a haircut
A haircut cancels part of the principal or otherwise reduces the present value of the claim. It usually produces deeper relief because the creditor gives up part of the economic value rather than merely receiving payment later. A haircut can be included in a bond exchange, a bilateral agreement or another restructuring instrument.
Which creditors and debts are involved?
The IMF’s 2026 Sovereign Debt Restructuring Playbook groups external creditors into three broad classes:
- Multilateral institutions: international financial institutions and other multilateral lenders, which often receive special treatment under restructuring frameworks.
- Official bilateral creditors: governments lending directly or through official agencies. Paris Club and Common Framework processes coordinate many of these claims.
- Private creditors: bondholders, commercial banks and other private lenders, whose rights are governed by bond terms, loan contracts and the law specified in those documents.
Domestic debt may also be included when leaving it untouched would undermine financial stability, growth or the credibility of the overall plan. Including local banks, pension funds or households can, however, transmit losses through the domestic financial system, so governments weigh those effects against the need for a durable adjustment.
The 2026 Playbook reports that “The Paris Club is a group of currently 22 members.” Membership and framework procedures can change, so a country’s applicable creditor group should be checked at the time of a negotiation rather than inferred from an older list.

Debt perimeter and comparable treatment
A restructuring must define its perimeter: the instruments, maturities, creditor classes and sometimes domestic claims that are included. Short-term debt is often handled separately because withdrawing trade or working-capital lines can disrupt essential imports and the payments system.

Official creditors commonly seek comparable treatment across creditor classes. That does not mean every lender receives identical documents. It means the economic effort expected from each relevant class is assessed against a consistent standard, taking legal priority, collateral, maturity and other differences into account.
How a sovereign restructuring normally proceeds
The exact sequence varies by country and contract, but a comprehensive process usually contains the following stages.
-
Reconcile the debt data
The government and its advisers build a loan-by-loan inventory. It identifies principal, accrued interest, maturity dates, grace periods, collateral, governing law, arrears and the current owner of each claim. Missing or inconsistent records can produce an incorrect financing need and make comparable treatment impossible.

Measure sustainability and the financing gap
An IMF-World Bank debt-sustainability analysis (DSA) projects growth, revenue, spending, exchange rates, interest costs and refinancing needs. The DSA estimates the financing gap and the amount of debt treatment required to put the debt path on a sustainable footing. It informs negotiations; it does not itself impose a write-off.
-
Set the restructuring perimeter
Authorities decide which maturities and instruments are covered, whether domestic claims are included, how short-term facilities are handled and which obligations are excluded for legal or policy reasons. A cutoff date is normally established so that new financing after that date receives consistent treatment.
-
Choose a coordination route
Official bilateral claims may be coordinated through the Paris Club, the Common Framework or a related “PC+” approach. Private creditors may negotiate through bondholder or bank creditor committees under the relevant contracts. A sovereign can also conduct separate but coordinated discussions when its creditor mix does not fit one framework.
-
Reach an agreement in principle
The parties negotiate the size and timing of the adjustment: maturity extensions, interest changes, grace periods, principal reductions, collateral changes or combinations of these. The agreement should be consistent with the DSA and with comparable-treatment expectations across creditor classes.
Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy. -
Document the deal
Official creditors may record commitments in an Agreed Minute and later implement them through bilateral agreements. Other transactions can use a memorandum of understanding, amended loan agreements or bond-exchange terms. The signed documents specify eligibility, consent thresholds, payment mechanics and the treatment of arrears.

Implement, clear arrears and monitor
Old instruments are exchanged, amended or cancelled; new securities or loans are issued; and arrears are paid, capitalized or otherwise regularized according to the agreement. Program reviews and updated debt-sustainability analyses monitor whether the new schedule remains viable.
What can actually change in the debt contract?
Maturity, grace period and payment profile
Moving the final maturity later spreads repayment over more years. A grace period postpones principal or interest for an agreed interval. A “reprofiling” can also move a cluster of near-term payments into later years without changing the total principal. These tools target cash-flow pressure and can provide relief even when creditors do not accept a face-value loss.
Interest rate and capitalization
A lower coupon reduces scheduled interest. Documents may also specify whether unpaid interest is forgiven, deferred, or added to principal. Capitalizing interest can ease immediate cash needs but increase the balance owed later, so the present-value effect must be evaluated rather than inferred from the first-year payment alone.

A principal haircut directly reduces the amount owed. A transaction can also reduce present value through a combination of a modest principal cut, a long grace period and a lower coupon. Creditors assess the package as a whole, not just one headline percentage.
Currency, collateral and other terms
Converting foreign-currency debt into local currency can reduce exchange-rate exposure for the government but may shift risk to creditors. Changes to collateral, repayment priority, reporting obligations or governing law can alter the value and enforceability of a claim even when the nominal principal is unchanged.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What happens to bondholders and other creditors?
Bondholders receive the treatment set by the bond documentation and the restructuring offer. They may be asked to exchange old bonds for new securities with later maturities, lower coupons, reduced principal or a different payment profile. Whether an exchange becomes binding depends on the consent mechanisms and voting thresholds in the relevant terms.
Commercial banks and other lenders negotiate under their loan agreements. A creditor committee can coordinate positions, but each claim’s security, ranking, collateral and governing law still matter. Multilateral claims often receive special treatment, while official bilateral creditors coordinate through government-to-government processes.
A default can activate acceleration rights, cross-default clauses, litigation options or credit-rating consequences, although the practical effect depends on the contract and whether creditors agree to waivers. A pre-emptive deal seeks to manage those triggers before they become disruptive; a post-default deal must address the arrears and any rights that have already arisen.

Who decides how much debt is written off?
No single institution sets a universal haircut. The sovereign proposes a treatment based on its fiscal capacity and policy choices. The IMF-World Bank DSA estimates the adjustment needed for sustainability and financing, while creditor groups negotiate the terms that they will accept. Official creditors may set conditions through a coordinated framework, and private creditors vote or sign according to their contracts.
Political decisions also determine whether domestic debt is included, how losses are distributed between residents and foreign lenders, and how much fiscal adjustment the country is willing to undertake. The final package is the result of these legal, economic and political constraints rather than a mechanical percentage produced by the DSA.
Consequences for the sovereign
After a pre-emptive restructuring
The government may preserve uninterrupted payment service and reduce refinancing pressure. It still faces negotiation costs, possible ratings pressure and conditions attached to official financing, but it may avoid the arrears and contract triggers associated with a missed payment.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
After a default
Arrears must be tracked and eventually regularized. Access to new market financing can become difficult or expensive, creditors may pursue contractual remedies, and imported goods or domestic banks can be affected if payment interruptions spread. A later restructuring can restore sustainability, but it cannot erase the economic and legal consequences of the original non-payment.
For citizens and the domestic economy
Debt service competes with public spending, so relief can create fiscal room for essential services and investment. Conversely, including domestic banks or pension funds in a restructuring can reduce credit and savings values at home. Exchange-rate and inflation effects also matter when foreign-currency obligations are converted or when confidence falls.
Common misunderstandings
- “Restructuring means default.” It does not. A country can agree to new terms while current, specifically to avoid default.
- “Every restructuring cuts principal.” No. Maturity extensions, grace periods and lower rates can deliver relief with unchanged face value.
- “Default automatically means forgiveness.” No. Default is the missed payment; forgiveness, if it occurs, is a later negotiated concession.
- “Debt relief is a legal instrument.” Relief describes the economic reduction or deferral produced by one or more legal transactions.
- “All creditors receive the same deal.” Creditor class, collateral, ranking, governing law and the defined debt perimeter create material differences.
- “The IMF decides the haircut.” The DSA informs the financing gap and required treatment, but the sovereign and its creditors negotiate the final terms.
A practical way to classify a real case
When reading a government announcement or market report, ask five questions in order:
- Was a payment missed? Check the due date, grace period and any cross-default clause. If the obligation was not paid in full after the applicable contractual period, it is in arrears or default.
- Was there a consensual amendment? Look for an exchange offer, amended loan agreement, memorandum or official agreement. That document indicates restructuring.
- What economic concession was granted? Identify deferred payments, lower interest, a longer maturity, a principal haircut or another present-value change. That is the relief component.
- Which claims are covered? Separate multilateral, official bilateral, private and domestic debt, and note exclusions such as short-term facilities.
- What remains to be implemented? An announcement or agreement in principle may require later bilateral documents, creditor votes, issuance of new instruments and arrears clearance before the relief becomes effective.
Bottom line
Restructuring is the negotiated change in debt terms; relief is the reduction or deferral benefit created by that change; default is non-payment when due. They can occur together, but none is interchangeable with the others. A sovereign may restructure before default, obtain relief without a principal write-off, or default and later negotiate a restructuring that includes forgiveness. The outcome depends on the debt-sustainability analysis, creditor composition, contract terms, coordination framework and domestic choices.
