A sovereign default does not automatically cancel your bond. It usually starts a legal and financial process in which the government seeks to change payment dates, coupons, principal, or other terms. Your outcome depends on the bond’s contract, the restructuring perimeter, creditor voting, the governing law, and the value of the replacement securities. A majority supported by a valid collective action clause (CAC) can sometimes bind investors who vote against an exchange, while a holder outside the affected instruments may continue to receive payments.

There is no universal recovery percentage. To judge an offer, identify exactly which claim you own, model the cash flows of the new instrument at stated discount rates, examine the voting mechanics and contingent features, and obtain legal and tax advice before voting or tendering.

What a sovereign restructuring changes

Restructuring changes one or more contractual features of government debt. The amendment can affect the payment schedule, principal, interest rate, maturity, grace period, amortization pattern, currency, or enforcement provisions. A default is a failure to make a payment or satisfy another obligation; a restructuring is the negotiated or imposed change to the debt terms intended to restore sustainability or provide temporary liquidity relief.

Deep restructuring versus temporary relief

The IMF distinguishes a deep restructuring that reduces the net present value (NPV) of debt from measures aimed at a short-term liquidity problem. A principal haircut, lower coupons, or long maturity extension can reduce NPV. A rescheduling, reprofiling, or payment deferral may move payments into the future without an immediate face-value reduction. The economic effect still has to be calculated: postponing a large payment can be a substantial loss when discounted to today.

What does not happen automatically

  • A default does not by itself determine the final exchange terms.
  • Bondholders do not all hold identical rights; different series can have different governing laws, trustees, guarantees, collateral, and voting provisions.
  • An IMF program does not set the private-bond coupon or guarantee a particular recovery.
  • Unpaid interest, acceleration, cross-default provisions, and litigation remedies depend on the applicable documents and law.

The IMF states that it cannot force creditors to forgive loans or interfere in bilateral debt contracts. The sovereign, advised by legal and financial advisers, decides whether to seek a restructuring and what terms to propose.

Who coordinates the process?

Official bilateral creditors

Official creditors use government-to-government channels. The Common Framework brings together G20 and Paris Club official bilateral creditors for eligible cases. A separate principle called comparability of treatment (CoT) is important: the Paris Club describes it as a requirement that a debtor receiving Paris Club treatment should not give other creditors terms more favorable than those agreed with Paris Club creditors.

Private bondholders

Private investors generally negotiate through one or more bondholder committees. A committee may seek information, hire advisers, coordinate positions, and negotiate an exchange, but its representativeness and authority should be checked. The Global Sovereign Debt Roundtable (GSDR) playbook says that bondholder negotiations are generally coordinated through committees, with CACs providing stronger coordination when an offer moves to implementation.

The Global Sovereign Debt Roundtable

The GSDR is a process and standards forum co-chaired by the IMF, World Bank, and the 2026 G20 Presidency. It began work in February 2023, and its FAQ was updated on April 15, 2026. It does not replace the Common Framework and does not negotiate an individual country’s case. Its practical value is to improve information sharing, timelines, and expectations among official and private creditors.

What the IMF does—and does not do

Debt-sustainability analysis

Before committing financing, the IMF typically assesses whether the country’s debt is sustainable under stated macroeconomic assumptions. Investors should read the debt-sustainability analysis (DSA), the projected financing envelope, growth and exchange-rate assumptions, primary-balance path, and the conditions attached to official financing. These assumptions determine how much relief the authorities are expected to seek, but they do not mechanically produce private-bond exchange terms.

Financing during arrears

IMF lending-into-official-arrears policies can permit financing while a country is behind on payments to official creditors when specified conditions are met. Depending on the case, those conditions can include a representative Paris Club agreement, creditor consent, good-faith efforts, and the absence of unacceptable systemic risks. Financing during arrears is not a declaration that private creditors have accepted an offer, nor does it eliminate their contractual rights.

What to monitor in an IMF program

  • The DSA’s baseline and downside scenarios.
  • The amount and timing of official disbursements.
  • Conditions requiring progress on creditor treatment.
  • Assumptions about domestic debt, external bonds, and other liabilities in the restructuring perimeter.
  • Whether a later review could trigger a revised financing need or additional creditor treatment.

Can a majority force you into a restructuring?

Often, but only if the bond’s CAC and the proposed vote satisfy the contract. Enhanced CACs can permit a vote on each series, across multiple series in a two-limb aggregation, or across the entire affected pool in a single-limb aggregation. The exact thresholds and procedures are document-specific.

Voting features to read

  • Reserved-matter threshold: the percentage of outstanding principal needed to change payment or other protected terms.
  • Quorum: the minimum principal represented at a meeting or in a written resolution.
  • Aggregation: whether votes are counted series by series or across several pools.
  • Disenfranchisement: rules excluding bonds held by the sovereign or controlled entities.
  • Non-consenting holders: the contractual effect of an approved amendment on investors who did not vote for it.

If the required supermajority is reached, the amendment can bind dissenting holders even when they voted against the exchange. That does not mean every remedy disappears. Enforcement, acceleration, payment claims, and challenges to the vote remain dependent on the prospectus, trust deed or fiscal-agency agreement, governing law, and the facts of the solicitation.

Why participation estimates matter

A high expected participation rate can make an exchange easier to complete, while a fragmented creditor base can complicate negotiations. Assess whether a committee represents a meaningful share of the affected debt and whether the sovereign can reach the CAC threshold without the holders you represent. A minority may lose its blocking position once the contractual supermajority is met.

Identify exactly which claim you own

Do not evaluate a restructuring from the country name alone. Build an instrument-level inventory before deciding how to vote.

  1. Record the series: note the ISIN or other identifier, original and current principal, coupon type, maturity, payment dates, and currency.
  2. Check governing law: determine whether the bond is governed by New York law, English law, local law, or another jurisdiction.
  3. Read the operative document: use the prospectus, trust deed, fiscal-agency agreement, and any supplemental terms.
  4. Map protections: identify guarantees, collateral, negative pledges, seniority, acceleration rights, cross-default language, and events of default.
  5. Confirm the perimeter: establish whether the sovereign is including this series, domestic debt, external debt, guaranteed obligations, or only selected maturities.
  6. Review the voting pool: determine which series can vote together and how principal held by the sovereign or affiliates is treated.

The 2024 IMF guidance notes that creditor composition and multiple voting pools can make implementation more complex. A bond excluded from the perimeter may keep its original payment schedule, but the country’s overall liquidity and future policy can still affect its risk.

How to calculate recovery value

Face value is not recovery value. Recovery is the present value of the cash flows you expect to receive, adjusted for timing, risk, and any contingent payments. Compare the old claim with each proposed package using the discount rate specified in the exchange materials and, where appropriate, a range of sensitivity rates.

Cash flows to include

  • Cash coupon amount and payment frequency.
  • Principal repayment dates and any grace period.
  • Scheduled amortization rather than assuming a bullet repayment.
  • Any principal haircut or reduction in accrued interest.
  • Step-up coupons, reinstatement provisions, or other conditional increases.
  • GDP-, commodity-, or other performance-linked payments.
  • Fees, consent payments, or cash components offered at settlement.

A simplified calculation discounts each future payment by the selected annual rate:

NPV = sum of (cash flow at date t / (1 + discount rate) raised to the time in years)

Use the actual payment dates or the convention stated in the offer documents. A long maturity extension can reduce NPV even when the new bond has the same face amount. Conversely, a higher coupon or near-term cash payment can improve value without changing principal.

Compare more than one rate

Because the discount rate is an assumption rather than a guaranteed market price, calculate a range. Show how the recovery changes at each stated rate and explain which features drive the result. Do not present a single percentage as objective when the offer documents do not establish one.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How contingent features can change the outcome

Two bonds with the same initial face value may have very different long-term value when one includes contingent payments. Review the trigger, measurement period, payment formula, cap, floor, and dispute mechanism for each feature.

Step-up coupons

A step-up bond increases its coupon after specified conditions are met. Zambia’s restructuring announcement, published March 28, 2024, described two new bonds, including a step-up bond with enhanced repayment terms and higher coupons after defined triggers. Model both the base case and the trigger case; do not value the higher coupon as certain unless the trigger is unconditional.

Reinstatement and performance-linked instruments

Principal reinstatement can restore part of an exchange haircut if a specified event occurs. GDP- or commodity-linked instruments may pay more when an economic metric exceeds a threshold. Their value depends on the definition of the metric, publication dates, verification rights, and the probability distribution of outcomes. Treat these instruments as uncertain upside, not as guaranteed principal.

Comparability and future adjustments

Creditor comparability clauses can require later treatment of one creditor group to be reflected in another group’s economics. Read whether the clause can trigger additional payments, amendments, or loss-reinstatement adjustments if official creditors receive different relief in a later phase.

Should you accept an exchange offer?

Acceptance is a decision about expected value, enforceability, timing, liquidity, and risk—not simply the headline haircut. Use the offer memorandum and the contract to answer each question below.

  1. What do you receive at settlement? List every new bond, cash amount, fee, and contingent instrument.
  2. What is the NPV? Recalculate the package at the discount rates and payment conventions stated in the documents.
  3. How long is the duration? A longer maturity increases exposure to future rates, policy changes, and refinancing risk.
  4. How certain are coupons and amortization? Separate contractual payments from triggers or discretionary features.
  5. What legal protections remain? Check jurisdiction, trustee powers, guarantees, collateral, and CAC aggregation in the new bonds.
  6. Will the new bonds trade? Consider expected liquidity, listing, settlement arrangements, and the size of the issue.
  7. What is the tax result? An exchange can create a disposal, recognition of income, withholding, or basis issue that differs by investor and jurisdiction.
  8. What happens if you reject? Estimate the probability of being bound by a CAC, the timing and cost of litigation, and the chance of collecting under the old instrument.

Compare each option on NPV recovery, maturity and duration, coupon certainty, amortization, governing law, CAC aggregation, collateral or guarantees, contingent-value upside, tax treatment, new-bond liquidity, and the possibility of future comparability or reinstatement adjustments.

What rights do holdout bondholders have?

A holdout is a holder that does not consent to the proposed exchange. Its rights are not uniform. A holder may retain contractual claims under the old bond, but a valid CAC can amend protected terms for the entire voting pool. A non-consenting holder can also face practical limits: payments may be interrupted, litigation can be expensive and slow, and a judgment may be difficult to enforce against sovereign assets protected by immunity.

Questions for a holdout analysis

  • Does the series have a CAC, and what threshold and aggregation method apply?
  • Can the sovereign legally redirect or block payments after an exchange?
  • What assets, if any, are reachable under the governing jurisdiction’s immunity rules?
  • Does a trustee or fiscal agent control enforcement or acceleration?
  • Could cross-default or cross-acceleration clauses affect other holdings?
  • What are the estimated legal costs, time horizon, and settlement alternatives?

Do not assume that a court victory equals immediate cash recovery. Enforcement depends on jurisdiction, asset location, sovereign-immunity rules, and the contract’s remedy provisions.

How official and private treatment interact

Official-sector relief can shape the amount of private-sector relief requested. Under CoT, a country receiving Paris Club treatment is generally expected not to give other creditors more favorable terms. That principle does not mean every bond receives identical economics or that a private exchange is automatically approved by official creditors.

Review whether official financing is conditional on progress with private bondholders, whether the DSA assumes domestic-debt treatment, and whether a later official agreement could require another adjustment. The GSDR improves coordination but does not replace country-by-country negotiations or the legal documents governing your bond.

Examples that show why details matter

Zambia, March 28, 2024

Zambia’s restructuring announcement described two new bonds, including a step-up bond with enhanced repayment terms and higher coupons after specified triggers. The example demonstrates why investors must model conditional coupons and repayment terms rather than relying on a single stated haircut.

Ukraine, July 22, 2024

Ukraine announced an agreement in principle with an ad hoc bondholder committee on July 22, 2024. An agreement in principle is a negotiation milestone, not the same as completed settlement. Investors still need the final exchange documents, voting results, conditions precedent, and definitive securities terms before calculating final recovery.

Scale of debt distress

An IMF 2020 figure found that 36 of 70 low-income countries were at high risk of debt distress or already in debt distress. That statistic describes a broad period and group of countries; it cannot predict the recovery of any particular sovereign bond.

A practical investor workflow

  1. Collect the documents: obtain the official offer memorandum, consent solicitation, prospectus, trust deed or fiscal-agency agreement, DSA, IMF program materials, and committee communications.
  2. Mark the affected claims: map each series, principal balance, governing law, voting pool, and perimeter status.
  3. Build a cash-flow model: enter every old and new payment date, coupon, amortization amount, grace period, haircut, fee, and contingent feature.
  4. Run sensitivities: calculate NPV under the stated discount rates and reasonable timing or trigger scenarios without treating uncertain payments as guaranteed.
  5. Test the vote: check quorum, reserved-matter threshold, aggregation, disenfranchisement, record date, and deadline.
  6. Assess alternatives: compare acceptance, rejection, possible CAC binding, and any holdout strategy on value, time, legal cost, and enforceability.
  7. Get advice: consult qualified legal and tax advisers before submitting a vote, consent, tender, or litigation instruction.

The exact answer always depends on the bond documents, governing law, sovereign perimeter, and final exchange terms. No single recovery percentage can be stated without naming the sovereign and instrument.
