Silicon Labs bought Redpine Signals’ Wi-Fi and Bluetooth business—not the whole company—in a 2020 asset acquisition announced for $308 million in cash. The deal also included Redpine’s Hyderabad development center and patent portfolio. A later Silicon Labs filing put the cash paid after closing adjustments at approximately $317 million. Contemporaneous trade reporting said the acquired operations also included Redpine’s MCU business and real-time location technology.

What Silicon Labs acquired from Redpine Signals

Silicon Labs announced the definitive asset purchase agreement on March 12, 2020; the agreement had been entered into the previous day. The transaction covered Redpine Signals’ Wi-Fi and Bluetooth business, its Hyderabad, India development center, and an extensive patent portfolio. Silicon Labs announced that the acquisition had closed on April 28, 2020. Silicon Labs’ closing announcement describes those acquired assets.

This was an acquisition of specified operations and assets, not a purchase of the entire Redpine corporate entity. The MCU and real-time location services elements were reported by contemporaneous EE Times coverage; Silicon Labs’ announcements emphasized Wi-Fi, Bluetooth, the development center, and patents.

How much Silicon Labs paid

Silicon Labs announced cash consideration of $308 million, subject to customary working-capital and other adjustments. Its later 2020 quarterly filing reported approximately $317 million in cash after closing adjustments. These figures describe different stages of the transaction, not necessarily a contradiction: $308 million was the announced consideration, while approximately $317 million was the subsequent reported amount.

Why the deal mattered for Wi-Fi 6 and IoT

The strategic centerpiece was Redpine’s low-power Wi-Fi technology and intellectual property. Silicon Labs said the assets would help accelerate its Wi-Fi 6, also known as 802.11ax, silicon, software, and solutions roadmap. It also planned to bring Redpine products into its global sales and distribution network, extending their commercial reach. The rationale and roadmap claims were Silicon Labs’ stated expectations at announcement, rather than proof of later results. Silicon Labs’ March 2020 announcement outlines the stated strategy.

Bluetooth broadened the use cases

The transaction added Bluetooth Classic intellectual property, including Extended Data Rate (EDR). Silicon Labs connected that capability to audio-oriented IoT products such as wearables, hearables, voice assistants, and smart speakers.

Hyderabad added engineering capacity

The Hyderabad development center had approximately 200 employees, according to Silicon Labs’ completion release. The company described the multidisciplinary team as a way to expand research and development capacity in one of India’s engineering-rich regions.

What Silicon Labs expected financially

At the time of the March 2020 announcement, Silicon Labs projected approximately $20 million in annualized FY2020 revenue from the acquired business. It also expected the transaction to be accretive to non-GAAP earnings per share in the second half of 2021. Those were management projections, not reported outcomes; the announcement does not establish whether either target was ultimately achieved.

Silicon Labs framed the broader rationale as strengthening its IoT wireless technology position by combining connectivity IP and engineering talent with its existing product portfolio and worldwide sales channels.
