A secured non-convertible debenture (NCD) gives investors a claim supported by specified assets charged to a debenture trustee; an unsecured NCD has no such asset charge. Security can create an additional recovery route, but it does not make repayment certain. Recovery still depends on the charge being valid and enforceable, its rank against other claims, the assets’ value and liquidity when enforcement occurs, and the issuer’s ability to pay.
What an NCD is—and what “secured” actually describes
An NCD is a debt security that does not convert into the issuer’s equity. You lend money under the terms of a particular issue and receive interest according to the stated coupon or payment schedule, with principal due under the maturity and redemption terms.
The words secured and unsecured describe the legal and contractual backing disclosed for that issue. They are not a complete risk rating and do not replace an assessment of the issuer.
Secured NCD
A secured NCD is backed by a specified asset or pool of assets. The issuer creates a charge over those assets in favour of the debenture trustee, who holds and administers the security for the benefit of NCD holders. The offer document and trust deed should identify what is charged, how the charge ranks, the required security-cover level, and what happens if the issuer fails to comply.

Unsecured NCD
An unsecured NCD has no asset charge set aside for its holders. If the issuer defaults, investors rely on the issuer’s general repayment capacity and the legal claims available to creditors under the issue terms and applicable insolvency process. The absence of collateral does not by itself prove that an issue will default, just as collateral does not prove that a secured issue will be repaid in full.
The label applies to one issue, not an entire company
An issuer can have several NCD series with different security, ranking, maturity, coupons and covenants. Read the documents for the exact series you are considering. A company’s other secured borrowing, prior charges or consent requirements can affect the practical value of the security offered to your series.
How security can help—and why it cannot guarantee recovery
Security may improve the potential recovery route because specified assets can be identified and enforced against if the issuer defaults. That route works only if the charge was properly created and remains enforceable, the assets still exist and can be sold, and your series has an adequate position relative to other claimants.

- Validity and enforceability: required registrations, permissions, consents and documentation must be completed. A promised charge that was not properly created may not provide the expected protection.
- Value at enforcement: an asset’s market value can fall after the issue date. A valuation in the offer document is not a fixed cash amount.
- Liquidity and time: selling or otherwise realizing an asset can take time and may involve costs, disputes or a sale below an earlier valuation.
- Rank and competing claims: a prior or first-ranking charge may be paid ahead of a second-ranking or subordinated claim. Pari passu creditors generally share according to the applicable terms, but the exact legal result is issue-specific.
- Issuer cash flow: even with collateral, missed interest or principal can occur while enforcement or restructuring is under way.
A SEBI-hosted 2021 prospectus gives the limitation in unusually direct language: “While the NCD is secured as per terms of the Offer Document and charge is held in favour of the Debenture Trustee, the extent of recovery would depend upon realization of asset value and the Debenture Trustee in no way guarantees / assures full recovery / partial of either principal or interest.” This is a disclosure in that particular issuer prospectus, not a market-wide recovery statistic or a promise about every secured NCD.
The same prospectus describes trustee diligence covering asset encumbrances, valuation, required permissions or consents and relevant registrations. It also describes monitoring of security cover and notes that 100% recovery depends on the market scenario when enforcement occurs. Treat those statements as the terms and descriptions of that issue; another NCD can use different assets, ratios, reporting and enforcement provisions.

Secured and unsecured NCDs compared
| Factor | Secured NCD | Unsecured NCD |
|---|---|---|
| Backing | Specified present or future assets are charged for the benefit of holders through a debenture trustee, subject to the issue documents. | No asset charge is provided for the NCD holders; repayment depends on the issuer and applicable creditor remedies. |
| Potential recovery route | May include enforcement and realization of the charged assets, in addition to claims against the issuer. | Relies on the issuer’s repayment capacity and the claims available under the issue and applicable law. |
| Main uncertainties | Charge validity, rank, existing encumbrances, asset value, liquidity, enforcement costs and timing. | Issuer credit quality, cash available for repayment, creditor ranking and the outcome of any restructuring or insolvency process. |
| What must be verified | Asset identity, valuation, charge creation, rank, minimum cover, monitoring, consents and enforcement terms. | Issuer credit disclosures, rating, repayment capacity, maturity, coupon, default provisions and creditor rights. |
| Does the label promise full repayment? | No. Security does not assure full or partial recovery. | No. An unsecured issue has no collateral promise and still depends on the issuer and legal process. |
The table describes the usual distinction. The precise rights and priority of any series come from its offer document, trust deed and applicable rules.
Assess the issuer separately from the collateral
Collateral is only one part of the risk analysis. Review the issuer’s credit quality, repayment capacity, disclosed financial condition and the issue’s credit rating independently. A higher coupon can reflect greater perceived risk; it is not evidence that the collateral is sufficient or that the issue is attractive.
Credit rating is an opinion, not an insurance policy
A rating can help you compare the credit assessment assigned to different issues, but it does not guarantee repayment. Check the rating shown for the exact series, its date, outlook or watch status where disclosed, and any later update in the issuer’s filings. Do not substitute a rating for reading the security and default clauses.
A trustee appointment is not a repayment guarantee
The debenture trustee represents and administers security interests according to the trust deed and applicable requirements. Trustee diligence and monitoring can identify problems and support enforcement, but the trustee does not guarantee that principal or interest will be recovered.
Match the issue to your own cash needs
Consider whether you can hold the NCD until maturity, how you would respond to a missed payment, and how much loss or delay you could tolerate. Maturity, coupon, redemption structure and secondary-market liquidity matter alongside security. A secured issue that cannot be sold readily may still be unsuitable if you need cash before maturity.

How to check an NCD’s security before investing
Use the offer document and the trust deed for the exact series. Record the answers rather than relying on a headline such as “secured” or on a sales summary.
- Identify the charged assets. Write down each asset or asset pool, its location or description where provided, and whether the charge covers present assets, future assets or both.
- Check the charge type and rank. Look for first-ranking, second-ranking, pari passu, subordinated or other wording. Note which lenders or debenture series share the same assets and whether prior claims exist.
- Look for encumbrances and consents. The documents should disclose existing charges and any permission, registration or consent needed to create or maintain the NCD charge. Confirm whether those steps have been completed or have a stated deadline.
- Find the minimum security-cover requirement. Record the ratio or value required by the issue, what is included in the calculation, and what happens if cover falls below the required level.
- Read the valuation method. Identify who values the assets, how often valuations are updated, the valuation date, and whether the documents distinguish market value from forced-sale or realizable value.
- Check additional-encumbrance restrictions. Look for limits on creating new charges, selling charged assets or replacing collateral, together with the consent required for any exception.
- Review monitoring and reporting. Note how often the issuer must report cover, which information the trustee receives, and what investors can learn after issuance.
- Read the events of default. Include missed interest or principal, breach of security covenants, insolvency-related events and any cure periods. The trigger and notice requirements can differ by issue.
- Understand trustee powers and enforcement. Find the steps available after default, how notices are delivered, how assets may be enforced or sold, and how proceeds are distributed.
- Check the latest filing. Offer documents can be historical. Compare them with the issuer’s current disclosures and the latest applicable regulatory requirements before committing money.
Charge ranking: the detail that often matters most
First-ranking charge
A first-ranking charge generally places that secured claim ahead of later-ranking charges over the same asset, subject to the documents and applicable law. Verify whether another creditor already has a prior claim and whether the first-ranking description applies to every charged asset or only a defined pool.
Second-ranking charge
A second-ranking charge sits behind the prior charge over the same asset. If the asset’s realizable value is insufficient after the prior claim, little may remain for the second-ranking holders. The issue should disclose the prior lender, consent arrangements and the cover calculation.
Pari passu charge
Pari passu means claims share the stated ranking rather than one series automatically taking priority over another. Read the documents to see which creditors participate, whether sharing is limited to a particular asset pool, and how proceeds are allocated.
Subordination and other wording
“Subordinated” or similar language can place a claim behind specified creditors. Do not infer the practical priority from a single label; read the ranking clause, intercreditor arrangements and enforcement provisions. The precise insolvency priority and enforceability outcome remain issue-specific legal questions.

Security cover: what the ratio tells you—and what it does not
Security cover is a comparison between the value assigned to charged assets and the amount the documents require them to secure. A higher stated cover can provide a larger cushion on the issue date, but it is not cash in a bank account and does not remove market or enforcement risk.
- Cover can change when asset prices, exchange rates, receivables or other valuation inputs change.
- The ratio may use a specified valuation approach rather than the price you would obtain in a rapid sale.
- Only the assets and claims included by the documents count. An issuer’s total asset base is not automatically available to your NCD.
- Monitoring frequency and the remedy for a cover shortfall determine how quickly a deterioration can be detected and addressed.
Ask who performs the valuation and monitoring, when reports are due, whether the trustee can require additional security, and what restrictions apply to further borrowing or disposal of charged assets. The issue documents—not a generic industry convention—control the answer.
What happens if an NCD issuer defaults?
A default is a failure to perform a payment or another obligation defined in the issue documents. The practical sequence depends on the trigger, cure period, trustee powers, negotiations and applicable insolvency law.
- Identify the default and notice rules. Confirm which payment or covenant was missed and whether a notice or cure period applies.
- Check trustee communications. The trustee may report the event, communicate with holders, seek information and exercise powers set out in the trust deed.
- Review the security position. For a secured series, verify the charge status, current cover, competing claims and any required consents before assuming enforcement is available.
- Follow the stated enforcement or restructuring process. The documents may provide for negotiation, acceleration, enforcement, sale or another remedy. Timing is not fixed; disputes and legal proceedings can delay realization.
- Track distributions and shortfalls. Proceeds, if any, are applied according to the ranking and distribution provisions. Recovery can be partial, delayed or zero.
An unsecured holder does not have a designated asset pool to enforce. A secured holder may have that additional route, but the collateral can be overvalued, illiquid, already encumbered or difficult to realize. Neither category guarantees the return of principal or unpaid interest.

| Issuer and rating | Who is borrowing, what is the rating for this series, and what do the issuer’s current disclosures say about repayment capacity? |
| Collateral | What exact assets are charged, are future assets included, and is an independent valuation described? |
| Rank and encumbrances | Is the charge first-ranking, second-ranking, pari passu or subordinated? Which prior or shared claims exist? |
| Cover and monitoring | What minimum cover is required, how is it valued, how often is it checked, and what happens after a shortfall? |

| Cash-flow terms | What are the maturity, coupon, payment schedule and redemption terms? Can you tolerate a delay? |
| Liquidity | What exit options are disclosed, and could you hold the investment if a sale is difficult? |
| Personal fit | Does the potential return justify the credit, liquidity and recovery risk for your objectives and risk appetite? |
Do not let a higher advertised yield decide the comparison. Yield, security and credit risk must be considered together.
Common mistakes and how to avoid them
- Assuming “secured” means safe. Replace the label with a document check of assets, rank, cover and enforcement.
- Treating cover as guaranteed cash. Ask how the assets are valued and what could reduce proceeds at a forced or delayed sale.
- Ignoring prior claims. A valuable asset can still leave little for your series after a first-ranking lender is paid.
- Relying only on the rating. Read the issuer’s disclosures and the security terms for the exact issue.
- Assuming the trustee guarantees repayment. Trustee monitoring and powers support administration; they do not insure principal or interest.
- Using an old prospectus as a current promise. Re-check the issuer’s latest filings and the rules applicable when you invest.
- Buying without a cash plan. Consider maturity, secondary-market liquidity and your ability to withstand delayed recovery.
Regulatory and document context in India
This comparison is framed for Indian NCD investors and listed-debt disclosures. SEBI’s trustee framework and circulars address matters such as security creation and due diligence, while the issuer’s offer document and trust deed state the terms for a particular series. Regulatory material can change, and SEBI’s listings show later trustee-related developments after the 2020 and 2022 circulars cited for this subject. Check the current rules and the latest issue filings before investing.
SEBI investor guidance advises investors to “Read all the documents carefully before signing them.” It also says to match an investment to your objectives and risk appetite and notes that investors may consult a SEBI-registered investment adviser. Advice from a qualified professional can be useful when ranking, intercreditor or insolvency terms are difficult to interpret.
Questions to answer before placing an order
- Can I name the assets charged to this exact NCD series?
- What is the charge rank, and which claims come ahead of or share it?
- What minimum cover is promised, who monitors it and how often?
- Have registrations, permissions and consents needed for the charge been completed?
- What events of default and cure periods apply?
- What can the trustee do after default, and how are enforcement proceeds distributed?
- What do the issuer’s rating and current disclosures indicate about repayment capacity?
- Can I hold the NCD to maturity if the market is illiquid?
- Would a delayed, partial or zero recovery be within my risk tolerance?
Bottom line
Security can improve an NCD investor’s potential recovery route, but it is not a promise of repayment. Compare the issuer’s credit quality, the exact collateral and valuation, charge rank, encumbrances, security-cover monitoring, default remedies, maturity, liquidity and your own risk capacity. The offer document and trust deed—not the word “secured” or the size of the coupon—determine what protection you actually have.
