SEBI is reviewing India’s short-selling and securities lending and borrowing (SLB) framework, but it has not yet changed the rules. In remarks on 24 October 2026, chairman Tuhin Kanta Pandey linked the review to better liquidity and price discovery and outlined separate plans for a controlled AI sandbox and a corporate-bond market-making framework. Until formal amendments and effective dates are published, the existing requirements remain: naked short selling is prohibited, delivery obligations apply at settlement, and short positions must be disclosed and reported under the current framework.
What did SEBI announce on 24 October 2026?
The announcement combines market-deepening proposals with tighter technology and supervisory controls. SEBI is examining how short selling and SLB connect cash and derivatives markets, exploring a controlled environment for AI testing, and developing rules intended to improve secondary-market trading in corporate bonds.
These are work-in-progress initiatives. The published account does not provide final amendments, an implementation date, or operating specifications for the revised short-selling and SLB rules, the AI sandbox, or corporate-bond market making.
| Initiative | Objective | Mechanism | Main participants | Status and safeguards |
|---|---|---|---|---|
| Short selling and SLB review | Improve liquidity and price discovery | Possible redesign of the cash-market borrowing and selling framework | Short sellers, lenders, brokers and other market participants | Review only; current delivery, disclosure and reporting rules continue |
| AI sandbox | Let innovators test tools with regulatory certainty | Controlled testing with tiered controls | AI developers, regulated entities and supervisors | Planned; accountability, data controls, kill switches and human oversight are part of the reported design direction |
| Corporate-bond market making | Increase secondary-market trading and liquidity | Framework for dealers or other designated liquidity providers | Bond dealers, issuers and investors | Under development; quoting duties, incentives, instruments and launch date are not published |
What are the current short-selling rules in India?
The existing SEBI Trading Master Circular permits both retail and institutional investors to sell shares short, but it requires the seller to meet the delivery obligation at settlement. Naked short selling—selling without owning or arranging the securities needed for delivery—is prohibited under the cited framework.

Disclosure timing
- Institutional investors disclose a short sale when placing the order.
- Retail investors may disclose the short sale by the end of the trading day.
- Brokers report scrip-wise short positions to exchanges for public dissemination.
The October review does not by itself relax any of these obligations. A revised framework would require a formal SEBI amendment or other notified rule before those requirements changed.
How does securities lending and borrowing work under the present framework?
SLB allows one participant to lend securities while another borrows them, using an approved intermediary and an automated, screen-based order-matching platform. Borrowed shares can provide the securities needed for settlement when a participant has sold short.
Which securities qualify?
Derivative-eligible scrips can enter the SLB framework. A non-derivatives scrip must be a Group I security and meet both of SEBI’s published size tests:
- A market-wide position limit (MWPL) of at least Rs 100 crore.
- Average monthly cash-market turnover of at least Rs 100 crore during the previous six months.
Exchanges review the eligible list every six months, so eligibility can change as a security’s classification, position limit or turnover changes.

How long can an SLB contract run?
SEBI’s 2024 framework sets a maximum total contract duration of 12 months, including rollovers. The framework is open to all market participants through approved intermediaries rather than being limited to a particular investor category.
Will SEBI make short selling easier?
That outcome cannot yet be determined. SEBI says it is reviewing the rules to support liquidity and price discovery, but no proposed thresholds, eligible instruments, borrowing processes or investor protections have been released for the review.
The practical interpretation is that SEBI may be assessing whether the current cash-market and SLB plumbing gives market participants enough access to borrowable stock. Until a consultation, circular or amendment sets out the changes, investors and brokers must operate under the current framework described above.

The proposed sandbox is intended to give innovators a controlled place to test AI tools without removing regulatory safeguards. The reported design direction includes tiered controls based on risk, named accountability, data controls, emergency kill switches and human oversight.

SEBI’s approach follows the risk-management emphasis in the IOSCO toolkit. It also builds on SEBI’s consultation paper on responsible artificial-intelligence and machine-learning use in Indian securities markets, published on 20 June 2025.
Why the safeguards matter
Trading algorithms already influence a growing share of market activity, so a faulty model, cyber incident or service outage can affect many investors quickly. Pandey stated: “Algorithms now drive a growing share of trades. Artificial Intelligence is reshaping how people invest. Cyber-attacks grow sharper every year. A single outage can hurt thousands of investors within minutes. A single breach can shake trust across the system. So, treat cyber security as a business priority, not an IT expense. Test your systems. Plan for failure.”
The sandbox therefore is not a waiver from supervision. Its value would be a defined testing boundary in which developers and regulated firms can document data use, assign responsibility, stop a failing system and keep a human decision-maker in the loop.

SEBI is developing a framework to encourage more consistent secondary-market trading in corporate bonds. The available announcement does not yet specify who would be designated as a market maker, how often or how tightly firms would quote, what incentives they would receive, which bond categories would be covered, or when the framework would begin.

An August 2026 report placed this work alongside a planned SLB revamp, the Setu intermediary portal and a pilot for corporate-bond tokenisation using distributed-ledger technology. Those related projects provide context, not final operating rules for bond market makers.
Because the quoting and risk requirements are unpublished, investors should not assume that the proposal guarantees tighter spreads, continuous quotes or improved execution in every bond.
What other supervisory changes did SEBI mention?
The same October address covered a broad set of operational reforms:
- Safeguards against misuse of trading terminals.
- Graded broker compliance calibrated to firm scale, client exposure and reliance on technology.
- A consolidated inspection workflow.
- Simplified requirements for depository participants.
- A common submission platform for exchanges and depositories.
- Parallel-clearing work for tender offers, buybacks and offers for sale.
SEBI’s August 2026 context also described advanced analytics and AI/ML for detecting complex manipulation and network-based fraud, along with the SUPCOMS communications platform and an e-adjudication portal. Together, these measures pair proposals intended to deepen markets with stronger monitoring, reporting and resilience controls.

What should market participants do now?
- Continue following the current rulebook. Do not treat the review as permission for naked short selling or as a change to settlement obligations.
- Check SLB eligibility before planning a trade. Confirm that the scrip is on the exchange’s current list and meets the applicable Group I, MWPL and turnover criteria.
- Keep disclosure processes intact. Institutional orders, retail end-of-day declarations and broker scrip-wise reporting remain relevant until SEBI notifies otherwise.
- Track formal publications. A consultation paper, amendment, circular or implementation notice—not a speech alone—will establish any new effective date or operating requirement.
- For AI projects, design for controlled failure. Maintain clear ownership, data controls, human review and a tested stop mechanism if seeking to participate in a future sandbox.

Frequently Asked Questions
When will SEBI’s revised short-selling rules take effect?
No effective date or final rule text has been announced. The existing short-selling and SLB requirements remain operative until SEBI publishes a formal amendment or circular.
Can a retail investor use SLB before the review is finished?
Yes, access is available through approved intermediaries, subject to the intermediary’s offering and the exchange’s current eligible-scrip list. The security must satisfy the applicable eligibility conditions, and the contract remains subject to the 12-month maximum including rollovers.
What should an AI firm prepare before applying to a future SEBI sandbox?
A firm should be able to identify a responsible owner, document the data used by its model, define human-approval points and provide an emergency shutdown method. SEBI has not yet published an application form or acceptance criteria, so these are preparation priorities rather than announced filing requirements.
Does the corporate-bond proposal guarantee better prices for investors?
No. SEBI has not released quoting obligations, incentives or coverage rules, so the proposal does not establish a guaranteed spread, liquidity level or execution outcome. Those effects can be assessed only after the final framework is published and implemented.
