A real-estate wholesaling contract should identify the parties and property, set a workable purchase and closing process, state exactly whether the buyer may assign or novate the deal, and disclose the wholesaler’s compensation and lack of legal title when applicable. The contract must also fit the law of the property’s state. Rhode Island, Connecticut, Pennsylvania, Ohio and South Carolina now illustrate why a generic online form cannot be assumed compliant: some states require licenses, registration, special notices or cancellation periods, while South Carolina guidance says the practice commonly called wholesaling is prohibited under its revised law.
This is general information, not legal advice. Have a lawyer licensed where the property is located review the agreement before you sign, advertise, assign, novate or accept a fee.
How a wholesaling transaction works
In the usual structure, the property owner signs a purchase agreement with a wholesaler. The wholesaler obtains contractual rights but does not yet take legal title. Before the closing date, the wholesaler either assigns those rights to an end buyer for a fee or replaces the original agreement with a novation that substitutes the end buyer and changes the parties’ obligations. The end buyer then closes with the seller, or the wholesaler closes first and resells the property in a double closing.

An assignment transfers the wholesaler’s contractual rights and obligations to an assignee. Unless the agreement or state law says otherwise, the original wholesaler can remain liable if the assignee fails to perform. A novation is a new agreement that substitutes the end buyer and generally releases the original buyer only when the seller agrees to the substitution and release. The distinction affects consent, liability, closing control and the risk of being left responsible for a failed deal.

The wholesaler’s compensation is commonly an assignment fee, but the amount, payer, payment time and conditions should be written into the transaction documents. A fee is not a substitute for required disclosure: a seller should know that the buyer may profit by transferring the contract and whether that buyer holds legal title.
Clauses every wholesale purchase agreement should address
Use the following as a drafting checklist, then adapt it to the state statute, the property and the chosen exit strategy.
| Contract area | What to state | Why it matters |
|---|---|---|
| Parties and authority | Full legal names, addresses, phone or email details, and each signing entity’s exact legal name. Identify the person authorized to bind an LLC, trust or corporation. | Prevents uncertainty about who owns the rights and who can enforce or be sued under the agreement. |
| Property identity | Street address, parcel or legal description, included fixtures and personal property, and the property’s condition and access arrangements. | A legal description and an inventory of included items reduce disputes over what is being purchased. |
| Price and deposits | Purchase price, earnest-money amount, deposit holder, delivery deadline, payment method and responsibility for bank, escrow or other transaction costs. | Defines when the contract becomes at risk and who controls funds if the deal fails. |
| Closing mechanics | Closing date, closing attorney, title company or escrow agent, possession date, prorations, required recording and the documents each party must deliver. | Gives the assignment or novation a realistic path to closing instead of leaving timing to assumptions. |
| Contingencies | Inspection, access, financing, title, feasibility and any other termination conditions, with deadlines and notice procedures. | Protects the buyer from defects while making clear when a contingency expires and how it may be exercised. |
| Transfer and marketing rights | Whether assignment, novation or another transfer is permitted; whether seller consent is required; whether the buyer may market the contractual interest; and any limits on advertising. | A non-assignment clause or missing consent can block the intended exit. Marketing rights may also be regulated separately from assignment rights. |
| Compensation | Assignment fee or other consideration, the person responsible for paying it, when it is earned, where it is shown on the settlement statement and what happens if closing does not occur. | Prevents a dispute over a fee that was discussed orally but never became payable under the contract. |
| Default and remedies | Notice, cure period, liquidated damages if lawful, deposit treatment, dispute-resolution method and attorney-fee allocation. | Sets a predictable response when the seller, wholesaler or end buyer does not perform. |
| Disclosures | Required wholesaling, agency, representation, property-condition and lead-paint disclosures, plus any statutory cancellation or adviser-review notice. | Omissions can create rescission rights, damages or regulatory exposure. |
| Execution and delivery | Signature blocks, printed names, dates, entity capacity and the permitted delivery method for notices and signed copies. | Supports proof that the agreement was executed by the correct parties and delivered on time. |
Assignment language
The clause should say plainly whether the buyer may assign all or part of its interest, whether the seller’s written consent is needed, and whether consent may be withheld. It should also address the original buyer’s continuing liability after assignment. If the seller must approve the end buyer, specify the approval process and deadline. A statement that the wholesaler may market or sell the contractual interest should be coordinated with the disclosure section and state law.

Novation language
A novation should identify the incoming buyer, the obligations being assumed, the seller’s consent and the point at which the original buyer is released. Do not label a document an assignment if it is intended to release the wholesaler and substitute a new buyer; that result usually requires a novation or a separate written release.

Deposit and failure language
State who holds earnest money, when it is refundable, how competing claims are handled and whether the wholesaler may use the deposit as liquidated damages. The agreement should distinguish a seller default, a wholesaler default and an end-buyer default. An end buyer’s failure to close may leave the wholesaler liable to the seller, especially where the seller never released the original buyer.
Assignment, novation or direct purchase: compare the actual risk
| Question | Assignment | Novation | Direct purchase |
|---|---|---|---|
| Does the wholesaler take legal title? | No; contractual rights are transferred before title usually passes. | No, if substitution occurs before closing. | Yes, at the wholesaler’s closing, followed by a resale if desired. |
| Is seller consent needed? | Only if the contract or applicable law requires it, but the agreement must be checked before marketing. | Yes, because the seller agrees to substitute the buyer and generally release the original buyer. | The seller consents to the original sale; no assignment is needed. |
| Who controls the closing? | The seller and assignee close under the assigned contract; the wholesaler may have limited control. | The new agreement defines control and obligations after substitution. | The wholesaler controls the first closing but must fund it and carry ownership risk. |
| Primary exposure | Original-buyer liability, deposit loss and an assignee who fails to perform. | Incomplete releases, renegotiated terms and a seller who refuses substitution. | Financing, carrying costs, title defects and resale-price risk. |
State law is the first comparison axis. A structure that is lawful in one state may require registration or a license in another, and a state may prohibit marketing a contractual interest before legal ownership.
State rules that materially change the contract
Rhode Island
Rhode Island’s 2026 law requires a valid real-estate license or an applicable exemption before entering a wholesale or assignment contract. Before entering the purchase contract, the wholesaler must disclose in writing that the contract may be assigned to another person for a fee, compensation or other valuable consideration. The law also gives the seller a three-day attorney or adviser review and cancellation period. The form, delivery method and timing should be checked with Rhode Island counsel rather than copied from a different state.
Connecticut
Connecticut requirements effective July 1, 2026 include wholesaler registration and contract provisions. The contract must disclose that the wholesaler holds an equitable interest but does not hold legal title. Connecticut also requires review and cancellation language for sellers and buyers. Sellers remain responsible for applicable property-condition and federal or state lead-paint disclosures; using a wholesaler form does not transfer those duties.

Pennsylvania
Pennsylvania’s 2024 law treats wholesaling as licensed real-estate activity. A wholesale agreement must prominently state that the transaction is wholesale and that the licensee intends to assign, sell or otherwise transfer the interest for a fee. The statute provides consumer protections involving appraisal, consultation with an independent licensee and access to legal counsel. The contract should use the required wording and forms for the specific transaction.
Ohio
Ohio’s residential-wholesaler chapter took effect March 2, 2026. It separately regulates assignments and novations made without taking title. Confirm whether the proposed activity falls within the chapter’s definition and what disclosures, registration or contract language apply before soliciting sellers or buyers.
South Carolina
South Carolina regulator guidance on the 2024 statutory revision says the practice commonly known as wholesaling is prohibited, describing the prohibited conduct as marketing the property for sale to a different buyer before taking legal ownership for compensation. Do not assume an assignment clause makes the transaction lawful there; obtain a state-specific opinion before proceeding.
Common risks and how to reduce them
Unlicensed brokerage or registration failure
Advertising another person’s property or negotiating for compensation can be treated as licensed activity. Rhode Island requires a license or exemption, Pennsylvania identifies wholesaling as licensed activity, and Connecticut has a registration regime effective July 1, 2026. Verify the property state’s current rule before signing or marketing, and document any exemption relied upon.

Hidden profit or title status
A seller who believes the wholesaler will buy and hold the property may make a different decision than a seller who knows the contract will be assigned for a fee. Disclose the possible assignment, the compensation structure and the fact that the wholesaler does not hold legal title when that is true. Connecticut, Rhode Island and Pennsylvania expressly address these points.
Missed review or cancellation periods
Rhode Island and Connecticut provide three-business-day review or cancellation rights in the circumstances described by their statutes, while Pennsylvania supplies other statutory protections. Use the required notice, place it where the statute requires and calculate the deadline from the legally defined delivery event. A contract that omits the notice may remain vulnerable even when every business term is accurate.
Non-assignment clauses and consent problems
Read the entire purchase agreement for language that prohibits assignment, requires seller consent or restricts marketing. Ask the seller for written consent before advertising if consent is required. If consent is refused, do not market the interest as though the clause did not exist; renegotiate, use a lawful alternative such as a novation, or terminate under an available contingency.
Property and lead-paint disclosures
Wholesaling does not erase the seller’s disclosure obligations. Confirm which party must deliver property-condition statements and federal or state lead-paint disclosures, and attach or reference them in the closing file. Missing disclosures can lead to rescission, damages and regulatory action.

Title, escrow and closing failures
Order a title search early through a qualified title company or closing attorney. Define how liens, probate issues, unpaid taxes, survey problems and recording defects are handled. Keep earnest money with the identified deposit holder and specify written instructions for release. If the end buyer fails to close, the wholesaler may still face the seller’s remedies, so the end-buyer agreement should mirror critical dates, contingencies and default obligations.
Misleading marketing and vulnerable sellers
Marketing should not imply that the wholesaler owns the property or that a particular resale price is guaranteed. Give the seller time to understand the assignment structure and recommend independent legal advice where the transaction is complex, urgent or involves a vulnerable owner. A clear written explanation is safer than relying on a short label such as “cash buyer.”
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.A practical signing and assignment sequence
- Identify the governing law. Use the property’s state, not the wholesaler’s home state, as the starting point. Check licensing, registration, prohibited conduct, disclosure and cancellation requirements.
- Verify the parties and property. Match names to public records, confirm entity authority, obtain the legal description and list fixtures and personal property.
- Build the purchase agreement. Insert price, deposit, closing logistics, contingencies, access rights, default remedies and every required disclosure.
- Decide the exit before signing. Choose assignment, novation or direct purchase. Resolve any consent requirement and state whether marketing the contractual interest is permitted.
- Deliver notices correctly. Provide statutory disclosures and cancellation or adviser-review notices using the required form, timing and delivery method. Retain proof of delivery.
- Open title and escrow. Send the executed contract to the closing professional, confirm deposit instructions and investigate title or lien issues before the contingency deadlines expire.
- Document the end-buyer transaction. Use a written assignment or novation identifying the incoming buyer, fee, assumption of obligations, closing date and any release of the wholesaler.
- Confirm settlement figures. Make sure the fee, deposit credits, prorations, payoff amounts and recording charges appear consistently on the settlement statement.
- Handle failure in writing. Send notices within the contract’s cure periods, follow the deposit-release procedure and obtain legal advice before declaring a forfeiture or pursuing damages.
Questions to resolve before signing
- Does the state permit this structure, and is a license or registration required?
- May the contract be assigned, or is seller consent required?
- Will the seller receive a prominent written disclosure of the assignment and fee?
- Does the wholesaler remain liable after assignment, or is a novation and release available?
- Who holds earnest money, and what happens if the end buyer or seller defaults?
- Which inspection, title, financing and feasibility deadlines protect the buyer?
- Who supplies property-condition and lead-paint disclosures?
- Has a local attorney reviewed the exact form and statutory notices?
There is no authoritative nationwide statistic establishing typical wholesale-contract failure rates, fraud rates or average assignment fees. Treat claims about “normal” fees or success rates as unverified unless they identify a reliable, applicable study.
