Neither the publisher nor the developer automatically wins control when one files bankruptcy. The controlling answer comes from the signed development or publishing agreement, the ownership of each component of the game, the law governing that agreement, the Bankruptcy Code treatment of any unexpired contract, and the terms of a court-approved sale or assignment.

A developer might own the copyright but have granted a publisher exclusive rights to distribute and monetize the game. A publisher might own the game outright, particularly when it commissioned the work or used its own licensed property. A bankruptcy purchaser receives only the assets and contract rights that the debtor owned and the court authorized it to transfer.

Ownership and control are different legal questions

“Who owns the game?” and “Who can exploit the game?” are often answered by different documents and different clauses. Copyright ownership is one bundle of rights. A publishing agreement can grant another party exclusive authority to reproduce, market, distribute, license, patch, or sell the game without transferring the underlying copyright.

Question What determines the answer Why it may differ from ownership
Who owns the source code and artwork? Copyright assignments, work-for-hire language, and the law governing authorship A licensee can receive operating rights without becoming the copyright owner
Who may sell existing copies? The distribution or publishing grant, territory, platform, and term An exclusive distribution right can continue even when the licensor retains title
Who may release patches? Development, support, source-code access, and update clauses The party that owns the copyright may lack the practical right or files needed to update the game
Who may make a sequel or derivative work? Sequel, derivative-work, and exclusivity provisions A publisher’s right to exploit the original may not include future games
Who may use the trademarks? Trademark ownership and the license’s permitted uses Trademark rights can be separately owned, licensed, or limited by territory and product
Who may operate online services? Server, player-data, payment, and live-service provisions Operational control can depend on infrastructure and data rights rather than copyright alone

The Fifth Circuit’s decision in TimeGate Studios v. Southpeak illustrates this split. The publisher funded development and was responsible for manufacturing, marketing, distribution, and sales, while the agreement separately identified the developer as owner of the game’s intellectual-property rights and granted the publisher specified exclusive rights and remedies. That structure is possible because ownership and exploitation are distinct contractual bundles.

The contract usually sets the starting position

When the developer retains ownership

Many agreements leave copyright in the studio and give the publisher an exclusive license. The license may cover particular platforms, countries, languages, or a fixed term. It may also authorize sublicensing, physical manufacturing, digital distribution, advertising, customer support, or downloadable content. The developer can therefore remain the owner while the publisher is the only party allowed to release and sell the game during the licensed period.

Read the grant clause together with the definition of “game,” “products,” or “intellectual property.” A grant limited to the original title may not include expansions, ports, remakes, sequels, or a later virtual-reality version. A clause covering “all media now known or later developed” is materially broader. A separate trademark license may be needed even when the copyright license is broad.

When the publisher owns the game

The World Intellectual Property Organization (WIPO) states in its 2014 guide: “In a situation where the publisher hires a developer to create a game based on a publisher’s original concept or licensed property, the publisher, and not the developer, will own the intellectual property rights to the game in the vast majority of situations.”

That result normally depends on an assignment or a valid work-for-hire arrangement, not merely on who paid the invoices. Work-for-hire rules are jurisdiction-specific. Under U.S. law, a qualifying commissioned work can be treated as made for hire when statutory conditions and contract language are satisfied. Countries such as France and Germany generally recognize the natural-person creators as authors and owners unless a different legal or contractual result applies. The governing-law and forum clauses therefore matter before anyone assumes that “the publisher paid” settles ownership.

Third-party components complicate the picture

A game can contain middleware, music, fonts, voice performances, licensed characters, and outsourced art. The studio or publisher may own its original code while holding only a license to a third-party engine or soundtrack. Those licenses can have their own termination, assignment, platform, and bankruptcy provisions. Player accounts and personal data may be subject to privacy and consumer-protection rules that are separate from copyright ownership.

What bankruptcy changes—and what it does not

Bankruptcy changes who administers the debtor’s property and contracts. It does not, by itself, rewrite the original ownership allocation. If the publisher files Chapter 11, its owned copyrights, trademarks, source materials, receivables, and contract rights become estate assets subject to the bankruptcy process. If the developer files, the developer’s copyrights and contractual claims are administered instead.

Is the agreement executory?

An unexpired development or publishing agreement may be an “executory contract,” meaning material obligations remain on both sides. The 4Kids decision treated a 2008 licensing agreement as executory after the Chapter 11 filing. The debtor, usually through a debtor-in-possession or trustee, must decide whether to seek assumption, rejection, or an assignment approved by the bankruptcy court.

Bankruptcy action Practical effect on a game agreement What it does not automatically do
Assumption The debtor keeps the contract and generally must cure defaults and provide adequate assurance of future performance It does not transfer ownership to the other party
Assignment The debtor transfers the assumed contract to a purchaser or another party under court-approved terms It does not give the assignee broader rights than the contract and order allow
Rejection The estate treats the contract as breached, subject to the counterparty’s bankruptcy claim It is not automatically a rescission that erases every license right
Sale of assets The court may authorize transfer of owned copyrights, trademarks, source materials, or other assets A buyer cannot sell rights the debtor never owned

The petition date is important because it fixes the status of the agreement for many bankruptcy questions. A contract that had already expired, been terminated under applicable law, or been fully performed may be treated differently from an agreement still requiring development, payments, approvals, or support.

Section 365(n) can protect a game license after rejection

Rejection is a breach by the bankruptcy estate; it does not necessarily end a qualifying intellectual-property license. Section 365(n) of the Bankruptcy Code allows an eligible licensee to elect to retain specified licensed rights after rejection, provided the licensee continues the contractual performance required by the statute and agreement.

The protection is most relevant when a publisher licensed technology or game rights from a developer that later filed bankruptcy, or when a developer licensed a publisher’s property. A Take-Two agreement filed with the U.S. Securities and Exchange Commission illustrates the contractual language commonly used: after rejection, the licensee may elect to retain rights under section 365(n), subject to continuing payments and other obligations.

What the election can preserve

  • The rights actually granted in the license, such as reproduction, distribution, or use within the stated field.
  • Rights for the licensed term and territory, rather than an automatic perpetual ownership interest.
  • Ancillary rights that are part of the license, when the contract and statute support them.

What section 365(n) does not provide

  • It does not turn a licensee into the copyright owner.
  • It does not create sequel, remake, platform, territory, or sublicensing rights that the contract never granted.
  • It does not eliminate royalty, reporting, support, or other continuing obligations.
  • It does not guarantee access to source code or servers unless those rights were licensed or otherwise protected.
  • It does not resolve every dispute over whether an agreement is an intellectual-property license covered by the statute.

The licensee must make the election in the bankruptcy case and comply with applicable deadlines and procedures. A company that stops paying or otherwise abandons its own performance can jeopardize the practical value of the protection. Because the statute’s definition of protected intellectual property and the contract’s characterization both matter, counsel should review the actual agreement and docket rather than rely on the word “license” in a marketing description.

Can a developer take the game back after the publisher files Chapter 11?

Sometimes, but not simply because a filing occurred. The result depends on the developer’s retained ownership, termination and reversion clauses, the status of the publishing grant, and the bankruptcy court’s treatment of the agreement.

Developer-owned copyright with an exclusive publishing license

If the developer owns the copyright and the publisher holds a limited or terminable license, the developer may regain practical control when the license expires or is validly terminated. A bankruptcy filing alone may not trigger termination; many contracts restrict termination based solely on insolvency, and bankruptcy law can limit enforcement of ipso facto clauses. The developer should identify a separate uncured payment default, missed milestone, failure to release, or other contractual trigger.

Publisher-owned copyright

If the publisher owns the copyright through assignment or a valid work-for-hire arrangement, the developer generally cannot reclaim the game merely because the publisher shuts down. The developer may have a damages claim, a royalty claim, or rights under a separate development agreement, but those claims do not automatically restore copyright title.

Rejected agreement with a protected license

If the publisher is the licensee and the developer rejects the agreement, section 365(n) may let the publisher continue using the licensed rights. If the publisher is the debtor and rejects a developer’s license, the developer may have its own statutory election or other contractual remedies. The election preserves the bargain’s licensed scope; it does not rewrite the deal in favor of the nondebtor.

What a bankruptcy buyer can acquire

A buyer can purchase a valuable game catalog, but the package must be defined precisely. A court-approved sale may include owned copyrights, trademarks, domain names, source repositories, physical inventory, customer contracts, and assumed publishing or development agreements. The buyer receives only the rights transferred in the sale documents and any attached schedules.

The New York City Bar explains that courts analyze the “bundles of rights” transferred in an intellectual-property transaction, including exclusivity and the right to use, rather than assuming that a license equals ownership. That approach matters when a buyer claims it can relaunch a title, create a sequel, or sublicense the game.

Assignment restrictions and consent

Many contracts restrict assignment, require the other party’s consent, or make performance personal to a particular studio or creative team. Bankruptcy law can permit assignment of an assumed contract in some circumstances, but the buyer still must satisfy statutory requirements and the sale order. A personal-services obligation, key-person approval, or non-assignment clause can affect whether the agreement is transferable and what cure payments are required.

The sale order is part of the answer

Read the notice of sale, asset purchase agreement, assumption-and-assignment schedule, cure statement, and final sale order. The order may identify which contracts are assumed, which are rejected, what defaults must be cured, and whether the purchaser receives source materials, trademarks, online-service infrastructure, or only a limited catalog. A press release saying that a buyer acquired “the franchise” is not a substitute for those documents.

How to analyze a particular game

  1. Map every component. List the game code, art, music, writing, characters, trademarks, engine or middleware, localization, user interface, server software, and player data. Record who created or supplied each item.
  2. Collect the complete contract set. Obtain the development agreement, publishing agreement, amendments, side letters, work-for-hire instruments, copyright assignments, trademark licenses, distribution agreements, and source-code escrow terms. Schedules and exhibits often contain the actual grant.
  3. Mark ownership clauses. Identify language covering “work made for hire,” present assignment, further assurances, joint ownership, retained tools, background technology, and third-party materials.
  4. Mark exploitation rights. For each party, record permission to publish, distribute, patch, monetize, advertise, sublicense, port, localize, operate servers, collect revenue, access source code, and make downloadable content, remakes, or sequels.
  5. Chart limits. Note exclusivity, territory, platform, language, term, release windows, minimum guarantees, milestones, approval rights, and reversion events. A right that is exclusive for five years in North America is not the same as perpetual worldwide ownership.
  6. Identify the debtor and petition date. Confirm whether the publisher, developer, parent company, or a special-purpose affiliate filed, and whether the agreement was still executory on that date.
  7. Check the bankruptcy docket. Look for motions and orders concerning assumption, rejection, assignment, sale, licensing, cure amounts, and section 365(n) elections. The plan of reorganization or confirmation order may add further terms.
  8. Test assignment and consent issues. Review non-assignment clauses, personal-service provisions, change-of-control language, consent rights, and whether the proposed buyer can perform the obligations.
  9. Separate legal rights from practical control. Determine who has the repository, build pipeline, signing keys, payment accounts, servers, customer-support tools, and platform relationships. Possession may affect the ability to operate the game, but it does not by itself establish ownership.

Compare the rights that matter in practice

Dimension Developer-favorable position Publisher- or buyer-favorable position Question to verify
Ownership Developer retains copyright and grants a license Publisher receives assignment or valid work-for-hire ownership Who is named as owner, and is the assignment signed?
Exclusivity Nonexclusive license lets the owner work with others Exclusive license blocks competing exploitation in the field Exclusive for which products, platforms, and territories?
Duration Short term or release-based license can revert Perpetual or long-term grant survives ordinary business closure What event ends the term, and is there a reversion?
Assignment Personal or consent-based contract limits a buyer’s transfer Assignable agreement supports a catalog sale Can the debtor assign, and what cure or consent is required?
Territory and platform Rights limited to named countries or systems Worldwide, all-platform grant supports a broad relaunch Are cloud, mobile, console, subscription, and future platforms included?
Bankruptcy protection Nondebtor licensee can elect section 365(n) protection if eligible Debtor or buyer must honor only the rights and obligations actually transferred Is the contract a qualifying IP license, and was an election made?

Common mistakes that produce the wrong answer

  • Assuming the funder owns everything. Payment, marketing, or distribution work does not replace an ownership clause.
  • Assuming copyright ownership means operational control. An exclusive license can leave the owner unable to publish during the licensed term.
  • Treating rejection as cancellation. Rejection is a bankruptcy breach; section 365(n) may preserve a qualifying license.
  • Ignoring separate assets. Trademarks, music, middleware, servers, and player data may follow different ownership and licensing rules.
  • Relying on a sale announcement. Only the filed sale and assignment documents establish what the purchaser received.
  • Applying U.S. assumptions globally. Authorship and work-for-hire rules vary, particularly in civil-law jurisdictions.
  • Confusing a damages claim with a right to take the game. A rejected contract can create a bankruptcy claim without restoring copyright or possession.

U.S.-oriented scope and timing

This framework is general information about U.S. bankruptcy and intellectual-property concepts, not a case-specific legal opinion. Bankruptcy dockets, sale orders, assignments, and appellate precedent should be checked again for the named game or company. The legal result can change with the governing law, the place of filing, the contract version, and the exact court order. A party deciding whether to keep operating, terminate, bid for assets, or elect section 365(n) protection should have counsel review the agreement and docket before taking action.
