Pakistan’s telecom regulators have approved PTCL’s acquisition of Telenor Pakistan and Orion Towers, followed by the proposed integration of Telenor Pakistan into PTCL’s mobile operator, Ufone. The approvals are conditional and do not mean the companies’ networks have already been combined. Pakistan’s 5G spectrum auction was a separate process: it took place on 10 March 2026, before PTA approved the amalgamation.

What did PTA clear?

The transaction has several distinct regulatory milestones. The Competition Commission of Pakistan (CCP) approved PTCL’s acquisition of 100% of Telenor Pakistan and Orion Towers on 1 October 2025, subject to conditions intended to preserve competition and protect consumers. PTA later approved the proposed amalgamation of Telenor Pakistan and Pak Telecom Mobile Limited (PTML), the company operating as Ufone, on 19 March 2026. That approval was conditional on PTCL unconditionally accepting PTA’s terms. PTCL disclosed that PTA issued a no-objection certificate on 2 April 2026 for consolidation, license transfers and the amalgamation.

In practical terms, PTCL acquired Telenor Pakistan and Orion Towers, with regulatory approval subsequently given for Telenor Pakistan’s integration into PTML/Ufone. The approvals are not evidence that every legal or operational step has been completed, nor that the two mobile networks are already operating as one.

How does the deal relate to the 5G auction?

The transaction and the auction are connected strategically, not as parts of the same regulatory decision. The auction allocated radio spectrum to mobile operators; the acquisition approvals govern ownership and the proposed integration of Telenor Pakistan with Ufone. PTA did not sell Telenor’s spectrum as part of the acquisition.

The timing matters: Pakistan held its NGMS/5G spectrum auction on 10 March 2026, nine days before PTA’s amalgamation approval. PTCL/Ufone can plan with a larger mobile footprint and the spectrum allocated to Ufone, but the acquisition itself did not create or authorize the auction. Government and PTA statements described the auction as enabling phased 5G deployment, starting in selected cities and expanding over time.

What happened in Pakistan’s 5G spectrum auction?

On 10 March 2026, Pakistan offered 597.2 MHz across the 700, 1800, 2100, 2300, 2600 and 3500 MHz bands. Three operators participated, and 480 MHz was sold. The reported total proceeds were US$509.6 million, approximately Rs142.6 billion, according to PTA figures reported by the Associated Press of Pakistan in 2026.

The assignment-stage report of 13 March 2026 also said that 60 MHz in the 3500 MHz band remained unsold. The listed 2600 MHz and 3500 MHz assignments are band-specific details; they do not describe each operator’s entire spectrum holding. The auction offered six bands, and the cited assignment figures do not provide a full band-by-band breakdown for every award.

What competition safeguards apply to the acquisition?

CCP’s approval is conditional oversight, not unrestricted permission to combine the businesses without continuing obligations. Its conditions are intended to limit the risk that the enlarged group could disadvantage rivals or consumers:

  • PTCL and Telenor Pakistan must maintain separate boards and independent management.
  • Interconnection and infrastructure access must be provided on a non-discriminatory basis.
  • PTA approval is required for reference interconnection offers and specified wholesale pricing.
  • The companies face restrictions on cross-subsidization and predatory retail pricing.
  • They must comply with service-quality and consumer-protection requirements and demonstrate that claimed efficiencies reach consumers.
  • Future violations may lead to a divestiture remedy.

These obligations are meant to preserve fair access and constrain conduct that could undermine competition as integration proceeds. They do not guarantee a particular retail price, coverage level or service quality.

Will customers get faster internet or 5G immediately?

No immediate nationwide improvement follows automatically from either regulatory clearance or a spectrum award. Spectrum gives operators capacity and the ability to plan deployments; customer experience also depends on network construction, backhaul, tower fiberization, power availability, compatible devices and how quickly each operator builds out service.

A National Assembly committee reported that available spectrum increased from 274 MHz to 754 MHz after the auction. The same committee cited slow internet, call failures and electricity load-shedding affecting telecom infrastructure. More spectrum can help relieve capacity constraints, but it cannot by itself fix power interruptions, weak backhaul or other network bottlenecks.

The available statements point to phased deployment beginning in selected cities, but they do not establish a definitive nationwide commercial 5G launch date or measured nationwide improvement in consumer speeds. Coverage, service quality and timing will vary by operator and location; without operator or PTA measurements, the spectrum totals alone cannot establish what speeds a customer will receive.

How should consumers judge what changes next?

For Ufone and Telenor customers, the approvals make integration possible under regulatory conditions; they do not by themselves confirm a specific change to plans, coverage, SIMs or network access. For people comparing operators’ 5G prospects, spectrum quantity is only one part of the picture. Useful indicators include:

  • Where service is actually available: look for operator coverage information for your city and neighborhood, rather than assuming a national rollout from an auction result.
  • Deployment and network readiness: tower upgrades, fiberized backhaul and reliable power affect whether additional spectrum can be used effectively.
  • Your device: a handset must support the relevant operator bands and 5G service to use a 5G network where it is deployed.
  • Measured service quality: real coverage, speeds, call reliability and congestion matter more to a customer than an operator’s total MHz award. The auction figures do not supply consumer speed or coverage measurements.
  • Competition and consumer protections: the CCP conditions constrain certain conduct, while actual prices and service outcomes still need to be assessed as they emerge.
