Philips kündigte im Dezember 2002 die Übernahme des Dresdner Halbleiterunternehmens Systemonic an und schloss sie laut späterem Geschäftsbericht bereits am 31. Dezember 2002 ab. Systemonic brachte eine rekonfigurierbare, softwareprogrammierbare DSP-Architektur sowie WLAN-Technik für 802.11a/b/g ein. Philips wollte diese Technologie in seine Nexperia-System-on-Chip-Plattform integrieren und damit unter anderem Heim- und Unternehmens-Gateways für das vernetzte Zuhause unterstützen.

Was war Systemonic?

Systemonic war ein 1999 gegründetes Dresdner Halbleiter- und Systemtechnikunternehmen sowie eine Ausgründung der TU Dresden. Als Mitgründer nennt die Hochschule Professor Gerhard Fettweis. Zum Zeitpunkt der Übernahme beschäftigte das Unternehmen nach einer zeitgenössischen Schätzung rund 90 Menschen.

Der technische Schwerpunkt lag auf einer rekonfigurierbaren und per Software programmierbaren Digital-Signalprozessor-Architektur (DSP). Sie war für WLAN-Basisbandverarbeitung und System-on-Chip-Anwendungen gedacht. Ein solcher Ansatz sollte es erleichtern, die Implementierung an die Weiterentwicklung von Funkstandards anzupassen, statt für jede Änderung eine vollständig neue Hardwarearchitektur zu benötigen.

Warum wollte Philips Systemonic übernehmen?

Philips sah in Systemonics Technik eine Ergänzung für seine Nexperia-SoC-Plattform und die Strategie des „Connected Home“. Die damaligen Mitteilungen nannten leistungsfähige drahtlose Verbindungen sowie Heim- und Unternehmens-Gateways als mögliche Einsatzfelder.

Paul Marino, General Manager der Connectivity Business Unit von Philips Semiconductors, beschrieb die Architektur als „reconfigurable and software-programmable computing architecture“, die geeignet sei, der Entwicklung von Standards zu folgen. Phil Pollok aus der Emerging Businesses Unit bezeichnete die Übernahme als Ergänzung zu Philips’ Vision des „connected home“.

Diese Aussagen erklären die strategische Logik der Transaktion. Sie belegen jedoch nicht, welche konkreten späteren Serienprodukte tatsächlich auf dieser Technik beruhten.

Wann wurde die Übernahme abgeschlossen?

19. Dezember 2002 EE Times berichtet über Philips’ Übernahmeabsicht; als erwarteter Abschluss wird das erste Quartal 2003 genannt.
20. Dezember 2002 EDN meldet eine definitive Vereinbarung und ebenfalls einen erwarteten Abschluss im ersten Quartal 2003. Finanzielle Bedingungen werden nicht offengelegt.
31. Dezember 2002 Philips weist im späteren Geschäftsbericht den tatsächlichen Abschluss der Akquisition aus.

Damit war die Ankündigung keine reine Absichtserklärung: Der von Philips ausgewiesene Vollzug erfolgte noch 2002 und damit früher als in den zeitgenössischen Prognosen erwartet.
