How the bidding progressed
March 2015: Uphill’s initial agreement
ISSI signed a merger agreement with Uphill on March 12, 2015, for $19.25 per share in cash. ISSI’s definitive proxy said that price represented approximately a 16.2% premium to the company’s closing share price on March 11, 2015; that percentage is tied to that specific reference date and should not be generalized to other valuation comparisons.
ISSI considers Cypress proposals
After Cypress submitted competing proposals, ISSI amended the Uphill agreement while evaluating whether Cypress’s terms constituted a superior proposal. The successive amendments raised Uphill’s consideration.

June 23: Uphill reaches $23.00
On June 23, ISSI announced that Uphill had increased its cash consideration to $23.00 per share, up from $22.00 under the immediately preceding amended agreement. The board continued to recommend the Uphill transaction.
June 26: Cypress makes its best-and-final offer
On June 26, ISSI reported Cypress’s best-and-final proposal: $22.60 per share, plus a potential ticking fee of $0.10 per share for each additional three-month period needed to obtain regulatory approval, capped at $0.20 per share. ISSI’s board said that, after considering the expected value of that fee, Cypress’s proposal still fell below Uphill’s $23.00-per-share cash offer and was not a superior proposal under the merger agreement.

Why Cypress lost
The immediate reason was price and deal comparison. Cypress’s final headline price was $0.40 per share below Uphill’s, and the possible ticking fee did not, in the board’s analysis, close the gap. Uphill therefore remained the agreement ISSI recommended.
Jim Handy, principal analyst at Objective Analysis, told EE Times that “It was definitely an auction.” He characterized the result as “a tempest in a teapot,” while also observing that the bidding process produced a better price for ISSI shareholders than the parties’ initial arrangement.

What might have attracted Cypress?
EE Times reported Handy’s theory that ISSI’s patents may have interested Cypress as it sought to expand its patent portfolio and return to growth. Handy also acknowledged that he had not reviewed ISSI’s patent portfolio. Patent value should therefore be treated as his speculation, not as a confirmed statement of Cypress’s motive.
The article also discussed possible regulatory review and customer sensitivity to a change in ownership. Those were contemporaneous concerns during the contest; they are not evidence that a particular regulatory obstacle ultimately determined the transaction.
