You can apply for an Indian IPO when you use your own PAN, an active demat account held through a registered depository participant, and a matching bank account or eligible UPI facility. The issue prospectus—not a generic rule of thumb—sets the price band, lot size, permitted bid multiples, investor categories and timetable.
For a retail application, reserve at least the upper-band price multiplied by one lot (and by every lot you request). A UPI or ASBA instruction blocks that amount; only the value of shares actually allotted is debited, while the balance is released. Oversubscription can leave you with a partial or zero allotment. You may normally sell public-issue shares after they are credited and trading begins, subject to any restriction stated for your category.
Who is eligible to apply for an IPO?
Eligibility is determined by the issue documents and the investor category you select. For a standard individual application, the identity and payment trail must belong to the same person:
- PAN: Enter the applicant’s own valid Permanent Account Number.
- Demat account: Use an active account with a registered depository participant. India has two recognised depositories, NSDL and CDSL, according to SEBI Investor guidance crawled in 2025/2026.
- Bank or UPI route: The account used to block funds must be eligible for the chosen application method and linked to the applicant.
A broker, registrar, syndicate member or online platform can transmit the bid, but it does not change the requirement that PAN, demat ownership and payment authorisation correspond to the applicant. Third-party UPI IDs and third-party bank accounts are not considered for allocation.

Retail, non-retail and other categories
An issue may reserve portions for retail individual investors, qualified institutional buyers, non-institutional or other categories. Each category can have different application-size limits, withdrawal or revision rules and allocation procedures. Select the category only after reading the current red herring prospectus (RHP) and final prospectus; do not assume that a bid eligible in one category can be moved to another.
What documents and accounts should you prepare?
Before the issue opens, check that the following details match exactly enough for the intermediary and bank to validate them:
- PAN and the name recorded against it.
- Demat account number and DP (depository participant) details.
- Bank account capable of authorising the payment block.
- An eligible UPI handle in the applicant’s name, if using UPI.
- Mobile number and email used by the broker, bank and UPI app for alerts.
Resolve a dormant demat account, an incorrect PAN, a closed bank account or a UPI-name mismatch before bidding. A payment block does not repair an identity mismatch, and a successful-looking order can still fail validation later.

How do lot size, price band and required funds work?
The prospectus states the lower and upper prices in the band, the number of shares in one lot and the permitted multiples. The minimum amount is the selected price per share multiplied by one lot. If you request several lots, multiply that amount by the number of lots.

| Item | How to determine it | What controls the figure |
|---|---|---|
| One lot | Shares specified as the lot size in the RHP | Issue-specific prospectus |
| One-lot application amount | Bid price per share × lot-size shares | Your price choice, subject to the band |
| Multiple-lot amount | One-lot amount × number of lots | Permitted multiples and category limits |
| Retail UPI ceiling | Up to ₹5 lakh per transaction | SEBI Investor guidance; applies to retail individual investors |
Keep the upper-band amount available when you want to bid at cut-off, because the final discovered price can be anywhere within the band. Also leave room for a temporary bank hold until the registrar completes allocation and the bank releases any excess. The lot, minimum application and category thresholds can differ materially between mainboard and SME issues, so use the current issue document rather than a previous IPO’s numbers.
Should you bid at cut-off or enter a price?
Cut-off bid
In a book-built issue, a retail investor may select cut-off. This tells the system to accept the final price discovered within the published band, rather than committing to one number. SEBI’s book-building guide expressly says retail investors can bid at the cut-off price. Your bank therefore needs to be able to block the upper-band amount until the final price is known.
Limit-price bid
A limit bid names a price within the band. It can be useful when you will not pay above a chosen level, but it will not receive an allotment if the discovered price is higher than that limit. The application interface may also impose category-specific rules on changing or withdrawing a bid, so check the issue terms before submitting.
Neither choice guarantees an allotment or a listing gain. The price decision affects eligibility for allocation; oversubscription and the basis of allotment determine how many shares, if any, you receive.

UPI versus ASBA: what gets blocked and when?
| Method | How authorisation works | What happens to the money |
|---|---|---|
| UPI | An eligible UPI app or bank sends a mandate that you must approve. | The approved amount is blocked in the bank account. The allotted amount is debited after allocation; the rest is released. |
| ASBA | You submit through a self-certified syndicate bank (SCSB) or an eligible channel. | SEBI describes ASBA as blocking the amount in your account while it remains there until allotment. |
SEBI Investor guidance states that the UPI limit for an IPO application is ₹5 lakh per transaction and is available only to retail individual investors. A bank or UPI app can apply its own operational limits, so verify those before the issue closes.
Mandate timing
Submitting the bid is not the final payment step when you use UPI. Open the mandate notification in the correct UPI app, verify the IPO name and amount, and authorise it promptly. If the mandate is pending or expires, the application may be treated as unpaid. Do not approve a second mandate for the same order unless the intermediary specifically instructs you to correct a failed request.
How to apply: a reliable step-by-step process
- Read the issue documents. Review the DRHP, RHP and final prospectus for the price band, lot size, category definitions, timetable, risks, permitted bid changes and any lock-in disclosures. SEBI explains that a DRHP contains issue details except the final price.
- Match your identity records. Confirm PAN, demat and DP details, bank account and (for UPI) the handle all belong to the applicant. Correct discrepancies before placing an order.
- Calculate lots and funds. Choose only the number of lots and category permitted for you. For a cut-off bid, prepare the upper-band amount; for a limit bid, stay within the published band.
- Submit through an eligible channel. Use a registered broker, syndicate member, registrar/depository-participant channel or other authorised online route. Save the application number and bid details.
- Authorise the payment block. Approve the UPI mandate in the applicant’s own account, or complete the ASBA submission through the SCSB. Check that the amount is shown as blocked.
- Check bid status before close. Confirm that the exchange or intermediary shows the bid as accepted, not merely saved or pending. If a correction is allowed, make it before the issue deadline.
- Wait for the basis of allotment. After the issue closes, the registrar processes applications and publishes the basis of allotment. An oversubscribed issue can produce fewer shares than requested or none.
- Verify credit and listing. Check your demat statement for the credited shares and the exchange notice for the commencement of trading before placing a sale order.
How is allotment decided when an IPO is oversubscribed?
Applications are processed after the bidding window closes. The registrar prepares a basis of allotment under the issue’s category rules, and the exchange and issuer publish the relevant notice. When demand exceeds the shares reserved for a category, an applicant may receive a partial allotment or no shares even if the bid and payment block were valid.

Do not infer an allotment from a successful mandate. A mandate proves that funds were authorised and blocked; it does not promise shares. Check the registrar’s allotment result and your demat account. If the result is zero or less than requested, the amount not needed for allotted shares should be unblocked under the UPI or ASBA process.

When are shares credited and listed?
The issue timetable controls the actual dates for allotment, demat credit and trading approval. SEBI’s cited book-building guide describes listing within three days after issue closure under that process, but an individual issue’s exchange notice is controlling. Look for the registrar’s basis-of-allotment notice, the credit entry in your NSDL or CDSL statement and the exchange’s listing announcement.
Until the shares are credited and trading has officially commenced, a sale order cannot be completed in the secondary market. A delayed credit, rejected mandate or timetable change should be resolved through the registrar, your broker and the bank that placed the block.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. Can you sell IPO shares on listing day?
Ordinary public-issue shares can generally be sold once they are credited to your demat account and the exchange has started trading them. You may place an order on the listing day after those conditions are met; execution and price are not guaranteed. The market can open above, below or near the issue price, and a sell order can remain unfilled.

1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsLock-in exceptions
SEBI lock-in provisions apply to specified promoter holdings and certain pre-issue holdings. Those restrictions are not a blanket lock-in on every retail allotment. Read the prospectus for restrictions attached to your investor category and the particular securities. If the shares are marked as locked in, your broker or depository will prevent an impermissible transfer until the applicable period ends.

Can you apply more than once or use a family member’s UPI?
Duplicate bids under one PAN
NSE’s e-IPO FAQ says one bid per PAN is allowed. Its system may accept an additional order at entry, but the duplicate is likely to be rejected during allotment. Submit one correctly checked application for each PAN instead of trying to improve your odds with repeated bids.
Family-member payment accounts
Using a spouse’s, parent’s or another person’s UPI ID or bank account does not make your application a valid joint application. Third-party payment routes are not considered for allocation. If a family member wants to invest, that person should apply separately using their own PAN, demat account and matching payment authorisation, subject to the issue’s category rules.
Are SME IPO rules different from mainboard rules?
Yes. The two segments can differ in minimum application size, lot size, investor-category definitions, liquidity and exchange procedures. NSE’s current SME FAQ documents thresholds distinct from its mainboard framework, but those figures can change and are issue-specific.
| Decision point | Mainboard | SME |
|---|---|---|
| Lot and minimum amount | Use the mainboard issue’s stated lot and category limits. | Use the SME prospectus; the minimum can be materially different. |
| Investor categories | Apply under the definitions in the mainboard prospectus. | Check the SME category definitions and thresholds in that issue’s documents. |
| Liquidity and trading | Review the relevant exchange timetable and market rules. | Review SME exchange rules and liquidity conditions before bidding. |
| Controlling document | Current RHP/final prospectus and exchange notices. | Current SME RHP/final prospectus and exchange notices. |
Do not copy a mainboard lot calculation into an SME application, or assume that the ability to sell immediately will be identical. The issue document and exchange notice take precedence over general explanations.
What to do when something goes wrong
- No UPI mandate arrives: Check the applicant’s registered mobile number, the selected UPI app and the bank’s pending-mandate area. Contact the intermediary before the closing time; an unapproved mandate may leave the bid unpaid.
- Mandate shows an incorrect amount or IPO: Do not approve it. Ask the broker or registrar to correct the bid and issue a fresh, matching mandate if the timetable still permits.
- Funds remain blocked after a zero or reduced allotment: Confirm the published basis of allotment, then contact the bank and registrar with the application number. The excess should be released under the process, but bank processing can take time.
- Demat credit is missing: Compare the registrar result with your DP statement and raise the discrepancy with the registrar and depository participant.
- Duplicate or third-party application was submitted: Expect rejection risk rather than trying another payment account. Follow the intermediary’s correction or withdrawal procedure if the issue allows one.
Pre-submission checklist
- Read the current RHP/final prospectus, including risks, category rules and lock-ins.
- Use one application per PAN and the applicant’s own demat and payment accounts.
- Recalculate price per share × lot size × number of lots.
- Stay within the retail UPI ceiling of ₹5 lakh per transaction when that limit applies.
- Approve the correct UPI mandate, or complete ASBA through the SCSB.
- Record the application number and verify bid status before close.
- Check allotment, unblocking, demat credit and the exchange listing notice independently.
- Do not assume a listing gain or a guaranteed listing-day sale price.
Rules and thresholds can change through SEBI circulars and exchange notices. For every application, treat the current issue prospectus, registrar notice and exchange timetable as the controlling sources.
