Short answer: An IPO listing gain is possible, not guaranteed. Whether you can sell on listing day depends on your investor category, any disclosed lock-in and whether the shares have been credited and admitted to trading. If an issue fails a mandatory minimum-subscription or allottee condition, it cannot proceed as an ordinary completed IPO; application money must be refunded or unblocked through the applicable process. ASBA and UPI normally block your bid amount first and debit only the amount due for shares actually allotted.

This explainer applies to Indian public issues governed by the Securities and Exchange Board of India (SEBI). Read the current prospectus, basis of allotment and exchange or registrar notices for the particular issue. It is educational information, not investment advice.

What is an IPO listing gain?

A listing gain is the positive difference between an IPO’s issue price and the price at which its shares first trade on the stock exchange. The basic calculation is:

For example, if an issue price is ₹100 and the first trade is ₹125, the listing gain is ₹25 per share, or 25% before costs and taxes. If the first trade is ₹92, the result is a listing loss of ₹8 per share. A trade exactly at ₹100 produces neither a gain nor a loss.

First exchange trade Result compared with issue price What it means
Above the issue price Listing gain The market opened at a premium
Equal to the issue price No listing gain or loss The market opened at the issue price
Below the issue price Listing loss The market opened at a discount

The issue price is set for the public offer; it is not a promise of the value after listing. A SEBI-filed prospectus warns that the floor price, cap price and issue price determined through book building “should not be considered to be indicative of the market price of the Equity Shares after the Equity Shares are listed.” The warning applies even when an offer has attracted strong demand.

Is a listing gain guaranteed?

No. An IPO can list at a premium, at the issue price or at a discount. Once trading starts, buyers and sellers establish the market price. That price can be affected by overall market conditions, valuation, liquidity, investor sentiment, new information about the company and the disclosures in the offer documents.

Subscription multiples show how many bids were received relative to the shares offered in a category. They do not lock in a premium. A heavily subscribed issue can still list below its issue price, while a modestly subscribed issue can open above it. Subscription data is only one signal and cannot replace the price-discovery process on the exchange.

Even when an investor sells at a higher first-trade price, the final result depends on the quantity allotted, brokerage or other transaction charges, statutory levies and applicable taxes. An investor who does not sell continues to hold shares whose value can move after the opening trade.

Can you sell IPO shares on listing day?

There is no answer based solely on the issue’s subscription figure. You can generally place a sell order after shares allotted to you have been credited to your demat account and the exchange has admitted them for trading, unless those particular shares are subject to a lock-in. The exact trading start time and symbol are announced by the exchange and the issue intermediaries.

Check these conditions first

  1. Confirm allotment: Use the registrar’s allotment result or the exchange process specified for the issue.
  2. Check demat credit: The allotted shares must appear in the demat account linked to the application.
  3. Identify your holder category: Retail, promoter, anchor, pre-issue shareholder, employee and other categories can have different restrictions.
  4. Read the lock-in disclosure: Look in the prospectus and any later exchange or registrar notice for the shares and the date from which the restriction runs.
  5. Verify listing admission: Trading is possible only after the exchange admits the securities and your broker shows them as tradable.

An ordinary retail allotment does not automatically create a blanket lock-in. It is still necessary to check the specific offer documents, because a person may hold shares in more than one category or may be subject to a restriction attached to pre-issue holdings rather than the retail application itself.

IPO lock-in periods: identify the holder before looking for a number

There is no single IPO lock-in period. The restriction attaches to specified shares or holders under the applicable SEBI framework and the issue’s own disclosures. The following are examples from SEBI-filed documents; they are not a universal timetable for every Indian IPO.

Holder or shares Period shown in the cited SEBI-filed example Evidence and qualification
Shares forming minimum promoter contribution 18 months Example in a SEBI-filed prospectus from 2025; confirm the exact shares and commencement date in the issue document
Certain pre-issue capital held by non-promoters Six months Example in a SEBI-filed prospectus from 2023; applies to the specified pre-issue holdings, not automatically to every investor
Anchor-investor allocation 50% locked for 90 days; remaining 50% for 30 days Split stated in SEBI-filed examples from 2025, measured from allotment as described in those documents
Ordinary retail application Not a universal lock-in Read the current prospectus and applicable SEBI ICDR provisions for the particular issue

Promoter contribution

The 18-month figure is a current example for the minimum-promoter-contribution category in a 2025 SEBI-filed prospectus. It should not be applied to every promoter share or every IPO without checking the document’s definitions, exemptions and start date.

Pre-issue non-promoter capital

A 2023 SEBI-filed prospectus gives a six-month example for certain pre-issue capital held by non-promoters. “Pre-issue capital” describes shares held before the public offer; it is different from a new retail allotment in the IPO. The restriction applies only to the holdings covered by the disclosure.

Anchor investors

Current SEBI-filed examples from 2025 split an anchor allocation into two lock-ins: one-half for 90 days and the remaining half for 30 days from allotment. The anchor category is distinct from a retail application, so this schedule should not be used to infer a retail restriction.

Retail applicants

Receiving shares in the retail category does not, by itself, mean that all of those shares are locked for a fixed number of days. Check the issue’s prospectus, the basis of allotment and the demat or exchange notice. If the same investor also owns pre-issue shares, those older holdings may follow a different rule.

Why the offer-document date matters

SEBI’s ICDR Regulations and issue disclosures can be amended. The SEBI ICDR Regulations page showed March 21, 2026 as the latest amendment date available in the cited material. For an IPO you are considering, use the version and prospectus filed for that issue rather than relying on a figure copied from an older article.

Lock-in periods may be described from allotment, listing or another event, depending on the category and the governing provision. The prospectus should be treated as the controlling source for the exact start date, covered shares, permitted transfers and any exceptions.

What does it mean when an IPO is undersubscribed?

“Undersubscribed” means the issue received fewer valid bids than the quantity being offered, or that one category received less demand than its reserved portion. It can describe a weak category even when the overall issue receives enough valid subscription to proceed. Two different outcomes must therefore be separated.

Case 1: The issue fails a mandatory minimum condition

SEBI guidance in the cited public-issue framework states that an issue that does not receive the minimum 90% subscription must refund the entire subscription amount. The same guidance says the minimum-subscription requirement does not apply to an offer for sale (OFS). Consequently, the 90% figure must not be applied mechanically to every component of a combined fresh-issue/OFS structure. The current prospectus and applicable regulations determine whether the issue can proceed.

If a mandatory condition is not met, the issue cannot simply be treated as a normally completed IPO. The issuer and intermediaries must follow the stated refund or unblocking process, and the exchange or registrar may publish the relevant notice.

Case 2: The issue can proceed but demand is weak in a category

An issue may receive enough valid subscription overall, or satisfy the conditions for a particular component, while one category is weakly subscribed. In that situation, the basis of allotment can apply category-specific rules, permitted reallocation and any disclosed sequencing between categories.

A SEBI-filed offer document also describes a minimum-allottee condition. If the required number of allottees is not achieved, application money is unblocked under the process described for that issue. The existence of spare shares in a category therefore does not, by itself, guarantee that every applicant receives the full quantity requested.

Fresh issue and OFS components

A combined IPO can contain a fresh issue, an OFS, or both. The treatment of a shortfall can differ between those components. The offer document may specify how shares are allocated when one part is under-subscribed, subject to the applicable minimum-subscription, minimum-allottee and listing rules. Only the disclosed basis of allotment can establish whether an applicant receives additional shares.

Will an undersubscribed issue give every applicant all the shares requested?

No automatic rule gives every applicant the full quantity applied for. The result depends on:

  • the number of valid applications and bids;
  • the investor category and its reserved portion;
  • the minimum number of allottees required;
  • the issue’s category-wise allocation order and any permitted reallocation;
  • whether the issue contains fresh shares, an OFS or both; and
  • whether all mandatory conditions for listing have been met.

If valid demand is below the shares available in a category and all conditions are satisfied, applicants may receive more than they would in a heavily oversubscribed category. That is a possible result, not a promise. Invalid, duplicate or otherwise ineligible applications are not treated as valid demand for allotment.

What happens to ASBA or UPI funds?

ASBA and UPI normally use a block mechanism. SEBI investor guidance describes it this way: “The Escrow/ sponsor bank will request the investor to authorize blocking of funds equivalent to applicant amount and subsequent debit of funds in case of allotment.” In plain English, the money is blocked, not spent, while the application is processed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Outcome What normally happens to the bank balance
Shares allotted The amount due for the allotted shares is debited; any excess block is released
No shares allotted The blocked amount is unblocked through the ASBA/UPI and intermediary process
Issue fails a required condition The subscription amount is refunded or unblocked as required by the issue process
Partial allotment Only the amount for the allotted quantity is debited; the balance is released

Release timing is operational. It can depend on the registrar, sponsor bank, UPI app or bank, intermediary instructions and the timetable published for that issue. There is no single universal unblocking deadline that should be assumed for every IPO. If the block remains after the published date, first check the allotment status, then contact the bank or UPI provider with the mandate details, and escalate to the registrar or intermediary named in the prospectus.

A practical IPO outcome checklist

Before you apply

  1. Read the current prospectus, including the price band, issue components, risk factors, category reservations and basis-of-allotment provisions.
  2. Determine whether the offer is a fresh issue, an OFS or a combination, because minimum-subscription treatment can differ.
  3. Note the issue-specific timetable for bidding, allotment, refunds or unblocking, demat credit and listing.
  4. Make sure the bank account, demat account, PAN and UPI mandate belong to the permitted applicant and are correctly linked.

After bidding closes

  1. Keep enough balance for the bid until allotment and debit instructions are completed; a block is not the same as a completed payment.
  2. Check the registrar’s allotment result and the exchange notice rather than assuming that subscription multiples determine your result.
  3. Compare the quantity actually allotted with the amount debited.
  4. Look for the shares in your demat account and confirm that the exchange has admitted them before attempting to sell.

If the money is still blocked

  • Verify whether the issue has published its allotment or refund status.
  • Check the UPI mandate status in the app and the linked bank account statement.
  • Contact the sponsor bank or your bank’s IPO/ASBA desk with the application number and mandate reference.
  • If the problem continues, contact the registrar or intermediary identified in the prospectus and retain all acknowledgements.

Common mistakes to avoid

  • Treating subscription as a forecast: demand does not guarantee a premium on the first trade.
  • Calling every IPO share locked in: lock-in is category- and holding-specific.
  • Using 90% as a universal test: the cited SEBI guidance includes an OFS exception and does not replace the current issue rules.
  • Assuming undersubscription means full allotment: valid applications, category rules and minimum-allottee requirements still control the result.
  • Expecting an instant refund: unblocking follows the issue timetable and the operational steps of banks, UPI providers and registrars.

For any particular IPO, the prospectus, basis of allotment and official exchange or registrar notices answer the decisive questions: what price was fixed, which shares are restricted, whether the issue met its conditions and when blocked funds should be released.
