A tokenized stock is a crypto asset that represents a stock or stock-linked claim on a blockchain. It is not automatically the same as owning ordinary shares: your rights depend on who maintains the legally controlling ownership record, whether the token is native, custodial or synthetic, and what the offering documents promise. Before buying, identify the exact claim, voting and dividend terms, redemption rules, transfer limits and insolvency protections.

What a tokenized stock is

A tokenized security is a stock, bond or fund interest represented by a digital token whose ownership record is maintained in whole or in part on a blockchain or another distributed ledger. The token can make transfers programmable and visible onchain, but the technology does not rewrite securities law or create shareholder rights by itself.

The U.S. Securities and Exchange Commission has emphasized this point. SEC Commissioner Hester Peirce said, “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset. Tokenized securities are still securities.” A token that references a public company’s stock therefore remains subject to the relevant securities rules, registration or exemption requirements, and offering restrictions.

The ticker symbol is not enough to determine what you own. Two tokens may track the same company while giving holders completely different legal claims. One may place a wallet address on the company’s official securityholder file. Another may represent shares held by a custodian. A third may be a contract with the token issuer that pays according to the stock price without conveying any company shares at all.

How tokenization works from issuance to transfer

1. Creating the legal instrument

The issuer first defines the legal claim: an actual share, a security entitlement to custodially held shares, a note, or a security-based swap. The governing documents should identify the issuer, the referenced asset, applicable law, eligibility rules, corporate-action treatment and the rights attached to each token.

2. Linking the token to an ownership record

In an issuer-sponsored structure, the company or its appointed agent connects the blockchain record with the master securityholder file. The wallet address may become the recorded holder, or a token transfer may serve as an instruction to update an offchain master file. In either case, the legally controlling record is identified in the documents; an onchain balance alone is not conclusive.

3. Buying and holding

A buyer receives tokens through an approved platform, broker, transfer agent or other intermediary. Eligibility checks can include residence, identity, accreditation or other investor-status requirements. The token may sit in a platform-controlled wallet, a wallet controlled by the investor, or a restricted address that can receive transfers only from approved participants.

4. Transferring or redeeming

A transfer can update the official ownership record, move a custodial entitlement, or simply transfer the issuer’s payment obligation. Some products allow redemption for the underlying share; others pay cash; some provide no redemption right. Transferability can be limited by jurisdiction, lockups, whitelists, wallet controls or the absence of a secondary market.

5. Processing company events

Dividends, stock splits, tender offers, mergers, voting materials and other corporate actions follow the legal structure. A native holder may receive them directly. A custodial holder may receive a pass-through after the custodian acts. A synthetic holder generally receives whatever the token contract promises, which may be a cash adjustment rather than a company-issued benefit.

The three main token structures

Structure Who maintains the controlling record What the holder claims Typical shareholder rights Main failure exposure
Issuer-sponsored or native token The company or its transfer agent, using a blockchain record or an onchain instruction linked to the master file The security itself, subject to the instrument’s terms May include voting, notices, reports, dividends and corporate actions, but only where the documents grant them Issuer, transfer-agent, platform and technology risks; exact protections depend on the legal arrangement
Wrapped or custodial token A custodian or intermediary holding the underlying shares, with a separate token ledger An indirect security entitlement or contractual claim through the custody chain May be passed through, delegated or omitted; a wrapped holder may lack the voting rights of native equity Custodian, token issuer, platform and bankruptcy risk in addition to risks of the underlying shares
Synthetic linked security or security-based swap The token issuer’s books and contract, not the company’s shareholder register An obligation of the token issuer tied to the referenced stock’s price or events Generally no company shareholder rights, unless the contract expressly provides an economic substitute Primarily counterparty and issuer-credit risk; the referenced company is not the obligor

The SEC’s corporate and investment-management divisions note that tokenization models vary in structure and in the rights afforded to holders. Treat the table as a classification tool, not a presumption about a particular product. The offering documents control.

Do you actually own the shares?

Ask one decisive question: is your wallet address part of the issuer’s master securityholder file, or does another party keep the legally controlling record? If the company or its agent records you as the holder, you may have direct ownership subject to the token’s restrictions. If a custodian owns the shares, your claim runs through the custody and entitlement chain. If the token is synthetic, you own a contract with the token issuer rather than stock in the referenced company.

Marketing language such as “backed 1:1” is not a legal conclusion. It may describe a reserve of shares, an economic tracking arrangement or a custody promise. Read who owns those shares, whether they are segregated, how substitutions are handled, and what you can enforce if the token issuer fails. A reserve does not automatically give you the right to take delivery of one of the reserved shares.

Which ownership rights can token holders receive?

Voting

Voting depends on the record-holder arrangement and the token contract. A native token can be designed to place the holder on the official register or to relay a valid vote. A custodian may vote on behalf of beneficial owners, solicit instructions, or retain discretion. A synthetic product normally has no vote because the token issuer, not the investor, is the company’s shareholder. The SEC Investor Advisory Committee warns that an owner of a wrapped third-party tokenized equity security may lack the voting rights of an owner of native tokenized equity.

Information and notices

Direct holders may receive annual reports, meeting notices and other communications through the issuer’s normal channel. Intermediaries may deliver equivalent information only if their agreements require it. A synthetic contract can provide a price feed without promising company reports, meeting materials or the ability to ask questions as a shareholder.

Dividends

Check whether dividends are paid in cash, converted into additional tokens, withheld for fees, or replaced with a contractual adjustment. Confirm the record date, payment timing, currency and tax handling. A token that tracks total return may reinvest or net dividends without giving you the same payment or tax documentation as a registered shareholder.

Splits, mergers and other corporate actions

Read the procedure for stock splits, spin-offs, tender offers, rights issues and mergers. The token supply may be adjusted, a new token may be issued, or the issuer may make a cash payment. Participation can require a compliant wallet, a timely election or an instruction routed through a platform. If the documents are silent, do not assume the event will be passed through.

Redemption and delivery

A redemption right is different from a promise that the token’s price follows the share. Determine whether redemption is for one underlying share, cash at a reference price, or nothing beyond secondary-market sale. Look for minimum amounts, fees, notice periods, settlement venues and circumstances in which redemption can be suspended.

What happens if the token issuer or custodian fails?

Insolvency outcomes follow the legal claim and the custody documents, not the token’s branding. A direct shareholder’s claim is against the company under the share’s governing law. A custodial token holder may have a property or entitlement claim to segregated shares, or may instead have a general contractual claim if the arrangement does not provide effective segregation. A synthetic holder is an unsecured or otherwise contractually defined creditor of the token issuer unless the documents provide stronger collateral or priority.

Several parties can fail independently: the token issuer, a custodian, a platform, a transfer agent or a technology provider. Review whether assets are segregated, who can move them, how records are reconciled, and which law governs insolvency. A platform outage may prevent transfers without changing ownership; an issuer bankruptcy can affect the value or enforceability of the token itself. Do not assume that a blockchain transaction gives you priority over other creditors.

Settlement, speed and liquidity

Conventional U.S. equity trades settle on a one-business-day cycle, known as T+1, according to the SEC Investor Advisory Committee in 2026. Tokenized delivery and payment can be designed as one blockchain transaction, often called atomic settlement, in which the asset and payment exchange occur together. That design could reduce some settlement-failure risk.

Atomic settlement is a potential process improvement, not proof that a retail token has deeper liquidity, lower fees or stronger investor protection. A token can trade infrequently, rely on a single market maker, use wide spreads or pause transfers during compliance checks. Compare the available venues, trading hours, order types, withdrawal rules, network fees and redemption route before treating onchain availability as liquidity.

How U.S. regulators treat tokenized securities

The SEC’s January 2026 statement says tokenized securities remain subject to the federal securities laws and that changing the format does not by itself change registration requirements. The Federal Reserve, Federal Deposit Insurance Corporation and Office of the Comptroller of the Currency stated in 2026 that an eligible tokenized security with identical legal rights should generally receive the same capital treatment as its conventional form. Their capital guidance is technology-neutral and applies only when the legal rights are actually identical; it does not turn every stock-linked token into a share.

These are U.S. principles. A product offered in another country can be governed by different securities, custody, insolvency and tax rules. Even within the United States, an exemption, state-law restriction or platform rule may limit who can buy or transfer the token. Confirm the jurisdiction named in the offering documents rather than relying on a global website or a familiar ticker.

A due-diligence checklist before sending money

  1. Identify the legal instrument. Find out whether it is native equity, a custodial entitlement, a note, a security-based swap or another contract. Save the current terms and risk disclosures.
  2. Locate the official ownership record. Ask whether your wallet address appears on the company’s master file, whether an intermediary is the record owner, and which record prevails if the blockchain and books disagree.
  3. Verify the issuer and authorization. Check the legal entity, registration or exemption, regulator filings where applicable, and the exact platform named in the documents. Investor.gov warns that fraudsters may impersonate regulators or falsely claim SEC approval.
  4. Confirm the contract address. Obtain the official address from the issuer’s authoritative documentation, not a social-media post. Check whether the contract is upgradeable, can freeze transfers, or permits an administrator to change supply.
  5. Read rights and corporate-action provisions. Look specifically for voting, notices, dividends, splits, tenders, mergers, information delivery and dispute procedures.
  6. Test the exit. Determine whether you can transfer to a permitted wallet, sell on a real venue or redeem for shares or cash. Note minimums, fees, lockups, whitelist rules and suspension triggers.
  7. Map failure scenarios. Identify the issuer, custodian, platform and transfer agent; ask what happens if each becomes insolvent or unavailable, and whether assets are segregated.
  8. Check your eligibility and jurisdiction. Confirm residence, investor-status, tax, sanctions and transfer restrictions before funding an account.
  9. Compare the total cost. Include platform charges, blockchain gas, spreads, custody fees, conversion costs and redemption fees. A lower headline commission can be offset by an expensive exit.

Tokenized stock versus buying through a conventional broker

Question Tokenized product Conventional brokerage purchase
Where is ownership recorded? Blockchain, an offchain master file, a custodian’s books or a combination, depending on structure The broker and applicable securities infrastructure maintain records under the brokerage arrangement
What do you hold? Could be the share, an indirect entitlement or a contract with the token issuer Usually a brokerage account position representing the specified security, subject to the broker’s terms
Voting and corporate actions Must be confirmed in the token documents; synthetic products generally do not provide company voting Handled through the broker’s normal corporate-action and voting processes, subject to account terms
Transfer mechanics May use blockchain transfers but can be restricted by whitelists, jurisdiction or wallet controls Moves through the broker and securities settlement system, with its own eligibility and transfer rules
Settlement design May support atomic delivery and payment, but liquidity and availability vary U.S. equities generally use the T+1 settlement cycle described by the SEC Investor Advisory Committee
Primary additional risk Token issuer, custodian, smart-contract, platform and counterparty risks can sit alongside market risk Brokerage, custody and market risks remain, but there is no token issuer unless the product itself adds one

The comparison is not a universal ranking. A tokenized instrument with legally identical rights may be operationally different from a brokerage position without changing the underlying entitlement. Conversely, a synthetic token can look like a stock in a trading app while giving you only issuer-credit exposure.

A practical decision rule

Choose a tokenized stock only when you can answer all four questions in writing: What legal claim do I own? Who is the official record-holder? Which shareholder or contractual rights are guaranteed? What can I recover and where can I sell if the issuer or platform fails? If any answer depends on promotional language rather than an enforceable document, treat the product as unverified exposure rather than equivalent stock ownership.
