Verify a corporate renewable-power purchase as a chain of title and claim scope. The contract should identify the facility, technology, market, generation period and megawatt-hours; transfer every relevant REC or EAC and environmental attribute to your company; prohibit resale and competing claims; and require registry transfer plus retirement evidence. Make public and Scope 2 claims only for the purchased volume, facilities and period that the documents support.

What verification has to establish

A renewable-energy certificate (REC) or equivalent energy-attribute certificate (EAC) is not the electricity itself. It represents the non-power attributes of renewable generation. Your review must therefore answer four separate questions:

  • What was generated? Which facility, technology, location, operating date, generation vintage and quantity produced the certificates?
  • Who owns the attributes? Does the seller have the legal right to transfer every relevant REC/EAC and associated environmental attribute?
  • What happened in the tracking system? Can you follow unique certificates into your company’s account and see them retired or cancelled for your benefit?
  • What may be claimed? Do the contract and retirement records support the exact renewable-electricity and market-based Scope 2 statement you intend to publish?

A power contract can deliver physical electricity while assigning the renewable attributes to someone else. Conversely, a certificate transfer without a clear electricity allocation can still support a qualified market-based claim, depending on the applicable accounting rules. Treat the electricity, the attributes and the claim as linked but separately documented parts of the transaction.

Define the instrument, quantity and eligibility before signing

REC and EAC basics

The U.S. Environmental Protection Agency (EPA) states that one REC is issued for each megawatt-hour (MWh) of renewable generation. The certificate carries the attributes that distinguish that MWh from conventional generation; it does not mean your facility received that electron over a dedicated wire. Outside the United States, an EAC such as an I-REC(E) may serve a similar attribute function, but local recognition, eligible geography and disclosure rules must be checked for the transaction.

Write the product definition into the contract rather than relying on a label such as “green power,” “renewable supply” or “bundled PPA.” Require a schedule that records:

Field What to specify Why it matters
Facility Legal project name, registry identifier and generating units Prevents substitution of an unidentified project
Technology For example, wind, solar, hydro or another eligible technology Eligibility and consumer-protection standards may differ by technology
Location and market Country, region, balancing area or delivery market, as applicable Determines whether the instrument is recognized for your load and reporting rules
Operating date Commercial operation or first-generation date Some standards limit the age of eligible facilities
Generation vintage Month or year in which each MWh was generated Allows the claim to match the reporting period and any vintage requirement
Quantity Committed and delivered MWh, tolerances and reconciliation method Sets the ceiling for renewable-use and Scope 2 claims
Certificate data Unique IDs, tracking system, product code and status Creates an auditable chain from issuance to retirement

Do not accept “approximately” for the volume that will support a public claim. The contract can include operational tolerances, but it should explain how shortfalls are replaced, how excess certificates are treated and which vintage is used for each reporting year.

Check age and geographic eligibility

Eligibility is not universal. The North America Green-e standard has a 15-year facility-age limit, according to the Center for Resource Solutions (CRS) page updated in 2026. That limit is a Green-e rule, not a worldwide rule for every REC or EAC. Confirm the applicable standard, market boundary and product code in your deal documents. Green-e Energy certification is offered in the United States, Canada, Chile, Singapore and Taiwan R.O.C.; availability in another jurisdiction should not be assumed.

Establish who owns the renewable attributes

Read the transfer and exclusivity language

The seller should represent that it owns, or is authorized to transfer, every REC/EAC and associated environmental attribute for the stated MWh. The buyer should receive the exclusive right to make renewable-electricity and related market-based Scope 2 claims after retirement. The clause should cover the seller, affiliates, brokers, utilities and subcontractors, not just the contracting entity.

EPA states that an organization must have exclusive rights to the RECs associated with its electricity consumption to make environmental claims. A contract that is silent on REC ownership can create double selling or double counting. A statement that the supplier “supports renewable energy” is not a transfer of ownership and does not establish claim rights.

Separate bundled and unbundled arrangements

In a bundled power purchase agreement (PPA), electricity and attributes may be delivered together, but the contract still needs a precise transfer point and retirement procedure. In an unbundled purchase, your company may buy certificates separately from its electricity supply. Either structure can be valid if the instrument is eligible for the intended market and the attributes are transferred and retired only once.

Require the agreement to say whether the seller retains any attributes, including emission-rate information, renewable portfolio benefits, capacity or other environmental claims. If any attribute is excluded, identify it explicitly and state that the buyer cannot claim it. Do not infer that “all environmental benefits” includes a particular statutory credit or disclosure right unless the contract names it.

Follow the registry chain from issuance to retirement

Evidence to request

Ask for a registry account statement, unique certificate IDs, transfer records and a retirement or cancellation confirmation. Tracking systems are designed to keep each REC in one account at a time. The documents should show the certificates leaving the seller’s account, arriving in the buyer’s named account or an authorized intermediary account, and being retired for the buyer rather than merely transferred onward.

  • Issuance record: facility, technology, generation period and number of certificates created.
  • Transfer record: sender, recipient, date, quantity, certificate IDs and product code.
  • Retirement record: retirement date, beneficiary or purpose, quantity and IDs or serial-number range.
  • Account statement: opening balance, additions, withdrawals and closing balance for the relevant period.

Green-e requires tracking systems for certified transactions in which certificates are used. That requirement does not make every registry transaction Green-e certified; certification and registry tracking are separate checks.

What to do when no registry is available

Some markets or instruments do not use a registry that can provide a public retirement record. In that case, require a complete contract-path chain of custody: generator or meter data, certificate creation methodology, every transfer document, allocation calculation, beneficiary designation and final cancellation statement. Add an independent audit obligation covering the entire path. A supplier spreadsheet alone is not equivalent evidence unless the contract makes its underlying records auditable and preserves them for the required period.

Test for double counting, resale and competing claims

Retirement is the control that prevents a certificate from being used again. EPA says making an environmental claim requires retirement of the REC. Before accepting a claim, obtain written confirmation that the certificates were not:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Retained or resold by the generator, supplier, broker or another customer;
  • Applied to a statutory renewable-portfolio mandate or similar compliance obligation;
  • Used for a utility or supplier disclosure statement that assigns the same attributes elsewhere;
  • Retired for an affiliate, landlord, tenant or previous buyer; or
  • Counted in an offset, avoided-emissions project or direct-emissions-reduction claim.

The contract should require the seller to notify you of any competing assignment and to replace invalid or double-sold certificates at its cost. Include indemnity or another defined remedy for double issuance, double sale, invalid claims and failure to retire. A general warranty of “compliance with law” is usually too vague to allocate this risk.

Limit claims to the documented scope

Public renewable-electricity statements

State the covered facilities or organizational boundary, the MWh purchased, the generation period and the reporting year. If certificates cover only one site or a percentage of load, do not write that the entire company or all operations run on renewable electricity. A claim should never exceed the retired volume or imply a different technology, location or vintage than the records show.

Keep renewable-use language distinct from offset language. Owning and retiring a REC supports an attribute claim; it is not, by itself, proof that your total corporate greenhouse-gas emissions fell by a stated number of tonnes. No universal emissions-reduction tonnage or universal REC price applies to every transaction.

Market-based and location-based Scope 2

For market-based Scope 2 reporting, document the contractual instrument and the emission-factor hierarchy required by the GHG Protocol and applicable local guidance. Continue to report location-based Scope 2 where the reporting framework requires it. A market-based instrument does not erase the physical grid emissions associated with electricity consumption, and a certificate purchase does not automatically make total corporate emissions “zero.”

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ask your accounting team to approve the claim wording before publication. The contract should distinguish renewable-use claims and market-based Scope 2 treatment from offsets, direct emissions reductions and avoided-emissions statements.

Use certification and independent assurance correctly

Green-e certification

Green-e certification can provide an additional check on sustainability and consumer-protection criteria. Green-e states that certification is the only way to ensure a renewable-energy purchase meets all applicable criteria in its Standard and Code of Conduct. Confirm the specific product, market appendix, certification agreement and licensing status for your transaction; a supplier’s general reference to Green-e is not proof that your certificates are certified.

Do not confuse an attestation with certification

CRS distinguishes a “CRS Listed” tracking attestation from Green-e certification. A CRS Listed attestation does not confirm chain of custody or retirement. Ask what the document actually covers: registry operation, seller eligibility, certificate transfer, retirement, or the full certified transaction. If the assurance statement excludes retirement, you still need retirement evidence.

I-TRACK describes I-REC(E) as an exchangeable EAC and book-and-claim system. Whether a particular I-REC(E) purchase is accepted for your facilities, disclosure program or Scope 2 report depends on local implementation and recognition. Contract provisions to negotiate

Use counsel to adapt the following points to the governing law, registry and market:

Provision Minimum requirement
Ownership warranty Seller owns or is authorized to transfer every REC/EAC and associated environmental attribute for the stated MWh.
Exclusive claim right Buyer receives the exclusive right to make renewable-electricity and related market-based Scope 2 claims after retirement.
Registry delivery Certificates move to the buyer’s named registry account, or the seller provides an independently audited contract-path chain of custody where no registry exists.
Retirement Seller retires or cancels certificates for the buyer and delivers retirement certificates, IDs and generation data on a defined schedule.
Project specification Facility, technology, location, operating date, generation vintage, delivery market, MWh, tracking system, product code and eligible claim standard are identified.
Compliance exclusions Certificates are not used for a statutory mandate, supplier disclosure obligation or another customer.
Replacement and remedy Missing, invalid, double-issued or double-sold certificates are replaced promptly, with indemnity or a specified financial and contractual remedy.
Audit and records Registry statements, meter data, invoices, transfer logs, retirement reports and subcontractor attestations remain available for audit.
Survival Ownership, claim, record-retention and indemnity obligations survive termination for the period needed to support reporting and assurance.
Claim boundaries Renewable-use, market-based Scope 2, offset and direct-emissions claims are defined separately.

Green-e’s standardized PPA language places responsibility on the seller for certification, transfer of certified RECs to the buyer’s tracking account and annual verification-audit costs. Treat that language as a starting point and have counsel adapt it to your project and jurisdiction.

Build an annual audit packet

Assemble one file for each reporting year. The packet should contain:

  1. The executed contract, amendments, schedules and any assignment or broker agreements.
  2. Facility registration, technology, operating-date and eligibility information.
  3. Meter or generation reports supporting the MWh and vintage.
  4. Invoices and settlement statements showing the purchased quantity.
  5. Registry transfer statements, certificate IDs and retirement or cancellation confirmations.
  6. Mandate, disclosure and competing-claim attestations from the seller and relevant intermediaries.
  7. The supplier’s allocation methodology if certificates are allocated among multiple buyers or sites.
  8. Green-e, registry or independent-auditor reports, including the scope and period of each review.
  9. Your internal calculation tying retired MWh to each facility, organizational boundary and reporting year.

EPA’s corporate reporting guidance calls for clear, transparent and auditable documentation of REC retirement and allocation. Preserve the source records, not only a summary certificate, so an auditor can reproduce the allocation and confirm that the same IDs were not used twice.

Step-by-step verification workflow

  1. Map the claim. Write the exact sentence your company wants to publish, the sites or entities it covers, the reporting year and the MWh required.
  2. Identify the instrument. Determine whether the deal uses U.S. RECs, another EAC, bundled PPA attributes or an unbundled certificate purchase. Record the governing market and claim standard.
  3. Inspect the contract schedule. Check facility, technology, location, operating date, vintage, quantity, registry, product code and delivery point.
  4. Read ownership clauses. Confirm transfer of all relevant attributes, exclusive claim rights, restrictions on resale and a prohibition on competing claims.
  5. Validate generation. Reconcile meter or generation reports with the certificate quantity and vintage. Investigate unexplained rounding, substitutions or shortfalls.
  6. Trace the registry transaction. Match certificate IDs and quantities across issuance, transfer and retirement records. Verify account names and dates.
  7. Check compliance conflicts. Obtain attestations that the certificates were not used for a mandate, supplier disclosure, another customer or an offset claim.
  8. Review assurance. Determine whether Green-e certification or another independent audit covers the actual product, period, chain of custody and retirement.
  9. Approve accounting treatment. Document market-based Scope 2 treatment under the applicable GHG Protocol hierarchy and retain any required location-based report.
  10. Release the claim. Publish only the wording, volume, facilities and period supported by the completed file. Record an owner and review date for the next retirement cycle.

Comparison point Questions to ask Evidence to prefer
Attribute ownership Who owns every REC/EAC and environmental attribute? Express transfer and exclusivity clause
Registry and retirement Can IDs be traced to a buyer account and retirement? Account statements, transfer logs and retirement confirmations
Geography and market Is the project eligible for the buyer’s facilities and reporting regime? Named market, registry and written eligibility basis
Vintage and technology Do generation period and technology meet the selected standard? Generation records and product code
Double-counting controls Could the seller, utility, government or another customer claim the same attributes? Specific prohibitions, attestations and replacement remedy
Certification and assurance What exactly does the certification or audit cover? Current certificate or report naming the product and period
Scope 2 treatment Does the instrument fit the applicable market-based hierarchy? Accounting memo tied to the contract and reporting boundary
Failure remedies What happens if certificates are missing or invalid? Replacement deadline, indemnity and audit rights

If an offer cannot answer one of these questions, mark the item as unresolved rather than assuming the supplier’s marketing description fills the gap.

Common failure modes and fixes

“The supplier says the power is renewable, but no certificates appear.”

Request the instrument definition, registry account, IDs and retirement procedure. If the seller cannot identify certificates or an auditable contract path, do not make a renewable-use claim for that volume.

“The certificates were transferred, but not retired.”

A transfer into your account gives you control, but EPA says an environmental claim requires retirement. Complete retirement for the intended beneficiary and retain the confirmation before publication.

“The contract says environmental benefits transfer, but not who may claim them.”

Amend the agreement to grant exclusive claim rights and prohibit seller, affiliate, utility and intermediary claims. Identify any excluded attributes so neither party relies on an ambiguous phrase.

“The project is certified, so every claim must be covered.”

Check the certification’s market, product, facility-age rule, volume and period. Certification of a program or supplier does not automatically certify a different product or an unlisted project.

“Our market-based Scope 2 number is zero, so corporate emissions are zero.”

Separate the market-based electricity result from total corporate emissions. Maintain any required location-based Scope 2 figure and do not convert certificate ownership into a claim about direct emissions, offsets or total greenhouse-gas reductions.

“A spreadsheet allocation does not match registry retirements.”

Pause the claim, reconcile IDs and quantities, and obtain a corrected allocation or replacement certificates. The final file must show one retirement per claimed MWh and identify the beneficiary.

Questions to resolve before execution

The governing registry, product code, eligible geography, national disclosure rules and legally permissible wording depend on the buyer’s facilities and contract market. Obtain those facts before finalizing the clause or Scope 2 treatment. If the deal spans several countries, have local advisers confirm whether certificates can be exchanged, retired and recognized in each jurisdiction.

The strongest verification package is not a single logo or invoice. It is a consistent chain: eligible generation, documented ownership, exclusive transfer, traceable registry movement, retirement for the named buyer, and a claim limited to the supported MWh, facilities and period.
