Pre-IPO perpetual futures let eligible traders speculate on a private company’s total equity valuation before an initial public offering (IPO), usually through a USDC-settled, cash-settled derivative. They are not shares: you receive no ownership, voting rights, dividends or right to delivered stock. The safest approach is to verify that the product is legal and available to you, read its exact contract rules, cap the dollar amount you can lose, use modest leverage with surplus collateral, and make a written plan for funding, liquidation, oracle outages and any IPO-related rebase.
What a pre-IPO perpetual future actually is
A pre-IPO perpetual future is a leveraged derivative whose reference value is a private company’s total equity valuation before that company lists publicly. Coinbase describes its version as a USDC-settled perpetual contract that can trade around the clock for eligible users. You exchange cash flows based on the contract’s marked value; you do not buy a slice of the company.
The valuation reference is important. Before an IPO, the exact number of shares that will exist after a prospectus, employee conversions and new issuance may be unknown. Referencing total equity valuation avoids dividing by an uncertain share count and calling the result a “share price.” The contract’s own specification should state how that valuation is formed, which data sources feed the index or oracle, and how often the mark is updated.
Recommended Free Tools
- Settlement: USDC cash settlement rather than delivery of securities.
- Exposure: A long position gains when the contract’s reference valuation rises; a short position gains when it falls, before funding, fees and slippage.
- Duration: “Perpetual” means there is normally no fixed expiry, but the venue can define an IPO-triggered conversion, rebase or termination event.
- Rights: No shares, voting rights, dividends, information rights or claim against the issuer are created by the derivative.
A private company can change materially while the contract is open: it may raise capital, change its capital structure, delay an offering or abandon an IPO. Your position follows the contract’s specified reference methodology, not an entitlement to participate in any eventual listing.

Pre-IPO futures versus owning shares or tokenized securities
| Feature | Pre-IPO perpetual future | Private-company shares | Tokenized security |
|---|---|---|---|
| What you hold | A derivative contract with a valuation reference | An equity interest recorded through the issuer’s legal ownership system | A token that may represent a security, subject to its legal terms |
| Cash flows | USDC gains or losses from mark-to-market changes, less funding and fees | Potential dividends and eventual sale proceeds, if permitted | Rights depend on the token’s offering and governing documents |
| Voting or shareholder rights | None | Rights depend on the share class and shareholder agreement | Only if explicitly granted and legally enforceable |
| Leverage and liquidation | Usually margined; maintenance-margin failure can force a close | Normally no exchange liquidation, though private-transfer restrictions and capital calls can apply | Depends on the structure and venue |
| IPO outcome | The contract may rebase, convert or terminate under its rules | Your shares may or may not become freely tradable, depending on lockups and listing terms | Depends on the token and issuer arrangements |
The CFTC cautions that virtual-currency futures may not deliver the underlying asset and that leverage magnifies losses. A tokenized security can, in some structures, carry shareholder rights; a synthetic perpetual generally does not. Read the legal terms instead of inferring rights from a ticker, logo or marketing description.
How the contract’s price and settlement work
Valuation index and oracle
The exchange should identify the index or oracle used to calculate the contract’s mark. For a private company, possible inputs might include disclosed financing events, approved secondary transactions or an administrator’s valuation process, but you must rely on the actual specification rather than assume a particular source. Check the observation window, update frequency, fallback source, rounding, stale-data treatment and authority that can declare an exceptional event.
Ask what happens when the reference source is unavailable, contradictory or manipulated. A thin private-market transaction can differ sharply from an internal valuation. The contract should explain whether the venue can pause trading, use a fallback value, widen a price band or settle using a determination committee.

Mark price, index price and liquidation price
Many derivatives venues use an index price to represent the reference market and a separate mark price to calculate unrealized profit and loss and liquidation. A last-traded price can move because of a single small order; a mark price may be smoothed or derived from the index. Record which price triggers maintenance-margin checks and whether an emergency mark can be declared.

Funding payments
Perpetual contracts commonly exchange funding between longs and shorts at scheduled intervals. The exact interval, cap, calculation and payer can differ by product. Funding can turn a position that is directionally correct into a loss if you hold it for long enough, so include an adverse-funding assumption in your trade plan. Verify whether funding is debited from available collateral, realized balance or position margin.
Rebasing around an IPO
Coinbase says a pre-IPO contract may rebase to a per-share stock perpetual after a final prospectus and public share count are available, and that it may rebase earlier when reliable share-count information appears. A rebase changes the economic reference: total equity valuation is not the same unit as per-share price. The notice should state the conversion ratio, timing, treatment of open positions, mark-price adjustment and whether trading is paused.
Do not assume that an IPO automatically produces a normal, continuously tradable stock market. Listing delays, lockups, a changed share count, a failed offering or a venue decision to close the derivative can all affect the result.
Safety workflow before opening a position
- Confirm legal eligibility. Check the exchange’s current terms for your country or territory, residency, customer category and product permissions. “Available to eligible users” is not a complete jurisdiction list. Confirm whether local rules classify the product as a futures contract, CFD, security, or another derivative and whether a professional-client election is required.
- Save the complete contract specification. Download or record the symbol, valuation formula, index and oracle sources, trading schedule, tick size, minimum and maximum order, funding formula, fee schedule, initial and maintenance margin, liquidation process, insurance-fund or auto-deleveraging rules, rebase triggers, outage procedure, dispute process and governing law.
- Verify the collateral currency and custody. Confirm that USDC is the required margin asset, which network and wallet are supported, how conversions are priced, and whether collateral can be rehypothecated. Separate trading collateral from money needed for living expenses or taxes.
- Define the maximum dollar loss first. Choose a fixed amount you can lose without changing essential plans. Do not start with “how much margin can I post?” Position notional, entry price, stop or exit level, fees and expected funding should fit inside that loss budget.
- Set conservative leverage. Use the lowest leverage that makes the trade practical. High leverage leaves little room for a valuation mark to move, a funding debit to accumulate or an oracle adjustment to occur. If isolated margin is offered, use it to ring-fence the position rather than expose the whole account.
- Keep a collateral reserve. Maintain excess margin for normal volatility and funding. A reserve is not a reason to keep adding to a losing trade; decide in advance when you will close instead of transferring more collateral automatically.
- Place protective controls. Set alerts for mark price, maintenance-margin ratio, funding rate, index interruption, contract notices and approaching rebase dates. Confirm whether stop orders trigger on last, mark or index price and what happens during a trading halt.
- Write the IPO decision tree. Choose whether you will close before a prospectus, share-count disclosure, listing, or announced rebase. Define what evidence would make you hold, reduce or exit, and record the deadline in your calendar.
- Test the operational path. Before using meaningful size, verify deposits, withdrawals, order cancellation, API permissions, two-factor authentication, recovery contacts and how to reach support during an outage. A sound thesis is irrelevant if you cannot reduce the position.
Position sizing: risk the loss, not the margin
Leverage changes the collateral required, not the underlying economic exposure. A 10,000 USDC notional position can lose roughly 1,000 USDC from a 10% adverse move before fees and funding whether it is opened with 2,000 USDC or 500 USDC of margin. The smaller-margin version reaches liquidation sooner.

A practical sizing calculation
- Set a maximum loss in USDC, for example 300 USDC.
- Estimate the adverse valuation move at which you will exit, such as 6%.
- Reserve an allowance for entry and exit fees, expected funding and slippage.
- Compute approximate notional as the loss budget divided by the planned adverse move, after subtracting those costs. A 300 USDC budget and 6% move imply no more than about 5,000 USDC notional before costs; your actual contract may require a smaller amount because of gap risk and liquidation mechanics.
- Check that the resulting initial and maintenance margin leave a separate collateral buffer.
This is a planning method, not a guarantee. Private-company valuation marks can gap, the venue can halt or rebase, and a stop order may execute worse than its trigger. Treat the calculated size as an upper bound and reduce it when the index is opaque, liquidity is thin or an event is imminent.
Why maximum leverage is especially hazardous here
The CFTC states that profits and losses related to virtual-currency volatility are amplified in margined futures contracts. A private-company reference may react discontinuously to a funding announcement, regulatory filing, lawsuit or rumor. Liquidation can occur before the company lists and without any final IPO price. A low advertised margin requirement does not make the exposure low risk.
Understanding liquidation and avoiding forced closure
Liquidation normally begins when the account’s equity falls below maintenance margin, using the venue’s mark-price methodology. The venue may cancel orders, partially or fully close the position, charge a liquidation fee, draw on an insurance fund or apply auto-deleveraging. Read the sequence; do not assume you will receive a discretionary phone call.

- Gap and halt risk: Trading may resume at a materially different price, leaving little opportunity to exit.
- Cross-margin contagion: If positions share collateral, a loss in one contract can liquidate another. Isolated margin can limit that spillover where the venue supports it.
Use the exchange’s liquidation calculator with the actual contract parameters, then stress-test a larger move, an unfavorable funding rate and several hours without trading. Keep alerts well above the liquidation threshold so you have time to act.

Legal, regulatory and investor-protection checks
Availability is not the same as authorization. The SEC and CFTC issued a joint interpretation on March 17, 2026, effective March 23, 2026, addressing when crypto assets and transactions fall under federal securities laws, including investment-contract and digital-security treatment. The classification of a particular pre-IPO future depends on its structure, venue and jurisdiction; the interpretation does not turn every product into a permitted retail investment.
For European users, ESMA’s February 24, 2026 statement says perpetual products may fall within CFD intervention measures. Depending on classification and client status, relevant protections can include leverage limits, standardized risk warnings, margin close-out, negative-balance protection where applicable, appropriateness assessments and conflict-management controls. Confirm which protections actually apply to your account and product.
For any jurisdiction, check the legal entity operating the venue, its authorization register entry, terms of business, complaint route, segregation or custody disclosures and restrictions on residents. A VPN or an address borrowed from another country does not establish eligibility and can breach the venue’s terms.
How to compare crypto exchanges offering these contracts
| Comparison question | Evidence to collect | Why it matters |
|---|---|---|
| Authorization and geography | Regulatory entity, license or registration, permitted countries and client categories | Determines whether you may lawfully access the product and which protections apply |
| Contract definition | Total-valuation formula, unit, tick size, limits and corporate-action language | Shows what your position actually tracks |
| Rebase trigger | Prospectus, share-count disclosure, listing, administrator decision and notice period | Determines when your exposure can change |
| Index and oracle | Sources, update frequency, fallback, stale-data and manipulation controls | Reveals how marks are produced when private data is scarce |
| Margin and liquidation | Initial and maintenance schedules, mark price, partial liquidation, insurance fund and auto-deleveraging | Defines how quickly a losing trade can be closed |
| Funding and fees | Interval, formula, caps, maker/taker fees, settlement and withdrawal charges | Determines the cost of holding and exiting |
| Liquidity | Order-book depth, size limits, spread and market-impact disclosures | Thin liquidity increases slippage and gap risk |
| Collateral and custody | USDC network, segregation, rehypothecation, conversion and withdrawal rules | Collateral can be exposed to operational or counterparty failures |
| Client protections | Negative-balance policy, close-out rules, appropriateness checks and conflicts policy | Clarifies whether losses can exceed posted collateral and how suitability is assessed |
| Resilience and disputes | Outage plan, status history, incident notices, market-manipulation controls and appeal process | You need a remedy when the market or interface fails |
Do not compare exchanges using headline leverage alone. A venue with lower leverage but clearer oracles, deeper liquidity and stronger close-out controls may produce a more controllable risk profile.

Managing an open position
Daily checks
- Review mark price, index value, unrealized P&L, maintenance-margin percentage and available collateral.
- Record the next funding time and the rate direction; recalculate the cost if the rate changes.
- Read contract notices for oracle changes, trading limits, extraordinary events and rebase announcements.
- Check order status and API or platform health before relying on a stop or take-profit order.
- Confirm that your original thesis still concerns valuation, not a desire to recover a loss.
When to reduce or exit
Reduce exposure when the position approaches your pre-set loss limit, when funding consumes the expected edge, when the index becomes unverifiable, when liquidity deteriorates, or when an IPO event creates an exposure you did not intend to hold. Close before a known rebase if you cannot model the conversion and accept the new reference.
What to do during an outage
Capture screenshots or export records showing balances, orders, timestamps, mark and index values, and error messages. Use the venue’s published incident channel and support route. Do not assume that an outage cancels liquidation obligations; the contract’s outage clause controls. If you maintain a hedge elsewhere, remember that a hedge may be impossible to adjust while one venue is offline.
IPO and rebase decision checklist
- Identify the exact event in the notice: filing, final prospectus, share-count publication, listing, or an administrator determination.
- Read the conversion formula and confirm whether notional, contract size, tick value and margin parameters change.
- Determine the effective timestamp, any trading pause and the treatment of pending orders.
- Calculate the resulting exposure in the new unit. A total-valuation contract and a per-share contract should not be treated as interchangeable.
- Decide whether to close, reduce or accept the converted position before the deadline.
- Save the notice and your account statement so you can reconcile the post-event balance.
If the IPO is cancelled, delayed or repriced, the derivative may continue under its pre-IPO rules or be settled under an extraordinary-event clause. The issuer’s public announcement does not override the exchange contract.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteCommon mistakes and fixes
| Mistake | What can go wrong | Safer correction |
|---|---|---|
| Calling the contract “shares” | You expect voting, dividends or delivery that the derivative does not provide | Describe it as a USDC-settled valuation exposure and read the rights section |
| Using the maximum leverage shown | A modest valuation move triggers liquidation | Choose leverage after setting a dollar loss cap and collateral reserve |
| Ignoring funding | Holding costs erase a correct directional view | Model funding for the intended holding period and set a review point |
| Relying on the last price | Mark-price liquidation occurs while the chart appears safe | Monitor mark, index and maintenance margin separately |
| Assuming an IPO guarantees profit | A rebase, dilution, delay or failed offering changes the exposure | Follow the written event rules and make a pre-event exit decision |
| Adding collateral automatically | You increase the amount at risk without reassessing the thesis | Require a fresh decision before every collateral transfer |
| Using a VPN to bypass restrictions | The account can be frozen or the trade deemed unauthorized | Trade only when your actual residence and account category are eligible |
| Assuming a crypto hedge offsets the contract | Different references move independently | Stress-test basis risk and size the hedge conservatively |
Questions to answer before you click Buy or Sell
- Can I legally access this exact derivative from my current residence and account type?
- What does one contract represent, and what data determines its mark?
- What event causes a rebase, and what will my position become afterward?
- At what dollar loss will I exit, and is that level safely above liquidation?
- How much funding, fee and slippage cost can I tolerate?
- What happens if the oracle is stale, the market is halted or the exchange is offline?
- Am I comfortable losing the entire allocated collateral without receiving shares or any claim on the company?
Bottom line for safer trading
Use a pre-IPO perpetual only as a high-risk, limited-size derivative position. Verify jurisdiction and account eligibility, document the valuation and oracle rules, size from a predefined USDC loss rather than available margin, avoid maximum leverage, retain surplus collateral, monitor funding and mark-price liquidation, and decide how you will handle an IPO rebase before entering. The contract can be liquidated while the company remains private, and a successful IPO does not convert your derivative into ownership.
