To open a game studio in Brazil, first validate the proposed address and activity with the municipality and state, then choose a legal form and tax regime with a Brazilian accountant, and complete the integrated REDESIM/CNPJ registration. Registration is only the foundation: you must also confirm the correct CNAE, obtain any operating licenses, document ownership of the game and code, budget production and compliance, and decide early whether you will sell in Brazil, export, or pursue public support.
Law 14.852/2024 created a national framework for the electronic-games sector. It recognizes several entity forms, including MEI, and provides a special games-fostering treatment for qualifying businesses with prior-year gross revenue of up to R$16,000,000. That ceiling is not a universal tax limit and does not make every studio eligible. Eligibility depends on the statutory criteria, including innovation or Inova Simples conditions, and on how the rules are implemented in the registries.
What you are actually setting up
A “studio” can be one founder making a commercial game, a distributed team producing for a publisher, a service company creating art or engineering for clients, or a product company that owns and operates its own games. Those models have different cash-flow, contract, hiring, tax and funding consequences.

- Product: original intellectual property, commissioned work, co-development, or a mix.
- Platform: PC, console, mobile, web, virtual reality or multiple platforms.
- Customers: Brazilian consumers, overseas players, publishers, platform holders or business clients.
- Founders: who contributes cash, equipment, code, art, design, management or existing IP.
- Revenue: premium sales, free-to-play purchases, subscriptions, licensing, outsourcing or grants.
This definition drives the company name and activity description, the CNAE discussion, contracts between founders, the budget and the evidence you may need for a funding or export program.
Law 14.852/2024: the framework for Brazilian game businesses
Law 14.852/2024 recognizes electronic games as an economic and cultural activity and lists individual entrepreneurs, business companies, cooperatives, simple companies and MEIs among forms that may qualify for its special games-fostering treatment. A qualifying business must also meet the law’s substantive conditions, which can include innovation or the Inova Simples framework, and must have prior-year gross revenue of no more than R$16,000,000.
The R$16 million figure is a prior-year gross-revenue ceiling for that statutory treatment. It is not permission to ignore the limits of your chosen tax regime, nor does it guarantee a tax reduction, grant or simplified licensing. Ask your accountant to test the facts of your business against the current law, regulations and registry practice before relying on it in a financial model.

The statute names MEI among the potentially eligible forms, but that does not by itself place game development on every current MEI occupation list or remove MEI revenue, employee and activity restrictions. Confirm whether the exact activity can be registered as MEI at the time you apply. If it cannot, an individual entrepreneur or company under another regime may be required.

The CNAE code is still a registration issue to verify
The law states: “A Fundação Instituto Brasileiro de Geografia e Estatística (IBGE) disponibilizará código específico na Classificação Nacional de Atividades Econômicas (CNAE) para empresas desenvolvedoras de jogos eletrônicos.” The existence of that statutory direction does not tell you which code your municipal and federal systems will accept today. Have the accountant and the registration office confirm the current CNAE implementation, principal activity and any secondary activities such as software development, publishing, animation or training.
Choose the legal form and tax regime together
Legal form determines ownership, governance and liability; the tax regime determines how revenue and taxes are calculated and reported. They are related decisions but not the same decision. The following comparison is a decision map, not a substitute for an accounting opinion.
| Structure named in Law 14.852/2024 | When founders may consider it | Questions to resolve before filing |
|---|---|---|
| Individual entrepreneur | A single owner operating directly | How personal liability, investment, succession and future partners will be handled |
| Business company | Two or more owners, or a venture that needs formal equity and governance | Capital contributions, voting, profit distribution, exit rights and IP held by the company |
| Simple company | A professional or collaborative activity that fits the applicable civil-company rules | Whether the proposed activities and partners fit the registry’s requirements |
| Cooperative | A member-owned production or service model | Member governance, distribution rules and whether the operating model is genuinely cooperative |
| MEI | A qualifying solo microbusiness with an activity and revenue within current MEI rules | Whether game development is an accepted occupation, the current limits, and what happens when the studio outgrows them |
Ask for a written comparison of at least the available tax regimes, expected monthly revenue, payroll, contractor invoices, export receipts, deductible costs and the R$16 million statutory ceiling. A cheap registration can become expensive if the activity is classified incorrectly or if the company later needs to change ownership, issue equity or receive investment.

- Document the founders and IP before production. Sign a founders’ agreement covering roles, contributions, vesting or departure, decision rights, confidentiality, conflict handling and ownership of code, art, music, design documents, trademarks and domain names. If a founder brings pre-existing assets, list them and license or assign them explicitly.
- Check address and activity feasibility. Use the municipality’s and state’s feasibility procedures for the proposed address, business name and activities. A home address, shared office or virtual office may have different zoning and licensing consequences. Do not sign a long lease before the activity is accepted at that address.
- Select the legal form and tax regime. Give the accountant your product plan, expected domestic and foreign revenue, payroll, contractor model, investment plans and whether you may seek Inova Simples or the Law 14.852 treatment. Obtain the registration name and activity wording that match the advice.
- Submit the first establishment through REDESIM. The integrated process connects feasibility, legal-name approval, tax-regime selection and the federal CNPJ application. Enter the same address, activities, partners and legal form in every stage; inconsistencies commonly stop the application.
- Complete state and municipal registrations. Depending on the activity and location, the company may need state taxpayer registration, municipal registration, an operating license, a fire-safety approval, signage authorization or other local permits. A CNPJ alone is not proof that the premises may operate.
- Confirm the CNAE and licenses with the registry. Print or save the accepted activity codes and license requirements. If the specific game-developer CNAE is not yet available in the local system, ask how the registry wants the activity described and whether a secondary code is needed.
- Open business finance and records. Use a company bank account, establish an invoice process, retain contracts and receipts, and separate founder expenses from company expenses. Set a monthly close date so revenue, taxes, payroll and runway are visible.
- Review the setup before hiring or signing a publisher. Check that the entity can employ people, contract freelancers, receive foreign currency, assign IP and sign platform or publishing agreements. Correcting ownership after a milestone or investment is far harder than fixing it before production.
Build the production and cash plan before seeking money
A studio becomes financeable when it can show what will be built, by whom, for which platform, at what cost and with what evidence of progress. Use a staged plan rather than one undifferentiated budget.

| Stage | Deliverables to define | Cost and risk questions |
|---|---|---|
| Concept and prototype | Core loop, target audience, technical assumptions and a playable test | Which assumption could invalidate the project, and what is the cheapest test? |
| Vertical slice | A representative section with final-intent art, audio, interface and performance targets | Can the team reproduce this quality at scale, and are external assets properly licensed? |
| Production | Milestones, build pipeline, source control, content schedule and acceptance criteria | How much capacity is reserved for rework, certification fixes and staff turnover? |
| QA and localization | Test matrix, bug severity rules, accessibility checks, language plan and compliance documentation | Who owns testing on each platform, and which languages are funded? |
| Launch and live operations | Store assets, pricing, support process, patches, analytics and post-launch roadmap | What cash is needed after launch, and who can approve emergency updates? |
Keep separate budgets for payroll, contractor invoices, software and hardware, legal and accounting, localization, platform fees, marketing, travel, taxes and a contingency reserve. A publisher or public program may evaluate the project as well as the company, so maintain a clean chain of title for every asset.
Employment, freelancers and ownership of the game
Decide whether each role is an employee, an independent contractor or a supplier company based on how the work is actually controlled and delivered, not only on the label in a contract. Have Brazilian counsel review recurring relationships, working hours, supervision, exclusivity, equipment, payment and termination terms.
Every contributor agreement should address:
- Identification of the exact deliverables and acceptance process.
- Assignment or license of economic rights in code, art, writing, music, voice, tools and documentation.
- Confidentiality, publicity rights, portfolio use and handling of third-party assets.
- Payment milestones, taxes, expenses, source-file delivery and warranties that the work is original or properly licensed.
- What happens if a contributor leaves, misses a milestone or disputes authorship.
Founders should sign the same kind of IP documentation as outside contributors. A company that paid for a game but cannot prove its rights may have difficulty licensing it, raising investment or passing a platform review.
Public funding and cultural incentives
The Ministry of Culture has announced that games projects may use Audiovisual Law tax-incentive pathways, subject to rules to be defined by Ancine. Treat the announcement as a route to monitor, not as an open grant or guaranteed approval. Ancine rules, eligible expenses, proponent requirements, reporting and approval procedures determine whether a particular project can use the mechanism.

- Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft
The Ministry has also announced two planned initiatives for 2027, each estimated at R$50 million, and has publicized Rouanet Games guidance and training. The estimates describe the announced scale of the initiatives; they do not promise that every studio will receive funds or that calls will open on a particular date.
Prepare an application-ready evidence pack
- Corporate registration, tax status and proof that the company is authorized to perform the stated activity.
- Game design document, prototype or vertical slice, production schedule and milestone budget.
- Founder and contributor CVs, portfolio links and a staffing plan.
- IP-chain documents, licenses for middleware and external content, and a rights-clearance log.
- Distribution, audience, accessibility, localization and sustainability plans where the call requests them.
- A dedicated accounting and reporting process so project money can be traced to approved costs.
Do not book an incentive as committed revenue until the responsible authority has approved the project and the applicable rules are published.

Decree 13.138/2026 directs the Special Secretariat of Brazil’s Federal Revenue and other federal agencies involved in foreign trade to adopt measures simplifying customs procedures for tools essential to game development. The decree is a direction to simplify procedures, not a blanket exemption from duties, licensing, classification or documentation.
Recommended Free Tools
Before importing hardware, development kits or other essential tools, ask the customs broker and accountant to confirm the tariff classification, importer-of-record details, invoice description, applicable taxes, agency approvals and record-keeping. Keep evidence explaining why an item is essential to development. Wait for the implementing procedures that apply to your shipment rather than assuming the decree changes the treatment automatically.

Exporting and finding publishers
International sales change the studio’s contract, currency, tax, localization and support needs. Price the game in the target market, decide which party pays platform and payment-processing fees, define who owns regional marketing assets, and set a process for refunds, chargebacks, customer support and content updates.
The Brazil Games program associated with Abragames and ApexBrasil is a route for Brazilian studios seeking international promotion and business opportunities with buyers, investors and publishers. It can be useful for business matchmaking, trade missions and visibility, but current enrollment, eligibility, schedules and services must be verified with the program before you rely on them.
Make the studio ready for a publisher meeting
- A playable build and a short video showing the core loop.
- A one-page pitch with genre, platform, audience, differentiator, status and funding need.
- A milestone budget that separates already-spent, committed and future costs.
- Evidence that the company owns or controls all material in the build.
- Clear answers on team availability, launch territories, localization, platform targets and post-launch support.
- A proposed deal checklist covering advances, recoupment, revenue share, marketing commitment, milestones, termination and rights reversion.
Common setup mistakes and how to correct them
| Mistake | Why it causes trouble | Correction |
|---|---|---|
| Registering before checking the address | The municipality may reject the activity or require licenses that the premises cannot obtain | Run feasibility first and keep the accepted result with the incorporation records |
| Assuming MEI status is available because the law mentions MEI | The occupation list, revenue limits and implementation rules still control enrollment | Confirm the current occupation and limits; choose another structure if necessary |
| Using a generic software CNAE without checking game activity | Activity codes affect registration, invoices, licenses and program eligibility | Ask the accountant and registry to confirm the principal and secondary CNAEs |
| Mixing founder and company IP | The studio may be unable to prove ownership to a publisher, investor or platform | List pre-existing assets and execute assignments or licenses before production |
| Hiring everyone as a contractor by default | The actual working relationship may create employment and payment liabilities | Classify roles based on real conditions and obtain local legal advice |
| Treating announced funds as guaranteed | Calls, rules, dates and approvals can change | Track official notices and keep a budget that survives without the award |
| Importing on the assumption that the 2026 decree removes taxes | The decree directs simplification but does not itself settle every shipment | Confirm classification, documents and implementing procedures before dispatch |
| Waiting until launch to plan exports | Localization, ratings, payment, support and rights decisions become expensive to change | Set target territories and contract responsibilities during production |
A practical first-year control list
- Keep the feasibility result, CNPJ certificate, accepted CNAEs and every license in one compliance folder.
- Maintain a cap table or ownership register and signed IP agreements for every founder and contributor.
- Close the books monthly and reconcile invoices, payroll, contractor payments, foreign receipts and taxes.
- Review the R$16 million prior-year gross-revenue ceiling and the other Law 14.852 criteria whenever revenue or business structure changes.
- Maintain a milestone dashboard linking spend, staffing, build quality, bugs, localization and platform requirements.
- Monitor Ministry of Culture, Ancine, Abragames and ApexBrasil announcements for published rules and application windows.
- Recheck customs procedures before every imported development tool, especially while Decree 13.138/2026 implementation evolves.
- Have a lawyer review publisher, platform, music, voice, outsourcing and localization contracts before signature.
The strongest sequence is deliberate: validate the premises and activity, form the right entity, secure IP ownership, build a measurable production plan, and only then pursue incentives or international deals. That order keeps a promising game from being trapped by an incorrect registration, unclear rights or an unrealistic cash plan.
