The right filing depends on the question you are asking. A company’s DEF 14A proxy and a beneficial-ownership Schedule 13D or 13G show significant ownership reported by people, funds, or groups. A manager’s Form 13F-HR shows specified securities over which an institutional manager has investment discretion. An individual mutual fund’s N-PORT and shareholder report show that fund’s portfolio, while N-PX shows how it voted. These records have different filers, security coverage, dates, and legal purposes, so none should be treated as a live, complete shareholder register.
This guide shows how to find the relevant record in EDGAR, identify the reporting person and date, read shares and market value together, distinguish investment discretion from voting authority, and describe a delayed disclosure without overstating what it proves.
Choose the filing that answers your question
“Mutual fund ownership” can refer to several different facts. You might want to know which holders own more than five percent of a company’s voting class, what an investment manager reported across client accounts, what one named mutual fund held, or how that fund voted. The filing types below are not interchangeable.
Recommended Free Tools
| Filing | Reporting entity | Question it answers | Coverage and timing |
|---|---|---|---|
| DEF 14A definitive proxy | Issuing company | Which directors, officers, and other persons or groups are reported as beneficial owners, including holders above the applicable threshold? | Ownership information presented for the company’s proxy process; the proxy identifies the relevant “as of” date. |
| Schedule 13D | Beneficial owner or group | What beneficial ownership and related intentions has a reportable holder disclosed? | Generally associated with ownership above five percent of a registered voting class, subject to eligibility and amendment rules. |
| Schedule 13G | Eligible beneficial owner or group | What ownership has a qualifying passive or otherwise eligible holder reported? | Also connected to beneficial-ownership reporting, but eligibility, deadlines, and amendments depend on the filer and applicable rules. |
| Form 13F-HR | Institutional investment manager | Which reportable Section 13(f) securities did the manager hold in accounts over which it exercised investment discretion? | Quarterly holdings report with a filing window of up to 45 days after the quarter ends; it covers only securities on the SEC’s periodically updated 13F list. |
| N-PORT | Registered investment company or fund | What securities were in a particular mutual fund’s portfolio? | Fund-level portfolio reporting, with holdings included in an exhibit and information not reported on Form N-CSR identified by the SEC guide. |
| N-CSR or N-CSRS shareholder report | Registered investment company or fund | What did the fund report about its operations, financial statements, and portfolio? | Annual or semiannual shareholder reporting, depending on the fund’s reporting cycle. |
| N-PX | Registered investment company or fund | How did the fund vote on proxy proposals for portfolio holdings? | Proxy-voting record; it answers a voting question, not a current-ownership question. |
The SEC’s EDGAR filing guide is the practical starting point for distinguishing these records. Begin with the company’s filings for company-level ownership, the manager’s filings for 13F information, and the fund’s own filings for portfolio and voting details.

Find the filing in EDGAR
Start with the company record
- Search EDGAR by the company’s legal name or ticker.
- Review the filing-type filters for DEF 14A, SC 13D, and SC 13G. A company’s filing list can also help you identify the exact class of stock and its CIK.
- Open the document rather than relying on a search-result snippet. Record the filing date and every “as of” or reporting date shown in the ownership table.
A proxy is often the quickest way to see the company’s own presentation of directors, officers, and large beneficial owners. It does not list every mutual fund investor. A fund can be economically exposed to a company without appearing as a named holder in the proxy, particularly when ownership is reported through an investment manager or falls below a reporting threshold.
Locate a manager’s 13F history
- Identify the investment manager’s legal entity, not just a fund’s marketing name.
- Search that manager’s EDGAR record for 13F-HR filings and open the holdings report for the quarter you need.
- Check whether the filing is a holdings report, a notice, or a combination report. Read the cover page for other managers included in the report.
A manager may report securities for multiple accounts or in a relationship with other managers. Treat the legal filer and any listed managers as part of the interpretation; do not add figures from overlapping reports until you understand who has discretion and whose accounts are included.
Search the fund’s own record
- Find the registered investment company or series name in EDGAR. A fund family may have several legal registrants and share classes.
- Filter for N-PORT to examine portfolio holdings, and for N-CSR or N-CSRS to read the annual or semiannual shareholder report.
- Use N-PX when the question concerns proxy votes rather than the number of shares held.
Matching the legal fund name matters. A manager-level 13F can combine positions from many funds and separate accounts, whereas N-PORT identifies the portfolio of the particular registered fund that filed it.

DEF 14A: the issuer’s ownership snapshot
A definitive proxy statement identifies beneficial ownership by directors and officers and by any person or group the company reports above five percent of a voting class. Read the ownership table’s explanatory footnotes: they may attribute shares through a parent, trust, controlled entity, or voting arrangement. The table’s date is the date selected for that proxy, not necessarily the date you opened the filing.
Use the proxy to answer, “Who does the company report as a significant beneficial owner for this meeting or filing?” Do not use it as proof that every mutual fund holding is disclosed. It is an issuer document with a defined scope and purpose.
Schedules 13D and 13G: beneficial-owner reports
Schedules 13D and 13G are filed by beneficial owners or groups that meet applicable reporting requirements. The SEC guide summarizes the connection with more than five percent ownership of a registered voting class, while Schedule 13G is the route available to eligible passive or otherwise qualifying filers. Eligibility, amendment timing, and the information required can differ, so do not state that every holder above five percent files the same schedule.

Read the filer’s identity, the class of securities, the number and percentage beneficially owned, and the date those figures were calculated. A Schedule 13D can include information about the filer’s plans or proposals; a 13G has a different eligibility framework. Neither label alone proves an activist or passive motive beyond the legal basis for that filing.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsUnderstand what Form 13F-HR actually reports
The threshold and filing schedule
Form 13F-HR is a manager-level report. The Form 13F instructions require an institutional investment manager to report when the aggregate fair market value of Section 13(f) securities in accounts over which it exercises investment discretion is at least $100 million on the last trading day of any month in a calendar year. The threshold is measured for the manager’s qualifying accounts, not for one named mutual fund alone.
A required report is due within 45 days after the end of the calendar year and within 45 days after each of the first three calendar quarters of the subsequent year. Consequently, a filing can describe a quarter that ended weeks earlier. Always state both dates: the reporting-period end and the EDGAR filing date.
Security coverage is limited
Form 13F does not cover every equity security, every mutual-fund holding, or every asset in a manager’s accounts. It covers securities on the SEC’s periodically updated Section 13(f) list. The instructions state: The official list of Section 13(f) securities published by the Commission (“13F List”) lists the securities the holdings of which a Manager is to report on Form 13F.
Check the issuer, title or class, and CUSIP against the filing instead of assuming that a company-name text match captures the entire position.
A manager can report several classes of the same issuer on separate lines. Preferred stock, common stock, convertible securities, and options may have different titles, CUSIPs, and put/call designations. The line item, not a casual ticker search, is the unit you should interpret.

The 13F table presents market value and a share or principal amount, along with the security title and, where applicable, a put or call designation. Market value is not a share count. A position’s reported value can rise because the security price rose even if the manager held exactly the same number of shares. Conversely, a falling price can reduce value without a sale.

To describe a change between quarters, compare the share or principal amount, the security class, and both period-end dates. Say that the reported share count increased or decreased only when the filings support that conclusion. If only market value changed, describe a value change and identify price movement as a possible explanation rather than asserting a purchase or sale.
Investment discretion is not voting control
Form 13F includes fields for sole and shared investment discretion, other managers, and sole, shared, or no voting authority. Investment discretion concerns who makes the investment decision for the account. Voting authority concerns who can vote the securities. A filer may have investment discretion while voting authority is shared or absent.
When quoting a line, inspect these fields and any cover-page explanation. Do not write that the manager alone controls every vote merely because it reported the position. For a fund’s actual voting record, use N-PX.
Account for report type and manager relationships
A 13F submission may be a holdings report, notice, or combination report. The filing can identify other managers when securities are reported on their behalf or discretion is shared. Those relationships are a warning against simply summing every manager’s number. Overlapping reports can represent the same underlying securities.
Record the filer’s legal name, any other managers listed, the report type, and the period covered before calculating a total. If the relationship is unclear, report the line as filed and explain that the filing identifies shared or delegated discretion rather than presenting an independently verified aggregate.
Use N-PORT and shareholder reports for an individual fund
N-PORT: the fund portfolio question
N-PORT is the appropriate source when the question is, “What did this particular mutual fund hold?” It is a fund-level filing and includes portfolio holdings in an exhibit. The SEC guide also identifies holdings not reported on Form N-CSR. Match the fund’s legal registrant, series, portfolio date, security description, class, and quantity.

N-PORT can answer a more precise question than a manager’s 13F: whether a specific fund reported a position at its portfolio date. It still is not a live feed. Use the portfolio date in your description and avoid converting a historical filing into a statement about today’s position.

N-CSR and N-CSRS: operations and financial statements
Annual and semiannual shareholder reports describe fund operations and include holdings and financial statements. They can provide context that a tabular N-PORT record does not, such as the reporting period, financial statements, and the fund’s formal shareholder communication. Check whether you are viewing an annual or semiannual report and use its stated period.
N-PX: how the fund voted
N-PX records the fund’s proxy votes on proposals for underlying holdings. It answers “How did the fund vote?” rather than “How many shares did the fund own today?” A 13F voting-authority field and an N-PX vote serve different purposes: the former describes authority reported with a manager’s position, while the latter records the fund’s disclosed voting decisions.
Compare filings without mixing their numbers
| If you need to know… | Start with… | Then verify… |
|---|---|---|
| Whether a person or group is a significant beneficial owner of the company | DEF 14A, 13D, or 13G | Class of voting securities, ownership date, filer eligibility, and amendments. |
| What an institutional manager reported across qualifying accounts | 13F-HR | 13F period end, filing date, Section 13(f) coverage, discretion, and other managers. |
| What one mutual fund held | N-PORT or the fund’s shareholder report | Legal registrant, series, portfolio date, security class, and quantity. |
| How that fund voted | N-PX | Proposal, meeting or vote date, shares voted, and the fund series identified in the report. |
These filings can legitimately show different numbers because they describe different entities, dates, and scopes. A manager’s 13F may aggregate several funds, while one fund’s N-PORT is narrower. A proxy may attribute beneficial ownership under a legal rule that is not the same as investment discretion. The difference is not automatically an error.
A disciplined workflow for quoting a position
- Define the question. Write down whether you need significant beneficial ownership, manager holdings, a named fund’s portfolio, or voting behavior.
- Identify the reporting entity. Record the issuer, beneficial owner, manager, or registered fund’s legal name. Include other managers named in a 13F.
- Record both dates. Capture the period end or ownership “as of” date and the EDGAR filing date. For a 13F, describe the position as historical because the filing may arrive 45 days after the period ends.
- Match the security exactly. Verify issuer, title or class, CUSIP, and put/call status where applicable.
- Read quantity and value together. Compare shares or principal amount with market value and do not infer a trade from value alone.
- Separate discretion from voting. Note sole, shared, or no investment discretion and sole, shared, or no voting authority.
- Check report relationships. Determine whether the filing is a holdings, notice, or combination report and whether another manager may report the same securities.
- Use the fund filing for fund-level conclusions. Switch to N-PORT or a shareholder report for a named fund, and to N-PX for its votes.
- Write a bounded conclusion. State exactly what was reported, for which date and filer, and avoid claims about current ownership, conviction, or control that the filing cannot establish.
Common mistakes and how to fix them
Calling a 13F a current position
Mistake: “The manager owns these shares now.” Fix: Say, “The manager reported this position as of the quarter-end date in its 13F filed on [filing date].” The filing date is not the holdings date.

Equating market value with buying or selling
Mistake: Calling a larger dollar value a purchase. Fix: Compare the reported share or principal amount and the period dates. Attribute a value-only change cautiously.
Adding overlapping manager reports
Mistake: Summing a manager’s 13F with another manager’s report without checking relationships. Fix: Read the cover page, report type, other-manager fields, and discretion information first.
Confusing investment discretion and voting authority
Mistake: Saying the filer controls every vote. Fix: Quote the relevant discretion and voting-authority fields separately; consult N-PX for the fund’s disclosed vote.

Assuming a 13G proves passive intent in every situation
Mistake: Treating the schedule label as a universal statement of motivation. Fix: Describe the filer as using the eligible reporting route and check the applicable conditions, amendments, and SEC interpretations.
Matching only by company name
Mistake: Combining lines that share a company name but represent different classes. Fix: Verify title, class, CUSIP, and option designation.
What these disclosures can and cannot prove
A disclosure is evidence of what a specified filer reported for a specified period and purpose. It can establish that a manager reported a qualifying security, that a proxy identified a beneficial owner, that a fund listed a holding, or that a fund disclosed a vote. It does not by itself prove present ownership, the manager’s investment conviction, an intention to influence control, or the absence of other exposure.
For a responsible sentence, include four elements: the filer, the security, the reported quantity or value, and the relevant date. Add the form and explain any material limitation, such as 13F’s Section 13(f) list or a shared-discretion relationship. This wording lets readers distinguish a documented filing fact from an inference.
Quick checklist
- Have you selected the form that answers your actual question?
- Did you identify the legal filer and any related managers or fund series?
- Did you record the reporting or ownership date separately from the filing date?
- Did you match issuer, class, title, and CUSIP?
- Did you read shares or principal amount alongside market value?
- Did you check investment discretion and voting authority as separate fields?
- Did you avoid treating 13F as complete, real-time, or fund-specific when it is not?
- Did you use N-PORT or a shareholder report for a named fund and N-PX for votes?
- Does your wording describe the filing without claiming more than it establishes?
Bottom line
There is no single “mutual fund ownership” filing. Use the company’s DEF 14A or a 13D/13G for significant beneficial ownership, a manager’s 13F-HR for qualifying Section 13(f) securities reported under investment discretion, and N-PORT or shareholder reports for a particular fund’s portfolio. Use N-PX for voting. In every case, anchor the interpretation to the filer, security class, reporting date, filing date, quantity, value, discretion, and voting authority. That discipline prevents the most common error: presenting a limited, delayed disclosure as a complete and current picture of ownership.
