To read a company’s bitcoin correctly, first identify whether the filing uses the pre-2025 U.S. GAAP model or the fair-value model required by FASB Accounting Standards Update (ASU) 2023-08. Before adoption, qualifying bitcoin was generally an indefinite-lived intangible asset carried at cost less impairment. After adoption, it is measured at fair value at each reporting date, with both unrealized increases and decreases recognized in net income.

That accounting change affects nearly every number you see: the balance-sheet amount, the income-statement line, the meaning of “impairment,” the cost-basis calculation, and the comparability of one year with the next. The filing’s digital-asset footnote—not just the headline balance—is where you can verify the number of coins, cost basis, fair value, restrictions, valuation method and activity during the year.

Start with the accounting period and framework

The same bitcoin holding can produce very different reported results solely because the company adopted a new accounting model. Begin every review by confirming three facts in the accounting-policy note and the filing cover page:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Framework: The workflow below is for U.S. GAAP and qualifying crypto assets within ASU 2023-08. A company must state, or otherwise make clear, that its bitcoin meets the standard’s scope conditions.
  • Fiscal year: ASU 2023-08 is effective for annual periods beginning after December 15, 2024, including interim periods. A company could adopt early, so the first fair-value period is not necessarily the first calendar year after 2024.
  • Adoption status: Look for an explicit adoption date and transition note. A company that adopted early will not line up with another company that waited for mandatory adoption.

For a calendar-year issuer that did not adopt early, 2025 is normally the first annual period under the new model. A non-calendar fiscal year can cross the effective-date boundary differently, so use the company’s stated fiscal year rather than assuming that “2025 results” are all prepared on the same basis.

If the company reports under IFRS, do not apply this U.S. GAAP workflow automatically. IFRS classification can depend on whether the holder keeps crypto in the ordinary course of business and on other facts; the treatment requires a separate IFRS analysis.

What changed: impairment accounting versus recurring fair value

Question Before ASU 2023-08 adoption After adoption for qualifying assets
Balance-sheet measurement Cost less accumulated impairment, as an indefinite-lived intangible asset Fair value at each reporting date
Price decline Recognized as an impairment loss when carrying amount exceeded fair value Recognized as a fair-value loss in net income
Price increase after a decline Could not reverse a prior impairment; recovery was generally recognized only when the asset was sold Recognized as a fair-value gain in net income when the carrying amount is remeasured
Typical income-statement wording “Digital asset impairment loss” or similar “Unrealized gain/loss on digital assets,” “fair-value gain/loss” or similar
Transition Not applicable Generally a cumulative-effect adjustment to opening retained earnings; earlier periods are not restated

The pre-adoption rule

Under the former U.S. GAAP model, qualifying bitcoin was generally an indefinite-lived intangible asset. The initial carrying amount was the purchase cost. If that carrying amount exceeded fair value, the company recorded an impairment loss and reduced the asset to fair value. The write-down was one-way: a later price recovery did not restore the carrying amount.

This creates a “cost-trap” effect. A holding bought at a high price could remain at a much lower carrying amount even after bitcoin’s market price recovered. The financial statements therefore did not show every price increase while the company continued to hold the coins.

The new fair-value rule

For periods covered by ASU 2023-08, qualifying crypto assets are measured at fair value each reporting period, and changes from remeasurement are recognized in net income. The balance sheet follows the market value at the reporting date, while earnings include both unrealized gains and unrealized losses.

The Financial Accounting Standards Board describes the requirement this way: an entity measures qualifying crypto assets at fair value in the statement of financial position each reporting period and recognizes changes from remeasurement in net income. The practical consequence is that a company can report an accounting gain even when it has not sold bitcoin, and it can report a loss even when its coin count is unchanged.

Find the bitcoin balance on the balance sheet

Open the consolidated balance sheet, then trace the relevant line into the accounting-policy and digital-asset notes.

  1. Search the line-item names: Try “digital assets,” “crypto assets,” “bitcoin,” “intangible assets,” and “digital assets, net.” Terminology varies by issuer and by year.
  2. Check the presentation date: Record the reporting date and the amount shown for that date. Do not compare a year-end carrying amount with a quarterly fair value without noting the different dates.
  3. Read the policy note immediately: Determine whether the amount is cost less impairment or fair value. The policy note should identify the accounting model and, after adoption, the fair-value measurement approach.
  4. Reconcile to the footnote: Match the balance-sheet amount to the digital-asset note’s disclosed fair value and units. Investigate any difference instead of assuming one number is a typo.

How the line normally appears before adoption

Before adoption, bitcoin may be included in intangible assets or shown as digital assets net of accumulated impairment. The balance-sheet number is the carrying amount after any impairment charges, not necessarily the current market value. The footnote may provide fair value separately so readers can see how far the carrying amount differs from market price.

How it normally appears after adoption

After adoption, qualifying holdings are measured at fair value at each reporting date and are presented separately from other intangible assets under the standard’s disclosure requirements. A separately labeled digital-asset line is easiest to identify, but the note remains the controlling source for the units and valuation details.

Locate the income-statement effect

For a pre-adoption year

Search the income statement and notes for “digital asset impairment loss” or an equivalent phrase. The charge reduced the carrying amount to fair value at the impairment date. It did not represent a cash payment, and it did not automatically measure the eventual economic result of selling the coins.

Because recoveries could not reverse the impairment, a later increase in bitcoin’s price might produce no income at all until disposal. A company could therefore show a large impairment loss in one year and no corresponding gain when the market recovered while it still held the asset.

For a post-adoption year

Search for “unrealized gain/loss on digital assets,” “fair-value gain/loss,” or similar wording. The line can be positive or negative and generally captures the period-to-period remeasurement of qualifying holdings. Some issuers combine gains and losses with other items; if so, the note should identify the income-statement line used for the amount.

Do not interpret an unrealized gain as sale proceeds. It is an accounting remeasurement of coins still held at the reporting date unless the filing separately identifies dispositions.

Read the digital-asset footnote for the numbers the headline omits

The annual footnote is the best place to answer “How many bitcoins does the company own?” and “What is its cost basis?” Look for a table or narrative that supplies the following information.

Disclosure What it tells you How to use it
Asset name The specific crypto asset, such as bitcoin Confirms that the amount is not a mixed digital-asset balance
Number of units Coins held at the reporting date, often in whole units or decimal units Multiply by a disclosed price only as a reasonableness check; use the stated fair value for the accounting amount
Cost basis The company’s accumulated acquisition cost under its stated method Provides the reference point for disposal gains or losses and for understanding unrealized economics
Fair value Market-based value at the reporting date Compare with the balance-sheet carrying amount and the units disclosed
Contractual sale restrictions Lockups or other limits on selling or transferring the coins Explains why fair value or liquidity may not be identical to an unrestricted holding
Cost-basis method The lot-identification or other method used to assign cost to units sold Allows a more meaningful comparison of disposal gains between periods or companies
Roll-forward Additions, dispositions, gains and losses during the period Explains why the ending balance changed even when the market price moved

The required roll-forward

For annual reporting, the disclosure includes an aggregate roll-forward of additions, dispositions, gains and losses. Use it as a bridge from beginning to ending holdings and value. Additions can include purchases or other receipts; dispositions reduce the coin balance; gains and losses explain remeasurement under the fair-value model or the relevant disposal and impairment effects under the older model.

For dispositions, the note also provides the difference between disposal price and cost basis and describes the activities causing the dispositions. This lets you distinguish a sale made to fund operations from a transfer, payment, donation or another activity identified by the issuer.

Significant holdings and restrictions

Significant holdings require the asset name, number of units, cost basis, fair value and contractual sale restrictions. Read restrictions carefully. A restriction can affect when the company can monetize a holding, even though the accounting still requires the applicable measurement under the standard.

Cost-basis method

Companies can own coins acquired in multiple lots at different prices. The note should state how it identifies the cost of units sold. Without that method, two companies with the same coin balance and sale price can report different disposal gains simply because they assign different acquisition lots to the sale.

Understand purchases, remeasurement and sales

Initial purchase

A company can initially record a bitcoin purchase at cost. The important distinction is what happens at each subsequent reporting date. Under the new model, the carrying amount is remeasured to fair value; under the old model, the amount stays at cost unless an impairment test requires a write-down.

Sale under the fair-value model

When bitcoin is sold, the gain or loss compares the sale price with the carrying value immediately before the sale. The issuer’s stated lot-identification or cost-basis method determines which acquisition cost is assigned. A sale during a reporting period can therefore produce a disposal result that differs from the prior year-end unrealized result.

Illustrative pre-adoption calculation

Assume, solely as an illustration, that a company buys 1,000 bitcoins for $30,000 each, creating a $30 million carrying amount. If fair value falls to $20 million before adoption, the company records a $10 million impairment loss and carries the coins at $20 million. If fair value later rises to $35 million while the coins remain unsold, the company does not reverse the $10 million impairment; the carrying amount stays at $20 million. If it then sells the coins for $35 million, the disposal gain is measured against that $20 million carrying amount.

Illustrative post-adoption calculation

Using the same purchase, a $20 million year-end fair value produces a $10 million unrealized fair-value loss in that period. If fair value is $35 million at the next reporting date, the company recognizes a $15 million fair-value gain for that period, subject to the exact dates and holdings. The balance sheet at the second reporting date reflects $35 million, not the original $30 million cost.

These examples show why the word “impairment” cannot be used as a synonym for every bitcoin price decline. Impairment describes the old one-way write-down; fair-value loss describes recurring remeasurement under the new model.

Evaluate the transition adjustment and comparability

Adoption generally creates a cumulative-effect adjustment to opening retained earnings. The company may also disclose an effect on deferred tax balances. The adjustment changes the opening equity of the adoption period rather than rewriting the prior year’s income statement.

Prior periods are not restated under the transition approach described in SEC implementation examples. As a result, a 2025 or later fair-value result may not be directly comparable with a 2024 impairment-only result. A year-over-year increase in reported income can reflect the accounting change as well as bitcoin’s price movement, and a large opening retained-earnings adjustment can reflect the conversion of old carrying amounts to the new model.

Build a transition bridge

  1. Write down the old carrying amount at the last pre-adoption reporting date.
  2. Record the fair value of the qualifying coins at the adoption date.
  3. Identify the cumulative difference posted to opening retained earnings.
  4. Check whether the company disclosed deferred-tax effects.
  5. Keep the pre-adoption impairment history separate from post-adoption fair-value gains and losses when calculating trends.

Do not combine an impairment charge from an earlier period with a later unrealized gain as though both were generated by the same measurement rule. Label each period with its accounting basis.

Compare two companies or two reporting periods systematically

A useful comparison goes beyond the size of the bitcoin balance. Use the same questions for every filing.

Comparison axis Questions to ask
Measurement basis Is bitcoin carried at cost less impairment, or at fair value each reporting date? When was adoption effective?
Earnings recognition Does the income statement show a one-way impairment charge, recurring unrealized fair-value movements, disposal gains, or a combination caused by the transition year?
Units and value Are the number of coins, cost basis and fair value all disclosed for the same date?
Cost-basis method Which lots are treated as sold, and is the method consistent across periods?
Restrictions and liquidity Are there contractual sale restrictions that could delay monetization?
Roll-forward quality Can additions, dispositions, gains and losses be reconciled to the ending balance?
Taxes and transition What adoption-date retained-earnings and deferred-tax effects were recorded?
Valuation evidence Does the filing identify a principal market or an ASC 820 input level? One SEC example uses quoted prices from the principal market classified as Level 1, but the filing’s own disclosure controls the analysis.

Normalize the comparison before drawing a conclusion. A company with fewer coins can report a larger gain if it adopted fair value earlier, bought at a lower cost, or sold a different lot. Conversely, a company with more coins can report little current-period income if its holdings were measured under the old model in the period being compared.

Use the filing’s valuation disclosures correctly

Fair value is not simply “the number of coins multiplied by whatever price appears on a web page.” Read the company’s description of the principal market and valuation inputs. Where disclosed, ASC 820 input levels indicate how observable the pricing evidence is. A quoted price in the principal market is generally presented as Level 1 in the type of SEC example cited in the accounting guidance.

Check the valuation date, the unit count and any restrictions together. A price quoted at midnight UTC may not correspond to the company’s fiscal year-end measurement time, and a restricted holding may require additional explanation. Do not substitute an outside price for the fair value stated in the filing when calculating reported earnings.

Common reading mistakes and how to correct them

Mistake: Treating the balance-sheet amount as current market value in every year

Correction: Determine the accounting model first. Before adoption, the amount may be an impaired historical cost; after adoption, it should track fair value at the reporting date.

Mistake: Calling every loss an impairment loss

Correction: Reserve “impairment” for the pre-adoption write-down unless the company uses that term for a historical period. Post-adoption declines are fair-value losses.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: Assuming a later recovery reverses an old impairment

Correction: Under the old model, recoveries were not reversed. Look for a disposal before recognizing the economic recovery in reported income.

Mistake: Treating an unrealized gain as cash flow

Correction: Reconcile the income statement with the cash-flow statement and the dispositions section of the footnote. A remeasurement gain does not mean the company sold coins or received cash.

Mistake: Comparing 2024 and 2025 without an adoption bridge

Correction: Mark the adoption date, opening retained-earnings adjustment and the fact that prior periods were not restated. Separate accounting-basis effects from bitcoin-price effects.

Mistake: Ignoring units and cost basis

Correction: Record the coin count, cost basis, fair value and restrictions from the same footnote table. The dollar balance alone cannot tell you whether the company bought, sold or merely remeasured bitcoin.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: Assuming two issuers use the same sale-lot method

Correction: Read each issuer’s cost-basis policy. Different lot-identification methods can change a disposal gain even with identical market prices.

A repeatable 10-K or 10-Q reading checklist

  1. Identify whether the filing is U.S. GAAP and whether bitcoin is within ASU 2023-08’s scope.
  2. Record the fiscal year, reporting date and adoption date.
  3. Find the balance-sheet line and note whether it is an intangible carrying amount or a fair-value digital-asset amount.
  4. Read the accounting policy for measurement and presentation.
  5. Find the income-statement line for impairment, fair-value gains and losses, or disposal gains.
  6. Extract the ending number of units, cost basis and fair value.
  7. Record contractual sale restrictions and the cost-basis method.
  8. Reconcile the roll-forward of additions, dispositions, gains and losses.
  9. Read the transition note for opening retained earnings and deferred taxes.
  10. Label every comparison as pre-adoption, post-adoption or a transition period before calculating a trend.

What the numbers can and cannot tell you

The filing can show how many bitcoins were held at a date, the accounting value assigned to them, the cost basis, the fair-value movement recognized in earnings and the activity that changed the balance. It does not by itself establish management’s future selling plans, the company’s economic exposure between reporting dates or the price at which a future sale will occur.

A large reported fair-value gain may reflect a rising market with no cash realization. A large impairment charge may reflect an old accounting rule rather than a sale or a permanent economic loss. The most reliable interpretation combines the balance sheet, income statement, cash-flow statement, digital-asset footnote and transition disclosure, all tied to the same reporting dates and accounting basis.
