An SEC Form 4 is a disclosure of a Section 16 insider’s change in beneficial ownership of a company’s securities. It tells you who reported the transaction, what security changed, how many securities were acquired or disposed of, at what price, how ownership changed, and whether the transaction was direct or indirect. It does not, by itself, establish that a trade was illegal or reveal the insider’s motive.

Read the filing in this order: confirm the header and dates, select Table I or Table II, decode the transaction code, reconcile quantity and price with the acquired/disposed indicator, check post-transaction ownership, identify direct or indirect ownership, and read every footnote. Then compare the filing with earlier and later Forms 4 and other company disclosures before drawing an investment conclusion.

What a Form 4 is—and what it is not

Section 16 of the Securities Exchange Act requires directors, certain officers and beneficial owners of more than 10% of a class of registered equity securities to report changes in their beneficial ownership. Form 4 is the normal report for those changes. The SEC Office of Investor Education and Advocacy says Form 4 must generally be filed within two business days after the transaction date.

“Beneficial ownership” is broader than shares held in a brokerage account in the person’s name. It can include securities held through a trust, family member, partnership or another arrangement in which the insider has a direct or indirect economic interest or voting power. The filing identifies that relationship in its ownership fields and footnotes.

A Form 4 is a disclosure document, not an SEC finding about legality, intent or investment quality. A sale may reflect taxes, liquidity needs, diversification, a prearranged trading plan or a transfer that never occurred on the open market. Conversely, a purchase can be only one part of a larger derivative transaction. The code, table, dates, ownership figures and footnotes must be interpreted together.

Start with the filing header

Before reading individual rows, record the identity and status of the filing. These details determine whose transaction you are seeing and whether the document changes an earlier filing.

Reporting person and issuer

  • Reporting person: the insider or other Section 16 filer responsible for the report.
  • Issuer: the company whose securities are being reported, including its ticker or other identifying information.
  • Relationship: the filer’s role, such as director, officer or more-than-10% beneficial owner.

Do not assume that every named person is the economic owner. A joint filing can cover more than one reporting person, and an indirect-ownership line can point to a trust, family member or entity.

Transaction and filing dates

Find the earliest transaction date in the header and in the individual rows. Some forms also show a deemed execution date or other date relevant to a derivative transaction. Compare the transaction date with the filing date. A filing submitted within two business days is normally timely; a longer gap may reflect an amendment, an exempt or omitted transaction, a correction or a different reporting requirement.

Amendment and joint-filing indicators

An amendment changes or supplements an earlier filing. Do not count an amended row as a second economic trade without comparing it with the original. A joint-filing indicator means the filing may cover multiple reporting persons; inspect the ownership and signature sections to determine whose holdings are included.

Rule 10b5-1 checkbox

The header may indicate that the transaction was made pursuant to a Rule 10b5-1 trading plan. That checkbox is important context, but it is not a guarantee that a sale was non-discretionary, adopted in good faith or legally compliant. Read the footnotes for the plan’s description and the shares covered by it.

Choose the correct table

Form 4 separates ordinary securities from derivative securities. Reading the wrong table can make an apparently simple transaction look more significant—or less significant—than it is.

  • Security title
  • Transaction date and, when applicable, deemed execution date
  • Transaction code
  • Whether securities were acquired (A) or disposed of (D)
  • Number of securities involved
  • Price per security
  • Amount beneficially owned after the transaction
  • Direct (D) or indirect (I) ownership
  • Nature of indirect ownership

Table II: derivative securities

Table II covers options, warrants, puts, calls, convertible securities and similar contracts. In addition to the transaction code and acquired/disposed indicator, inspect:

  • Derivative security title
  • Conversion or exercise price
  • Transaction and deemed execution dates
  • Number of derivative securities acquired or disposed of
  • Exercisable date and expiration date
  • Title and amount of the underlying security
  • Derivative price, when reported
  • Post-transaction derivative holdings
  • Direct or indirect ownership

An option exercise can create a row in Table II and a corresponding change in common stock in Table I. Reconcile both tables instead of treating either row as a standalone trade.

Decode the transaction code before judging direction

Each transaction is coded to indicate its nature. “Acquired” and “disposed” describe the securities in that row; the code explains why the change occurred.

Code SEC meaning How to read it
P Purchase on an exchange or from another person Potential open-market buying; verify the price, quantity and footnotes.
S Sale on an exchange or to another person Potential open-market selling; check taxes, plans and diversification context.
A Grant, award or other acquisition from the company Often compensation-related; inspect vesting and delivery terms.
M Exercise or conversion of a derivative security Pair the row with Table II’s exercise price, dates and underlying security.
F Shares used to pay an exercise price or tax liability Often administrative withholding rather than discretionary selling.
G Gift by or to the insider Not an open-market trade; read who gave or received the securities.
D Sale or transfer back to the company Check for repurchase, surrender or withholding explanations.
K Equity swap or similar hedging transaction May reduce economic exposure without a simple sale of shares.
V Voluntarily reported transaction Use the accompanying description to determine what occurred.
J Other transaction The footnote is required to understand the event.

The letter D has two different uses on a Form 4. In the transaction-code column it means a transfer or sale back to the company; in the ownership column it means direct ownership. Always identify the column before interpreting the letter.

Read each row from left to right

1. Security title

Confirm exactly what changed. “Common stock” is different from an option to buy common stock, a restricted stock unit or a convertible security. A restricted stock unit may represent a contingent right to receive one common share, with delivery dependent on vesting or another condition described in a footnote.

2. Transaction date

The transaction date is when the reported event occurred. A deemed execution date may appear for certain derivative or plan transactions. Use the date in the row—not merely the date the document was filed—when comparing the trade with earnings releases, price movements or other disclosures.

3. Code and acquired/disposed indicator

Read the code together with the A or D indicator. A code A with an acquired indicator commonly describes a grant or award. An F code with a disposed indicator can represent shares withheld to cover taxes or an exercise price, not an open-market decision to reduce exposure. A sale code with a zero or nominal price may describe a non-market transfer or withholding event; the footnote controls the interpretation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

4. Number of securities

Check the amount in the row and whether it represents shares, units or derivative contracts. For derivatives, also check the number of underlying securities. A large option exercise can produce a much smaller net change in common-stock ownership after shares are withheld or sold.

5. Price

Price is usually reported per security, but it can be absent, zero or nominal for gifts, grants, withholding and other non-market events. Do not multiply every reported amount by the quoted price and call the result an open-market investment. Determine whether the price is an exercise price, a market price, a weighted average or a value explained by a footnote.

6. Post-transaction beneficial ownership

The ownership figure after the row is often more informative than the transaction alone. It shows how many securities the insider beneficially owns after the reported event, subject to the distinctions between direct and indirect holdings and between common stock and derivatives. A sale that leaves a substantial holding has a different signal from a disposition that eliminates nearly all exposure, although neither proves a motive.

7. Direct or indirect ownership

“D” means direct ownership and “I” means indirect ownership. An indirect line should identify the nature of that ownership, such as a trust, family member, partnership or other arrangement. Add direct and indirect positions carefully; the same securities should not be counted twice when a footnote explains overlapping beneficial ownership.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Footnotes provide the economic explanation

Never stop at the table. Footnotes often explain facts that the standardized columns cannot show, including:

  • Shares that vested on a stated date.
  • Restricted stock units and when the underlying common shares will be delivered.
  • Shares withheld to satisfy tax obligations.
  • Shares used to pay an option exercise price.
  • Sales executed under a Rule 10b5-1 plan.
  • Indirect ownership through a trust, family member or entity.
  • Derivative exercise, conversion, expiration or delivery conditions.
  • Why a transaction was coded J or otherwise differs from a conventional market trade.

For example, a footnote may state that each restricted stock unit is a contingent right to one common share and describe the delivery timing. That means an A-coded acquisition may be compensation rather than a discretionary purchase, and the shares may not yet be freely deliverable.

How to tell whether a sale was under a 10b5-1 plan

  1. Look for the Rule 10b5-1 checkbox in the filing header.
  2. Read the footnote attached to each relevant S-coded row; a single filing can contain both plan and non-plan transactions.
  3. Check whether the footnote identifies the plan or states that the sale was made pursuant to a prearranged plan.
  4. Compare later Forms 4 to see whether the same plan appears to produce recurring sales on a schedule.
  5. Do not infer plan status from a sale code alone. An S row without a selected checkbox or explanatory footnote is not enough to establish a 10b5-1 transaction.

Plan status changes how you interpret discretion, but it does not eliminate the need to examine quantity, price, remaining ownership and the timing of the plan relative to other company disclosures.

Understand the filing deadlines and related forms

Form Purpose General timing
Form 3 Initial statement of beneficial ownership when a person becomes a Section 16 insider Generally within 10 days after becoming an insider.
Form 4 Changes in beneficial ownership Generally within two business days after the transaction date.
Form 5 Annual statement for certain transactions that were omitted from Form 4 or are eligible for deferred reporting Generally within 45 days after the company’s fiscal year-end.

These are general deadlines described by the SEC Office of Investor Education and Advocacy in its 2021 investor bulletin. Specific exemptions, transaction types and filing circumstances can alter what appears on each form. A Form 5 does not necessarily mean a transaction was late; it may reflect an event that was permitted to be reported annually.

Is an insider sale automatically bearish?

No. The SEC notes that insiders may sell company securities for many reasons, including liquidity and diversification. An S code establishes that a sale or transfer was reported under that code; it does not establish that the insider expects the share price to fall or that the sale involved illegal insider trading.

Evaluate a sale using the following context:

  • Code and table: distinguish an open-market S in Table I from an F-coded withholding event, an M-coded exercise or a derivative transaction in Table II.
  • Price and quantity: determine whether the row reflects a market sale, an exercise, a weighted price or a nominal-price transfer.
  • Remaining ownership: compare post-transaction holdings with the insider’s prior position.
  • Plan status: check the Rule 10b5-1 checkbox and attached footnotes.
  • Repeated behavior: look for a pattern of discretionary open-market sales rather than a single administrative event.
  • Indirect holdings: include trusts, family members and entities identified in the ownership fields.
  • Company context: review earnings releases, other Forms 4, the original Form 3 and the company’s proxy statement.

A single S-coded row can be economically routine. A series of similarly timed, open-market sales may deserve closer study, but even a pattern does not prove motive or wrongdoing.

Worked reading examples

Example: open-market purchase

Suppose Table I shows common stock, code P, an acquired indicator, a stated per-share price and a higher post-transaction ownership balance. That is consistent with an insider buying shares on an exchange or from another person. Check whether the footnote gives a weighted-average price or identifies indirect ownership before estimating the transaction’s value.

Example: option exercise with withholding

Suppose Table II shows code M for an option exercise, while Table I shows code F for shares disposed of. The Table II row supplies the exercise price and expiration details. The Table I row may represent shares withheld to pay the exercise price or taxes. Treating the F row as a discretionary market sale would misread the event.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Example: compensation grant

Suppose Table I shows code A for common stock or restricted stock units, no meaningful purchase price and a footnote describing vesting. This is generally an award from the company, not an insider buying shares with cash. The ownership increase may be subject to future vesting and delivery conditions.

Example: indirect transfer

Suppose a row is marked I rather than D and the nature-of-indirect-ownership field names a trust or family member. The transaction changes reported beneficial ownership, but the insider may not have personally executed a brokerage trade. Read the footnote to determine the relationship and avoid counting the same position as both direct and indirect.

How to compare several Forms 4

When reviewing a sequence of filings, use a consistent comparison rather than scanning only the largest share number.

Comparison Question to ask
Transaction code and table Is each event an open-market purchase or sale, compensation, exercise, withholding, gift, hedge or another transaction?
Purpose Does a footnote identify taxes, vesting, a 10b5-1 plan, an exercise or an indirect transfer?
Transaction date versus filing date Was the event reported promptly, amended later or eligible for annual reporting?
Shares and price How many securities changed hands, and is the price a market, exercise, weighted-average or nominal value?
Post-transaction ownership How much direct, indirect and derivative exposure remains?
Plan status Is the Rule 10b5-1 checkbox selected, and does the footnote support it?
Surrounding disclosures Do other Forms 4, the company’s proxy or earnings announcements provide relevant timing or ownership context?

Keep a separate line for each transaction date and security type. Combining common shares, options and restricted stock units into one total can conceal whether the insider’s economic exposure actually increased or decreased.

Ignoring Table II

An option or convertible security can materially change future ownership without appearing as common stock in Table I. Read exercise price, expiration, exercisability and underlying-share fields.

Confusing transaction code D with direct ownership D

Use the column heading. One D describes a transfer back to the company; the other describes direct ownership.

Using the filing date as the trade date

Investment timelines should use the transaction date. The filing date is the disclosure date and may be later, especially for amendments or annual reports.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming beneficial ownership equals unrestricted shares

Beneficial ownership can include indirect positions and securities subject to vesting, exercise or delivery conditions. Read the footnotes and derivative fields.

Treating a Form 4 as proof of legality or intent

The form reports a transaction. It does not determine whether the trade complied with insider-trading law, whether a plan was valid, or why the insider acted.

A repeatable Form 4 checklist

  1. Write down the reporting person, issuer, ticker and insider relationship.
  2. Note whether the filing is an amendment or joint filing.
  3. Record the transaction date, filing date and any deemed execution date.
  4. Check the Rule 10b5-1 checkbox.
  5. Choose Table I for non-derivative securities or Table II for derivatives—or reconcile both.
  6. Decode the transaction code before interpreting the direction of the change.
  7. Record the acquired/disposed indicator, quantity and price.
  8. Calculate the post-transaction position separately for direct, indirect and derivative holdings.
  9. Read every footnote, especially those mentioning taxes, vesting, plans, exercise or delivery.
  10. Compare earlier and later Forms 4, Form 3, Form 5 and relevant company disclosures.
  11. Describe what the filing establishes without claiming a motive, prediction or legal conclusion it cannot establish.

What a careful conclusion looks like

A defensible reading might say: “The director reported an S-coded disposition of common stock in Table I on the stated transaction date. The footnote says the shares were sold under a Rule 10b5-1 plan, and the director retained the reported post-transaction position.” That wording identifies the evidence without turning one filing into a forecast.

An indefensible reading would simply say: “The director sold, so the stock is headed down.” The filing may show a sale, but only the complete row, ownership context, plan status, footnotes and surrounding disclosures can show what kind of sale it was and how significant it may be.
