Read a South African listed company’s annual report in layers: start with the integrated report to understand the business and strategy, then verify the story in the audited consolidated financial statements, notes, audit-committee report, directors’ report and independent auditor’s report. Use governance, remuneration, sustainability and regulatory disclosures to test management’s claims rather than accepting the headline earnings number.

The practical objective is to decide whether reported profit is recurring, converts into cash, is supported by a sound balance sheet and is governed responsibly. Only after those checks should you value the shares or write an investment thesis.

What you are actually reading in a South African reporting package

A listed company normally publishes several connected documents rather than one self-contained set of numbers. The Johannesburg Stock Exchange (JSE) describes its integrated annual report as “our primary report to stakeholders.” That report supplies the business model, strategy, operating context, governance discussion and performance narrative. It is useful for understanding how management says the company creates value, but much of its narrative is not audited.

The audited consolidated annual financial statements are the accounting evidence. They include the income statement, statement of financial position, cash-flow statement, statement of changes in equity and detailed notes prepared under the company’s stated accounting framework, usually IFRS Accounting Standards for a JSE-listed issuer. The audit-committee report, directors’ report and independent auditor’s report explain oversight, legal responsibilities, material judgements and the scope of assurance.

South African reporting is shaped by the Integrated Reporting Framework (2021), IFRS Accounting Standards, the Companies Act 71 of 2008 (as amended), the Financial Markets Act 19 of 2012 (as amended), the JSE Listings Requirements, governance guidance and sustainability guidance. The JSE’s 2025 reporting suite references these requirements, King V and JSE Sustainability and Climate Change Disclosure Guidance. The Integrated Reporting Committee of South Africa records that the 2021 International IR Framework was endorsed in South Africa on 24 February 2021 and advises organisations to consider King IV and CRISA. Check the specific framework basis stated in the company’s report because the package can contain several overlapping disclosures.

Document or section What it is best for Questions to ask
Integrated annual report Business model, strategy, operating environment, capitals, governance and performance context How does the company make money, and do the stated priorities appear in the results and capital allocation?
Audited consolidated financial statements Verified accounting results and financial position What was earned, owned, owed and generated in cash under the stated accounting policies?
Notes to the accounts Definitions, judgements, estimates, segment detail, debt, tax, commitments and related parties Which assumptions could materially change profit, assets, liabilities or cash?
Independent auditor’s report Audit opinion, material uncertainty, key audit matters and other reporting responsibilities Is the opinion unmodified, and what areas required the most audit attention?
Audit-committee and directors’ reports Oversight of controls, reporting integrity, risk and legal responsibilities What did the committee challenge, and were control or compliance weaknesses disclosed?
Governance and remuneration reports Board composition, ethics, committees, pay policy and shareholder rights Are directors independent and capable, and does pay reward durable performance?
Sustainability, climate and regulatory reports Long-term dependencies, environmental and social exposures, and compliance Could regulation, climate, labour, infrastructure or community issues impair future cash flow?

Set up a comparable five-year record before interpreting one year

Open the five-year financial overview and copy the reported figures into a worksheet before reading the narrative in detail. Use the company’s own reporting currency and fiscal year labels. If a year has been restated, use the restated comparative and record that fact. Do not mix a 12-month year with a 52-week year or compare continuing operations with a prior year that still includes a disposed business without adjusting your interpretation.

Record at least the following items for every year. Recalculate growth and margin changes from the reported numbers; label calculations as your own estimates rather than company-reported metrics.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Measure Why it matters Useful calculation or check
Revenue by group and segment Shows demand, pricing, volume and the businesses driving growth Year-over-year growth; reconcile segment totals to group revenue
Operating profit and operating margin Shows economics before financing and tax Operating profit ÷ revenue; identify margin expansion or compression
Earnings per share Shows profit attributable to each share, but can be affected by buybacks, dilution and exceptional items Compare basic and diluted EPS with profit attributable to ordinary shareholders
Dividends Tests distribution policy and cash affordability Compare dividends paid with operating cash flow and free cash flow
Net debt and liquidity Shows financing pressure and refinancing exposure Debt plus lease liabilities less cash; inspect maturity dates and covenant headroom
Return measures Shows whether capital is being used productively Keep the company’s definition; note changes in denominator or adjusted earnings
Operating cash flow and capital expenditure Tests whether accounting earnings become cash after maintaining the business Operating cash flow ÷ profit; operating cash flow less capital expenditure

Do not treat a five-year table as automatically comparable. Segment definitions, currencies, acquisitions, disposals and accounting policies can change. Read the accompanying definitions and restatement notes, and annotate any break in the series.

A step-by-step reading order

1. Map the business model and strategy

Start with the integrated report’s business-model diagram and segment descriptions. Write down what the company sells, who pays, where revenue is earned, the assets and people required, and the dependencies that could interrupt operations. Note competitive advantages claimed by management, but look for evidence such as customer retention, capacity, pricing power, distribution reach or regulated licences rather than repeating slogans.

Then list management’s stated priorities for the reporting period and the next few years. Check each priority against segment results, capital expenditure, acquisitions, disposals, debt reduction and dividends. A strategy that promises expansion while nearly all available cash is being used to repair a balance sheet deserves closer scrutiny. Conversely, a stated focus on returns should be visible in hurdle rates, project exits and return measures, not only in presentation graphics.

2. Read the five-year overview and calculate the direction of travel

Mark the years in which revenue, operating profit, margins, EPS, dividends, net debt and operating cash flow moved in different directions. Divergence is not automatically bad: a planned investment cycle can depress current cash while building capacity, and a disposal can reduce revenue while improving returns. The report should explain the cause, timing and expected payoff. If it does not, treat the gap as an unresolved question.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

3. Rebuild the income statement from recurring operations

Read the consolidated income statement from revenue down to profit attributable to owners, then inspect the segment note and management’s reconciliation of headline, adjusted or normalised measures. Separate ordinary operating performance from disposals, impairments, fair-value movements, foreign-exchange effects, restructuring, acquisition costs and other exceptional items.

For every adjustment, record whether it is genuinely non-recurring, cash or non-cash, and connected to a business decision that may happen again. A restructuring charge can be non-recurring in accounting terms while restructuring costs recur every year. An impairment may be non-cash today but signal that earlier capital allocation failed. Reconcile the company’s preferred measure to IFRS profit and to cash generated by operations; never substitute an adjusted metric without showing the bridge.

4. Test each segment, not just the group total

Segment tables can reveal that group growth comes from one acquired or cyclical operation while established businesses stagnate. Compare segment revenue, operating profit, margin, assets, capital expenditure and cash contribution where disclosed. Look for changes in segment composition, intersegment eliminations and management’s explanation of pricing, volume, mix and foreign-exchange effects.

Ask whether capital is flowing to segments that earn acceptable returns. A fast-growing segment that consumes disproportionate capital may reduce shareholder value. A smaller segment with stable cash generation may be funding dividends or expansion elsewhere.

5. Examine the balance sheet for resilience

Begin with cash, restricted cash, borrowings and lease liabilities. Read the debt note for maturity dates, interest-rate structure, currencies, security, covenant tests and undrawn facilities. Record covenant headroom using the company’s definition and test what happens if earnings or cash flow fall. A low net-debt figure can still conceal a near-term refinancing need or substantial lease commitments.

Review working-capital balances: receivables, inventory, contract assets, payables and provisions. Compare their growth with revenue and cost of sales. Receivables rising faster than sales may indicate slower collections, aggressive revenue recognition or a changing customer mix. Inventory growth can reflect planned stock-building, inflation or obsolete goods; the inventory policy and write-down note determine which explanation is credible.

Inspect goodwill and other intangible assets by cash-generating unit, acquisition history and impairment assumptions. Ask whether acquisitions or revaluations, rather than organic improvement, account for most of the increase in assets or profit. Note minority interests because group earnings may not all belong to ordinary shareholders.

6. Follow the cash-flow statement and the cash bridge

Compare cash generated by operations with accounting profit over several years. Read the working-capital reconciliation to see whether cash is tied up in receivables, inventory or contract balances. Investigate a sustained earnings-to-cash gap in the notes instead of assuming it will reverse.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Then trace investing and financing cash flows. Separate maintenance capital expenditure from expansion spending where the report allows; check acquisitions, disposals, dividends, buybacks, new borrowings and repayments. Free cash flow is not a universal accounting measure, so state exactly how you calculate it, for example operating cash flow less capital expenditure, and keep the definition consistent when comparing years or companies.

7. Read the notes and audit evidence before reaching a verdict

Accounting policies tell you when revenue is recognised, how leases and financial instruments are measured, and which non-IFRS measures management highlights. Critical-judgement and estimation notes identify assumptions with the greatest potential effect on reported numbers, including impairment forecasts, useful lives, provisions, expected credit losses, fair values, tax positions and pension obligations.

Read the revenue-recognition note for contract terms, performance obligations, variable consideration and cut-off. Read tax reconciliations for unusual effective rates, unrecognised losses and uncertain positions. Check contingencies, guarantees, litigation, environmental obligations, related-party transactions and subsequent events. A liability that is merely “possible” under accounting rules can still be important to an investor if it would consume cash or damage the business.

In the independent auditor’s report, identify the opinion type, any material uncertainty related to going concern, key audit matters and reports on other information. A key audit matter is not necessarily a misstatement; it signals an area that required significant auditor attention. The JSE’s Accounting Matters programme describes proactive monitoring intended to uphold integrity and transparency in listed-company financial reporting, so treat unexplained audit emphasis, late corrections or control problems as material questions rather than formalities.

8. Assess governance, ethics and remuneration

Use the governance report and King disclosures to examine the board’s independence, tenure, skills, attendance and succession planning. Check whether the chair, lead independent director, audit committee and risk committee have clear responsibilities and enough financial expertise. Read descriptions of whistle-blowing, investigations, conflicts of interest, related-party approvals and unresolved ethical incidents.

In the remuneration report, separate fixed pay, short-term incentives, long-term incentives, awards actually earned and awards that may vest later. Identify the performance measures, vesting periods, targets and use of discretion. Compare executive outcomes with sustainable earnings, cash generation, safety or service metrics relevant to the business, and long-term shareholder returns. A nominal “pay for performance” statement is weak evidence if targets are undisclosed, repeatedly reset or based on adjusted figures that exclude recurring costs.

Shareholder rights, voting outcomes, dissent on remuneration, director elections and auditor appointments provide an external check on board accountability. A board can comply with formal requirements while still showing weak challenge, concentrated power or poor alignment.

9. Stress-test the outlook, sustainability and external risks

Treat forecasts as assumptions rather than promises. For each outlook statement, write down the implied demand, pricing, cost, currency, interest-rate and capital-spending assumptions. Compare management’s past forecasts with what actually happened. Read sensitivity analysis where provided and identify which variables would breach covenants or dividend capacity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

South African operating risks may include electricity availability, transport and port constraints, labour disruption, regulation, currency movements, interest rates and access to infrastructure. Add sector-specific climate, water, pollution, community and social-licence risks. Integrated reporting is intended to consider longer time horizons and factors beyond the financial statements, so connect sustainability disclosures to assets, insurance, operating costs, financing terms and future demand instead of treating them as a separate public-relations section.

10. Value the shares only after understanding quality and risk

Choose a valuation method that fits the economics: sustainable earnings, free cash flow, asset value or a peer multiple. Use recurring results, not a headline EPS figure that includes a temporary gain. Keep accounting periods, currencies and segment definitions comparable when using peers. Adjust for net debt, lease liabilities, minority interests, dilution, pension deficits and material contingencies where the evidence supports an adjustment.

Write a one-page decision record containing the investment thesis, the evidence that would disconfirm it, a downside case, likely catalysts and explicit sell conditions. Include balance-sheet triggers such as covenant headroom or refinancing, not only a target share price. This turns annual-report reading into a repeatable process rather than an impression formed during one presentation.

How to tell whether the profit is real

“Real” profit means more than a positive bottom line. It should arise from repeatable operations, use defensible accounting estimates and convert into cash over a reasonable period. Apply these checks together:

  • Recurring earnings: Remove disposals, fair-value gains, foreign-exchange swings, impairments reversed, restructuring and other exceptional items, then ask whether similar adjustments appeared in earlier years.
  • Cash conversion: Compare operating cash flow with profit across multiple years and explain large differences through working capital, non-cash charges, taxes and timing.
  • Working-capital discipline: Compare receivables, inventory and contract balances with sales growth; investigate overdue balances, concentration and provisioning.
  • Capital intensity: Deduct the capital expenditure needed to maintain operations. Profit that requires continually higher investment may not be distributable cash.
  • Acquisition dependence: Separate organic growth from acquired revenue and profit. Check acquisition accounting, earn-outs, goodwill and post-acquisition cash generation.
  • Per-share reality: Reconcile EPS to total profit, weighted-average shares, buybacks, dilution and minority interests.
  • Tax and interest: Identify unusually low tax rates, capitalised interest or deferred tax movements that flatter current earnings but may reverse.

Red flags and the follow-up question for each

Signal Where to find it Follow-up
Adjusted profit rises while IFRS profit or cash falls Income-statement reconciliation and cash-flow statement List every adjustment, classify it as cash or non-cash, and check whether it recurs.
Receivables or contract assets grow faster than revenue Balance sheet, revenue note and working-capital reconciliation Check ageing, customer concentration, contract terms and expected-credit-loss provisions.
Large “one-off” charges appear repeatedly Segment results, alternative-performance-measure reconciliation and prior reports Treat the cost as part of normal economics unless evidence shows a genuinely isolated event.
Goodwill or intangibles dominate equity Balance sheet, acquisition and impairment notes Read cash-generating-unit assumptions and test sensitivity to lower growth or margins.
Strong profit but weak operating cash flow Cash-flow statement and notes Trace working capital, tax, supplier finance, factoring and timing differences.
Debt looks modest but maturities are close Borrowings, liquidity and covenant notes Map refinancing dates, interest-rate exposure, security and available facilities.
Auditor highlights going concern or a highly judgemental area Independent auditor’s report and critical-estimates note Read the assumptions, sensitivities and management’s mitigation plan.
Executive pay rises despite weak returns or cash generation Remuneration report and performance tables Compare targets, vesting outcomes, discretion and shareholder voting results.
Related-party transactions are material or opaque Related-party note and governance report Identify counterparties, pricing, approvals, balances and conflicts of interest.
Environmental, labour or infrastructure risks are described without financial linkage Sustainability, climate and principal-risk sections Estimate which assets, costs, insurance, licences or revenues could be affected and look for sensitivity analysis.

How to compare two South African companies

Comparison is meaningful only when reporting periods, currencies, accounting definitions and segment boundaries are aligned. Do not rank companies on one ratio. Use the following axes and record the source period for every figure.

Comparison axis What to compare Why it changes the decision
Sustainable growth and returns Organic revenue growth, operating margin, return measures and reinvestment needs Growth that earns less than the cost of capital can destroy value.
Cash generation Operating-cash conversion, maintenance capital expenditure and free cash flow Shows whether accounting earnings can fund dividends, debt reduction or expansion.
Leverage and liquidity Net debt, lease liabilities, maturities, interest cover and covenant headroom Refinancing risk can dominate valuation during weak markets.
Valuation and dilution Price against sustainable earnings, cash flow or assets; share count and minority interests A cheaper multiple is not attractive if earnings quality or balance-sheet risk is worse.
Governance and remuneration Board independence, audit oversight, related-party controls and incentive design Strong controls reduce the risk that reported performance fails to benefit shareholders.
External exposure Regulation, currency, electricity, logistics, climate, labour and social-licence risks Similar financial ratios can conceal very different downside scenarios.

A repeatable annual-report worksheet

Use this checklist for each company and retain the page or section reference beside every answer:

  1. Record the reporting period, reporting currency, consolidation scope and any restated comparatives.
  2. Describe the products, customers, geographic exposure, segments and critical dependencies in two or three sentences.
  3. Copy five years of revenue, operating profit, margin, EPS, dividends, net debt, return measures, operating cash flow and capital expenditure.
  4. Mark acquisitions, disposals, impairments, restructuring, fair-value movements and foreign-exchange effects on the timeline.
  5. Reconcile headline or adjusted earnings to IFRS profit and identify recurring adjustments.
  6. Review receivables, inventory, provisions, goodwill, intangibles, leases, debt maturities, covenants and minority interests.
  7. Explain the largest differences between profit and operating cash flow.
  8. Read accounting policies, critical judgements, impairment tests, revenue recognition, tax, contingencies, related parties and subsequent events.
  9. Record the auditor’s opinion, key audit matters, going-concern language and any control or reporting concerns.
  10. Assess board independence, committee expertise, ethics controls, remuneration targets, vesting outcomes and shareholder votes.
  11. List external risks and connect each one to a possible effect on revenue, costs, assets, financing or licence to operate.
  12. Write the valuation, downside case, disconfirming evidence, catalysts and sell conditions only after completing the earlier steps.

When the report leaves an important question unanswered

Absence of disclosure is not proof of misconduct, but it limits confidence. Note whether a figure is not separately disclosed, whether a non-IFRS measure lacks a clear reconciliation, or whether a sensitivity is omitted where the risk appears material. Use the next annual report, interim report, regulatory announcement and shareholder resolutions to test whether the gap is temporary or persistent. Keep estimates clearly labelled and avoid presenting an inferred number as company-reported fact.

A disciplined reader can therefore move from context to evidence, from evidence to risk, and from risk to valuation without allowing a polished narrative or a single headline ratio to decide the investment.
