A deep-tech startup is ready for venture capital when it can show, with dated and reproducible evidence, that its technology works, a defined customer will pay for the outcome, the company owns and can defend what it has built, and the proposed round will retire specific risks before the next financing. A compelling demonstration alone is not enough.

Prepare the company as an evidence-backed system: an investment thesis, conservative technology-readiness assessment, customer proof, intellectual-property file, regulatory and scale-up plan, execution team, milestone-based budget, and an orderly data room. Investors can then underwrite progress rather than guess at it.

What “investor-ready” means for a deep-tech company

Venture investors underwrite a chain of evidence. The chain starts with a painful problem and a reachable buyer, continues through validated science and engineering, and ends with a scalable business and a credible path to liquidity. Every major assertion in the pitch should point to a dated artifact: a test report, customer document, filing, model, certification record, or signed agreement.

GOV.UK’s Track 1: Investor Readiness Essentials, published 2 December 2025, describes the required investment thesis as a combination of market understanding, capable leadership, credible traction, and coherent financial and governance plans. It also stresses that investors want proof, not promises. For a deep-tech company, “proof” is broader than revenue because the product may still be moving through laboratory validation, certification, manufacturing development, or a long procurement cycle.

Use the following questions as the standard:

  • Who has the problem, who is the economic buyer, and what measurable outcome improves?
  • What has been demonstrated, under which conditions, with what repeatability and failure rate?
  • Which technology-readiness level (TRL) is supported by evidence, and what remains unproven in the intended environment?
  • What customer behavior demonstrates willingness and ability to pay?
  • Who owns the inventions, data, software, designs, and improvements, and what could block freedom to operate?
  • Which regulatory, manufacturing, supply-chain, hiring, and financing risks could delay the plan?
  • What will this round accomplish by a specific date, and what evidence will support the next round or commercial financing?

1. Write one investment thesis before building the deck

Start with a single wedge rather than a catalogue of possible markets. State the customer problem, why the problem is urgent now, the beachhead segment, the economic buyer, the product outcome, current alternatives, and the reason this team can win. Adjacent markets can appear later, but they should not obscure the first repeatable use case.

Quantify the market from the bottom up

Build the market model from identifiable units: target facilities or accounts, expected deployments per account, price or annual contract value, replacement or renewal cycle, and an adoption rate that a sales plan can support. Show the assumptions behind volume, pricing, utilization, gross margin, sales cycle, and implementation cost. Distinguish a theoretical total addressable market from the serviceable segment reachable with current approvals, channels, geography, and production capacity.

Connect claims to artifacts

Create an evidence register with one row for each important claim. Record the claim, metric, source document, owner, date, test or contract conditions, and the location in the data room. A statement such as “cuts inspection time” should link internally to the test protocol, baseline process, sample size, raw data, and customer sign-off. This discipline prevents a pitch from relying on uncited estimates that collapse during diligence.

Explain the economic engine

Describe how money flows from deployment to cash collection. Include hardware or installation revenue, recurring software or service revenue, consumables, maintenance, warranties, channel margins, and working-capital timing where relevant. Explain which costs fall with learning and volume and which remain structural. Investors need to see why gross margin, retention, and payback can improve after the technical risk is reduced.

2. Prove the technology with conservative TRL evidence

Prepare a technical evidence pack that someone outside the founding team can reproduce. Include system architecture, schematics, design versions, test protocols, raw and summarized results, benchmark comparisons, environmental conditions, failure modes, and corrective actions. Separate simulated, laboratory, pilot, and real-world operating environments; performance in one does not automatically establish performance in the next.

Assign TRL without promotional inflation

Use the Government of Canada’s Technology Readiness Level (TRL) Assessment Tool as a discipline for describing maturity. Begin with the broad development stage, check whether the test environment represents expected real-world conditions, and assign the lower TRL when evidence is uncertain. The tool’s explicit rule is: “If there are uncertainties as to whether a technology is at a certain TRL, the lower TRL should be assigned.” Record the evidence supporting the level and the experiment or deployment needed to move higher.

A high TRL is not the same as market readiness. Manufacturing or service capability, compliance, customer uptake, integration effort, intellectual-property management, and reliable unit economics can remain unresolved after operation in an intended environment. State those gaps plainly rather than presenting TRL as a single maturity score for the whole business.

Build a reproducibility record

  • Define the test article, firmware or software version, materials, calibration status, and operator instructions.
  • Record sample selection, controls, environmental conditions, run count, exclusions, and statistical treatment.
  • Preserve raw files with hashes or immutable versioning, then provide a readable summary for investors.
  • Report median and worst-case results where averages could hide failure, drift, or rework.
  • Compare against the incumbent process or a credible alternative using the same conditions.
  • List every failed test, the root-cause hypothesis, the fix, and the result of the retest.

Make the techno-economic model auditable

Translate engineering assumptions into cost and performance. Model bill of materials, labor content, cycle time, yield, energy, maintenance, scrap, logistics, installation, warranty, and facility requirements at pilot and target volumes. Identify the assumptions that dominate cost, performance, yield, reliability, and deployment time. A sensitivity table should show what happens if each assumption is worse than the base case.

Order the risk burndown

Maintain a risk register with probability, impact, owner, trigger, mitigation, and retirement test. Rank risks by their ability to invalidate the business, not by convenience. A low-cost experiment that resolves a safety or yield uncertainty may deserve priority over a visible feature demonstration. Technical diligence commonly examines validation, techno-economics, scale-up, and the link between each risk and the next build or test.

3. Prove customer demand separately from technical success

A technically successful demonstration proves that a system can work under stated conditions. It does not prove that a buyer can procure it, deploy it, budget for it, or pay repeatedly. MIT’s readiness model separates technology readiness from commercial customers, mission customers, and commercial or mission funding readiness. Use those dimensions explicitly, especially for dual-use products.

Rank demand evidence by commitment

Evidence What it demonstrates What to document
Signed contract or purchase order A defined obligation to buy under stated terms Scope, price, delivery, acceptance, payment, and termination clauses
Paid pilot A customer will allocate budget for a bounded test Customer, payment status, start and end dates, success metric, deployment conditions, and conversion path
Letter of intent or partner letter Stated interest with a potential path to adoption Named sponsor, scope, timing, dependencies, and whether it is non-binding
Repeat use, renewal, or expansion Value was sufficient to continue or increase usage Usage data, renewal date, expansion reason, and retention calculation
Dated pipeline A quantified set of potential opportunities Account, stage, expected value, decision date, probability method, and next action

Do not add every conversation to “traction.” Separate signed commitments, paid experiments, non-binding interest, and internal estimates. For each pilot, record the baseline, success threshold, responsible customer owner, integration work, data rights, and the commercial decision that follows a pass or fail.

Show the buyer’s implementation path

Map the people and processes between a successful test and a purchase order: technical evaluator, safety or quality reviewer, procurement, finance, legal, operator, and executive sponsor. State required integrations, installation time, training, service levels, and internal approvals. For mission customers, document the procurement vehicle, budget authority, field trial requirements, and transition from grant or demonstration funding to an operating budget.

Separate commercial and mission routes

Dual-use companies should maintain two evidence tracks. A commercial customer may optimize for payback, throughput, and service reliability; a mission customer may optimize for capability, resilience, or public outcomes under a different procurement calendar. Explain which assumptions, certifications, channels, and funding sources differ rather than combining them into one inflated pipeline.

4. Establish IP ownership and defensibility

Prepare an IP schedule that an investor’s lawyer can verify. List inventors and contributors, assignment agreements, patent applications and granted rights by jurisdiction, trade secrets, source-code ownership, licenses, university or employer claims, government-funding conditions, encumbrances, and any disputes. Include a freedom-to-operate review or patent-landscape analysis with its scope, date, and unresolved questions.

Prove ownership, not just filing activity

A patent application is not evidence that the company owns every underlying contribution or that a product is clear to operate. Obtain signed assignments from founders, employees, contractors, advisers, and collaborating institutions. Check whether sponsored research, prior employment, university policies, grants, or joint-development agreements grant another party rights. Keep laboratory notebooks, invention disclosures, and software-contribution records consistent with the filing history.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Describe how the moat compounds

Explain the defensibility mechanism in operational terms. It may combine patents with proprietary data, process know-how, manufacturing learning, regulatory approvals, scarce supply access, customer integration, switching costs, or a cost advantage. GOV.UK identifies these categories as possible sources of defensibility; do not claim “patent protected” without describing ownership, claims, territory, term, and practical relevance to the product.

5. Map regulatory, manufacturing, and scale-up risk

Create a dependency map from prototype to deployed product. Include permits, safety reviews, quality systems, export controls, clinical or field validation, cybersecurity obligations where applicable, environmental requirements, supplier qualification, tooling, facilities, yield, inventory, service capacity, and unit economics. Mark each dependency as technical, regulatory, customer, or operational and assign an owner and date.

Regulatory plan

Identify the governing jurisdiction and product classification before promising launch dates. List pre-submission meetings, required evidence, quality-management steps, testing laboratories, responsible consultants, filing fees, review windows, and possible rework. Distinguish a research-use or pilot authorization from permission for routine commercial deployment. If requirements are uncertain, make the uncertainty a funded milestone rather than burying it in a footnote.

Manufacturing and supply chain

Show the transition from laboratory build to repeatable production or service delivery. Document design-for-manufacture changes, critical suppliers, single-source parts, lead times, minimum order quantities, tooling ownership, incoming inspection, process controls, yield targets, repair strategy, and contingency suppliers. Tie each scale assumption to a quotation, trial build, or supplier capability statement where possible.

Operational economics

Model installation, calibration, field support, returns, consumables, and warranty reserves alongside factory costs. A product can meet a laboratory performance target yet fail commercially because deployment takes too long or service costs erase the margin. Put these conditions into pilot success criteria so the company learns the economics before committing to capacity.

6. Present a team that can execute the whole plan

Show ownership for science and engineering, product, commercial development, regulatory work, manufacturing or operations, finance, and fundraising. Add a concise biography for each leader that connects prior results to the specific work ahead. Include an organization chart, advisers, reporting lines, open roles, hiring dates, and the milestone each hire unlocks.

Make gaps visible and fundable

Investors assess whether the team can attract and direct the talent needed by the technology. If no one owns quality, supply chain, enterprise sales, or regulatory execution, name the gap and the recruitment plan. Define the capabilities required, target start date, budget, and deliverable for the first 90 to 180 days. Avoid presenting a long adviser list as a substitute for accountable operators.

Align incentives and governance

Keep the cap table, option pool, founder vesting, board rights, reserved matters, and consulting arrangements current. Explain who can approve material contracts, IP licenses, related-party transactions, and budget changes. Governance clarity reduces friction when a milestone slips or a strategic investor requests information.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

7. Set the round around milestones and risk retirement

Ask for the amount required to reach a defined evidence state, not an arbitrary time period or headline valuation. Build a bottom-up budget for payroll, experiments, prototypes, pilots, certification, facilities, tooling, inventory, legal and IP work, insurance, and working capital. Add a contingency for schedule or yield variance and state the resulting runway under the base and downside cases.

Use a milestone ladder

Milestone element Required detail
Current state TRL, customer evidence, regulatory position, production capability, and unresolved risks
Capital allocation Amount by workstream, hiring, equipment, facilities, and contingency
Target date Calendar date or bounded quarter with dependencies stated
Pass/fail metric Performance, yield, reliability, certification, paid conversion, or delivery measure
Evidence of completion Independent report, signed customer document, approval, production record, or audited result
Next objective Next financing, larger contract, commercial launch, strategic partnership, or cash-flow target

GOV.UK’s milestone approach links capital asks to TRLs, regulatory approvals, customer acquisition, and operational scaling. Present the amount, runway, use of funds, milestone dates, completion evidence, and next-round target together. Investors should be able to see what changes if the round closes at the requested amount, closes smaller, or closes later.

Match capital type to risk

Consider grants, translational programs, strategic capital, venture debt, or equipment finance where they fit the risk and dilution profile. Non-dilutive money can fund early technical uncertainty; equity may be better suited to hiring, market development, and working capital. Debt that requires repayment before predictable cash generation can increase failure risk, so model covenants, interest, security, and timing rather than treating it as free runway.

Prepare downside cases

Show the effect of a delayed certification, lower yield, slower customer conversion, or a supplier failure. Define the decision point for reducing spend, changing the design, narrowing the market, or raising a bridge. A credible downside plan demonstrates control without pretending that deep-tech schedules are certain.

8. Assemble a diligence-ready data room

Use a clear index, version dates, document owners, and an access log. Give investors enough context to find the evidence without exposing unrelated personal or confidential information. Replace obsolete files rather than leaving multiple contradictory versions in the root folder.

Recommended folder structure

  1. Corporate and governance: incorporation records, bylaws, board and shareholder minutes, cap table, option grants, founder vesting, and material resolutions.
  2. IP and ownership: patent schedule, applications, assignments, invention disclosures, trade secrets, software ownership, licenses, university or employer agreements, and freedom-to-operate work.
  3. Technical evidence: architecture, specifications, design history, protocols, raw and summarized datasets, benchmarks, failure analyses, reproducibility records, and the TRL assessment.
  4. Product and roadmap: current versions, change log, verification plan, deployment requirements, support model, and milestone roadmap.
  5. Customers and demand: contracts, purchase orders, paid pilots, LOIs, partner letters, renewals, usage data, pipeline export, and customer references with permission.
  6. Regulatory and safety: permits, submissions, correspondence, quality procedures, test-house reports, certifications, incident records, and export-control analysis.
  7. Manufacturing and suppliers: bills of materials, quotations, supplier agreements, tooling, facilities, process controls, yield data, inventory, and continuity plans.
  8. Financials and financing: historical statements, bank records where appropriate, financial model, assumptions, budget, use of funds, grants, loans, prior financings, and investor rights.
  9. People and organization: employment and contractor agreements, organization chart, hiring plan, compensation, advisers, and key-person dependencies.
  10. Material matters: insurance, litigation or claims, data-processing agreements, leases, strategic partnerships, and change-of-control provisions.
  11. Investor FAQ: a dated answer log for recurring questions, with links to the authoritative document in the room.

Limit access by role, watermark sensitive downloads when appropriate, and record who received which version. Keep a disclosure list of known exceptions, such as an unsigned assignment, a single-source component, or a pending regulatory interpretation; hiding a problem usually creates a larger diligence problem.

9. Choose investors on fit, not only valuation

Compare prospective investors on the factors that affect execution after the cheque:

  • Stage focus and cheque size, including the ability to fund the next milestone.
  • Technical-sector expertise and access to credible domain experts.
  • Ability to recruit engineering, regulatory, manufacturing, and enterprise-sales talent.
  • Follow-on reserves and a record of supporting long technical cycles.
  • Customer, manufacturing, supply-chain, and channel relationships relevant to the beachhead.
  • Experience with grants, non-dilutive capital, strategic investors, or equipment finance.
  • Geographic reach and familiarity with the jurisdictions governing approvals and deployment.
  • Exit experience in the relevant market and realistic expectations about timing.

EIB research describes diligence involving technical experts, academics, consultants, auditors, and lawyers. Its investment criteria include technology readiness, patents and grants, scalability, projected cash flows, and exits. Expect a serious investor to test each of these areas and select a lead whose network matches the company’s next constraints.

10. Run the fundraising process as an evidence workflow

Before outreach

  • Freeze a dated version of the model, cap table, deck, technical summary, and milestone plan.
  • Prepare a two-minute explanation of the wedge and a five-minute explanation of the evidence.
  • Segment investors by stage, sector, geography, cheque, and relevant operating network.
  • Decide which information is public, shared after a meeting, or available only under confidentiality.

During meetings

  • Lead with the customer outcome and evidence, then explain the science required to deliver it.
  • Answer with the measured result, test condition, date, and remaining limitation.
  • Distinguish fact, forecast, and hypothesis in the same sentence when necessary.
  • Log every question, promised follow-up, and requested document in a secure tracker.

During diligence

  • Give one owner to each workstream and respond from the authoritative data-room file.
  • Disclose adverse results, related-party arrangements, and schedule risks early.
  • Reconcile numbers across the deck, model, contracts, cap table, and technical reports.
  • Ask the investor what evidence would change their decision and test whether the request is achievable within the round plan.

At closing

Review the term sheet for liquidation preferences, pro-rata rights, option-pool treatment, board composition, protective provisions, information rights, milestones, and any exclusivity or strategic restrictions. Confirm that the final cap table and funds-flow schedule match the approved documents. Preserve the diligence log for future rounds so the company does not recreate the same work.

Common failure modes and practical fixes

Failure mode Why it weakens the round Fix
TRL is stated at the highest plausible level Investors discover that the test environment does not represent deployment Apply the conservative level, state the gap, and fund the representative test
Pipeline is presented as revenue Non-binding interest is mistaken for customer commitment Separate contracts, paid pilots, LOIs, renewals, and dated opportunities
Patent count substitutes for moat Ownership, claim scope, or freedom to operate is unclear Provide assignments, jurisdictions, landscape work, and the operational defensibility story
Demo ignores manufacturing Prototype economics and production economics diverge Show yield, supplier, tooling, cycle-time, service, and working-capital assumptions
Round size is a time-based guess Capital runs out before a value-changing milestone Build a bottom-up budget and milestone ladder with pass/fail evidence
Team appears complete on paper Unowned regulatory, commercial, or operational work emerges after closing Name gaps, hiring dates, owners, and the milestone unlocked by each hire
Data room contains conflicting versions Reviewers lose confidence in basic controls Use an index, version dates, owners, permissions, and an access log

The standard to meet

A deep-tech fundraising package should let a skeptical investor trace the path from problem to proof, proof to purchase, and purchase to scale. Conservative TRL evidence shows what works and what does not. Customer documents show who will pay and how procurement occurs. IP and regulatory files show that the company can own and deploy the solution. Manufacturing, team, and financial plans show that the founders can execute outside the laboratory. A milestone-based round then turns capital into named risk reductions and a defensible next financing.
