Use a controlled-continuity plan: keep critical people and field relationships in place, preserve payroll and safety records, inventory every contract and project, and change systems only after legal, labor, and operational dependencies are understood. Name one integration manager, assign workstream owners, and require a documented handover for every active job. Before changing employment terms, union arrangements, contract ownership, or compliance procedures, obtain advice for the transaction structure and jurisdictions involved.
What a successful construction-company integration must protect
An acquisition can close legally while projects still fail operationally. The immediate objective is not to make the acquired company look like the buyer; it is to prevent missed payroll, lost notices, broken subcontractor relationships, safety gaps, and schedule or cash surprises. Protect four things in parallel:
- People: retain the superintendents, project managers, estimators, buyers, and skilled-trade leaders who hold undocumented project knowledge.
- Contract rights: identify assignment, change-of-control, consent, notice, bond, insurance, warranty, retainage, and claims requirements before anyone assumes a contract transferred automatically.
- Project controls: reconcile schedules, committed costs, cost-to-complete forecasts, change orders, payment status, and field conditions.
- Compliance evidence: preserve payroll, injury and illness, training, exposure, medical-surveillance, licensing, prevailing-wage, and subcontractor records.
Run the integration as a controlled transition, with documented decisions, named approvers, and escalation thresholds. A buyer-side executive should own the outcome, but the incumbent team should remain involved long enough to transfer relationships and context.

1. Establish the integration structure
- Name an executive sponsor with authority to resolve conflicts.
- Appoint an integration manager responsible for the master plan, issue log, and decision calendar.
- Assign owners for people, contracts, projects, finance, information technology, and safety.
- Publish an approval matrix identifying who may approve payroll, hiring, purchase orders, change orders, claims, notices, safety actions, and bank payments.
2. Send a continuity message
Tell employees, clients, subcontractors, suppliers, sureties, and insurers what changes on the closing date and what does not. Give them named contacts for payroll, project decisions, payment applications, change orders, claims, and safety emergencies. Avoid promising that terms, reporting lines, or contract parties will remain unchanged until counsel confirms the consequences.
3. Preserve records before migrating systems
- Employee files, payroll registers, time records, benefits elections, leave balances, disciplinary records, and retention or severance commitments.
- Injury and illness logs, incident investigations, training logs, exposure monitoring, medical-surveillance records, inspection findings, and corrective-action logs.
- Licenses, trade certifications, operator qualifications, union information, insurance certificates, bonds, and expiration dates.
- Project correspondence, meeting minutes, schedules, cost reports, estimates, submittals, requests for information (RFIs), change-order logs, payment applications, claims, and notices.
- Accounting exports, job-cost detail, bank reconciliations, committed-cost reports, and document-retention metadata.
Make read-only copies where possible and record the extraction date, system, owner, and completeness check. Do not decommission the seller’s systems until open disputes, audits, payroll corrections, and record-retention obligations have been assessed.
4. Build the people, contract, and project registers
Use a single controlled index with a responsible owner and a next action for every item. A register that merely lists names or contract numbers is not sufficient; it must expose deadlines, dependencies, and missing evidence.

For each project, schedule a meeting with the predecessor project manager, superintendent, estimator, buyer-side project executive, and relevant finance and safety personnel. Walk through the site, schedule logic, cost forecast, open commitments, client expectations, subcontractor relationships, disputed facts, and the next 30 days of decisions. Record actions and have both sides sign the handover record.
How to integrate employees without creating successor-employer problems
Employee treatment is both a retention issue and a legal-risk issue. OSHA describes successor status as a fact-specific inquiry: “The determination of whether the purchaser of a business’s assets is a successor under this doctrine is to be made ‘from the totality of the circumstances of a given situation,’ and focuses on ‘whether the new company has acquired substantial assets of the predecessor and continued, without interruption or substantial change, the predecessor’s business operations.’”
Using the same facilities, equipment, workforce, supervisors, and job duties can increase continuity concerns. An asset purchase does not, by itself, answer every successor-employer question. Have employment counsel review the transaction structure and applicable federal, state, local, and collective-bargaining requirements before changing pay, benefits, work rules, classifications, seniority, leave treatment, or union relationships.

Create a people register
For every employee and regular worker, record:
- Role, work location, supervisor, project assignment, and employment status.
- Base pay, overtime method, bonus or commission terms, benefits, leave, and payroll frequency.
- Licenses, certifications, training expiration dates, and jobsite access requirements.
- Union membership, bargaining unit, seniority, agreement coverage, and representative contact.
- Retention risk, replacement difficulty, critical relationships, and project dependencies.
- Open complaints, accommodations, leave cases, injury restrictions, and pending disciplinary matters, handled with appropriate confidentiality.
Retain knowledge deliberately
Conduct structured stay interviews with superintendents, estimators, project managers, foremen, buyers, and skilled-trade leaders. Ask what could stop a project in the next 30, 60, or 90 days; which client or subcontractor relationships are personal; where drawings, commitments, or approvals are stored; and which forecast numbers are least reliable. Pair each critical incumbent with a buyer-side counterpart and set a written transition period rather than relying on informal availability.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesKeep payroll and timekeeping stable
Do not switch payroll calendars, job codes, time-entry rules, or overtime approvals at the same time as a project-control migration unless there is a compelling reason. Reconcile opening payroll liabilities, accrued leave, deductions, garnishments, benefit funding, and workers’ compensation information. Test a parallel payroll or sample run before the first buyer-controlled pay cycle, and provide a rapid correction path for missed hours or incorrect classifications.
Handle union and labor changes carefully
Collect every applicable collective-bargaining agreement, project labor agreement, trust-fund obligation, hiring-hall rule, wage schedule, and notice provision. Do not assume that a new reporting structure or standardized work rule can be imposed immediately. Document who is responsible for contributions, certified payroll, grievances, jurisdictional disputes, and required bargaining or notice.
How to transfer and administer construction contracts
Review prime contracts, subcontracts, purchase orders, design agreements, equipment leases, and supplier commitments separately. For each one, identify the legal party, performance obligations, deadlines, and approvals that survive closing.
Use a contract register with decision fields
| Field | What to capture |
|---|---|
| Parties and scope | Owner, contractor, subcontractor or supplier; complete scope; pricing method; exclusions; incorporated documents. |
| Value and payment | Original and current value, payment applications, retainage, unpaid balances, stored materials, disputed amounts, and pay-when-paid language. |
| Transfer mechanics | Assignment, change-of-control, novation, consent, notice, termination, and key-person provisions, with dates and required recipients. |
| Risk allocation | Bonds, insurance limits and endorsements, indemnities, warranties, liquidated damages, consequential-damage terms, and limitations of liability. |
| Performance status | Percent complete, remaining scope, schedule milestones, unresolved RFIs, submittals, deficiencies, claims, notices, and potential back charges. |
| Labor obligations | Prevailing-wage terms, certified payroll, project labor agreement requirements, apprenticeship or workforce clauses, and subcontractor flow-downs. |
| Next action | Consent or notice required, responsible owner, due date, evidence received, and escalation status. |
Do not assume an asset purchase transfers a contract
Read the assignment and change-of-control language in the signed agreement and its incorporated terms. Obtain the required owner, lender, surety, architect, or subcontractor consent where applicable. When the legal party must change, document the assignment or novation in the form required by the contract and governing law. Keep proof of delivery and acceptance with the contract record. Until the transfer is effective, confirm who is authorized to issue notices, sign change orders, submit pay applications, and receive payments.
Protect notice and claim rights
Build a calendar for notice periods, schedule updates, payment applications, lien or bond claims, warranty deadlines, insurance renewals, and substantial-completion milestones. Identify every pending change order as priced, unpriced, rejected, disputed, or awaiting owner decision. A new approval chain must not cause a notice to expire; delegate authority temporarily where necessary and record the delegation.

Federal, prevailing-wage, and project-labor obligations
For covered federal construction, the contracting officer must ensure that required labor-standards clauses and applicable wage determinations are incorporated into the contract. Depending on the project, obligations can include Davis-Bacon prevailing wages, Contract Work Hours and Safety Standards Act overtime provisions, Copeland Act requirements, certified payroll, and related prevailing-wage statutes. Review the prime contract and every applicable flow-down clause rather than relying on the seller’s description.
Federal Acquisition Regulation Part 22 requires project labor agreements for large-scale federal construction projects at or above $35 million, unless an exception applies. FAR Part 36 repeats the $35 million threshold and addresses site-investigation and accident-prevention clauses. The project-labor provisions reference Executive Order 14063, dated February 4, 2022. Confirm the current solicitation, contract edition, agency guidance, and any exception before deciding that a project is covered or exempt.
Federal-project transition checklist
- Confirm the contracting agency, contract number, funding source, wage determination, and covered labor clauses.
- Verify certified-payroll systems, employee classifications, fringe-benefit calculations, and subcontractor reporting.
- Check project-labor-agreement terms, workforce obligations, dispute procedures, and required notices.
- Preserve payroll and labor records in the format and retention period required by the contract and law.
- Review accident-prevention plans, site-investigation information, safety submittals, and reporting contacts.
- Obtain agency, contracting-officer, surety, or other required approvals before changing the legal contracting entity or key personnel.
Keeping active projects on schedule and within cash limits
Use a project-by-project transition, not a single system cutover. The seller’s schedule and cost report are starting points; the handover team must test them against field conditions, procurement status, commitments, and client decisions.
Reconcile the project baseline
For each material project, record percent complete, baseline schedule, critical path, float, cost-to-complete, committed cost, approved and pending change orders, cash position, payment status, submittals, RFIs, procurement constraints, claims, safety actions, and the next contractual milestones. Compare the estimate, schedule, job-cost ledger, pay applications, and superintendent’s field assessment. Investigate every material difference and identify whether it is a timing issue, a scope omission, a productivity problem, or a data error.
Preserve field leadership while adding buyer oversight
Keep the incumbent superintendent and project manager involved long enough to transfer undocumented knowledge and relationships. Assign a buyer-side project executive to approve major commitments, review forecasts, and escalate risk. This creates a dual-control period without leaving the field team uncertain about who can make daily decisions.
Run a 13-week cash and labor forecast
Maintain a rolling 13-week forecast for each material project. Include expected owner receipts, payroll, subcontractor payments, material purchases, equipment, taxes, retainage, bond or insurance costs, and probable change-order timing. Separately track labor demand against available crews, overtime exposure, and critical-trade constraints. Refresh the forecast weekly and explain changes from the prior version.

Use weekly escalation triggers
- Missing drawings, contracts, payroll, or cost records that prevent a reliable forecast.
- Negative float or a critical-path activity with no recovery plan.
- Material cost-to-complete variance or commitments that exceed the approved estimate.
- Unpriced or disputed changes that affect work already being performed.
- Unpaid subcontractors, threatened suspension, lien or bond exposure, or aging payables.
- Unresolved safety hazards, overdue corrective actions, or missing training and inspection evidence.
- Client decisions, submittals, permits, or procurement items that threaten the next milestone.
Safety and occupational-health records during the transition
Safety continuity is not achieved by issuing a new handbook. Preserve the acquired company’s OSHA injury and illness records, exposure monitoring, training logs, medical-surveillance information, inspection findings, incident investigations, and corrective-action history. Restrict access to confidential medical information and maintain an audit trail for changes.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →OSHA’s successor-employer interpretation indicates that a successor generally cannot establish new baseline audiograms for the same employees in the same work environment. Treat occupational-health records as controlled compliance records, verify that required baseline and follow-up information is available, and have a qualified safety professional determine what additional testing or notifications are required.
Set a transition safety cadence
- Conduct a joint site walk and review open hazards, stop-work issues, permits, competent-person assignments, and corrective actions.
- Confirm emergency contacts, incident-reporting routes, workers’ compensation procedures, and client reporting requirements.
- Verify training and certification expiration dates for operators, competent persons, and site-specific roles.
- Reconcile subcontractor safety prequalification, insurance, orientation, toolbox-talk, and inspection records.
- Require the project manager and superintendent to review safety actions at the same weekly meeting as schedule and cost.
Choosing phased integration or rapid standardization
There is no single correct cutover speed. Choose separately for payroll, project controls, contracts, safety, and information technology, and document the reason for each choice.
| Decision axis | Phased integration | Rapid standardization |
|---|---|---|
| Legal continuity and consents | Allows time to identify assignments, notices, novations, bargaining duties, and agency approvals before changing operations. | Can simplify governance quickly, but increases the chance of acting before a consent or notice requirement is satisfied. |
| Active-project disruption | Preserves incumbent workflows while forecasts, schedules, and records are validated. | Creates one operating model sooner, but a bad mapping or cutover can disrupt pay applications, procurement, and field decisions. |
| Retention and labor relations | Gives employees and representatives time to understand reporting lines and terms. | Can reduce ambiguity quickly, but abrupt changes may increase turnover, grievances, or loss of project knowledge. |
| Data, cost, and schedule control | Supports parallel checks and reconciliation, at the cost of duplicate work and longer transition management. | Reduces the period of dual systems, but errors may spread across every project before detection. |
A common practical choice is phased integration for active projects, payroll, safety records, and contracts, with rapid standardization only for low-risk administrative controls that have been mapped and tested.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Governance, reporting, and decision rights
Create one integration dashboard with separate views for people, contracts, projects, finance, safety, and technology. Every open issue should have an owner, due date, impact, decision needed, and escalation level.
Minimum weekly dashboard
- Critical employee vacancies, retention risks, payroll exceptions, and certification expirations.
- Contracts awaiting consent, notice, novation, bond or insurance evidence, and claims deadlines.
- Project schedule variance, float, cost-to-complete variance, pending change-order value, cash forecast variance, and subcontractor aging.
- Open safety hazards, overdue corrective actions, incidents, inspections, and training gaps.
- Data-migration exceptions, access failures, duplicate records, and unresolved reconciliation differences.
Decision-rights rules
Define who can bind the company, approve a change order, settle a claim, change a subcontractor, release retainage, alter a schedule baseline, authorize overtime, or stop work. Put temporary limits in writing and review them as the integration matures. A system that shows a person as an approver is not enough; verify delegated authority against the transaction documents and applicable law.

Common failure modes and recovery actions
Replacing the field team immediately
Why it fails: the buyer loses relationship knowledge, production history, and context behind the forecast. Recovery: restore a joint handover, interview departing staff while records are available, and assign named owners to each client, subcontractor, and unresolved issue.
Assuming contracts moved at closing
Why it fails: assignment, consent, notice, bond, or insurance conditions may be unmet. Recovery: freeze nonessential changes, obtain counsel’s contract-by-contract determination, send required notices, and document assignments or novations before further performance under the new entity.
Migrating payroll and job cost data without reconciliation
Why it fails: opening balances, job codes, retainage, committed costs, or labor classifications become unreliable. Recovery: preserve the source export, run parallel reports, reconcile a sample of employees and projects, and maintain an exception log until differences are resolved.
Recommended Free Tools
Ignoring unpriced changes and notices
Why it fails: a new approval chain allows contractual deadlines to expire while work continues. Recovery: create a daily notice review, assign temporary signing authority, and separate entitlement, pricing, schedule impact, and documentation for each change.
Treating safety as an orientation exercise
Why it fails: historical hazards, corrective actions, exposure records, and subcontractor gaps remain invisible. Recovery: conduct a joint inspection, preserve the compliance file, close overdue actions, and have a qualified safety professional validate the transition plan.
Who should advise the integration
No physical product is required to perform this work. The relevant outside expertise is jurisdiction-specific transaction and employment counsel, HR and payroll-transition support, safety and occupational-health professionals, construction contract counsel, and project-controls specialists. Use them for defined decisions: successor-employer analysis, collective-bargaining obligations, contract consents and novations, prevailing-wage administration, OSHA record continuity, insurance and bonding, and forecast validation.
Give each adviser the same controlled fact set and require written assumptions, deadlines, and deliverables. Keep legal advice separate from the operational register while recording the resulting action, owner, and due date.
