You can fund a startup without selling ownership by combining founder cash, early customer payments, selective grants, repayable loans, and reward-based crowdfunding. The trade-off is that each route shifts risk in a different way: you may spend your own money, meet grant restrictions, repay debt with interest, or deliver promised rewards. Equity-free funding is often called non-dilutive capital because the funder does not receive an ownership interest.
This guide focuses on U.S. options, including SBA and SEC rules. Eligibility, limits, deadlines, tax treatment, and securities requirements can change, so confirm the current terms with the relevant agency, lender, platform, and professional advisers before committing.
What does “without giving up equity” mean?
Equity is an ownership interest in a company. Selling it gives an investor rights that can include voting, information, dividends, and a share of future proceeds. It can also dilute the founders’ percentage and reduce their control over later decisions.

Non-dilutive does not mean free: loans must be repaid, grants may be restricted, and customer orders create delivery obligations.

Do not treat every crowdfunding campaign as non-dilutive. A campaign that gives backers stock, a note, a revenue share, or another security is a securities offering. It has different disclosure, intermediary, advertising, and investment-limit requirements from a campaign that sells a product or perk.
The four practical non-equity funding routes
1. Bootstrap and customer-funded growth
Bootstrapping uses founder savings, income from another job, or money already in the business. Customer-funded growth adds paid pilots, deposits, preorders, milestone payments, annual contracts paid upfront, and revenue reinvestment. These sources are usually the fastest to access because you control the decision and do not need an external approval committee.
The price is concentrated risk. Your savings are exposed, and a delayed launch or lost customer can create a personal cash crisis. Customer advances also create a legal and operational duty to deliver what was promised or refund according to the contract and applicable consumer rules.
Recommended Free Tools
Use cash from customers safely
- Sell a narrowly defined pilot with written scope, acceptance criteria, payment dates, and ownership of work product.
- Use deposits or milestone billing when a project has significant up-front costs.
- For preorders, state an estimated delivery window, refund policy, taxes, shipping assumptions, and what happens if the product cannot be delivered.
- Track customer concentration. A business dependent on one buyer may appear funded while remaining financially fragile.
- Reinvest only the portion of revenue that leaves enough cash for payroll, taxes, suppliers, and refunds.
Build a cash-conversion model before relying on sales. Record when you pay suppliers, when you invoice, when customers actually pay, and how much cash remains after fulfillment. The point at which a customer-funded model stops covering fixed costs is the point at which another source becomes necessary.
2. Grants
Grants are awards for a defined purpose, not a general pool of startup cash. Many are limited to a project, a location, a population served, a technology objective, or a specific expense category. Payment may be reimbursement-based or tied to milestones, so you may need cash on hand before receiving the award.

Start at Grants.gov and then check state, local, university, and nonprofit programs that publish a formal notice. Grants.gov explains that small-business eligibility depends on the applicable SBA size standards, and that most opportunities are for organizations rather than individuals. Read the notice’s eligibility section before writing an application.
Grant application workflow
- Check eligibility. Confirm entity type, size standard, location, ownership conditions, industry, matching-fund rules, and eligible costs.
- Search opportunities. Use the agency’s stated keywords and read the complete notice, including evaluation criteria and attachments.
- Register. Complete the registrations required for the applicant organization and allow time for validation.
- Prepare in Workspace. Follow the required forms, page limits, budget categories, file formats, and submission instructions.
- Submit and track. Keep the confirmation, monitor questions and status messages, and retain a copy of the final package.
For scientific or technology research and development, investigate SBIR, STTR, and other agency programs. These are competitive programs with technical aims and reporting requirements; they are not unrestricted working-capital grants.
The SBA’s official position is explicit: “SBA does not provide grants for starting and expanding a business.” The agency lists limited programs connected to research, manufacturing, community organizations, and exporting, but you should not assume that an SBA loan page is a grant opportunity.
3. SBA-backed loans and microloans
Debt preserves ownership but creates a contractual repayment obligation. An SBA guarantee can make a loan more accessible through participating lenders, but it does not guarantee approval or erase the borrower’s responsibility. Lenders still assess whether the business can repay and whether the proposed use is sound.
SBA says lenders generally consider what the business does, the owners’ character, location, ability to repay, and sound business purpose. A new company may need a credible plan, owner investment, strong personal credit, collateral, a personal guarantee, or evidence of relevant operating experience. Exact requirements vary by lender and program.

Which SBA program fits?
| Program | Typical role | What to verify |
|---|---|---|
| 7(a) | Broad-purpose financing for eligible business uses | Eligible use, lender pricing, guarantee-related costs, collateral, guarantee, amortization, and prepayment terms |
| 504 | Long-term fixed-rate financing arranged through Certified Development Companies, generally for major fixed assets | Project eligibility, borrower contribution, asset restrictions, fixed-rate structure, fees, and timing |
| Microloan | Smaller loans delivered through nonprofit intermediary lenders | Intermediary underwriting, permitted uses, interest rate, collateral, and technical-assistance conditions |
SBA reports that its microloan program provides loans up to $50,000 and that the average microloan is about $13,000. That scale can cover equipment, inventory, supplies, or a modest launch, but it is unlikely to finance a capital-intensive company by itself.

- Total cost: interest, origination or packaging fees, guarantee-related charges, and required bank services.
- Collateral and guarantees: which business or personal assets secure the loan and what happens after a default.
- Amortization and timing: payment frequency, first-payment date, interest-only period, maturity, and whether seasonal payments are possible.
- Covenants and reporting: minimum cash, debt-service coverage, financial statements, insurance, or restrictions on additional borrowing.
- Prepayment: any penalty or notice requirement if you repay early.
Do not accept a headline interest rate without seeing the full repayment schedule and every fee. A loan that preserves equity can still force a founder to sell assets or inject personal cash if sales miss the forecast.
4. Reward-based crowdfunding
Reward crowdfunding asks many people to contribute in exchange for a product, gift, experience, or other perk. SBA says crowdfunders generally do not receive ownership and do not expect a financial return. A campaign that fails typically does not create a loan repayment obligation, subject to the platform’s terms and any promises you made to contributors.
This route works best when you can demonstrate a specific product, reach an audience before manufacturing, and explain exactly what contributors will receive. It is less suitable for an idea that cannot yet be shown or for a service whose value depends on confidential implementation.
Budget the entire campaign
- Platform and payment-processing fees.
- Prototype, tooling, packaging, shipping, and fulfillment labor.
- Sales taxes, income-tax treatment, and any duties on international delivery.
- Refunds, replacements, chargebacks, and customer support.
- Working capital for the period between collecting contributions and completing delivery.
- Contingency for supplier delays, defects, or a higher-than-expected order volume.
Set a realistic production quantity and delivery date. A successful campaign can create a cash shortfall if the money arrives before manufacturing costs, taxes, and shipping bills.

When crowdfunding becomes a securities offering
Ask what the contributor receives, not what the campaign is called. If the backer receives stock, a convertible instrument, a debt claim, a profit share, or another security, the campaign is not ordinary reward crowdfunding. It enters securities-law territory even if it is promoted as a community campaign.
SEC Regulation Crowdfunding guidance addresses registration exemptions, issuer disclosures, investment limits, and the requirement to use a registered broker-dealer or funding portal. An issuer must review the current rule and obtain advice appropriate to the live offering; SEC staff interpretations are not binding law. Do not advertise an equity campaign as “no dilution,” because issuing securities changes the ownership or repayment relationship.
Compare the routes before choosing one
| Route | Ownership dilution | Repayment obligation | Speed to cash | Eligibility and documentation | Realistic scale | Control and reporting | Main downside | Use-of-funds flexibility |
|---|---|---|---|---|---|---|---|---|
| Founder funds and customer revenue | None | None for earned revenue; delivery or refund duties remain | Fastest when cash or paying customers already exist | Internal records, contracts, invoices, and cash planning | Limited by founder resources and sales capacity | Founder-controlled; customer reporting and performance obligations | Personal exposure, uneven sales, and customer concentration | Usually broad, subject to contracts and taxes |
| Grants | None | Usually no loan repayment, but noncompliance can create liability | Often slow because of registration, review, and award timing | Notice-specific eligibility, narrative, budget, registrations, and reports | Depends entirely on the program | Milestones, records, audits, and restricted costs | Competition, rejection, reimbursement delays, and narrow scope | Often restricted to an approved project |
| SBA-backed loan or microloan | None | Yes, with interest and lender terms | Moderate; underwriting and closing are required | Plan, forecasts, financial records, ownership information, and lender forms | Microloans up to $50,000; larger programs depend on underwriting | Financial reporting, covenants, collateral, and guarantees may apply | Default can damage credit and expose pledged or personal assets | Depends on program and approved use |

| Securities crowdfunding | Potentially yes, or a repayment/profit-sharing claim | Depends on the security | Regulated preparation and intermediary review can add time | SEC-compliant disclosures, intermediary, financial information, and ongoing obligations | Subject to applicable offering limits | Investor rights and regulatory reporting | Legal exposure, dilution, and continuing obligations | Offering documents and securities terms control |
A step-by-step plan for finding non-equity funding
- Define the minimum amount. Write the exact use of funds and the smallest amount that reaches a measurable milestone. Separate a must-have launch budget from optional growth spending.
- Separate restricted and general cash. Put grant-eligible project costs, customer deposits, taxes, payroll, and ordinary operating expenses in different categories so you do not spend restricted money on an unrelated bill.
- Build a 12- to 24-month forecast. Use conservative sales assumptions, monthly cash receipts, payment delays, payroll, taxes, inventory, debt service, and a contingency. Model a slow-sales case and the month in which cash falls below the minimum required balance.
- Choose the least dangerous source for the milestone. Use customer cash for validated demand, a grant for an eligible project, a loan for a predictable repayment stream or asset, and reward crowdfunding for a product you can manufacture and deliver.
- Gather a document file. Prepare formation documents, ownership records, tax identification, bank statements, contracts, accounts receivable and payable, a use-of-funds budget, forecasts, resumes of key operators, and any licenses.
- Check grant eligibility before drafting. Follow the notice’s definitions, required format, deadline, matching rules, and submission system. Do not spend weeks on a proposal for which the entity or project is ineligible.
- Underwrite loans yourself. Compare total cost, collateral, personal guarantees, amortization, covenants, reporting, and prepayment terms in writing. Test repayment under the slow-sales case, not only the base case.
- Validate a reward campaign privately. Test the offer with prospective buyers, confirm the price covers fees and fulfillment, obtain supplier estimates, and verify that your team can deliver the promised quantity before launching publicly.
- Reassess securities status. If contributors receive any investment, repayment, or profit right, pause the campaign and obtain current securities-law advice. Select the appropriate registered intermediary and disclosure path before accepting funds.
- Set a funding trigger. Decide in advance what result—such as a signed contract, a minimum preorder count, or a cash-balance threshold—justifies seeking the next source. This prevents emergency borrowing on poor terms.
How to decide which route fits your startup
Choose bootstrapping or customer revenue when demand is already visible
Use this route when customers can pay for a defined result before you need major fixed investment. Paid pilots and deposits are especially useful for consulting, software services, agencies, and business products with short implementation cycles. Keep contracts precise and avoid allowing one customer to finance an unsustainably large share of the company.
Choose a grant when your project matches a published objective
A grant is appropriate when your work fits a program’s stated technical, social, geographic, or industry purpose and you can maintain the required records. It is a poor fit when you need unrestricted cash immediately or cannot front eligible expenses.
Choose debt when repayment can be demonstrated
A loan may fit a company with recurring revenue, signed contracts, or an asset that produces predictable cash flow. For a pre-revenue venture with uncertain demand, mandatory monthly payments can reduce the time available to improve the product. Microloans can cover a smaller equipment or inventory need, but do not assume the average loan size is enough for your plan.

Choose reward crowdfunding when a community can pre-buy a tangible offer
A campaign is strongest when the product is easy to explain, visually demonstrable, and supported by an audience you can reach before launch. Treat every reward as an order with a cost, deadline, and support burden.
Common mistakes and how to correct them
- Calling every grant “free startup money.” Read the notice for eligible applicants, costs, matching funds, milestones, and reimbursement rules.
- Assuming an SBA connection means automatic approval. The lender still evaluates repayment ability, business purpose, owners, collateral, and documentation.
- Comparing loans by interest rate alone. Add fees, guarantees, required services, collateral exposure, covenants, and the full amortization schedule.
- Launching crowdfunding before costing fulfillment. Price production, packaging, shipping, taxes, refunds, and support before announcing the reward.
- Using customer deposits as unrestricted profit. Keep enough cash to deliver, refund, and pay taxes.
- Describing an investment campaign as non-equity. If contributors receive a security, follow the applicable SEC framework and intermediary requirements.
- Funding growth without a cash trigger. Define the minimum balance and the sales or contract milestone that justifies additional spending.
What to monitor after funding
Non-equity funding does not remove oversight. Keep a separate ledger for grant costs and customer deposits, reconcile loan payments, document approvals for changes in scope, and retain invoices and delivery records. Review cash runway monthly against the forecast. If revenue, costs, or delivery dates move materially, update the forecast before taking on another obligation.
For debt, monitor covenant tests and contact the lender before a missed payment rather than after default. For grants, follow reporting and audit instructions even when the project is delayed. For reward campaigns, publish accurate updates and reserve cash for refunds or replacements. These controls protect ownership while reducing the chance that a funding source becomes a larger liability.

Start with the smallest amount that proves the next milestone, then match the source to the risk: customer cash for validated demand, grants for eligible defined projects, SBA-backed loans or microloans for repayable uses, and reward crowdfunding for a product you can deliver. Keep securities crowdfunding separate from these options because it can create dilution or investor obligations. A written cash forecast, use-of-funds budget, and comparison of repayment or delivery duties will show whether “no equity” is genuinely the safest choice for your startup.
