For a UK-listed company, start with the Financial Conduct Authority’s National Storage Mechanism (NSM). It is the official, free-to-use archive for regulated disclosures, including Director/PDMR Shareholding notices. Search by issuer and date, open the complete notification, then reconcile its fields with the company’s RNS or investor-relations archive. Use Companies House only to confirm the company and the person’s corporate role; it is not the transaction archive.
The critical distinction is between a director or PDMR dealing notice under UK MAR and a major voting-rights notification under DTR 5. They are different filings with different triggers, forms and information. The workflow below shows how to find the right record and verify that it is complete and authentic.
Where UK director-shareholding records are kept
FCA National Storage Mechanism
The NSM is the FCA’s official repository for regulated information submitted under FCA disclosure rules and the Market Abuse Regulation (MAR). FCA user help describes it as the official way of storing regulated information required by the FCA Rules. Its search includes a Director/PDMR Shareholding category, making it the primary place to locate notices about transactions by directors and other persons discharging managerial responsibilities.

The database is online and free to use. A notice can be filed by the issuer rather than by the individual, so search for the company as well as the person’s name. The NSM record is the evidence to retain because it contains the structured notification fields and the publication metadata.

Issuer RNS and investor-relations archives
Most listed issuers publish the same announcement through their regulatory news service (RNS) feed and keep it in an investor-relations archive. These copies are useful for reconciliation: the headline, publication date and transaction details should agree with the NSM document. An issuer archive can be easier to read, but the NSM remains the independent regulatory repository.
Companies House
Companies House is a public register that can be searched online free of charge. Use it to confirm the legal entity, company number, officer name, appointment dates and, where relevant, persons with significant control. It does not replace the NSM or RNS notice for proving that a purchase, sale or other securities transaction occurred.
Identify the correct issuer before searching
Ambiguous company names are the most common cause of false matches. Gather as many of these identifiers as possible before opening the NSM:
- Exact legal name, including any group or class suffix.
- Ticker or trading symbol and the market on which the security is listed.
- International Securities Identification Number (ISIN) for the instrument.
- Legal Entity Identifier (LEI) for the issuer.
- Approximate transaction date and the date on which the announcement was published.
- The person’s full name, role and any known relationship to a director (a closely associated person, or PCA).
The ISIN identifies the security; the LEI identifies the issuer. A company can have several share classes, warrants or debt instruments, so do not assume that a notice about one security applies to all of them.
How to search the FCA NSM step by step
- Open the NSM search. Use the FCA National Storage Mechanism rather than a general web search. A web result may be an outdated mirror, a corrected notice or a different company with a similar name.
- Enter the issuer. Select the exact company in the company filter where available. If the selector does not resolve the name, search the legal name and then confirm the LEI inside each result.
- Set a publication-date range. Start with the expected announcement date and allow several days on either side. The publication date is not necessarily the date on which the trade occurred.
- Choose the category. Select Director/PDMR Shareholding. If the category is unavailable in the initial view, use information-type filters and keywords such as PDMR dealings, director dealing, director/PDMR shareholding or notification of transactions.
- Add a keyword only when needed. A surname, “initial notification”, “amendment” or the instrument name can narrow a large result set. Do not rely on a surname alone because a closely associated person may be named instead of the director.
- Open the complete filing. Save the document or its stable record details, including the NSM publication date and the issuer. Headlines often omit the instrument code, venue or aggregated information.
- Check for related records. Look for an amendment, correction or later notice concerning the same person and transaction. A corrected filing may appear as a separate result rather than replacing the earlier document.
The NSM help system provides filters for keyword, information type, company and publication date. Combining the company filter with a date range and the Director/PDMR Shareholding category is usually more reliable than a broad keyword search.
What to record from the notification
Copy the fields exactly before drawing a conclusion. Current NSM notification forms can contain the following information:

- PDMR or PCA name: the individual who traded or the closely associated person who traded.
- Position or status: for example, director, chief officer, company secretary or another PDMR designation.
- Initial notification or amendment: whether the filing is the first notice or changes an earlier one.
- Issuer name and LEI: use the LEI to ensure that a similarly named group company has not been selected.
- Instrument description and identification code: normally the security description and its ISIN.
- Nature of the transaction: purchase, sale, grant, vesting, transfer, exercise or another specified action.
- Price and volume: the unit price and number of instruments. An aggregated price may be shown when several trades are combined.
- Aggregated information: total volume and, where applicable, a weighted or average price.
- Transaction date: the date on which the dealing took place, which can precede publication.
- Place of transaction: the venue, such as a regulated market or an off-market indication.
Keep the original precision of prices and quantities. Rounding a price or silently converting a transaction into a percentage can create a discrepancy when you compare the filing with the issuer’s announcement.
Do not confuse UK MAR dealings with DTR 5 holdings
| Question | Director/PDMR transaction notice | Major voting-rights notification |
|---|---|---|
| Regime | UK MAR requirements for transactions by a PDMR or a closely associated person | FCA Disclosure Guidance and Transparency Rule (DTR) 5 |
| What triggers it | A reportable dealing or other specified transaction in the issuer’s instruments | Voting rights or qualifying financial instruments reaching, exceeding or falling below a statutory threshold |
| Typical document | Notification of transactions by a PDMR or PCA; often labelled Director/PDMR Shareholding | TR-1 major shareholding notification |
| Key data | Person and status, instrument and ISIN, transaction type, price, volume, date and venue | Holder identity, voting-rights position, percentage and the relevant class of shares or instruments |
| Where to search | NSM Director/PDMR Shareholding category and the issuer’s RNS archive | FCA shareholding-notification process, ESS submissions and historical searches, plus the issuer’s archive |
A director dealing announcement is therefore not a DTR 5 threshold filing. A director may buy shares without crossing a reportable voting-rights percentage, while a large shareholder may cross a DTR 5 threshold without being a director or PDMR.
DTR 5.1.2 thresholds for relevant UK issuers
For the specified UK issuers covered by DTR 5.1.2, notification is required when voting rights reach, exceed or fall below 3%, 4%, 5%, 6%, 7%, 8%, 9% or 10%, and each additional 1% threshold thereafter up to 100%. The threshold basis for a non-UK issuer can be different, so identify the issuer’s legal and listing status before applying this list.
The FCA’s shareholding-notification process supports electronic TR-1 forms, issuer identification by ISIN, searches of historical submissions, corrections and downloads that can be forwarded to the issuer. Use those materials when the question is “who crossed a voting-rights threshold?” rather than “when did a director trade?”
Verify the notice against an independent issuer copy
After finding an NSM record, perform a field-by-field reconciliation with the same announcement in the issuer’s RNS feed or investor-relations archive.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →- Match the issuer. Confirm the legal name and LEI, not merely a familiar trading name.
- Match the person and status. Check spelling, director or PDMR role, and whether the named person is a PCA rather than the director.
- Match the instrument. Compare the description and ISIN. A notice for ordinary shares is not automatically a notice for options, restricted stock or another class.
- Match the transaction type. Confirm whether it was a purchase, sale, vesting, transfer, exercise or another action.
- Match price and volume. Check unit price, total quantity and any aggregated or weighted price. Preserve decimal places when comparing.
- Match dates. Separate the transaction date from the publication or announcement date.
- Match the venue. Confirm the stated market or other place of transaction.
- Check the notification status. Determine whether the document is an initial notification, amendment or correction.
- Check resulting information. Where the form reports an updated holding or percentage, make sure it is consistent with the transaction and the instrument class.
A mismatch in the person’s name, PDMR/PCA status, ISIN, date, quantity or price is a reason to stop and investigate. It may indicate an amendment, a corrected announcement, a copy belonging to another share class or an error in an archive. Do not average the two versions or choose the one with the more convenient figure.

Use filing and transaction dates correctly
Regulatory archives commonly display the date on which the issuer published the notice, while the notification form separately states when the trade occurred. A notice published on a Tuesday can describe a purchase made on the preceding Friday. For a chronological analysis, record both dates in separate columns.
| Field | Why it matters |
|---|---|
| Transaction date | Shows when the purchase, sale, vesting or transfer happened. |
| Publication date | Shows when the market received the disclosure and is the practical date for searching the NSM. |
| Amendment date | Shows when a previous notice was changed or corrected; it does not necessarily change the underlying trade date. |
Worked verification examples
ITM Power plc notice
An FCA-hosted notice dated 1 July 2026 reports that ITM Power plc was notified that Sir Warren East, identified as a non-executive director, purchased 172,000 ordinary shares. The form identifies the issuer LEI, the ordinary-share ISIN, a purchase transaction, a price of £1.148163, a transaction date of 29 June 2026 and the London Stock Exchange as the venue.
To verify a notice with this structure, compare every one of those fields with the company’s RNS copy. The example demonstrates why the headline alone is insufficient: the publication date, transaction date, role, security code, exact price, quantity and venue all contribute to the evidence.

A second FCA-hosted notice dated 4 August 2026 identifies Alex Dunn as General Counsel and Company Secretary, classified as a PDMR, and labels the filing an initial notification. It supplies the issuer LEI and the transaction-form fields required for reconciliation.
This example shows that PDMR records are not limited to board directors. A senior officer who has managerial responsibility can appear in the Director/PDMR Shareholding category even when the person is not a statutory director. Confirm the status stated in the filing rather than inferring it from the person’s job title.

| Comparison axis | What to determine |
|---|---|
| Notification regime | UK MAR PDMR/PCA transaction or DTR 5 major holding |
| Dates | Transaction date versus publication, amendment or correction date |
| Person and status | Director, PDMR, PCA relationship and any change in role |
| Instrument | Description, share class and ISIN |
| Transaction nature | Buy, sell, vesting, transfer, exercise or another action |
| Price and volume | Unit price, aggregated price and total quantity |
| Resulting position | Holding or percentage after the transaction, where reported |
| Issuer and venue | LEI and place of transaction |
| Status of filing | Initial, amended or corrected record |
If the later document is explicitly an amendment or correction, use it as the current version while retaining the earlier notice for an audit trail. If the relationship is unclear, check the issuer archive and Companies House appointment records rather than assuming that two similar names refer to the same person.

Confirming the person and company at Companies House
- Search the exact company name and confirm the Companies House company number.
- Open the officers or filing history pages and check whether the named individual is or was a director.
- Record appointment and resignation dates when the timing matters.
- Compare the registered legal entity with the issuer name and LEI in the NSM notice.
- Use the result as identity corroboration, not as proof of the securities transaction.
A person described as a PDMR may not appear as a statutory director, so absence from the officer list does not invalidate a properly completed PDMR notice. Conversely, a Companies House director entry without an NSM or RNS transaction notice does not establish that the person bought or sold shares.
Common search failures and fixes
No result for the company name
Try the issuer’s legal name, remove punctuation, widen the publication-date range and search by ticker or a distinctive keyword. Check that you are not looking for a subsidiary while the listed parent is the issuer.
The person’s name produces unrelated notices
Add the company filter, approximate publication date and Director/PDMR Shareholding category. Search the issuer first, then inspect the person and status fields inside each filing.
The RNS copy and NSM copy differ
Check whether one is labelled amended or corrected, whether the instrument ISIN differs, and whether you compared publication date with transaction date. Preserve both records until the issuer confirms which version is operative.

You found a TR-1 and expected a director dealing notice
Determine whether the question concerns a voting-rights percentage. If so, follow the DTR 5 process and the relevant threshold rules. If it concerns an individual trade by a director or PDMR, return to the NSM Director/PDMR Shareholding category.

The notice names a PCA
Read the relationship and status fields. A closely associated person’s transaction can be reportable even though the director did not personally place the order; do not relabel the PCA as the director.
A repeatable evidence record
For each notice you investigate, maintain a small evidence table or spreadsheet with these columns:
- NSM record reference and publication date.
- Issuer legal name, company number and LEI.
- Ticker, instrument description and ISIN.
- PDMR or PCA name and stated status.
- Initial, amended or corrected designation.
- Transaction nature, date, venue, price and volume.
- Aggregated information and resulting holding, if supplied.
- RNS or investor-relations archive location and reconciliation result.
- Companies House officer or appointment details used for identity checking.
- Notes on any discrepancy and how it was resolved.
This format keeps the regulatory evidence separate from your interpretation and makes later checking possible if the issuer publishes a correction.
Limits and keeping the check current
Official sources reviewed for this subject do not publish a statistic showing the accuracy or completeness rate of director-shareholding disclosures. A successful search therefore demonstrates that a notice exists and that its fields agree across sources; it does not prove that every conceivable transaction was disclosed on time.
Rules, issuer records and search interfaces can change. Recheck the FCA and Companies House pages after 30 days when the matter is ongoing, material or likely to be cited in a report. For a time-sensitive decision, note the date on which you searched and retain the documents you relied on.
Quick Recap
Final verification checklist
- Have you used the FCA NSM and selected the correct information category?
- Did you identify the issuer by legal name and LEI, and the instrument by ISIN?
- Did you distinguish a UK MAR PDMR/PCA transaction from a DTR 5 TR-1 notification?
- Did you capture both transaction and publication dates?
- Did you record the person’s exact status, transaction type, price, volume and venue?
- Did you search for an amendment or correction?
- Does the issuer’s RNS or investor-relations copy match every material field?
- Did you use Companies House only to corroborate identity, appointments and company number?
- If the matter concerns voting rights, did you apply the correct threshold set for the issuer’s jurisdiction?
