To evaluate an Indian IPO beyond GMP, start with the latest red herring prospectus (RHP) or prospectus, then test the business, at least two years of financial statements, valuation, risks, dilution, and the destination of the money raised. GMP chatter may describe unofficial market sentiment, but the official materials available for this guide do not establish a primary-source definition of GMP or evidence that it predicts listing gains. Treat it as an unverified signal, not a valuation method or forecast.

SEBI’s own investor guidance defines due diligence as a comprehensive analysis before investing. The practical objective is to decide whether the price, business quality, balance-sheet risk and use of capital fit your risk tolerance—not whether an unofficial premium appears positive.

How do I evaluate an IPO beyond GMP?

Use this sequence for any Indian book-built IPO. Retrieve the newest filing first, because terms and disclosures can change between the draft and the final offer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Collect the current documents. Read the draft red herring prospectus (DRHP), the RHP issued before bidding opens, and the final prospectus or exchange filing when available. SEBI Investor explains that a DRHP contains issue details except the final price, while the RHP is issued before the IPO begins. Start from the issuer, SEBI or the relevant exchange and verify the document date and version: SEBI’s book-building guidance.
  2. Understand how the company makes money. Identify its products or services, customers, pricing model, geographic exposure, growth drivers and competitive position before calculating a multiple. SEBI’s due-diligence checklist specifically calls for understanding the business model and comparing the company with competitors.
  3. Read the income statement, balance sheet and cash-flow statement together. Examine at least two years, as SEBI Investor recommends, and investigate whether operating cash flow supports reported earnings, whether debt or working-capital requirements are increasing, and what caused changes in margins and profit.
  4. Test the valuation. Read the issuer’s “Basis for Issue Price,” calculate post-issue metrics, and compare the company with genuinely comparable listed businesses. P/E and intrinsic value can inform the analysis, but neither is a stand-alone verdict.
  5. Translate risks into consequences. For every material risk, ask whether it could reduce revenue, raise costs, restrict liquidity, interrupt operations, trigger regulatory action or dilute your ownership. Review litigation, customer and supplier concentration, licences and other dependencies.
  6. Follow the proceeds. Separate a fresh issue, which raises money for the company, from an offer for sale (OFS), in which existing holders sell shares and receive the sale proceeds. Read the “Objects of the Issue” or “Use of Proceeds” section line by line.
  7. Review the final offer mechanics and price warning. Confirm the final price or price band, issue structure, share counts and allocation in the latest filing. SEBI’s ICDR regulations caution that the issue price, floor price or price band should not be taken as an indication of the market price after listing.

This sequence keeps an unofficial quote from becoming the centre of the decision. It also creates an audit trail: each conclusion should point to a page, table or note in the current offer document.

What should I check in an IPO RHP?

Confirm the document hierarchy and dates

The DRHP is an early disclosure. The RHP is issued before the offer opens and reflects later information, but final terms can still differ. When the IPO is active, use the latest RHP and then check the final prospectus or exchange notice for the completed price, issue size, share count and proceeds allocation. Do not copy a figure from an older DRHP when a newer filing changes it.

Map the business before reading the numbers

  • Describe the main products or services in one sentence and identify how customers pay.
  • Separate recurring, contractual or transaction-based revenue from one-off sales.
  • Identify the markets, licences, technology, suppliers and distribution channels on which operations depend.
  • Check customer concentration: a small number of customers can make revenue volatile even when total sales are growing.
  • Compare the company’s business mix and competitors, not merely their share prices.

The aim is to know which operating assumptions must remain true for the forecast growth story to work. A rapidly growing segment may still produce weak shareholder returns if it requires heavy working capital, continual borrowing or unusually high spending to acquire customers.

Read the “Basis for Issue Price” discussion

This section explains the issuer’s stated rationale for the price band and commonly presents selected earnings, return and peer information. Treat the discussion as management’s and the lead merchant banker’s justification, not as an independent guarantee of fair value. Recalculate the relevant ratios from the latest financial statements and post-issue share count, then ask whether the assumptions match the risks described elsewhere in the RHP.

How should I read IPO financials?

A single profit number can hide cash strain, leverage or working-capital needs. Read the three primary statements over multiple periods and reconcile them.

Statement What to examine Questions to ask
Income statement Revenue, gross or operating margin, operating expenses, finance costs and profit trend Is growth broad-based? Are margins improving for a durable reason? Did a one-time item change profit?
Balance sheet Cash, borrowings, receivables, inventory, payables and net worth Is debt rising faster than the business? Are receivables or inventory absorbing cash? Will the issue materially change leverage?
Cash-flow statement Cash generated from operations, investing outflows and financing inflows Does operating cash flow broadly support reported profit? Is expansion funded by operations, debt or repeated capital raising?

Check earnings quality

Compare cumulative operating cash flow with cumulative profit for the same periods. A persistent gap deserves an explanation from receivables, inventory, customer advances, tax timing, capitalised costs or other disclosed items. One weak year is not automatically disqualifying; the key question is whether management explains the movement and whether the cause is likely to reverse.

Check working capital and debt

Rising sales can require more receivables and inventory. Review the notes for ageing, write-offs, payment terms and related-party balances. Examine borrowings, interest expense, repayment schedules, security and covenant information. A fresh issue used to repay debt can reduce interest burden, but it may also leave less money for growth; that trade-off belongs in the valuation.

Separate recurring performance from unusual items

Look for gains on asset sales, fair-value movements, exceptional expenses, tax benefits, acquisitions and changes in accounting estimates. Recalculate a normalized view only when the filing provides enough detail to do so; do not assume every unusual item will disappear next year.

How do I check IPO valuation against peers?

Calculate the relevant post-issue denominator

Use the offer price and the post-issue number of outstanding shares to estimate the post-issue market capitalisation. For an earnings multiple, divide that market capitalisation by an appropriate earnings figure from the offer document. Keep the period and accounting basis consistent across the issuer and peers. If the filing presents a different denominator or adjusted measure, explain the difference rather than mixing definitions.

Use peer comparisons with context

Comparison axis Why it matters What can invalidate a simple multiple comparison
Revenue and earnings growth Shows how quickly the business is expanding Growth may be coming from a small base, acquisitions or unsustainable pricing.
Profitability and margins Indicates operating efficiency and pricing power Different business mixes, accounting policies or one-time items can distort margins.
Cash conversion Tests whether accounting profit becomes cash Working-capital cycles and customer advances vary substantially by industry.
Leverage and funding needs Shows sensitivity to interest costs and refinancing A company with a larger expansion programme may need more capital even at the same debt ratio.
Business mix and risk Provides a like-for-like view of durability Regulatory exposure, concentration and geography can make apparently similar companies poor peers.

Interpret P/E and intrinsic value cautiously

SEBI Investor lists P/E and intrinsic value among due-diligence factors. A lower P/E is not automatically cheaper if growth, margins or balance-sheet quality are weaker. A higher P/E may be defensible only when the company’s growth, cash generation and risk profile support it. A peer average alone does not prove that the IPO is fairly priced; use the issuer’s disclosed rationale and your own comparable set.

Intrinsic-value work is especially sensitive to assumptions about growth, margins, reinvestment and the discount rate. Present a range of outcomes rather than a single precise number when the filing does not support precision.

Which IPO risks matter most to a retail investor?

Read the complete “Risk Factors” section, then translate each material item into an investor consequence. The SEC’s investor bulletin is a useful reminder to inspect risk factors, business dependencies, legal proceedings and dilution, although its filing labels and rules are U.S.-specific and should not be transplanted into Indian filing advice: SEC Investor Bulletin.

Business and concentration risk

  • Dependence on a major customer, supplier, distributor, platform or geography can make a small contract change financially significant.
  • Products requiring licences, approvals or regulated pricing may face delays or rule changes.
  • Rapid expansion can expose the company to execution risk, capacity constraints and quality problems.

Financial and liquidity risk

  • High debt, variable-rate borrowing or near-term maturities can pressure cash flow.
  • Large receivables, inventory or capital-expenditure commitments can consume cash even when profit is positive.
  • Weak operating cash generation can increase dependence on debt or future equity issuance.

Legal, regulatory and ownership risk

  • Review disclosed litigation, tax disputes, investigations and contingent liabilities; assess the potential effect rather than counting cases.
  • Check promoter or selling-shareholder ownership after the offer, lock-ins and any dilution from new shares or securities.
  • Consider related-party transactions and whether governance arrangements could affect minority shareholders.

For each risk, write a consequence in plain language—for example, “loss of the largest customer could reduce revenue and leave fixed costs underutilised.” This prevents a long risk list from becoming a box-ticking exercise.

What does an IPO use of proceeds mean?

“Use of proceeds” describes what the company plans to do with money raised in the issue. In India, read the “Objects of the Issue” section and verify which shares are new and which are sold by existing holders.

Offer component Who receives the money Questions for the RHP
Fresh issue The issuing company How much is allocated to each object? Is the purpose specific, time-bound and linked to measurable milestones? Will it fund capital expenditure, debt repayment, working capital or general corporate purposes?
Offer for sale Existing selling shareholders Why are holders selling? What ownership and voting percentage remains? How much of the total offer provides new capital to the company?

Assess specificity and management discretion

A detailed project budget with capacity, timing and expected milestones is easier to monitor than a broad allocation with substantial discretion. For each object, record the rupee amount, implementation schedule, dependencies and the metric that would demonstrate progress. General corporate purposes may be legitimate, but wider discretion makes it harder to connect the issue to a specific operating outcome.

Check whether the proceeds solve a problem or fund a plan

Debt repayment may lower finance costs and refinancing risk. New facilities or equipment may increase capacity but also require demand, execution and additional operating expenditure. Working-capital funding may support growth while leaving the underlying cash-conversion cycle unchanged. Evaluate the proposed benefit alongside the company’s historical cash generation and risks.

Is GMP a reliable indicator of listing gains?

The official primary materials used for this guide do not define GMP or establish evidence for its predictive power. Because grey-market activity is outside the formal exchange price-discovery process, a quoted premium should not be presented as a forecast, fair value or assured listing return. Verify every formal decision against the issuer’s latest disclosures instead.

SEBI’s ICDR regulations make a separate, explicit point about formal offer pricing: “The issue price / floor price / price band … should not be taken to be indicative of the market price of the specified securities after the specified securities are listed.” The same regulation also states that there is no assurance of sustained trading or any particular trading price. Read the current text at SEBI’s ICDR Regulations.

That warning applies even when the issue appears popular. A premium or discount before listing cannot remove valuation, business, liquidity or market risks. Avoid using GMP to decide how much capital to commit, whether to ignore the RHP or whether a high issue price is justified.

How should I compare two IPOs?

A practical IPO due-diligence worksheet

Before applying, write down the answers below from the latest RHP or prospectus. If an answer cannot be supported by a disclosed figure or explanation, mark the uncertainty and reduce the weight you give the claim.

  • Business: What is sold, to whom, and what are the two or three main growth drivers?
  • Financials: What changed in revenue, margins, profit, debt, working capital and operating cash flow over at least two years?
  • Valuation: What post-issue market capitalisation and P/E does the offer imply, and which peers are genuinely comparable?
  • Risks: Which disclosed risk could cause the largest fall in revenue, margin, cash or ownership value?
  • Proceeds: What amount is a fresh issue, what amount is OFS, and what milestones correspond to each stated object?
  • Terms: What is the latest price band or final price, issue size and share count, and has any term changed since the DRHP?
  • Portfolio fit: What loss, volatility or holding period can you tolerate if the shares trade below the offer price after listing?

This is general educational information, not a recommendation to apply for any particular IPO. Offer terms, disclosures, valuations and applicable rules vary by issuer, offer type, jurisdiction and date. For an active offer, obtain the newest issuer filing and applicable SEBI or exchange documents, then verify the final price, proceeds split, risks and share count before making a decision.
