Document executive misconduct as a neutral, dated record of what you personally observed, preserve supporting records lawfully, and report through a channel that the implicated executive cannot control. If the concern involves a CEO, CFO, general counsel, or another senior leader, that usually means the board chair, lead independent director, audit committee, or independent counsel rather than the ordinary management chain. External reporting depends on the subject: possible federal securities violations belong with the U.S. Securities and Exchange Commission (SEC), covered whistleblower retaliation with the Occupational Safety and Health Administration (OSHA), and covered employment-discrimination matters with the Equal Employment Opportunity Commission (EEOC). This guide is general information, not case-specific legal advice.
What a credible misconduct record needs to establish
A useful record lets an independent reviewer answer five questions without relying on your memory alone: what happened, when and where it happened, who was involved, what evidence corroborates it, and what impact followed. Separate observations from conclusions. “The CFO instructed me to backdate the invoice on 14 March” is an observable account; “the CFO committed fraud” is a legal conclusion that an investigator or regulator must assess.
- Specific conduct: Describe the act, omission, instruction, transaction, threat, or decision.
- Time and place: Use the calendar date, local time and, when useful, UTC, plus the physical or virtual location.
- People and roles: Identify the executive, decision-makers, witnesses, investigators and every person who received a report.
- Exact language: Record short verbatim statements in quotation marks, identifying the speaker and role. If you cannot recall exact wording, label it as an accurate paraphrase.
- Corroboration: Point to each email, text, file, activity log, meeting note, policy, transaction or witness and where it can be found.
- Impact: Explain business, safety, financial, employment, compliance or customer consequences without exaggerating them.
- Potential rule involved: Quote the relevant code, contract term or regulation and mark any legal characterization as provisional.
- Your contemporaneous response: Note what you asked, refused, reported or did immediately afterward.
Do not turn the file into an argument about the executive’s character. A concise chronology supported by original records is more persuasive than speculation, labels or a large volume of unrelated material.
Build a dated chronology before escalating
Create one incident entry for each event, then sort entries by time. Keep the original notes and an index so a reviewer can move from a statement in the chronology to its supporting record.

Incident-entry template
| Field | What to record | Example |
|---|---|---|
| Incident ID and date/time | A consistent identifier and local time; add UTC when people or systems are in different time zones. | INC-2026-014, 2026-10-19 14:30 UTC (10:30 a.m. Eastern). |
| Observed facts | What you personally saw, heard or did; keep assumptions in a separate note. | “At the pricing meeting, the CEO told sales to omit the renewal clause from the customer summary.” |
| People and roles | Names, job titles, reporting relationships and witnesses. | CEO; sales vice president; two named attendees. |
| Exact language | Short quotation, speaker and context; identify paraphrases. | CEO: “Leave that term out until after signature.” |
| Corroboration | File name, message date, system location, transaction ID or witness who can confirm it. | Meeting invite, draft summary v3, CRM activity log and witness A. |
| Impact | Known or reasonably foreseeable effect, with a source for any number. | Customer received a summary that differed from the approved template. |
| Potential policy or law | The policy section or rule that may apply; label the legal conclusion provisional. | Code of conduct section 4.2; possible disclosure-control issue. |
| Escalation record | Date, channel, recipient, acknowledgement, promised next step and follow-up date. | Reported through the audit hotline on 21 October; case number issued; update promised in ten days. |
Write entries promptly after each event. If you make a correction, preserve the earlier version and explain the correction rather than silently replacing it. Sign or otherwise date your notes so a reviewer can distinguish a contemporaneous record from a later reconstruction.
Preserve evidence lawfully and without altering originals
OSHA identifies emails, phone records, texts, activity logs, meeting notes, work orders, letters, memoranda, disciplinary records, pay stubs, witness details and related proceedings as potentially relevant documentation. The same categories can help an internal investigation, but relevance does not authorize unlimited copying.
Preservation practices
- Keep the original message, file or export in its native system when possible. Create a read-only copy for your working index and record the source, date and method of capture.
- Preserve complete context: the full email thread, attachments, headers, calendar invitation, document version history or surrounding log entries, not only a screenshot of one sentence.
- Use the organization’s legal-hold, records-retention and incident-reporting process as soon as you reasonably suspect relevant records could be deleted.
- Maintain an evidence index with an identifier, description, custodian, storage location, access date and any transfer between custodians.
- Protect personal data and confidential customer or employee information. Share only with people who have a legitimate need to review it.
- Do not alter timestamps, redact the original, change file metadata, annotate the only copy or delete inconvenient material. Put explanations in a separate note.
Actions that can create legal or security problems
Do not secretly record a conversation, export restricted company data, defeat access controls or forward privileged material to a personal account without jurisdiction-specific legal advice. A personal copy can violate privacy, trade-secret, data-protection or computer-use rules and may compromise an investigation. If you are unsure whether a record may be copied, ask counsel how to preserve it; describe its location and identifying details in your chronology while leaving the original in place.

The U.S. Department of Justice describes efficient confidential or anonymous reporting and timely, thorough investigations as hallmarks of a well-designed compliance program. Its guidance also says confidential reporting mechanisms are highly probative of whether corporate-governance mechanisms can detect and prevent misconduct. Those principles support using a channel with clear case ownership, trained investigators and a documented anti-retaliation process.
What to include in the first report
- State the issue in one factual paragraph, identifying the executive, date range and business area.
- Attach or identify the chronology and evidence index; do not send a mass archive of unrelated files.
- Explain why the selected channel is independent. For example, note that the implicated executive supervises the normal HR or legal route.
- Ask who owns the investigation, what milestones you should expect, how information will be protected, and whom to contact about retaliation.
- Request confidentiality to the extent possible. Understand that investigators may need to disclose your identity or evidence to conduct a fair investigation.
- Record the recipient, submission time, case number, acknowledgement and promised follow-up. If no acknowledgement arrives by the stated date, make one documented follow-up.
Confidentiality is not the same as anonymity. An anonymous channel may limit follow-up questions, while a confidential process may reveal your identity to witnesses, decision-makers or regulators when necessary for a thorough and impartial investigation. The EEOC task-force checklist calls for “A fully-resourced reporting process that allows the organization to respond promptly and thoroughly to reports of harassment that have been experienced or observed.”
When the CEO or another senior executive is implicated
Escalate to the board chair, lead independent director, audit committee or independent counsel when the concern involves the CEO, CFO, general counsel, a board member, or anyone who controls ordinary reporting channels. State the conflict plainly and ask that the implicated executive have no role in selecting investigators, preserving records, interviewing witnesses or deciding discipline.

For financial reporting, accounting, audit or disclosure matters, the audit committee is often the appropriate board-level recipient. For conduct involving the board chair or a majority of directors, request an independent director or outside counsel who is not selected by the implicated person. Preserve proof that you attempted, or reasonably declined, an internal route; that record can matter if a regulator later asks what the company knew and when.

Match external escalation to the subject and jurisdiction
External reporting is not one universal step. The proper agency, deadline, anonymity rule and available remedy depend on the conduct, your role, the employer and the applicable law. The table below gives the distinctions supported by the agencies’ published materials; obtain advice on any statute-specific deadline before relying on it.
| Route | Best fit | Confidentiality or anonymity | Evidence and timing | Possible protection or remedy |
|---|---|---|---|---|
| SEC | Possible federal securities-law violations, such as misleading disclosures, accounting manipulation or insider-trading-related conduct. | Submit directly through the SEC’s whistleblower process. The program prohibits employer retaliation against employees who provide information about possible securities violations; do not assume every identity or submission detail will remain secret. | A specific, credible and timely tip identifying people, transactions or non-public evidence is more likely to receive investigative follow-up. For certain award purposes, reporting to the SEC within 120 days after an internal report can preserve the internal reporting date. | For qualifying covered actions with more than $1 million in monetary sanctions, an eligible whistleblower may receive 10–30% of the money collected. An award is not guaranteed. |
| OSHA | Retaliation against workers who engage in activities protected by a whistleblower statute enforced by OSHA. | Complaints in this process cannot be anonymous. Expect OSHA to need your identity and supporting information to investigate. | Provide the chronology, the protected report or activity, adverse action and witnesses or records connecting them. Statutes enforced by OSHA have different filing deadlines, so confirm the deadline for the law covering your situation. | When retaliation is supported, OSHA may seek reinstatement, back pay, benefits or other relief authorized by the applicable statute. |
| EEOC | Covered employment discrimination, harassment or retaliation connected to protected equal-employment-opportunity activity. | Use the EEOC charge process and follow its confidentiality instructions; the process is not a promise of absolute secrecy. | Preserve proof of the protected report or participation, suspicious timing, retaliatory statements, comparator treatment and explanations that appear false. Charge deadlines vary by law and location. | Potential relief can include remedies available under the applicable employment-discrimination law; eligibility depends on the facts and coverage. |
SEC reporting details
The SEC’s whistleblower FAQ states that the program prohibits retaliation by employers against employees who provide information about possible securities violations. A tip is stronger when it identifies the people involved, the transaction or disclosure, the dates, and non-public evidence that can be independently checked. Internal reporting can be valuable, but it does not replace the SEC’s direct-submission and timing rules.
The FAQ describes awards of 10–30% of monetary sanctions in qualifying SEC actions when the action produces more than $1 million in sanctions. The $1 million threshold concerns the qualifying action, not a promise that every report will lead to an award. For certain award determinations, submitting to the SEC within 120 days after an internal report can preserve the earlier internal-reporting date. Keep proof of both submissions, including the exact dates and confirmation numbers.
OSHA whistleblower complaints
OSHA handles covered whistleblower-retaliation complaints, not every workplace dispute or allegation of executive misconduct. Explain the protected activity, the person who knew about it, the adverse action, and the factual link between them. Include schedule changes, exclusion, discipline, threats, altered evaluations, pay changes or termination with dates and comparators. OSHA’s process is not anonymous. If the agency finds support under the applicable statute, it may seek reinstatement, back pay, benefits or other authorized relief.

EEOC discrimination and retaliation matters
The EEOC addresses covered employment-discrimination matters and retaliation tied to protected EEO activity. Evidence that can support causation includes suspicious timing, retaliatory statements, more favorable treatment of comparable employees and explanations that shift or appear false. EEOC guidance notes that retaliation claims represented 44.5% of all charges received in fiscal year 2015, a historical statistic that shows how common these allegations are but does not predict the outcome of an individual charge.

Put personal safety first. If there is an immediate threat, contact emergency services or an appropriate law-enforcement resource and follow workplace safety procedures. Do not confront the executive, conduct a private sting operation or remove evidence yourself. Preserve what you can safely and lawfully, then obtain advice on the correct reporting authority.
For suspected criminal conduct without an immediate physical threat, document the facts and seek legal advice about whether to contact law enforcement, a regulator or both. Avoid public accusations or social-media disclosures that could endanger people, compromise evidence or create defamation and confidentiality risks.

Report new retaliation through the anti-retaliation contact named in your original case and consider the applicable external route promptly.
Get legal advice without compromising privilege
A lawyer can assess privilege, whistleblower statutes, reporting deadlines, confidentiality limits and whether documents may lawfully be copied. Ask specifically about the jurisdiction where you work, the location of the records and any cross-border data rules. Do not forward attorney-client or work-product material to a personal account merely to keep a copy; doing so can waive protections or violate company policy. Tell counsel what exists and where it is, and follow advice on preservation.
Common mistakes and how to correct them
Writing conclusions instead of facts
Replace “the CEO is corrupt” with the transaction, instruction, date, witness and document that led you to be concerned. Keep a separate section for questions and provisional legal theories.
Collecting too much or altering records
Stop broad exports, preserve originals in place and create an evidence index. Ask counsel or the investigator for a targeted collection plan.
Using a channel controlled by the subject
Document the conflict and redirect the report to an independent director, audit committee, internal audit, compliance channel or independent counsel.
Assuming confidentiality or immunity
Request confidentiality, but plan for necessary disclosure to investigators, witnesses or agencies. No internal report guarantees immunity, an award or a particular investigation result.
Waiting while deadlines run
Record the date of every report and obtain advice on agency-specific deadlines. Internal escalation does not automatically extend an external filing period, except where a program expressly provides a rule such as the SEC’s 120-day provision for certain award purposes.
