Do not tender automatically because the offer price is above the market price. First confirm that the notice is an issuer tender offer, read its price, deadlines, conditions, proration and withdrawal rules, then compare the cash you can receive with the risk and expected value of keeping the shares. Your concentration, need for liquidity, tax lots and account type can matter as much as the quoted price. In a typical issuer tender offer, participation is optional: you may tender, sell in the market, or keep your shares.
What a company buyback tender offer is
An issuer tender offer is a time-limited offer by a company to buy its own securities. The notice states the consideration—usually a fixed cash price or a defined price range—and may set a minimum number of shares that must be tendered before the transaction proceeds. Investor.gov explains that each security holder decides whether to tender. You are not required to accept simply because the company made the offer.
This is different from an ordinary open-market repurchase. In an open-market program, the company buys shares through normal market transactions and you decide independently whether to sell at the prevailing quote. It is also different from merger consideration, a dividend, a redemption, or a broker message about another corporate action. Identify the transaction before making any calculation.

Start with the offer documents, not the headline price
The issuer’s tender-offer statement, exhibits and subsequent amendments are the controlling source for the mechanics. A broker’s notice is useful for submitting instructions, but it may summarize rather than reproduce every condition. Read the primary filing and the latest amendment available before you decide.
| Term to verify | Why it changes your decision |
|---|---|
| Offer price or price range | Establishes the cash consideration and whether the final price can differ from the first number you saw. |
| Opening and expiration dates | Tell you when instructions can be submitted and the exact deadline, including any broker cut-off that is earlier than the issuer’s deadline. |
| Maximum shares | Shows whether the company can buy everything tendered or whether acceptance may be limited. |
| Minimum condition | Explains whether the offer can fail unless a specified number of shares is tendered. |
| Proration formula | Describes how accepted shares are allocated if more shares are tendered than the company will purchase. |
| Withdrawal rights | States whether, and until what time, you can cancel shares already tendered. |
| Eligibility and odd-lot rules | Determines whether your account and share quantity qualify for special treatment or an exemption from proration. |
| Settlement date and method | Sets when accepted shares disappear and when cash should be credited. |
| Financing, capitalization and risk disclosures | Help you judge whether the offer changes the company’s financial risk or future prospects. |
SEC staff guidance says a material change to a tender offer should be disclosed with enough time for holders to consider it and decide whether to tender, withdraw shares already tendered, sell in the market, or hold. If an amendment appears, read it rather than relying on your original decision. A revised price, expiration date, condition or proration rule can change the answer.
Compare the three realistic choices
For most holders there are three choices: tender to the issuer, sell some or all shares in the market, or hold. Assess them on the same dimensions instead of treating the tender premium as a stand-alone recommendation.

| Price and certainty | Uses the stated offer terms, but final acceptance and settlement depend on the document’s conditions. | Provides a market price when your order executes; the price can move and trading costs apply. | No immediate cash; value remains exposed to future market movements. |
| Acceptance risk | May be capped, conditional or prorated; only the accepted quantity is sold. | Your order normally fills only at the quantity and price the market accepts. | No tender acceptance issue, but you retain all company-specific exposure. |
| Future return | Removes the accepted shares from future gains, losses and dividends. | Removes the shares you sell; unsold shares retain their exposure. | Preserves participation in future results and distributions. |
| Liquidity timing | Cash arrives on the stated settlement schedule, not necessarily immediately. | Cash generally follows normal market settlement after execution. | No sale proceeds until you later sell. |
| Tax-lot control | Depends on your broker’s lot-selection process and the accepted quantity. | You can often select lots before placing the order, subject to broker rules. | No current realized gain or loss from the retained shares. |
| Concentration | Can reduce a large position, but proration may leave more shares than intended. | Lets you choose a quantity and timing outside the offer’s cap. | Leaves the concentration unchanged. |
Price, spread and execution
Compare the tender consideration with the current market bid and ask, not merely the last trade. Include commissions, exchange fees, transfer charges and the value of waiting for settlement. A tender price above the market can reflect uncertainty about completion, a limited acceptance rate or the possibility that the share price will fall when the offer ends. Conversely, a small premium may not compensate you for giving up a strong long-term opportunity. There is no general published statistic that can predict whether a particular tender price will outperform holding; that requires analysis of the named company and your circumstances.

Acceptance and proration risk
Find the maximum purchase amount and the stated allocation method. An oversubscribed offer may accept only a pro-rata fraction of each holder’s tender. Some offers provide an odd-lot preference for holders tendering fewer than a specified number of shares, while others do not. Do not assume that tendering a small amount guarantees acceptance or that a full tender will be fully purchased. Use the issuer’s formula and any stated estimates, which are transaction-specific.
Value and risk of remaining invested
Estimate the expected value of keeping the shares using evidence you can defend: operating performance, balance-sheet strength, competitive position, dividend policy, management’s stated capital-allocation plan and a valuation range. Then list what could make that estimate wrong. Holding preserves upside, but also preserves downside, volatility and the risk that a single company dominates your portfolio.
Concentration, control and personal goals
Calculate the company’s percentage of your investable assets after a possible tender. A concentrated position may be inappropriate even if the company is attractive. Selling enough to meet a diversification target can be rational without predicting the exact share price. Consider whether voting power, control exposure or an employee-related stake has special importance to you.
Liquidity needs are equally concrete. If you need cash for an emergency reserve, debt repayment, tuition, a home purchase or a tax bill, a tender can convert an uncertain asset into scheduled proceeds. Do not count the money until you know the settlement date and the accepted quantity. If you have no immediate need and the position is already diversified, retaining some exposure may be preferable.

Calculate the tax result before submitting instructions
For a U.S. taxable account, a share sale generally creates a capital gain or loss equal to the amount realized minus the adjusted basis. IRS Topic 409 states: “When you sell a capital asset, the difference between the adjusted basis in the asset and the amount you realized from the sale is a capital gain or a capital loss.” The amount realized normally includes the proceeds after transaction costs, while adjusted basis generally starts with purchase price plus purchase costs and is modified by applicable corporate actions.
Identify the lots that will be sold
Use your broker’s lot records and choose the actual lots where the account and tender process permit specific identification. A tender can accept only part of the quantity you submit, so confirm how the broker allocates lots when the issuer prorates. IRS Publication 550 (2025) explains that if you cannot adequately identify the shares sold, FIFO treatment generally applies: the oldest shares are treated as sold first. FIFO can produce a very different gain, holding period and tax bill from selling high-basis lots.
Estimate gain, loss and holding period
- List the number of shares you expect to tender and the number that could be accepted under the stated proration method.
- For each possible lot, record acquisition date, original cost, purchase expenses, adjustments and adjusted basis per share.
- Multiply the accepted shares by the offer consideration, subtract eligible selling costs, and compare the result with the basis of those specific shares.
- Classify each result by holding period under the applicable tax rules, then estimate federal, state and local tax using your situation rather than a generic rate.
- Check whether realizing a loss interacts with other sales, loss-harvesting plans or wash-sale rules. Keep documentation showing the tender instruction, final acceptance or proration, proceeds and lot assignment.
A broker may issue Form 1099-B, but it can contain incomplete or incorrect basis for older, transferred, inherited or corporate-action-affected shares. Reconcile it to your own records. Retirement accounts generally follow different tax rules, and employee equity, inherited shares, non-U.S. taxpayers and unusual redemption structures may require professional advice.

Illustrative calculation
Suppose an offer accepts 600 of the 1,000 shares you tender at $40 per share. Your selected lots have an adjusted basis of $18, $25 and $33 for the accepted shares, and selling costs total $60. Proceeds are $24,000; after costs, the amount realized is $23,940. Your gain is $23,940 minus the combined basis of the 600 accepted shares. The result cannot be determined from the offer price alone: it depends on which lots the broker assigns and whether the issuer accepts the full amount.

How much should you tender?
Full tender
Tendering all shares can provide the most liquidity and remove company-specific risk if the offer is fully accepted. It also ends your participation in future appreciation, dividends and voting for those shares. If the offer is oversubscribed, a full tender may still leave you with a substantial residual position, so check the estimated acceptance percentage and decide what you will do with shares not purchased.
Partial tender
A partial tender can reduce concentration while preserving some upside. Set a target position before you submit instructions—for example, a maximum percentage of your portfolio or a dollar amount needed for a specific goal. Then account for possible proration: tendering exactly the number needed to reach the target may not work if only a fraction is accepted. You may need a plan for the remaining shares, including a later market sale or continued holding.
Hold without tendering
Holding can be appropriate when your valuation work indicates meaningful upside, the position is not excessive, you do not need cash, and the offer price does not compensate for the expected future return and risk. You should still monitor the offer’s outcome, because the company’s share count, leverage, liquidity and future trading conditions can change after the repurchase.
What happens if you do not tender?
In a normal voluntary issuer tender offer, untendered shares remain yours. You continue to bear the market risk and retain any future dividends and voting rights associated with them. The company may buy fewer shares than planned, the offer may fail a minimum condition, or the offer may close successfully and leave a smaller public float. Each outcome can affect liquidity and price, but the magnitude cannot be inferred without the issuer’s terms and market conditions.

Not tendering is not the same as selling in the market. A market sale executes under ordinary trading rules and may occur at a price above or below the tender consideration. If you want certainty about a quantity and date, follow the broker’s market-order or limit-order procedures separately from the tender instruction.
Execution checklist for a tender decision
- Classify the event. Confirm the issuer, security class and that the notice is an issuer tender offer rather than another corporate action.
- Record the dates. Write down opening, expiration, withdrawal and expected settlement dates. Ask your broker for its earlier internal cut-off.
- Read the latest filing. Check price, conditions, maximum shares, proration, odd-lot treatment, eligibility, funding and amendments.
- Compare alternatives. Evaluate tendering, a market sale and holding using price, acceptance risk, expected return, concentration, liquidity and governance considerations.
- Model taxes. Identify lots, estimate basis and holding period, and account for federal and state consequences.
- Choose a quantity. Decide whether a full, partial or zero tender fits your target position, allowing for possible proration.
- Submit instructions accurately. Use the broker’s corporate-actions screen or designated form, and verify the number of shares and account registration.
- Preserve evidence. Save the confirmation, any withdrawal request, amendments and broker messages.
- Reconcile settlement. Confirm the final accepted quantity, cash credit, fees and tax-lot disposition against your records.
Common mistakes and how to correct them
- Assuming the premium guarantees a profit. Compare the premium with expected value, taxes, fees and the risk of partial acceptance.
- Ignoring the broker deadline. Brokers often require instructions before the issuer’s stated expiration. Obtain the operational cut-off in writing.
- Tendering more shares than you can afford to sell. Model the tax bill and the possibility that every tendered share is accepted.
- Overlooking proration. Read the allocation formula and plan for the residual position.
- Using the wrong basis. Reconstruct transferred, inherited or corporate-action-adjusted lots instead of relying blindly on a current account display.
- Missing a material amendment. Re-read the amended filing and reassess your choice while withdrawal rights remain available.
- Confusing corporate tax with shareholder tax. The company’s repurchase excise tax does not calculate your personal gain or determine whether you should tender.
What the 1% repurchase excise tax means for an individual holder
The Inflation Reduction Act of 2022 created a stock-repurchase excise tax under Internal Revenue Code section 4501. The IRS Form 7208 instructions (2025) state that a 1% tax applies to the fair market value of stock repurchased during the tax year by certain publicly traded corporations or their specified affiliates, for repurchases occurring after 2022.
This is a corporate-level liability. It may affect the company’s economics, the net cost of a repurchase or management’s capital-allocation choices, but it does not replace your own gain-and-basis calculation and does not automatically reduce the cash consideration stated in your tender offer. Whether a particular issuer is covered, and how the tax applies to its transactions, depends on the statutory definitions and the company’s facts.

Consider a tax professional or investment adviser when the tender involves a large share of your wealth, a controlling or insider position, restricted or employee equity, inherited or gifted stock, multiple jurisdictions, a retirement account, a trust, or a complex reorganization. Ask for advice before the broker deadline, because a correct tax analysis is not useful if there is no time to change the instruction.
No general rule can determine the right answer without the issuer, offer price, account type, basis, tax jurisdiction, position size and financial objective. Those facts determine whether the tender’s certainty outweighs the value and risk of remaining invested.
