Compare a defence-tech IPO with HAL, BEL, Mazagon Dock and other listed peers in two layers: first prove that the issuer has a qualified product and a funded procurement path; then compare its financial quality, execution risk and valuation with mature companies on the same date. Policy support and a large order book can improve the outlook, but neither guarantees deliveries, cash generation or shareholder returns.

Why defence-tech IPOs need a different comparison

India’s defence market contains large public-sector undertakings (PSUs), specialist private manufacturers and early-stage technology companies. A shipbuilder with decades of contracts is not economically comparable to a drone developer awaiting user trials, even if both describe themselves as defence businesses.

A SEBI-hosted prospectus describes an industry shaped by indigenous-production policy, the Defence Acquisition Procedure (DAP) 2020, indigenisation lists, private participation and export opportunities. It also describes an emerging private sector alongside established PSUs. That combination creates opportunity, but it also means that the label “defence IPO” hides major differences in product maturity, customer concentration, cash cycles and valuation.

Use this sequence:

  1. Classify the business and verify the technology.
  2. Separate policy demand from an awarded, funded programme.
  3. Audit the quality and convertibility of the order book.
  4. Compare financial maturity and capital requirements.
  5. Value the IPO against genuinely similar listed companies.
  6. Adjust for concentration, ownership, liquidity and execution risks.

This is an analytical framework, not a buy-or-sell recommendation. IPO prices, market valuations, procurement rules and order books change, so all market comparisons must be refreshed immediately before an investment decision.

1. Identify what the issuer actually sells

Read the prospectus description of the business before looking at the issue price. Put the issuer into one or more operational categories:

  • Original equipment manufacturer (OEM) producing complete platforms or systems.
  • Subsystem or component supplier selling into a prime contractor.
  • Contract manufacturer operating to another company’s design.
  • Software, autonomy, simulation or command-and-control provider.
  • Drone, robotics or counter-drone specialist.
  • Shipbuilder, repairer or marine systems supplier.
  • Dual-use manufacturer serving defence and civilian markets.

Then record the product, end user, qualification stage, production site, installed capacity and technology owner. A product that has passed user evaluation and entered serial production carries a different risk from a prototype that is still dependent on trials.

Technology-readiness checks

  • Qualification: Has the relevant service accepted the design, completed trials or issued a production order?
  • Intellectual property: Does the issuer own the design, hold a transferable licence or merely manufacture under a non-exclusive arrangement?
  • Transfer terms: The DRDO Policy for Transfer of Technology 2025 was published on 13 January 2026. Check licence scope, territory, duration, royalties, sublicensing, upgrade rights and ownership of improvements in the IPO filing.
  • Capacity: Match stated capacity with machinery, tooling, testing facilities, qualified suppliers and the capital expenditure plan.
  • Dependence: Identify whether one prime contractor, government laboratory or imported subsystem is indispensable.

A patent count or a “proprietary technology” claim is not evidence of procurement. The decisive question is whether the issuer can legally manufacture, deliver and support the product at the promised scale.

2. Separate policy support from funded demand

Government policy establishes a direction for the market; it does not create revenue for a particular issuer. A SEBI-hosted 2025 prospectus reports defence exports of ₹21,000 crore in FY2024, private firms at about 20% of defence production, more than 16,000 MSMEs and defence outlay rising from ₹2.53 lakh crore in FY2013-14 to ₹6.81 lakh crore in FY2025-26. These are sector-level indicators, not a forecast for an individual IPO.

Draft DAP 2026 proposes four procurement categories and would raise indigenous content in the Buy Indigenous Design, Development & Manufacture category from 50% to 60%. The Ministry of Defence said on 13 February 2026 that the draft is intended to strengthen self-reliance, accelerate acquisition and streamline procurement. Because it is a draft framework, treat it as a policy tailwind rather than an enacted company-specific entitlement.

Build a demand evidence ladder

For each major product or forecast, classify the evidence from strongest to weakest:

  1. Executed purchase order or contract: Record value, delivery milestones, payment terms, escalation, liquidated damages and termination rights.
  2. Acceptance of Necessity (AoN): This indicates a procurement requirement, not a sale. Confirm the route, quantity, budget and remaining approvals.
  3. Completed trials or user acceptance: Check the test scope, date, version tested and whether competitors remain in contention.
  4. Named programme or tender: Identify the issuer’s role, bid status and probability of selection.
  5. Policy eligibility or management expectation: Treat this as the weakest evidence until it becomes a funded programme.

Map every order-book or growth assertion to a document. A credible prospectus should allow you to distinguish an awarded contract from a pipeline opportunity and a management estimate.

Order-book coverage = reported order book ÷ trailing-twelve-month revenue

A high ratio can indicate strong future visibility, but it can also reflect a long delivery cycle, framework agreements that are not fully called off, or contracts with low margins. Compare the ratio with the company’s historical conversion rather than treating it as a valuation shortcut.

Order-book quality checklist

  • Customer mix: Show the percentage attributable to each ministry, service, prime contractor and programme.
  • Binding status: Separate firm orders from rate contracts, letters of intent, options and unsigned amendments.
  • Delivery schedule: Identify annual deliveries and the milestone at which revenue is recognised.
  • Cancellation rights: Read termination, convenience, force-majeure and penalty clauses.
  • Price protection: Check escalation formulas and the treatment of imported inputs, currency movements and redesigns.
  • Working capital: Compare advances, inventory, unbilled revenue and receivables with the order schedule.
  • Margin quality: Test whether historical gross and operating margins were achieved on similar contracts.
  • Cash conversion: Compare revenue recognised with operating cash collected, not just reported earnings.

Mazagon Dock Shipbuilders reported FY2024-25 revenue of ₹11,431.88 crore, profit after tax of ₹2,324.88 crore and an order book of ₹32,260 crore. Those figures illustrate how to present a mature-company benchmark, but the order-book-to-revenue ratio is not a guarantee of near-term earnings: shipbuilding deliveries and acceptance milestones can span several years.

Use a conversion bridge

For the last three financial years, make a bridge from opening order book to closing order book:

  • Opening balance.
  • New orders signed.
  • Revenue recognised against orders.
  • Cancellations, scope reductions and foreign-exchange changes.
  • Closing balance.

Then compare the revenue recognised with cash received and margin realised. A company that repeatedly adds orders but shows rising receivables, inventory and contract assets deserves more conservative assumptions than one that converts orders into cash on schedule.

4. Compare financial maturity, not just growth

Use three years of restated financial statements for the IPO where available. For listed peers, use the latest annual report and quarterly filing available on the same cut-off date. Keep accounting periods aligned; a March year-end and a December year-end should not be compared without adjusting the period.

Measure What to calculate What it tells you
Revenue growth Three-year CAGR and year-on-year change Whether expansion is sustained or driven by one contract
Gross margin Gross profit ÷ revenue Pricing power and exposure to imported or subcontracted inputs
EBITDA margin Operating EBITDA ÷ revenue Operating economics before financing and tax
PAT margin Profit after tax ÷ revenue Bottom-line profitability after all charges
Return on capital Operating profit ÷ invested capital Whether growth earns more than the company’s capital cost
Working-capital days Receivable, inventory and payable days How much cash is trapped in delivery
Net cash or debt Cash and investments minus borrowings Balance-sheet resilience and funding need
Free-cash-flow conversion Operating cash flow minus capital expenditure, compared with EBITDA or PAT Whether accounting profit becomes distributable cash

Do not substitute EBITDA for operating cash flow. Defence contracts can show accounting revenue before milestone payments arrive, while inventory and testing costs consume cash. Reconcile exceptional items, capitalised development costs, government grants, subsidies and related-party transactions.

Capital expenditure and dilution

Read the stated use of IPO proceeds. A fresh issue funding a test facility, production line or working capital can expand capacity; an offer for sale primarily changes ownership and does not add cash to the company. Record the fresh-issue and offer-for-sale amounts separately, then model interest, depreciation and possible future equity dilution.

Compare planned capital expenditure with depreciation, installed capacity and the order schedule. A company may need substantial tooling or certification spending before its order book produces cash. Conversely, excess capacity can depress returns if expected orders do not materialise.

5. Value the IPO against like-for-like peers

Use market capitalisation and enterprise value on the same date. Enterprise value is particularly useful when one company holds net cash and another carries debt.

Enterprise value = market capitalisation + total debt − cash and cash equivalents

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Calculate P/E, EV/EBITDA, price-to-sales and free-cash-flow yield where the denominator is meaningful. Use fully diluted shares, including options or other dilutive securities disclosed in the prospectus.

Issuer profile Useful primary measures Important qualification
Profitable, established manufacturer P/E, EV/EBITDA, return on capital, free-cash-flow yield Adjust for one-off contract gains and unusually high or low margins
Profitable but working-capital intensive contractor EV/EBITDA plus cash conversion and order-book coverage Reported profit may precede collections
Pre-scale or loss-making technology issuer Price-to-sales, gross-profit multiple and cash runway Show a documented route to breakeven; do not present P/E
Asset-heavy shipbuilder or platform OEM EV/EBITDA, P/E, return on capital and backlog conversion Delivery milestones and capex can make annual earnings volatile

Do not compare a speculative revenue multiple for a loss-making IPO directly with a mature company’s P/E and call one “cheap.” State the different denominator, profitability stage and execution assumptions. A premium can be rational if technology, growth and returns justify it; it can also simply price in an optimistic procurement scenario.

Grey-market premium is not a valuation model

An IPO grey-market premium is an informal, pre-listing indication that may be thinly traded, rapidly changing and disconnected from intrinsic value. It does not establish product qualification, contract enforceability, cash generation or a sustainable market price. Use it, at most, as a sentiment observation after completing the business and valuation work.

A synchronized “cheapest defence stock” ranking requires current prices, share counts, net cash, earnings and analyst estimates. Without a same-date dataset, no reliable winner can be declared. Refresh exchange prices and the latest filings immediately before comparing multiples.

  • One ministry or armed service.
  • One prime contractor or integrator.
  • One platform, missile, vessel or drone programme.
  • One supplier of imported electronics, engines, sensors or materials.
  • One overseas market subject to export controls or sanctions.

High concentration is not automatically disqualifying; many established defence companies have government-heavy customer bases. The question is whether the company has contractual visibility, bargaining power, alternate programmes and enough working capital to withstand a delay.

Specific diligence points

  • Procurement timing: A budget allocation can be delayed, re-tendered or reprioritised.
  • Trial and acceptance risk: A redesign can postpone revenue and increase warranty obligations.
  • Imported-content risk: Currency movements, export licences and sanctions can interrupt production.
  • Warranty and lifecycle support: Estimate provisions and post-delivery service costs.
  • Related parties: Review purchases, sales, loans, guarantees and promoter-linked transactions.
  • Promoter pledges: Record pledged shares and any change after listing.
  • Talent: Check retention of engineers, programme managers and personnel holding security clearances.
  • Legal and IP disputes: Identify ownership challenges, licence termination rights and restrictions on export or sublicensing.

Treat the order-book headline as a scenario input. Build a downside case with delayed deliveries, lower margin, slower collections and a partial cancellation rather than assuming every rupee becomes revenue.

7. Compare shareholder structure and trading liquidity

Established listed companies generally provide a longer disclosure history and a deeper trading record. An IPO may have a smaller public float, lock-in periods, anchor-investor release dates and volatile early trading.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Record the following at listing:

  • Promoter holding before and after the issue.
  • Fresh issue versus offer-for-sale shares.
  • Anchor allocation and release dates.
  • Public shareholding and any reserved categories.
  • Average daily traded value after a sufficient trading history develops.
  • Shares subject to employee, promoter or pre-IPO investor lock-ins.

Lower liquidity can widen bid-ask spreads and make an apparently attractive valuation difficult to realise. Do not infer safety from a high listing price or from the presence of institutional investors alone.

8. A repeatable comparison worksheet

Use one row per company and one column per test. Keep the observation date beside every price, multiple and order-book figure.

Worksheet block Entries to record
Business Product category, end user, qualification stage, IP owner, production capacity
Demand Contract or AoN, customer, value, delivery dates, cancellation terms, policy dependency
Backlog Opening balance, new orders, revenue conversion, cancellations, closing balance
Financials Three-year revenue, EBITDA and PAT; margins; return on capital; cash flow; working-capital days
Balance sheet Cash, debt, leases, guarantees, capex commitments and contingent liabilities
Valuation Market capitalisation, enterprise value, P/E, EV/EBITDA, price-to-sales, free-cash-flow yield
Ownership Promoter stake, pledge, fresh issue, offer for sale, lock-ins and anchor releases
Risks Customer, programme, supplier, export-control, talent, IP and execution concentration

Score each item as verified, partially verified or unverified. A company with a smaller backlog but verified contracts and strong cash conversion may deserve more confidence than one advertising a much larger pipeline with weak documentation.

9. How established peers should be used

Use HAL, BEL, Mazagon Dock and other established defence stocks as operating and disclosure benchmarks, not automatic safe havens. Compare the IPO with the peer whose business model, customer exposure and accounting economics are closest.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For example, Mazagon Dock’s FY2024-25 revenue, PAT and order book provide a mature shipbuilding reference. A software or drone IPO should not inherit that company’s valuation simply because both serve defence customers. Instead, compare technology qualification, contract duration, margins, capital intensity and backlog conversion within the relevant category.

Issuer report libraries, including those maintained by Paras Defence and Mazagon Dock, can help locate annual and quarterly filings. Use the latest exchange filing or annual report for company-specific numbers and verify that the periods match.

10. Questions that commonly lead investors astray

Does a larger order book make an IPO safer?

No. Safety depends on contract quality, delivery feasibility, customer concentration, margin and cash collection. A long-dated or cancellable backlog can be less valuable than a smaller set of funded orders with predictable milestones.

Is a new defence-tech listing safer than a PSU defence stock?

Not by virtue of being new or privately owned. An established company usually offers a longer operating record and disclosure history, while an IPO may offer faster growth from a smaller base. Compare evidence and valuation rather than the ownership label.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Should policy support be included in the forecast?

Include it as a scenario assumption only after identifying the programme, procurement category, indigenous-content requirement and remaining approvals. Draft DAP 2026 is not the same as an executed contract.

What if the issuer is not yet profitable?

Show revenue or gross-profit multiples, cash burn, runway, customer concentration and a dated path to breakeven. Explain the assumptions needed for that path and do not hide the absence of a meaningful P/E.

How often should the comparison be updated?

Update it when the IPO price is set, when the company files results, when a material contract changes, and whenever procurement rules or order-book disclosures change. At minimum, refresh prices, share counts, cash, debt and trailing earnings immediately before using a valuation conclusion.

Bottom line

The strongest comparison is evidence-led: identify the product and its legal technology rights, prove the procurement path, test whether backlog converts into revenue and cash, compare financial maturity with a genuinely similar peer set, and value each company on the correct denominator. Policy tailwinds and grey-market sentiment may affect expectations, but they cannot replace contract verification, cash-flow analysis and a same-date valuation check.
