Choose the legal and operating model before you choose a chain. Define the token’s rights, redemption promise, jurisdictions, eligible participants, custody arrangement and control procedures first. Then reject any network that cannot meet those requirements and score the remaining public, permissioned and hybrid architectures against governance, identity, privacy, settlement, resilience, interoperability and total cost.
A blockchain does not change the legal nature of an instrument. A tokenized fund interest can remain a security, and a stablecoin’s regulatory treatment depends on its precise design. The right network is the one for which the issuer, administrator, custodian and regulators can verify who may transact, what the token represents, how the system fails safely and how investors recover access.
Start with the instrument, not the blockchain
Write a plain-language description of the token before reviewing vendors or protocols. State exactly what a holder owns or is entitled to receive, who owes the obligation, how redemption or settlement works, which assets support it and which transfers are restricted. These answers determine the controls the network must provide.

The U.S. Securities and Exchange Commission describes tokenized securities as financial instruments whose ownership record is maintained on or through one or more crypto networks. The structure and holder rights can vary, but putting a fund share or unit on a network does not remove the issuer’s securities obligations (SEC, 2026).

The UK Financial Conduct Authority describes fund tokenisation as representing a fund share or unit as a digital token recorded on a smart-contract-enabled blockchain. Its 2026 guidance states: “We have added Handbook guidance for fund managers wishing to keep the unitholder register on DLT.” That makes the register, reconciliation, transfer-agent process and legal recordkeeping part of the architecture decision, not an afterthought.
Stablecoins
Do not assume that every token marketed as a stablecoin receives the same treatment. The SEC’s 2025 statement addresses a narrow fact pattern: a USD-referenced token designed to be redeemed one-for-one and backed at least one-for-one by low-risk, readily liquid reserves. It calls these “Covered Stablecoins” crypto assets designed and marketed for payments, money transmission or storing value. The statement does not automatically cover yield-bearing, non-USD, algorithmic or differently structured coins; each requires separate analysis.
Build the jurisdiction and rights matrix first
Create a row for every country or regulatory perimeter in which the issuer, fund, reserve assets, custodian, service provider or investor is located. For each row, record the instrument classification, required authorisations, investor eligibility, transfer restrictions, disclosure duties, reserve rules, reporting, recordkeeping and insolvency treatment.
Recommended Free Tools
Jurisdiction can change the answer even when the code is identical. The Bank for International Settlements says regulatory intensity depends on the activities and risks involved, including cross-border reach and potential systemic impact. Its recommendations emphasise “a technology-neutral approach that prioritises underlying activities and risks.” In the European Union, ESMA says national competent authorities must ensure crypto-asset service providers comply regarding non-compliant asset-referenced tokens (ARTs) or e-money tokens (EMTs) as soon as possible and no later than the end of Q1 2025. Confirm the current MiCA position for every service and token rather than relying on an old launch assessment.
Use the matrix to answer questions such as:
- Is the token a security, an e-money token, an asset-referenced token, a fund unit or another regulated instrument?
- Who may hold, transfer, redeem or vote, and how is eligibility proved?
- Must the issuer, transfer agent or administrator maintain a legally authoritative register outside the chain?
- Which entities can freeze, reject, reverse or correct a transfer when law or a court order requires it?
- Where are reserve assets, keys, personal data, transaction records and infrastructure located?
- What happens if a participant, custodian or network operator exits a market?
Turn regulation and operations into pass/fail gates
Do not let a high transaction rate compensate for a regulatory failure. Mark requirements as gates before scoring attractive features. A candidate fails if it cannot support a mandatory control or if the evidence is unavailable.

Legal and register gate
- The token’s rights, liabilities, redemption terms and transfer restrictions are documented and match the smart-contract behavior.
- The proposed ledger can support the legally recognised ownership or transaction record, with a defined reconciliation and correction process.
- The structure is permissible in every target jurisdiction, including the jurisdictions of investors and service providers.
Participant-control gate
- Wallet ownership can be linked to an approved investor or intermediary.
- Sanctions, anti-money-laundering and eligibility checks occur before a prohibited transfer settles.
- Administrators can suspend, reject or otherwise control transfers when the product documents or law require it.
Resilience and custody gate
- The operator has tested responses to validator or sequencer outages, remote-procedure-call failure, chain reorganisation, smart-contract defects, oracle failure, cyberattack and lost keys.
- Recovery-time and recovery-point objectives are written, tested and assigned to named roles.
- Key generation, storage, rotation, recovery and destruction use segregation of duties and documented ceremonies.
Evidence gate
Require production evidence or independently reviewable tests for finality, capacity, fee behavior, outage recovery, custody integration, upgrade controls and data handling. A protocol’s marketing throughput is not evidence of the settlement outcome a regulator, custodian or fund administrator will recognise.
Compare public, permissioned and hybrid architectures
There is no universally superior model. The choice depends on whether the product prioritises open interoperability or controlled participation, and whether the issuer can supply compensating controls where the network itself is open.

| Architecture | Strengths to test | Controls and trade-offs | Typical fit |
|---|---|---|---|
| Public or permissionless | Broad interoperability and potential secondary-market reach; an established external network may reduce dependence on a single operator. | Issuer does not fully control who interacts with the ledger or how software changes. Wallet screening, transfer restrictions, key recovery, upgrade governance, monitoring and outage procedures must be enforced through contracts, gateways and operating controls. | Products where open connectivity is central and the issuer can evidence robust identity, compliance and recovery controls in every target market. |
| Permissioned | Known validators and counterparties, controlled admission, more predictable fees, confidential data handling and direct integration with regulated administrators. | Operational dependency and governance can concentrate in a smaller operator set. The consortium needs clear quorum, administrator roles, emergency powers, audit trails, conflict-of-interest controls and an exit plan. | Institutional funds and settlement networks with approved participants, confidential investor information and controlled fund administration. |
| Hybrid | Controlled issuance, identity and private records combined with a public anchoring or interoperability layer. | Two or more systems create reconciliation, bridge, key-management and incident-response dependencies. Define which ledger is authoritative and how a mismatch is resolved. | Products needing institutional controls while preserving selected public-market connectivity. |
The FCA notes that firms have expressed interest in private or permissioned blockchains “to automate their administrative processes and improve ‘back office’ efficiencies or facilitate interactions between institutional counterparties.” That is a use case, not a blanket recommendation. A permissioned system can simplify admission and privacy while creating concentration risk; a public system can improve reach while making control and recovery harder.
Evaluate governance and control before technical performance
Document who can validate transactions, pause or reverse transfers where legally required, upgrade contracts, change parameters and respond to a compromise. For each role, identify the authority, quorum, signing process, time limit, audit record and conflict-of-interest mitigation.
Questions for every candidate
- Who operates validators, sequencers, nodes, permissioning services and administrative keys?
- Can one operator unilaterally censor, upgrade, pause or rewrite a record?
- What quorum is required for ordinary changes and emergency action?
- Are emergency powers limited by scope, duration, dual approval and post-event review?
- How are contract upgrades announced to investors, custodians, administrators and regulators?
- Can the issuer export a legally usable ownership record if the network is retired?
On a public network, the issuer usually needs compensating controls outside the base layer: an allow-listed transfer gateway, contract-level restrictions, monitored wallets, controlled deployment keys and procedures for handling an incompatible protocol upgrade. On a permissioned network, the same questions apply to the consortium and its administrator; “private” does not mean automatically resilient or independent.

Test identity, permissioning and privacy as one system
Regulated tokens need a reliable link between a legal person and a wallet or account. Decide whether the transfer agent, custodian, issuer or a specialist service performs onboarding and how the result is represented on-chain without exposing unnecessary personal data.
Admission and transfer controls
- Allow-list only wallets that have passed identity, sanctions and eligibility checks.
- Check the sender and recipient at the time of transfer, not only at onboarding.
- Support blocked, frozen, expired and remediated accounts with a documented status model.
- Prevent indirect circumvention through smart-contract calls, pooled wallets or unapproved intermediaries.
Data placement
Put only the minimum necessary information on-chain. Store sensitive identity documents, detailed investor profiles and case notes in controlled systems, while using on-chain references, attestations or status indicators where appropriate. Define lawful disclosure, retention, correction and deletion procedures. A permissioned ledger may restrict visibility, but it still needs access controls, key rotation and a plan for compromised credentials.
Measure finality, capacity and interoperability in the way users settle
“Fast” is not a sufficient requirement. Define the point at which the fund administrator, custodian and regulator will treat a transfer as final. Record whether finality is deterministic or probabilistic, what confirmations are required, and how a reorganisation is handled.
Capacity and fees
- Measure sustained and peak transaction demand for issuance, subscriptions, redemptions, transfers, corporate actions and compliance events.
- Model fees under normal and stressed usage, including congestion, priority fees and failed transactions.
- Specify who pays fees, whether an investor can be prevented from paying directly, and how fee volatility affects NAV or redemption processing.
- Test failure modes rather than reporting only a successful benchmark.
Integration
Map interfaces to custody, banking, payment, fund-accounting, transfer-agent, sanctions-screening and reporting systems. Confirm message formats, reconciliation frequency, idempotency, clock handling, exception queues and manual override controls. A chain that cannot deliver a clean, auditable event stream to the administrator is not operationally useful, regardless of its theoretical throughput.
Design resilience and custody for the worst day
The FCA warns that disruption to public or permissionless distributed-ledger technology can impede service recovery or access to assets, and that private-key loss can harm consumers. Treat these as product risks, not merely IT incidents.

Failure scenarios to rehearse
- Validator or sequencer outage: route activity to approved capacity where possible, publish a safe operating status and prevent inconsistent settlement.
- Remote-procedure-call failure: maintain independent endpoints, health checks and a controlled failover process.
- Chain reorganisation: pause downstream posting until the defined finality condition is met, then reconcile affected records.
- Smart-contract defect: use audited deployment procedures, limited upgrade authority, pause controls and a tested migration path.
- Oracle failure: define stale-data thresholds, independent sources, fallback valuation and a safe-mode rule.
- Lost or compromised keys: use separated duties, recovery keys or procedures, approval thresholds and investor communication.
- Provider exit or insolvency: maintain exportable records, replacement-provider procedures and access to the keys and code required for continuity.
Custody operating model
Specify whether the custodian controls investor wallets, omnibus accounts, smart-contract administration or only signing services. Define segregation between trading, settlement, contract upgrade and recovery keys. Document the key ceremony, backup locations, access reviews, incident escalation and evidence retained for audits. The custody model must align with the legal allocation of loss if a key, provider or network fails.
Model the full economics and strategic durability
Calculate costs for issuance, subscriptions, redemptions, transfers, custody, monitoring, compliance, node operation, audits, insurance, support and reporting. Run the model under ordinary and stressed transaction volumes. Include:
- Network or consortium fees and their volatility.
- Licensing, integration and smart-contract audit costs.
- Vendor concentration and minimum-commitment risk.
- Availability of developers, operators and incident responders.
- Migration, re-issuance and investor-notification costs.
- The cost of maintaining an authoritative ownership record if the network is retired.
Strategic durability is a control requirement. A cheap chain that cannot export records, replace a failing provider or preserve evidence for the life of the fund creates an avoidable legal and operational liability.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Use a documented scoring matrix
After the gates, score each surviving architecture using a consistent scale such as 0 for no demonstrated capability, 1 for a material gap, 2 for partially documented capability, 3 for acceptable evidence, 4 for strong evidence and 5 for independently tested, contractually supported capability. Set the weights with counsel, the administrator, custody and compliance teams; do not allow a technical team to decide them alone.
| Decision area | Evidence to attach | Questions the score must answer |
|---|---|---|
| Regulatory and legal fit | Rights schedule, token documents, jurisdiction matrix and counsel analysis | Does the structure work in every target market and preserve the required legal register? |
| Governance and control | Constitution, role map, quorum rules, upgrade policy and emergency procedures | Who can act, under what authority, and how is each action audited? |
| Identity, permissioning and privacy | Onboarding flow, allow-list design, screening controls and data map | Can only eligible parties transact without exposing excessive personal data? |
| Finality, capacity and fees | Production observations or independently reviewable tests | When is settlement final, and does the system remain usable under peak and stressed load? |
| Interoperability | Interface specifications, reconciliation tests and exception procedures | Can custody, banking, accounting and transfer-agent systems consume reliable events? |
| Resilience and custody | Recovery plans, exercise results, key ceremonies and provider-continuity terms | Can investors regain safe access after outage, compromise, key loss or provider exit? |
| Economics and durability | Five-year cost model, concentration review and migration plan | Are total costs predictable, and can the record survive strategic or commercial change? |
Keep the evidence beside every score and record assumptions, unresolved issues, owner and due date. Score at least one legally viable permissioned, public and hybrid architecture where those options exist. A lower total score with no failed gate is preferable to a higher score that hides an unresolved legal or custody defect.

Implementation sequence
- Write the rights and jurisdiction matrix. Describe the token, holders, redemption, reserves, restrictions, service providers and target markets before naming chains.
- Convert requirements into gates. Mark legal classification, register, identity, transfer controls, resilience and custody requirements as pass or fail.
- Shortlist architectures. Include permissioned, public and hybrid designs where each is legally viable; do not shortlist only the most familiar protocol.
- Request evidence. Obtain finality tests, resilience exercises, custody integration results, upgrade governance, data-flow diagrams, fee models and export procedures.
- Run controlled pilots. Test onboarding, restricted transfers, redemption, corporate actions, outages, key recovery, reconciliation and regulator-facing reports using representative—not merely happy-path—events.
- Complete independent review. Have counsel, compliance, information security, custody and fund administration review the token documents, contracts and operating model together.
- Contract for continuity. Set service levels, audit rights, incident notification, data portability, exit assistance, key access and subcontractor controls.
- Reassess on rule changes. Review the decision when MiCA, UK, U.S. or another target-market regime changes, or when the token’s rights, reserve model, participants or service providers change.
Common selection mistakes and their fixes
Choosing by throughput headline
A published transaction rate does not prove finality, fee stability, privacy or administrator integration. Replace the headline with independently reviewable tests tied to your issuance, transfer and redemption workload.
Treating a network as a regulatory exemption
Consensus, incorporation and validator geography do not remove securities, payments, fund, sanctions or custody obligations. Start with the instrument and activities in each jurisdiction.
Putting sensitive investor data directly on-chain
Use data minimisation and controlled identity systems. Document lawful access, retention, correction and compromise procedures before deployment.

Test court-ordered freezes, sanctions hits, mistaken payments, deceased investors, lost keys, contract bugs and provider outages. If the operating model handles only ordinary transfers, it is incomplete.
Assuming permissioned means risk-free
Permissioned governance can improve control while concentrating dependency. Require quorum rules, independent oversight, audit trails, conflict controls and an exit plan.
Failing to plan for retirement
Require an exportable, legally usable ownership record and a migration process before launch. Network retirement, vendor insolvency or a governance split should not strand investor assets.
Regulatory anchors to keep in the approval pack
- FCA fund tokenisation guidance, 2023, updated 2026: describes tokenised fund shares or units and records interest in private or permissioned blockchains for administrative efficiency and institutional interaction.
- FCA PS26/7, 2026: adds Handbook guidance for fund managers keeping the unitholder register on DLT.
- SEC tokenized-securities description, 2026: treats ownership records maintained on or through crypto networks as a structure whose rights and obligations must still be analysed.
- SEC covered-stablecoin statement, 2025: addresses only the stated USD, one-for-one redemption and low-risk, readily liquid reserve fact pattern.
- BIS/FSI recommendations, 2024: use a technology-neutral approach focused on activities and risks, including cross-border and systemic considerations.
- ESMA MiCA statement, 2025: expects national competent authorities to address non-compliant ARTs and EMTs no later than the end of Q1 2025.
The FCA cites £16.5 trillion under management when describing the scale of the UK asset-management sector in its tokenisation discussion. That scale explains the interest in DLT, but it does not establish that any particular chain is suitable.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsDecision rule
Use a permissioned or hybrid design when the product needs known institutional counterparties, controlled validator access, confidential investor information, predictable fees and direct integration with regulated operators. Consider a public network only when broad interoperability and secondary-market reach are central and the issuer can demonstrate identity controls, transfer restrictions, key management, upgrade governance, monitoring and outage recovery. In every case, select the architecture that can prove legal, operational and jurisdiction-specific controls—not the one with the most attractive technical slogan.
