Choose a bitcoin treasury stock by measuring the bitcoin attributable to each fully diluted common share, then testing the claims that sit ahead of common equity. The key questions are how many bitcoin the company owns, how many shares and potential shares represent those holdings, how much debt or preferred capital can claim the assets, whether any bitcoin is pledged, and whether the operating business can fund interest, dividends and maturities.

A company can hold more bitcoin yet give common shareholders less exposure if its share count, preferred securities or debt grows faster than its treasury. The checklist below turns those issues into calculations and filing questions you can repeat after every financing or quarterly report.

What a bitcoin treasury stock actually gives you

A bitcoin treasury company is an operating corporation whose balance sheet includes bitcoin as a primary reserve asset. Buying its common stock does not give you direct ownership of coins in a wallet. You own a residual claim on a company that holds bitcoin, runs (or is trying to run) an operating business, issues securities, pays creditors and may pledge assets.

Common shareholders therefore face several layers of exposure at once:

  • Bitcoin price volatility.
  • Changes in the number of common and potentially issuable shares.
  • Debt, preferred-stock dividends and other senior claims.
  • Refinancing and cash-burn risk.
  • Custody, collateral and restrictions on transferring bitcoin.
  • The performance and capital needs of the operating business.

That combination means a treasury stock is not an interchangeable substitute for holding bitcoin directly. The stock can trade at a premium or discount to the value of its coins, and that spread can change even when bitcoin’s market price is unchanged.

Step 1: Calculate bitcoin per fully diluted share

Start with the exposure that matters to a common shareholder:

BTC per fully diluted share = total BTC held ÷ fully diluted common shares

Use the issuer’s stated fully diluted convention and include common shares, options, warrants, convertibles and other instruments that can become equity. A basic outstanding-share count can materially overstate the exposure of today’s common holder.

How the calculation works in practice

Metaplanet reported 1,761.98 BTC, 39,168,334 issued common shares and 9,792,083 options on January 28, 2025. Its stated fully diluted count was 48,960,417 shares. Dividing the reported holdings by that diluted count gives approximately 0.00003599 BTC per fully diluted share, or about 3,599 satoshis, based on that date’s figures.

Strategy reported 672,500 BTC and approximately 344.9 million assumed diluted shares at December 31, 2025. The same calculation gives approximately 0.001950 BTC per assumed diluted share, or about 195,000 satoshis. These are date-specific ratios, not guarantees of current exposure; both holdings and share counts can change between filings.

What belongs in the denominator

  • Issued common shares.
  • In-the-money options and warrants, using the company’s treasury-stock or other stated method.
  • Convertible notes and preferred securities when their terms allow or require conversion.
  • Shares reserved for equity offerings, at-the-market programs or announced acquisition consideration when the issuer treats them as potential dilution.
  • Any other contractual right to receive common stock.

If an issuer publishes more than one dilution measure, record each one and identify which is used in its bitcoin-per-share metric. Do not mix a basic share count with a fully diluted bitcoin numerator.

Step 2: Reconcile new shares with bitcoin acquired

A rising bitcoin balance does not automatically mean rising exposure per share. Build a period-by-period bridge that starts with beginning BTC and shares, adds purchases and issuance, subtracts disposals and retirements, and ends with the reported balances.

Bridge item Question to answer
Bitcoin purchases How many coins were acquired, at what aggregate cost and using which funding source?
Common issuance How many shares were sold, and did the proceeds buy bitcoin or fund other uses?
Preferred or convertible issuance What conversion or settlement shares could be created later?
Options and warrants What is outstanding, what are the exercise prices and expiration dates, and how does the issuer count them?
Non-treasury uses of capital Were proceeds used for interest, dividends, reserves, acquisitions, expenses or working capital?

Strategy’s 2025 year-end disclosure illustrates why this reconciliation matters. The company reported 672,500 BTC and approximately 344.9 million assumed diluted shares, while also disclosing that some at-the-market proceeds funded preferred dividends, convertible-note interest, a U.S.-dollar reserve and other purposes. Those proceeds can increase the diluted share base without producing a matching bitcoin purchase.

Strategy also reported a 22.8% BTC Yield for the year ended December 31, 2025. Treat that as the company’s own operating metric, not as a promise that the stock returned 22.8%. A yield based on bitcoin per diluted share can differ from the common stock’s market return because the share price multiple, debt, preferred claims and operating results move independently.

Step 3: Map the capital stack ahead of common equity

After calculating diluted exposure, list every claim that ranks ahead of common shareholders. In a liquidation, debt holders and preferred investors may be paid before common equity and may have rights to assets that include bitcoin.

Instrument Record Why it matters
Secured debt Principal, interest rate, maturity, collateral and covenants Collateral can be seized or restricted after a default; cash interest reduces funds available for the treasury.
Unsecured debt and convertible notes Principal, coupons, maturity, conversion price, settlement choice and redemption rights Interest and maturity payments can force sales or refinancing; conversion can dilute common holders.
Preferred stock Liquidation preference, dividend rate, cumulative features, conversion and redemption terms Preferred dividends and liquidation preferences reduce the residual value available to common shares.
Other senior obligations Lease, purchase, earn-out and derivative obligations where material These claims can consume cash even when bitcoin prices are rising.

Calculate senior claims both in dollars and per bitcoin. A useful comparison is (debt + preferred liquidation value - unrestricted cash) ÷ BTC held. It does not produce a stock price, but it shows how much of each coin’s value is economically spoken for before common equity.

Questions to ask about convertibles

  • What is the conversion price and the number of shares at current terms?
  • Can holders demand cash repayment at maturity, or can the company settle in shares?
  • Are there make-whole, fundamental-change or capped-call provisions that alter dilution?
  • Can the notes be repurchased or redeemed before maturity, and from what cash source?

Step 4: Test liquidity, maturities and pledged bitcoin

Bitcoin is a volatile, non-yielding asset. Match the treasury to the company’s cash needs rather than assuming coins can be held indefinitely.

Build a liquidity schedule

  1. List unrestricted cash and short-term investments at the latest reporting date.
  2. Estimate recurring operating cash flow, separating one-time financing proceeds.
  3. Place every debt principal, coupon, preferred dividend and major operating commitment on a calendar.
  4. Identify minimum-cash requirements, reserve accounts and restricted cash.
  5. Compare the resulting cash needs with expected financing access under both a rising and falling bitcoin price.

Semler Scientific reported 4,733 BTC held, excluding 315 BTC pledged to Coinbase as collateral, as of September 30, 2025. The pledged amount is part of the treasury balance but is not freely available in the same way as unencumbered coins. Read the collateral agreement for maintenance requirements, liquidation rights and what happens if bitcoin falls.

Stress a bitcoin drawdown

Run at least three price cases—higher, unchanged and materially lower—without assuming a precise forecast. In the lower case, ask whether collateral calls, margin requirements, interest and maturities could force bitcoin sales or emergency equity issuance. A company can remain solvent in accounting terms while common shareholders suffer permanent dilution from a rescue financing.

Step 5: Check whether the operating business supports the strategy

The operating company may generate cash, consume cash or require additional investment. Separate treasury economics from business economics in your model.

Strive describes funding purchases through operating cash, equity and fixed-income offerings, and strategic mergers and acquisitions. It reported $67.5 million in cash and equivalents at December 31, 2025. That figure is a starting liquidity point, not proof that future purchases or debt service are self-funded; compare it with the company’s operating cash flow, commitments and financing plans.

  • Review revenue, gross margin and operating cash flow trends.
  • Identify whether management plans to issue equity or debt to fund ordinary expenses.
  • Check whether acquisitions add cash generation or introduce new liabilities and dilution.
  • Separate restricted cash and subsidiary cash from funds available to the parent treasury.

Step 6: Model accounting and bitcoin-price volatility

Bitcoin does not pay interest or dividends. A treasury company must obtain cash from operations, asset sales or financing, while the market value of its coins can change sharply.

Semler Scientific has stated that bitcoin does not pay interest or dividends and that fair-value accounting under ASU 2023-08 can materially increase earnings volatility and affect carrying value and market price. Read the accounting policy and the reconciliation between fair value, carrying value and realized transactions. Quarterly earnings can move substantially even when no bitcoin is sold.

Keep three values separate

  • Market value: the observable bitcoin price multiplied by the reported holdings.
  • Accounting value: the amount recognized under the company’s applicable accounting policy at the reporting date.
  • Common-equity value: market value of bitcoin plus other net assets, less debt, preferred claims and other senior obligations.

Do not use accounting earnings as a shortcut for bitcoin-per-share growth. Recalculate holdings, diluted shares and senior claims independently.

Step 7: Compare the stock with net asset value

Estimate a simple common-equity net asset value (NAV):

NAV = fair value of BTC + fair value of other assets - debt - preferred claims - material liabilities

Then compare the company’s market capitalization with that estimate. A premium may reflect expected financing access, management’s ability to acquire bitcoin, an operating business, or a market value placed on future growth. A discount may reflect leverage, dilution, custody restrictions, weak operations or refinancing risk.

The premium or discount is not static. It can widen when equity issuance is attractive and narrow when the market expects dilution or forced selling. Use the latest fully diluted share count and market capitalization at the same time; comparing a current price with an old balance sheet creates a misleading spread.

Comparison framework for candidate stocks

Metric Why it belongs in the comparison Evidence to collect
BTC per fully diluted share Measures direct treasury exposure after potential dilution. Holdings and the issuer’s diluted-share convention.
Acquisition cost and current BTC fair value Shows the entry cost and unrealized sensitivity to bitcoin’s price. Purchase disclosures and latest fair-value data.
Net debt and senior claims per BTC Shows how much value is spoken for before common equity. Debt, preferred balances, cash and BTC holdings.
Cash and operating cash flow Indicates whether the company can service obligations without selling coins. Cash-flow statement, reserve restrictions and guidance.
Maturities and dividends Concentrated obligations create refinancing or forced-sale risk. Debt footnotes and preferred terms.
Pledged or encumbered BTC Restricted coins may not be available during a stress event. Collateral schedules and covenant disclosures.
Expected dilution Future shares can reduce each common holder’s BTC exposure. Options, warrants, convertibles, ATMs and equity plans.
Financing access The strategy depends on the ability to raise capital on workable terms. Recent offerings, shelf capacity and market conditions.
Operating-business contribution A profitable business can support the treasury; a loss-making one can drain it. Segment results and operating cash flow.
Premium or discount to NAV Shows how much the market price differs from estimated common-equity assets. Same-date market capitalization and balance-sheet values.

How to run a repeatable filing review

  1. Open the latest 10-Q, 10-K, earnings release and financing announcement.
  2. Record the bitcoin balance, the measurement date and whether any coins are held by subsidiaries or custodians.
  3. Record basic and fully diluted shares, options, warrants, convertibles and preferred shares.
  4. Recalculate BTC per fully diluted share and compare it with the prior period.
  5. Update debt principal, coupons, maturities, conversion terms, preferred dividends and redemption rights.
  6. Mark pledged, restricted or otherwise encumbered bitcoin separately from unrestricted holdings.
  7. Update cash, operating cash flow, reserves and the next four quarters of obligations.
  8. Recalculate common-equity NAV and the stock’s premium or discount using contemporaneous market capitalization.
  9. Write a downside case in which bitcoin falls, financing becomes expensive and the operating business misses its cash target.

Repeat the process after every 10-Q, 10-K, earnings release or financing announcement. Treasury holdings, share counts, preferred balances, debt and collateral can change between scheduled reports.

Common mistakes and how to avoid them

Using the headline BTC balance

A headline holding count ignores dilution and senior claims. Always divide by fully diluted shares and subtract debt and preferred claims when assessing common-equity value.

Treating BTC yield as stock return

A company-reported bitcoin-per-share growth metric can rise while the stock falls if the market assigns a lower premium or if debt and preferred obligations increase.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ignoring non-bitcoin uses of issuance proceeds

Equity raised for interest, dividends, reserves or operating expenses can increase the denominator without increasing the numerator.

Counting pledged coins as freely deployable

Collateral arrangements can limit transfers and create liquidation risk. Separate pledged BTC from unrestricted BTC in every schedule.

Assuming refinancing will always be available

Model maturities under adverse market conditions. A treasury strategy that works with open capital markets can fail when the stock trades at a discount and lenders demand more collateral.

What happens when bitcoin falls and the company has debt?

The immediate effect is a lower market value for the treasury. The next effects depend on the capital structure: collateral may require additional assets, interest still has to be paid, and a maturity may arrive before the company can raise affordable capital. Management could sell bitcoin, issue common shares at a depressed price, issue senior securities or reduce operating investment. Each choice can transfer value or increase risk for common shareholders.

The severity depends on debt size, maturity timing, collateral terms, unrestricted cash and operating cash generation—not simply on the number of bitcoin owned. That is why two companies with similar BTC per share can have very different downside profiles.

Special strategies require separate analysis

Some issuers use derivatives rather than simply holding bitcoin. U.S. Bitcoin Corp. describes a covered-call program intended to boost holdings through option premiums. Such a program introduces option exposure, capped upside or assignment risk and must be evaluated separately from an unhedged buy-and-hold treasury. Do not compare its reported results with a plain treasury strategy without understanding the contracts, collateral and accounting.
