Your eligibility is determined by the issuer’s announced record date and the exclusions in its offer document. To estimate your allocation, take the number of qualifying shares recorded for that date and multiply it by the rights ratio. A 2:5 offer, for example, gives two new shares for every five existing shares, so 125 qualifying shares produce a preliminary entitlement of 50 rights shares.
That multiplication is only the starting point. The letter of offer or prospectus controls the subscription price, opening and closing dates, payment method, minimum lot, rounding of fractions, treatment of excess applications, and whether you can sell a tradable rights entitlement. Confirm those terms with the issuer, registrar or broker before acting.
What makes you eligible for a rights issue?
A rights issue gives existing shareholders an opportunity to buy newly issued shares, usually at a price and on terms set out in an offer document. Eligibility is not based simply on having placed a buy order before the record date. You must be a qualifying holder under the issuer’s record-date process and must not fall within an exclusion stated in the offer document.

The record date is the eligibility cutoff
The issuer announces a specific record date to determine which shareholders may apply. SEBI’s investor guide describes the rule in plain language: “Only shareholders who own shares on this date can participate.” SEBI’s ICDR Regulations, Regulation 52(1), likewise require a listed issuer making a rights issue to announce a record date for determining shareholders eligible to apply for the specified securities.

Use the holding shown by your broker or the issuer’s registrar for that determination. A trade that appears in your account before the record date may not be enough if the shares were not registered or credited under the applicable process. The broker or registrar statement is the practical record to check.
Read exclusions before assuming eligibility
The offer document can exclude particular investors, jurisdictions, account types or other categories. Overseas holders, restricted jurisdictions, employee or promoter categories, and accounts subject to local selling restrictions may receive different treatment. Do not infer eligibility from another shareholder’s experience; use the exclusions and application instructions for the specific issue.
Find the authoritative issue documents
Start with the issuer’s official announcement and its letter of offer, prospectus or equivalent document. SEBI says application information should identify the entitlement ratio, issue price, shares held and number of shares entitled. Record the following fields before calculating:
Recommended Free Tools
- Record date and the method used to identify qualifying holdings.
- Rights ratio, such as 2:5 or 3:10.
- Subscription price per new share and any taxes, fees or other charges stated for your market.
- Opening date and closing date for applications.
- Start and end dates for trading a transferable rights entitlement, if trading is offered.
- Payment method, instalment schedule and the deadline by which funds must be received.
- Minimum application lot, rounding rule for fractions and treatment of odd holdings.
- Rules for partial subscriptions, excess applications, refunds, rejected applications and overseas or otherwise excluded investors.
Save the broker’s corporate-action notice as well. Brokers may impose an earlier instruction deadline than the issuer’s public closing date so they have time to submit your election and payment.
Understand the rights ratio
The ratio states the number of new shares available for each block of existing shares. The denominator refers to existing shares; the numerator refers to new rights shares.
| Offer notation | Meaning | Illustrative entitlement before issue-specific rules |
|---|---|---|
| 2:5 | Two new shares for every five existing shares | 100 existing shares × 2/5 = 40 rights shares |
| 3:10 | Three new shares for every ten existing shares | 1,000 existing shares × 3/10 = 300 rights shares |
| 1:4 | One new share for every four existing shares | 80 existing shares × 1/4 = 20 rights shares |
Always check how the issuer writes the ratio. A notation such as “2 for 5” normally means two additional shares for every five held, but the offer document is controlling if it defines the expression differently or adds a minimum lot.

Calculate your preliminary entitlement
Use the ratio as a fraction
The basic calculation is:
preliminary entitlement = qualifying shares held on the record date × (rights shares in the ratio ÷ existing shares in the ratio)
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsFor a 2:5 issue, the multiplier is 2 ÷ 5, or 0.4. If your qualifying holding is 125 shares:
125 × (2 ÷ 5) = 50 rights shares
This is a worked example of the published ratio convention. It is not a promise that every issue will award exactly that integer without applying its own lot and rounding provisions.
Worked 3:10 example
If the record-date holding is 1,000 shares and the offer is three rights shares for every ten held:
1,000 × (3 ÷ 10) = 300 rights shares
If the offer document requires a different lot size or specifies a rounding convention, replace the simple result with the stated convention.
When the result is not a whole number
Ratios often produce fractions for smaller holdings. The issuer may round down, round to a permitted lot, aggregate fractional entitlements, sell fractions and distribute proceeds, or use another method. None of those outcomes should be assumed from the ratio alone. Look for wording such as “fractional entitlements,” “odd lots,” “rounding” or “minimum application.”

Check whether the ratio applies to all qualifying shares
Some offers impose a minimum application, a fixed lot or special treatment for holdings below one full ratio block. An account with fewer shares than the denominator may therefore receive no directly exercisable whole-share entitlement, a fractional claim handled by the issuer, or another result specified in the document.
Follow the rights-issue timetable
Missing a date can turn a valid entitlement into an unexercised one. Singapore Exchange rights-issue rules identify the record date, the start of nil-paid-rights trading, the last day to exercise and pay, and the last day for acceptance as core timetable fields. Other markets use different labels, but the same practical sequence applies.
- Record date: the issuer identifies qualifying shareholders and their holdings.
- Entitlement credit or dispatch: your broker or registrar shows the number of rights or a rights-entitlement line, subject to the issue’s process.
- Trading period, if provided: transferable or “nil-paid” rights can be bought or sold only during the stated window.
- Application and payment period: you submit an instruction for some or all of the entitlement and provide funds by the required deadline.
- Closing or acceptance deadline: the issuer stops accepting applications. A broker’s internal deadline may be earlier.
- Allotment and settlement: the issuer allocates shares, processes rejected or excess applications, issues refunds where applicable and credits the final shares.
Put both the public deadline and your broker’s earlier cut-off on your calendar. Payment that arrives after the issuer’s deadline, or an instruction submitted after the broker’s cut-off, can be treated as late even if the amount is correct.
Choose what to do with the entitlement
SEBI’s investor guide identifies three broad choices: subscribe for all or part, sell the rights entitlement when trading is provided, or ignore the offer. The financially appropriate choice depends on the subscription price, current market price, cash available, transferability, deadlines and your view of the issuer.
| Choice | Cash required | Ownership effect | Important conditions |
|---|---|---|---|
| Subscribe for all or part | Subscription price multiplied by the shares requested, plus stated charges | Can preserve your proportional ownership if you take the full entitlement | Application and payment must meet the issue’s deadline, lot and eligibility rules |
| Sell the rights entitlement | Usually no subscription cash for the portion sold; trading fees may apply | You give up the corresponding opportunity to buy new shares | Only possible when the issue makes the entitlement transferable and only during its trading window |
| Allow it to lapse | No subscription payment | Your percentage ownership can be diluted if new shares are issued to others | Some issues provide no value for an expired entitlement; do not assume a refund or compensation |
Subscribe for all or part
Subscribing is the route for investors who want to buy the new shares. You may be allowed to request the entire entitlement or only a portion, depending on the issue. Multiply the number of shares requested by the stated issue price, then follow the payment instructions exactly. If the offer accepts excess applications, you can request more than your basic entitlement, but allocation of excess shares is not guaranteed and may be scaled back.
Taking the full entitlement generally maintains your percentage ownership immediately after the issue, assuming the issuer allots the full amount and no other capital changes occur. Taking only part preserves less of that proportion; the unexercised portion may be sold, if transferable, or may lapse.

Sell a transferable rights entitlement
Some issues create a tradable rights entitlement, often called a nil-paid right. Selling it can allow you to receive market value instead of subscribing, but only if the offer document permits renunciation or trading. Check the security identifier, trading venue, first and last trading dates, settlement timing and any minimum trade size.
A person who was not an original record-date holder may be able to buy the rights entitlement and subscribe before the issue closes where the issue permits it. NSE explains this route in its rights-issue FAQ. Buying the entitlement does not remove the need to meet the application, payment, lot and eligibility rules, and trading may end before the subscription deadline.
Allow the entitlement to lapse
If you neither subscribe nor sell a transferable entitlement, it may expire. The issuer can then issue the offered shares to other applicants under the document’s allocation rules. Because the number of shares outstanding increases while your holding does not, your percentage ownership may be diluted. Whether an expired entitlement has any residual value, and whether the issuer sells fractions or pays anything, is issue-specific.
Compare the subscription price with the market price carefully
The headline discount is not the only consideration. Compare the subscription price with the current market price, but account for the value and trading price of the rights entitlement, brokerage, taxes, currency conversion and the possibility that the market price changes before the new shares list. A rights issue can be attractive on paper and still be unsuitable if the issuer’s prospects, liquidity or terms do not fit your risk tolerance.
- Price: compare the issue price with the prevailing share price and any entitlement price, using the same currency and share unit.
- Proportional ownership: subscribing for the full basic entitlement is the clearest way to avoid dilution from the issue itself.
- Cash: calculate the full payment, including instalments and charges, rather than multiplying only by the ratio.
- Transferability: confirm that rights can actually be traded and that your sale will settle before the exercise deadline.
- Issuer and issue risk: a discounted share is not automatically a good investment; review the stated use of proceeds and the issuer-specific risks.
What to do if your calculation and broker notice differ
Do not submit a second application immediately. Reconcile the numbers in this order:
- Confirm the record date and that you are looking at the correct corporate action, not a bonus issue, split or another entitlement.
- Compare the holding shown for the record-date determination with your own trade history. Use the registrar or broker statement rather than an intraday balance.
- Recalculate using the exact numerator and denominator in the offer document.
- Check minimum lots, fractional treatment, rounding and any excluded holdings.
- Ask the broker or registrar whether the notice shows a preliminary entitlement, an adjusted entitlement after rounding, or an entitlement already reduced by a prior instruction.
Keep written confirmation of any correction request and observe the original deadline while the discrepancy is investigated. A complaint raised after the closing date may not restore an expired right.

Reconcile the final outcome after applying
The preliminary multiplication does not establish the final allotment. After the issue closes, check the broker or registrar confirmation for:
- Number of shares finally allotted.
- Applications rejected because of eligibility, payment, signature, account or timing problems.
- Excess shares requested and the number actually allocated after any scale-back.
- Refunds or release of blocked funds for amounts not allotted.
- Fractions, odd lots or proceeds handled under the document’s stated method.
- Date on which the new shares or any remaining entitlement are credited and available for trading.
If the result is different from your instruction, compare the confirmation with the offer document’s allocation formula before contacting support. The issuer’s rules, not the preliminary arithmetic, determine the final result.
Common mistakes and how to avoid them
Assuming a purchase before the record date is sufficient
Eligibility is tied to the qualifying holding determined on the record date. Verify the credited or registered balance and any settlement or exclusion rule described for the issue.
Reading 2:5 as five new shares for two held
The conventional reading is two new shares for every five existing shares. Write the ratio as a fraction before calculating so the denominator is clearly the existing-share block.
Waiting until the public closing date
Your broker can require an earlier instruction and funding cut-off. Treat the earlier operational deadline as the one you must meet.
Assuming rights are always tradable
Some issues allow a sale or renunciation; others do not. Look for a separate nil-paid-rights trading line and explicit trading dates.
Ignoring the value of an unexercised right
Allowing an entitlement to lapse can dilute your ownership, while a transferable right might have been sold. Make an explicit subscribe, sell or lapse decision.

What the official guidance establishes
SEBI’s investor material establishes the record-date eligibility principle and illustrates the 2:5 convention. Regulation 52(1) of SEBI’s ICDR Regulations requires a listed issuer to announce a record date for determining eligible shareholders. NSE’s rights-issue FAQ describes participation by a buyer of a rights entitlement where the issue allows that transfer. SGX’s rulebook demonstrates the importance of publishing the record date, nil-paid-rights trading period, final exercise and payment date, and acceptance deadline. These sources describe formal requirements, but the live offer document and broker instructions remain authoritative for each issue’s rounding, settlement, exclusions, payment mechanics and allocation.
