To analyse an Indian IPO, keep three calculations separate: valuation measures what the business is worth at the offer price, subscription measures how many valid shares investors bid for relative to the shares reserved, and listing gain compares the first traded price with the issue price. None of these calculations guarantees a profit. A practical analysis combines the prospectus financials, the price band, peer multiples, category-wise demand and the price you can actually sell at.
- Post-issue market capitalisation = issue price × total post-issue shares.
- Category subscription = valid shares bid ÷ shares reserved for that category.
- Gross listing gain = (listing price − issue price) ÷ issue price × 100.
The issue price is discovered through investor bids and is not a promise of the post-listing market price.
What each IPO number actually tells you
IPO discussions often mix up valuation, subscription and listing performance. They answer different questions:
- Valuation: What market value does the offer price imply for the company, and how does that compare with similar listed businesses?
- Subscription: How many valid shares were bid for compared with the number reserved for qualified institutional buyers (QIBs), non-institutional investors (NIIs) and retail investors?
- Listing gain: How far did the first traded price move above or below the issue price?
A heavily subscribed issue can still list below its issue price. An issue with moderate demand can list at a premium if the price was conservative or market conditions improve. Subscription volume is therefore a demand indicator, not a valuation measure or a return forecast.

How book building sets the IPO price
Most Indian IPOs use book building. The SEBI Investor explainer defines it as: “Book Building is a process used in the Initial Public Offering (IPO) of shares where investors bid for shares within a price band instead of being offered a fixed price.”
The issuer announces a floor and cap for the price band. Investors submit bids stating the quantity they want and, normally, the price they are willing to pay. Demand is collected across the band. The issuer and its advisers use the order book to select a final cut-off price, subject to the applicable rules and disclosures in the red herring prospectus (RHP) or prospectus.
That process explains why the final issue price may be the top of the band, but it does not make the price fair or predictive. Bids reflect what applicants are willing to pay during the offer window; after listing, the share trades continuously according to new information, liquidity and market conditions.

Where to find the inputs
Use the issuer’s RHP or prospectus for the price band, final issue price, post-issue share count, historical financial statements, objects of the issue, debt, risk factors, peer information and category reservations. Use the consolidated BSE/NSE bid-status disclosure for subscription figures, and check the stated date and time because totals change while the issue is open.
Step-by-step IPO valuation
1. Start with the final issue price
After the issue closes, use the final cut-off price. Before closing, test both the floor and cap of the announced band so you can see how sensitive the implied valuation is. If you are analysing an IPO after listing, do not substitute the current market price for the original issue price: they answer different questions.
2. Calculate post-issue market capitalisation
Multiply the final issue price by the total number of shares outstanding immediately after the issue:
Post-issue market capitalisation = issue price × total post-issue shares

The post-issue share count includes the new shares issued by the company and the shares already held by existing shareholders. Keep the two uses of an IPO separate when explaining proceeds:

- Fresh issue: money goes to the company for the purposes described in the prospectus, such as debt repayment, capital expenditure or general corporate purposes.
- Offer for sale (OFS): money goes to selling shareholders rather than to the company.
A large OFS can give investors an exit opportunity without adding operating capital to the business. That does not automatically make the IPO unattractive, but it changes what the proceeds can accomplish.
3. Calculate earnings-based multiples
When the company has positive, comparable earnings, calculate:
P/E = issue price ÷ post-issue earnings per share (EPS)
Use the EPS period disclosed in the prospectus and label it precisely. Historical EPS, annualised interim EPS and adjusted EPS are not interchangeable. If the prospectus uses a different post-issue share count or explains exceptional items, follow that presentation and state the adjustment rather than silently changing it.
4. Use an alternative metric when P/E is unsuitable
P/E can be misleading for a loss-making or highly cyclical company. Add metrics that fit the business:
| Metric | Basic calculation | When it helps |
|---|---|---|
| P/E | Issue price divided by post-issue EPS | Positive, reasonably comparable earnings |
| P/S | Implied equity value divided by revenue | Low-profit or loss-making businesses where revenue quality is meaningful |
| EV/EBITDA | Enterprise value divided by operating earnings before interest, tax, depreciation and amortisation | Businesses where capital structure and operating profitability can be compared |
| Net-debt-to-equity | Net debt divided by shareholders’ equity | Assessing balance-sheet leverage |
| Net-debt-to-EBITDA | Net debt divided by EBITDA | Assessing debt relative to operating cash-generation capacity |
These ratios are decision aids, not standalone verdicts. A lower multiple can reflect slower growth, weaker margins, greater cyclicality, poor cash conversion or governance concerns. A higher multiple can be justified only if the company’s growth, profitability, balance sheet and business quality support it.
5. Compare with genuinely comparable listed peers
Select peers with similar products, customers, geography, capital intensity and accounting periods. Compare the same metric and period. Then explain differences in:
Quick wins for a faster PC:

- Gross, operating and net margins

- Debt levels, interest costs and refinancing needs
- Cyclicality and exposure to a single customer, product or region

Do not present one peer multiple as a target price. The appropriate comparison is a range supported by business differences, not a mechanical discount or premium.

6. Stress-test the price and earnings assumptions
Run the valuation at both ends of the price band. Then test alternative earnings assumptions, such as the latest disclosed period versus a conservative normalised figure. A small change in EPS can produce a large change in P/E, especially for a newly profitable company. Record which assumption is historical, annualised or adjusted.
The final price is selected from bids, while the post-listing price is set by trading. A valuation spreadsheet should therefore show an implied value, not a promised market price.
How to calculate IPO subscription demand
The core formula
For every investor category, calculate:
Category subscription = valid shares bid ÷ shares reserved for that category

A result of 1 means bids equal the reserved shares; a result above 1 means oversubscription; a result below 1 means the category is not fully covered at that point in the offer.
Keep categories separate
Use the consolidated BSE/NSE bid status and the reservation figures in the issuer’s prospectus. Report total, QIB, NII and retail subscription separately. These groups have different objectives, application sizes, funding patterns and allocation rules, so combining them into one “quality of demand” score hides useful information.
- QIB: institutional demand that can provide an important signal of professional participation, but does not guarantee a positive listing.
- NII: non-institutional applications, often including large individual or corporate bids, with demand that can be more sensitive to financing costs and short-term strategies.
- Retail: applications within the retail category limits and rules, representing a different applicant base from institutions.
Check whether the figures are bids received or valid bids after technical checks. UPI or mandate failures can reduce the number of valid applications. A late-day total may also differ from an earlier headline number.
What oversubscription means for an applicant
Oversubscription means that valid demand exceeds the shares reserved. It does not mean every applicant receives the quantity requested. SEBI explains that investors may receive fewer shares than they applied for when an issue is oversubscribed. Allocation depends on the category rules, the final valid demand and the allotment process.

How to calculate potential listing gains
Gross listing-gain formula
Use the issue price and the first traded price:
Gross listing gain (%) = ((listing price − IPO issue price) ÷ IPO issue price) × 100
For example, if the issue price is ₹100 and the first traded price is ₹120, the gross listing gain is 20%. If the first traded price is below ₹100, the result is negative.
This is a price comparison, not the cash profit in your account. Calculate rupee profit using only the shares actually allotted:
Free tools Windows power users keep installed
One-click scans. No signup required.
Gross rupee result = (listing price − issue price) × allotted shares
An applicant who requested several lots but received only part of the request must use the smaller allotted quantity. Someone who received no shares has no IPO allotment profit to calculate, even if the stock listed at a premium.
From gross gain to net proceeds
To estimate what you keep, subtract brokerage, exchange and statutory charges, applicable taxes and any other costs charged by your broker or depository. The exact result also depends on the exit price: selling at the opening trade, later in the session or after a holding period produces different outcomes. A quoted listing gain should therefore state whether it uses the opening, first traded, closing or another observed price.
A SEBI-hosted prospectus warns that the issue price, which is based on market-demand assessment, “should not be taken to be indicative of the market price of the Equity Shares after the Equity Shares are listed.” Treat a premium at the open as an observation, not a promise that the price will hold.
How to compare two IPOs without confusing demand and value
Use the prospectus and exchange disclosures as the evidence base. Compare the same dates, periods and definitions for both companies.

| Comparison axis | Questions to answer |
|---|---|
| Implied valuation | What are the P/E, P/S or EV/EBITDA multiples at each issue price, and how do they compare with genuinely similar listed peers? |
| Growth quality | Are revenue and earnings growing consistently, and are the gains supported by underlying operations? |
| Profitability and cash | How do margins, operating cash conversion and working-capital needs compare? |
| Leverage | What are net debt, net-debt-to-equity and net-debt-to-EBITDA, and how sensitive is the company to interest costs? |
| Use of proceeds | How much is a fresh issue for the company, and how much is an OFS for existing holders? |
| Demand composition | What are the QIB, NII and retail subscription ratios, at what timestamp, and were bids valid after technical checks? |
| Anchor participation | What anchor disclosures are available, and what lock-in conditions apply? |
| Issue structure and liquidity | How large is the issue, what will the post-listing float be, and what lock-ins may affect supply? |
| Observed market price | How did the issue price compare with the listing price and subsequent trading price, without treating either as a forecast? |
The strongest comparison is not the IPO with the largest subscription number. It is the one whose price, financial quality, balance-sheet risk, use of proceeds and demand profile make sense together.
Common mistakes and how to avoid them
Calling subscription a valuation measure
Subscription counts bids, not cash flows, earnings power or assets. Use it alongside valuation and financial analysis rather than substituting it for either.
Quoting one total without a denominator or timestamp
Always state the category, valid-share denominator, date and time. A total from the first day cannot be compared directly with a final figure without acknowledging the timing difference.
Assuming oversubscription guarantees a profit
Oversubscription can lead to reduced allotment and does not prevent a weak listing. Market sentiment, pricing, liquidity and company-specific information can move the share below the issue price.
Using the wrong EPS period
Mixing annualised interim earnings with full-year peer earnings creates a misleading P/E. Label every EPS figure and make the periods comparable.
Ignoring debt and cash conversion
Two companies with the same P/E can have very different debt burdens and cash generation. Add leverage and operating-cash analysis before drawing a conclusion.
Treating an unofficial indication as the market price
Grey-market indications are not official exchange prices. They should not replace the issue price, listing price or a disclosed trading price in a calculation.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsCalculating profit on requested rather than allotted shares
Use the shares credited to your demat account. Allocation shortfalls are common in oversubscribed issues, so a percentage gain and a rupee gain can differ substantially between applicants.
A practical IPO-analysis checklist
- Read the RHP or prospectus and record the price band, final price, post-issue share count and category reservations.
- Separate fresh-issue proceeds from OFS proceeds and note the stated use of funds.
- Calculate post-issue market capitalisation at the floor, cap and final price.
- Calculate P/E when earnings are positive and comparable; add P/S or EV/EBITDA when they are more informative.
- Check revenue, earnings, margins, operating cash flow, debt and working-capital trends.
- Select genuinely comparable listed peers and align the periods and definitions.
- Stress-test the valuation with alternative earnings assumptions.
- Record QIB, NII, retail and total subscription separately, with valid-share denominators and timestamps.
- Check for technical rejection, UPI or mandate failures and the final allotment outcome.
- After listing, calculate gross percentage and rupee results from the actual listing price and allotted shares.
- Subtract brokerage, statutory charges and applicable taxes for a net estimate.
- Keep the observed listing price separate from any forecast of future performance.
What you can and cannot conclude
You can calculate the valuation implied by an IPO price, quantify demand by category and measure the price difference between issue and listing. You can also compare those figures with disclosed financials, leverage, proceeds and listed peers.
You cannot reliably infer a guaranteed listing return from a subscription multiple. The issue price reflects bids during the offer, while the market price after listing reflects subsequent trading. A disciplined analysis uses subscription as one piece of evidence, not as a substitute for valuation or risk assessment.
