Investors outside Japan have two documented ways to obtain Taiheiyo Cement exposure: buy the THYCY over-the-counter American depositary receipt (ADR), or buy the company’s ordinary shares through a broker that provides access to the relevant Japanese market. Citi’s depositary-receipt service lists THYCY as an OTC ADR with a 1:4 ordinary-share-to-DR ratio, while Taiheiyo Cement’s stock information specifies a 100-share trading unit for ordinary shares.
Neither route is automatically available in every country. Before placing an order, confirm your residence eligibility, instrument availability, commissions, foreign-exchange conversion, custody and ADR fees, settlement rules, and the tax treatment that applies to you.
The two routes available to an overseas investor
Your practical choice is between a US-dollar-traded depositary receipt and the Japanese-listed ordinary shares. They represent the same underlying company but differ in venue, currency, lot size, fees, settlement and dividend processing.

Choose the ADR only after checking its live spread, trading activity and all depositary charges. Choose ordinary shares only when your broker explicitly confirms Japanese-market access for your country and account type.

What THYCY means
Ticker and program structure
Citi Depositary Receipt Services identifies the program as “Company Taiheiyo Cement Corp.” with ticker symbol THYCY, security type ADR and listing exchange OTC. The published ratio is 1:4 (ordinary shares:depositary receipts). In practical terms, four THYCY receipts represent one Taiheiyo Cement ordinary share; one receipt represents one-quarter of an ordinary share under that program.
The ratio affects both price interpretation and distributions. If the ordinary share is quoted in yen and the ADR in dollars, the theoretical relationship also depends on the yen–dollar exchange rate, ADR fees and the market’s own spread. Do not multiply a THYCY quote by four without converting currencies and allowing for those differences.
What an OTC listing does and does not tell you
OTC status means your broker routes the trade through its supported OTC system rather than a major US exchange. It does not guarantee that every broker offers the symbol, that every country is eligible, or that a continuous two-sided market will be available. The canonical program information does not establish a universal broker, current quote, minimum order size or current liquidity.

A symbol appearing in a search screen is not proof that you can submit an order or receive dividends through that account.
Buying the Japanese ordinary shares
Trading unit and odd lots
Taiheiyo Cement’s 2026 stock information states that the ordinary-share trading unit is 100 shares. An order for a standard board lot therefore represents 100 ordinary shares, not 100 ADRs.
The issuer also describes procedures for holders of one to 99 odd-lot shares. A holder may request that the company buy back those odd-lot shares or sell the number needed to reach a 100-share trading unit through an “add-to” request. The issuer instructs shareholders to ask the securities company administering their account for the detailed procedure. Your broker may impose its own cut-off times, forms or charges, so do not assume that an odd-lot request can be entered like a normal market order.

Do you need a Japanese broker?
You need an account that can access the relevant Japanese market; that account could be with a domestic Japanese firm or an international broker offering Japanese equities. There is no evidence of a single broker that accepts every overseas resident. If a platform displays the company under a Japanese code such as 5233, verify that the listing is the ordinary share, not an unrelated instrument or a delayed data entry, and confirm that your residence is eligible.

How to decide between THYCY and ordinary shares
THYCY may fit when
- Your existing broker accepts OTC securities and has approved your country and account type.
- You prefer a dollar-denominated order and want to avoid a 100-share Japanese lot.
- The live bid–ask spread and trading activity are acceptable for the size you intend to trade.
- You have calculated the ADR depositary fee, dividend-processing charge and currency conversion cost.
Ordinary shares may fit when
- Your broker explicitly provides Japanese-market access for your residence.
- You can fund and settle a yen transaction and are comfortable with a 100-share unit.
- You want direct ordinary-share ownership rather than a depositary receipt contract.
- The broker’s custody, FX and Japanese-market charges are lower or more transparent for your situation.
Neither route is automatically superior. The lower headline commission can be outweighed by an OTC spread, a depositary charge, a yen conversion spread or a minimum custody fee.
Information to confirm before opening or using an account
Eligibility and permissions
- Does the broker accept residents of your country and your legal entity type?
- Is THYCY available for purchase, or is the symbol restricted to closing transactions?
- Are Japanese ordinary shares available to non-residents, and is the relevant exchange segment enabled?
- Does your account have the permissions required for OTC securities or foreign equities?
Instrument identity
- For the ADR, match the ticker THYCY and, where shown, CUSIP 87401G106 or US ISIN US87401G1067.
- For ordinary shares, match the Japanese instrument and the ordinary-share ISIN JP3449020001 shown in Citi’s program information.
- Check whether the displayed price is live, delayed or indicative.
Money movement and custody
- Ask whether deposits and settlement occur in US dollars, Japanese yen or both.
- Confirm the broker’s FX conversion method, spread, minimum charge and conversion timing.
- Ask about foreign-market custody, account maintenance, transfer and corporate-action fees.
- Find out how fractional ADRs, odd-lot ordinary shares and residual cash are handled.
All-in costs to calculate
Request a written schedule rather than relying on a “commission-free” headline. Build a per-trade estimate containing the following items:

| Transfer and corporate actions | What does the broker charge for transfers, elections, odd-lot requests or other corporate actions? |
For a small order, fixed minimums and the bid–ask spread can matter more than the advertised commission. Compare the estimated amount debited from your account with the value of shares received, not just the trade ticket’s commission line.
Dividends, record dates and taxes
Ordinary-share dates
Taiheiyo Cement’s 2026 stock information lists March 31 as the year-end dividend record date and September 30 as the interim dividend record date. A record date is not the same as the last day you can buy. Your broker should provide the applicable ex-dividend date and settlement deadline for your market and account.

ADR dates and deductions
Citi’s 2026 dividend history records a March 31, 2026 THYCY record date and a July 20, 2026 US payment date. That entry illustrates that an ADR’s payment schedule can be presented differently from the issuer’s ordinary-share calendar. It is a historical program entry, not a guarantee of a future date.
An ADR distribution can be reduced by source-country withholding, depositary fees and your broker’s processing or currency-conversion charge. The amount per THYCY is also affected by the 1:4 ratio. Obtain the actual gross, withheld, fee and net fields on your dividend statement.
Country-specific tax treatment
The available program and issuer information does not establish a universal tax rate or treaty result for overseas investors. Your outcome depends on residence, account type, beneficial ownership, forms submitted and local reporting rules. Before relying on a net-dividend estimate, ask a qualified tax adviser in your country how Japanese withholding, any US ADR withholding layer and your home-country tax credit or reporting rules interact.

- Select the instrument. Decide whether you are evaluating THYCY or Japanese ordinary shares. Write down the exact identifier, currency and intended position size.
- Confirm country and account eligibility. Ask the broker in writing whether it accepts your residence and permits purchases of the selected instrument, not merely sales or transfers.
- Obtain the complete fee schedule. Request commissions, OTC or exchange fees, FX spreads, custody charges, ADR depositary fees, dividend fees, minimums and odd-lot charges.
- Verify currency and settlement. Confirm whether the order settles in dollars or yen, the settlement cycle used by that market, and how holidays affect settlement.
- Review distribution and tax handling. Use the issuer’s March 31 and September 30 ordinary-share dates and Citi’s ADR records as references. Ask how the broker will show gross dividend, withholding, depositary fee and net amount.
- Check live market data. Review the current bid, ask, spread, recent trading activity and any quotation disclaimer. The available source material does not provide a current quote or liquidity assessment.
- Submit a limit order. Enter the identifier, number of shares or receipts, limit price, duration and currency carefully. A limit order controls the maximum price you will pay but does not guarantee execution.
- Verify execution and settlement. Match the fill quantity and average price to the confirmation. Check that cash, FX conversion and settlement date are what the broker disclosed.
- Archive records. Keep the confirmation, FX receipt, fee entries, dividend statements and cost-basis information for tax reporting and any later transfer.
Order mechanics and position sizing
ADR sizing
Because one THYCY represents one-quarter of an ordinary share, four receipts provide the economic equivalent of one ordinary share before fees and currency effects. Your broker may allow only whole receipts, or it may support fractional receipt balances through its own program. Confirm this before planning a small recurring purchase.
Ordinary-share sizing
A normal Japanese trading unit is 100 ordinary shares. Multiply the live yen price by 100, then add commission, FX and custody costs to estimate the cash requirement. If that amount is too large, ask whether the broker supports an odd-lot service and whether the issuer’s buy-back or add-to procedures are available through that account.
Risks and common mistakes
Confusing a quote with tradability
A search result or delayed quote can exist even when your account cannot buy the security. Confirm order-entry permission and country eligibility before funding an account for this purpose.

Ignoring currency exposure
THYCY introduces the yen–dollar relationship indirectly through the ADR. Ordinary shares introduce direct yen exposure for a non-yen investor. A gain in the company’s local share price can be offset by currency movement when measured in your home currency.
Assuming the ADR price tracks perfectly
The 1:4 ratio is a conversion relationship, not a promise of identical prices. OTC spreads, market hours, fees, dividend adjustments and supply and demand can create temporary differences.
Using a market order in a thin market
The supplied information does not establish current THYCY liquidity. A market order can execute at a materially different price from the last displayed trade if the order book is sparse. A limit order lets you define the worst acceptable price, although it may remain unfilled.
Missing the relevant ex-dividend date
Buying on the record date does not necessarily make you entitled to that distribution. Ask the broker for the ex-dividend and settlement deadlines that apply to your instrument, because ADR and ordinary-share calendars can differ.
Underestimating fixed fees
ADR charges, custody minimums and FX minimums can consume a large percentage of a small position. Calculate the total cost for the intended holding period, including a possible sale and currency conversion.

The broker rejects the order
Ask whether the rejection is caused by residence restrictions, missing OTC or foreign-market permissions, an unsupported account type, insufficient settled cash, a halted symbol or an order-size rule. Do not substitute a similarly named instrument until its identifier and share class are verified.

The ordinary-share order is unavailable
Confirm that the account is enabled for Japanese equities and that the broker supports the particular exchange and settlement route. If access is unavailable, compare a legitimately supported ADR route rather than attempting to bypass the restriction.
The dividend is lower than expected
Read the statement line by line for gross dividend, withholding, ADR depositary fee, broker processing fee and FX conversion. Ask the broker which deduction was applied and obtain tax advice before filing a refund or treaty claim.
An odd-lot balance remains
Contact the securities company administering the account about the issuer’s buy-back and add-to procedures for one to 99 shares. Ask about forms, deadlines, pricing method and charges; these requests are not necessarily handled as ordinary exchange orders.
What foreign ownership tells you
Taiheiyo Cement’s 2025 integrated report states that foreign investors held 49,037 thousand shares, or 41.5%, as of March 31, 2025. This demonstrates substantial foreign participation in the shareholder base, but it does not prove that a particular retail investor, country or broker can purchase the stock. Access remains a product, jurisdiction and account-level question.
The issuer reported 118,191,578 issued shares as of March 31, 2026. That figure describes the company’s issued share count; it does not determine the number of shares available through an ADR or the size of a trade you can place.
Pre-order checklist
- I have chosen THYCY or the Japanese ordinary share and matched the identifier.
- My broker has confirmed purchase eligibility for my country and account.
- I know the trading currency, settlement cycle and market hours.
- I have calculated commission, spread, FX, custody, ADR and dividend-processing costs.
- I understand the 1:4 ADR ratio or the 100-share ordinary-share unit.
- I have checked ex-dividend and record-date information with the broker.
- I know how withholding and tax documents will be reported.
- I will use live data and a limit order after reviewing the order book.
- I will retain confirmations, FX records, fee entries and dividend statements.
The practical answer is therefore conditional: an overseas investor can use THYCY when an eligible broker supports the OTC ADR, or can buy ordinary shares when a broker provides the required Japanese-market access. The correct route depends on your residence, account permissions, order size, currency needs, total fees and tax position—not simply on whether a ticker appears in a search box.
