Buy an existing website as an operating business, not as a web address. The safe sequence is to define the type of site you can run, verify traffic and cash receipts independently, inspect legal and technical ownership, price the business from normalized cash flow, document every transferred asset, and release money through neutral escrow only after testing delivery.

A listing is a seller’s claim. Flippa’s buyer guidance recommends direct, read-only or supervised access to analytics and revenue systems. Your decision should rest on evidence that reconciles across analytics, payment processors, bank deposits, expenses, contracts and the seller’s actual workload.

1. Define what you are buying

Choose a business model and operating role

Decide whether you want a content publication, affiliate site, ecommerce store, SaaS product or another model. Each requires different skills, capital and risk tolerance. Specify the geography you can serve, acceptable price range, monetization methods and the maximum weekly owner workload. A site that appears profitable can be unattractive once you price the specialist labor needed to replace the seller.

Build a comparable shortlist

Keep one worksheet for every candidate. Record the asking price, normalized monthly and trailing-twelve-month profit, revenue sources, traffic channels, growth trend, seasonality, owner hours, platform dependencies and what evidence has actually been verified. Do not compare an audited cash-flow figure from one site with an unverified listing estimate from another.

Compare candidates on the same axes

2. Verify revenue before negotiating seriously

Request a complete evidence package

Ask for read-only access or a supervised screen share covering the analytics property, Google Search Console or equivalent search console, advertising and affiliate dashboards, ecommerce or subscription systems, and payment processors. Screenshots selected by the seller are useful for orientation but are not sufficient verification.

  1. Export monthly revenue by source for the trailing twelve months and the current year.
  2. Match processor and marketplace reports to deposits in the business bank account, allowing for payout timing and fees.
  3. Reconcile refunds, chargebacks, cancellations, taxes, shipping, affiliate reversals and advertising costs.
  4. List recurring software, hosting, contractors, content production, support, payment fees and supplier costs.
  5. Record the seller’s weekly hours and one-off tasks, then estimate the cost of replacing that work.

Flippa specifically advises buyers to verify seller claims with direct analytics and revenue evidence. If the seller refuses reasonable access, treats basic evidence as confidential after a nondisclosure agreement, or cannot explain a mismatch between dashboards and deposits, pause the deal rather than discounting the risk by assumption.

Normalize the earnings figure

Use one consistently calculated cash-flow measure, such as seller’s discretionary earnings (SDE), for every candidate. Start with collected revenue, subtract the costs required to operate the site, and adjust only for clearly documented owner-specific or non-recurring items. Keep a reconciliation showing each add-back and deduction. A valuation based on gross sales or a best month hides the labor, refunds and platform costs that the buyer will inherit.

3. Audit traffic and SEO

Inspect the channel mix

  • Separate branded from non-branded search and identify the pages and queries producing visits.
  • Check country, language and device mix against the site’s customers and advertising eligibility.
  • Review monthly and weekly trends for seasonality, unexplained spikes and declines around known algorithm updates.
  • Measure how much traffic and revenue depends on one keyword, page, referrer, social platform or email list.
  • Compare analytics sessions with server logs, ad reports or other independent records where available.

Review SEO health and defensibility

Inspect top landing pages, internal linking, index coverage, backlink sources and the history of manual actions. Determine whether rankings come from useful, maintained content or from a tactic a platform could remove. A sudden traffic increase without a corresponding content, link or conversion explanation is a risk signal, not proof of growth.

Ask the seller to explain every material traffic change. Document which channels are verified, which are estimates and which cannot be independently checked. Do not price an unverified audience as though it were recurring revenue.

4. Check ownership, law and platform rules

Confirm the promised intellectual property

Obtain evidence that the seller owns or can assign the domain, source code, written content, photographs, illustrations, videos, trademarks, logos, mailing lists, social profiles and customer-facing brand. For commissioned work, inspect contracts that assign the relevant rights. For stock media, fonts, plugins and datasets, record the license, purchaser, permitted use and whether a change of control is allowed.

Review privacy and customer data

Read the privacy notice, cookie disclosures, consent records and data-processing contracts. Customer or subscriber data does not automatically become a freely transferable asset: the lawful basis, notice, jurisdiction and contractual restrictions must support the transaction. Include only the data that can lawfully be transferred and define how the seller will delete or retain copies.

Check contracts, liabilities and account restrictions

  • Search for disputes, threatened claims, liens, unpaid taxes and supplier or contractor obligations.
  • Ask advertising, affiliate, payment, SaaS, hosting and supplier providers whether their terms permit a change of control.
  • Identify accounts that must be newly approved rather than handed over, and model the effect if approval is denied.
  • Confirm ownership of social handles, email sending domains and phone numbers used for authentication.

A seller’s promise that an account will transfer is not enough. Make provider consent or successful re-approval a closing condition where the account is essential to revenue.

5. Inspect technology and operations

Inventory the stack

Document the CMS and version, hosting and server configuration, repositories, databases, DNS, CDN, backups, monitoring, plugins, themes, APIs, payment integrations and third-party dependencies. Locate cron jobs, scheduled functions, webhooks and environment variables that are not visible in the public site.

Test maintainability and security

  • Verify that backups can be restored, not merely that a backup job exists.
  • Check update history, unsupported components, administrator accounts, exposed keys and access logs.
  • Review uptime and incident records, deployment procedures and rollback capability.
  • Run a test purchase, signup, password reset, email delivery and analytics conversion in a non-production or controlled environment.
  • List technical debt and obtain estimates for urgent remediation before treating the current margin as sustainable.

Capture operating knowledge

Ask for written procedures, content and release calendars, renewal dates, supplier and contractor contacts, support queues, incident history and the seller’s weekly task list. Undocumented know-how is an operational liability; it should either be transferred during a defined support period or reflected in the price.

6. Value the website from normalized economics

SDE or another reconciled cash-flow measure is a starting point, not a universal price formula. Shopify describes SDE multiples as common for online businesses, while emphasizing adjustments for operating factors. Use comparable transactions and verified financials rather than presenting one supposedly correct market multiple.

Model several cases: verified base earnings, a downside case for the loss of a major channel or account, and an upside case only where a specific, funded plan supports it. Keep seller financing, earn-outs or holdbacks separate from the headline price so the cash actually at risk is clear.

7. Use an LOI, then run formal due diligence

An LOI can establish the proposed price, cash versus seller financing, confidentiality, an exclusivity window, deposit treatment and the conditions for a definitive asset-purchase agreement. It should identify that the transaction is subject to satisfactory financial, traffic, legal, technical and SEO diligence.

Set deadlines for data delivery, questions, provider approvals, contract drafting and the inspection period. Exclusivity should be limited and tied to the seller’s timely cooperation; it should not prevent you from walking away when evidence fails.

8. Put every asset and liability in the purchase agreement

The asset-purchase agreement should contain a schedule precise enough that a third party can tell what was delivered. Match that schedule to the description used by escrow.

Include representations about ownership, accuracy of financial information, undisclosed liabilities, compliance and authority to sell. Define indemnities, remedies for missing or defective assets, any enforceable non-compete or non-solicit terms, and the seller’s obligation to cooperate with provider approvals. Do not rely on a generic phrase such as all website assets.

9. Close through escrow and secure the handover

Use a controlled closing sequence

  1. Agree the final asset schedule, acceptance tests, inspection period, release conditions and dispute process.
  2. Fund a neutral escrow account. Escrow.com describes its role as holding funds in trust while the website-purchase terms are executed.
  3. Have the seller transfer the domain, hosting, files, database, accounts and other listed assets using separate credentials or provider-approved ownership changes.
  4. Preserve a full backup and record DNS, registrar, server and account states before changing them.
  5. Inspect the delivered site during the agreed period: load key pages, test checkout or signup, verify email and analytics events, confirm revenue integrations and check that the named assets are present.
  6. Accept delivery only when the contractual tests pass. Escrow then releases funds after verified delivery or the agreed inspection-period expiry.

Rotate access immediately after acceptance

  • Change administrator passwords, recovery addresses, multifactor devices and registrar locks.
  • Rotate API keys, payment secrets, database credentials, SSH keys and webhook signing secrets.
  • Remove the seller’s access only after confirming that all required support obligations and records are complete.
  • Verify DNS, TLS certificates, email authentication, analytics ownership and billing contacts.

Keep an immutable copy of the delivered code, content, database and transaction records. Use least-privilege accounts for contractors and document who can approve deployments, refunds and payments.

10. Stabilize the business during the first 90 days

Run the acquired site as a controlled transition rather than making a large redesign immediately. Follow the inherited operating procedures, meet content and supplier commitments, and use the agreed support period for questions that cannot be answered from documentation.

  • Monitor traffic, rankings, conversion, refunds, uptime and cash receipts daily at first, then at a weekly operating cadence.
  • Compare actual results with the verified baseline and investigate deviations promptly.
  • Renew domains, hosting, certificates, software and licenses before their recorded deadlines.
  • Complete high-priority security and backup work before discretionary redesigns.
  • Track every change so a traffic or revenue movement can be tied to a deployment, campaign, provider decision or market event.

Red flags that justify pausing or walking away

  • Refusal to provide direct analytics, processor or deposit evidence.
  • Revenue that cannot be reconciled after fees, refunds, chargebacks and payout timing.
  • Traffic spikes with no credible explanation, extreme dependence on one keyword or referrer, or a history of manual action.
  • Unclear ownership of the domain, content, images, code, trademarks, mailing list or customer data.
  • Provider terms that prohibit transfer of a revenue-critical account, with no viable re-approval plan.
  • Undocumented credentials, missing backups, unsupported software, exposed secrets or an unknown production process.
  • Material disputes, liens, unpaid obligations or a seller who will not put promised assets in the agreement.
  • A price based on gross sales, a peak month or projected growth rather than verified normalized cash flow.

A practical decision rule

Proceed only when you can answer four questions with documents and working tests: What cash flow remains after replacement labor and required costs? Where does the traffic come from, and how concentrated is it? Do the seller and providers have the right to transfer every promised asset? Can escrow and an acceptance test protect you if delivery is incomplete? If any answer depends on trust alone, the transaction is not ready to close.
