There is no defensible, universal “AI multiple.” A sound valuation starts by identifying the company’s business model, rebuilding recurring revenue and earnings from primary records, measuring the full cost of delivering AI workloads, and triangulating a scenario-based discounted cash flow (DCF) with genuinely comparable companies and transactions. The result should be a range tied to explicit assumptions—not a single headline number.
The most important practical distinction is between an AI company’s reported metrics and the economics that ultimately belong to shareholders. ARR, bookings, adjusted EBITDA, free cash flow, a preferred financing price and enterprise value each answer different questions. Normalize them before applying any multiple.
Start by defining exactly what you are valuing
“Value the AI company” is incomplete without a date, purpose, security and value standard. The same business can produce different answers for a fundraising round, an acquisition, a tax filing, a litigation opinion, a secondary sale or a public-market investment.
Set the valuation date and purpose
State the date at which information is available and why the analysis is being performed. A fundraising valuation may focus on negotiated preferred-share terms; an acquisition analysis may include control and synergy value; an accounting or tax analysis may require a specific fair-value framework; and a public-market analysis normally focuses on a marketable minority interest.

Identify the security and value basis
Specify whether the conclusion concerns enterprise value, total equity value, common stock, a preferred series, an option, a warrant, a SAFE or a convertible instrument. Also state the currency, geography and whether the interest is controlling, marketable minority or illiquid minority.
A preferred financing price is not automatically the value of common stock. Liquidation preferences, participation rights, conversion features, protective provisions, option-pool changes, debt and other rights can make two classes with the same company ownership economically different.
Understand the business model before choosing a multiple
Classify the company before selecting a denominator. AI businesses that look similar in marketing materials can have very different revenue quality, margins and capital needs.

| Business model | Questions to answer | Economics to emphasize |
|---|---|---|
| Application software | Who pays, what is contracted, how long are terms, and how much implementation is required? | Recurring revenue quality, retention, gross margin and sales efficiency |
| Model or API provider | Is billing based on tokens, requests, seats, commitments or a mixture? | Revenue and gross profit per workload, inference cost, model-licensing cost and usage volatility |
| Infrastructure or hardware | How much of revenue is equipment, hosting or pass-through capacity, and what capital expenditure is required? | Utilization, depreciation, energy, data-center charges, replacement cost and cash generation |
| Data business | Are data rights durable, exclusive and contractually transferable? | Acquisition and curation cost, renewal, legal rights and defensibility |
| Services integrator | How much revenue comes from people, projects and implementation rather than software? | Billable utilization, backlog, staffing cost, project margin and repeat work |
| Marketplace | Is reported revenue gross or net of amounts paid to suppliers? | Take rate, transaction volume, retention, fraud and support costs |
| Hybrid | Which products have different contracts, margins and growth rates? | Segment-level revenue, contribution margin and a sum-of-the-parts cross-check |
Identify the billing trigger, contract length, usage variability, implementation work and pass-through costs for each product. A software revenue multiple is not automatically appropriate for a compute-intensive infrastructure business or a services-heavy implementation model.
Rebuild revenue and earnings from primary records
Use the most reliable records first
Begin with audited financial statements, notes, regulatory filings, earnings releases and customer-contract disclosures where available. For a private company, obtain the general ledger or management accounts, customer contracts, invoices, cloud bills, payroll records, debt schedules and capitalization table. Record the accounting basis and reporting period for every figure.
Bridge reported revenue to recurring revenue
Build a bridge from GAAP revenue to any recurring-revenue or ARR figure. Explain deferred revenue, usage-based billing, one-time services, acquisitions, foreign-exchange effects, refunds and customer concentration. Separate contracted commitments from revenue already recognized.
ARR is a run-rate convention, not an accounting line. Bookings describe signed orders, while billings describe invoices; neither is interchangeable with recognized revenue. A usage contract can produce high bookings but little current revenue, and a large invoice can precede service delivery and sit in deferred revenue.
Normalize earnings without hiding recurring costs
Reconcile adjusted EBITDA and free cash flow to GAAP revenue, operating income, net income and operating cash flow. List every adjustment, its amount, whether it recurs and whether it is paid in cash. Stock-based compensation, restructuring, acquisition costs, implementation expenses and cloud migration costs require particular scrutiny when they appear repeatedly.

“Presenting a non-GAAP performance measure that excludes normal, recurring, cash operating expenses necessary to operate a registrant’s business is one example of a measure that could be misleading.”
SEC staff guidance also warns that inconsistent adjustments across periods can make a non-GAAP measure misleading. Use the same definition over time or explain precisely why it changed. The guidance is securities-law reporting guidance; it does not replace GAAP, audit work or an independent valuation opinion.
| Measure | What it can show | What it cannot replace |
|---|---|---|
| GAAP revenue | Revenue recognized under the applicable accounting rules | Contracted future revenue or a recurring run rate |
| ARR | A recurring run-rate estimate at a point in time | GAAP revenue, cash receipts or profitability |
| Bookings | Orders or commitments signed during a period | Revenue recognized or collectible cash |
| Billings | Amounts invoiced during a period | Performance completed or revenue earned |
| Adjusted EBITDA | A management-defined operating-profit proxy before selected adjustments | GAAP operating income, net income or cash flow |
| Free cash flow | A liquidity view, usually operating cash flow less capital expenditure under a stated definition | GAAP earnings or a per-share measure |
“free cash flow is a liquidity measure that must not be presented on a per share basis.”

Measure the economics of delivering AI
Separate the cost stack
AI delivery costs can move quickly as workloads, vendors and models change. Break out inference tokens or GPU hours, cloud and data-center charges, energy, model licensing, data acquisition, human review, security and customer support. Do not bury these items in a single “cost of revenue” line if the detail is available.
For each product, customer cohort or workload, calculate revenue, direct cost and contribution margin. A company can report attractive company-wide gross margin while a fast-growing product loses money because it serves long prompts, large context windows or expensive models.
Calculate the core margins
- Gross margin: revenue minus costs classified as cost of revenue, divided by revenue. State whether cloud, inference, support and data costs are included.
- Contribution margin: revenue minus directly attributable variable costs, such as model calls, compute, payment fees and usage-based support. Use it for customer, product or workload decisions.
- Operating margin: operating income divided by revenue after research, sales, marketing, general and administrative expenses.
- Net margin: net income divided by revenue after interest, taxes and other non-operating items.
- Cash burn and runway: recurring cash outflow and available cash under a clearly stated period and financing assumption.
Use unit economics that match the billing unit
For a usage business, calculate revenue and gross profit per request, token, seat, workflow or customer cohort. Track the average input and output tokens, model selected, latency tier, retries, failed requests, discounts and support burden. For a hosted model or infrastructure product, add utilization, reserved-capacity commitments, depreciation and energy sensitivity.
Test whether a price cut, larger context window, higher-service-level commitment or model substitution changes gross and contribution margin. The valuation should reflect the cost curve that customers will experience, not only the cost curve in the latest quarter.
Test the quality and durability of demand
Growth is more valuable when it is repeatable, profitable and supported by evidence of customer use in production.

- Net revenue retention: measures expansion, contraction and churn within an existing customer cohort. Reconcile the definition across periods.
- Logo retention: shows whether customers remain, but does not reveal expansion or contraction by itself.
- Cohort payback: compares acquisition cost with gross profit generated by a cohort and should use the same cost definition each period.
- Contract renewal and remaining performance obligations: indicate contracted demand, but do not guarantee future margin or collection.
- Backlog and pipeline conversion: separate signed work from opportunities and show the historical conversion rate.
- Customer concentration: identify the share of revenue, ARR and receivables represented by major customers.
- Channel dependence: determine whether one cloud, reseller, platform or strategic partner controls access to demand.
Distinguish paid production use from pilots, promotional credits, non-binding commitments, bookings and internal consumption. A pilot may demonstrate technical interest without proving recurring, cash-generating demand.
Choose and triangulate valuation methods
The International Monetary Fund groups valuation methods into transaction approaches, accounting-data approaches and comparable-company or market-capitalization approaches. An operating AI company normally benefits from using more than one method because each exposes a different source of uncertainty.
| Method | Best use | Key inputs | Main risk |
|---|---|---|---|
| DCF or present value | Businesses with forecastable cash flows or a credible path to them | Revenue by product, gross and contribution margin, operating expenses, taxes, capital expenditure, working capital, discount rate and terminal growth | Small changes in growth, margins or discount rate can dominate the result |
| Trading comparables | Companies with genuinely similar models, scale and economics | Enterprise value, revenue, gross profit, EBITDA or earnings, growth, retention and capital intensity | Superficially similar AI companies may have very different cost structures and revenue quality |
| Precedent transactions | Acquisition or control analysis with recent relevant deals | Transaction price, date, control premium, strategic synergies, financing conditions and deal terms | Earn-outs, preferred rights and synergies can make the observed price non-comparable |
| Asset or replacement-cost view | Infrastructure-heavy, asset-rich or early-stage businesses as a floor or cross-check | Cash, debt, tangible infrastructure, data rights, proprietary software and replacement cost | Future profits and real options may be worth substantially more than current assets |
The Oxford-Tide paper also discusses cost, income, real-options, structural, qualitative and peer-benchmarking approaches. Its warning is especially relevant to AI startups: future-income forecasts and comparable data can be uncertain, so a peer table should not be mistaken for a market-wide pricing rule.

- Forecast revenue by product, customer segment and billing unit rather than applying one growth rate to the whole company.
- Model gross margin after inference, cloud, energy, licensing, data, support and other delivery costs.
- Forecast research, sales, marketing, general and administrative expenses separately, identifying expenses that scale with revenue and those that do not.
- Estimate taxes, capital expenditure, depreciation where relevant and working-capital changes, including deferred revenue and receivables.
- Calculate operating cash flow and free cash flow using a consistent definition.
- Apply a discount rate that reflects business, financing, currency and execution risk.
- Calculate terminal value only after the explicit forecast and test terminal growth against long-run economic conditions.
- Probability-weight uncertain launches, enterprise adoption, model costs and regulatory or infrastructure outcomes instead of hiding them in one optimistic forecast.
Select trading comparables by economics, not labels
Match business model, growth, gross margin, scale, customer concentration, recurring-revenue quality, capital intensity and profitability. Use EV/revenue when revenue quality and margins are reasonably comparable. EV/gross profit can be more informative when delivery costs differ materially. EV/EBITDA or price-to-earnings is meaningful only when the denominator is positive, stable and defined consistently.
There is no authoritative, broadly applicable AI-company multiple. Current multiples change with market conditions, interest rates, growth expectations, capital requirements and company-specific disclosures. Any quoted multiple must identify the company, reporting period, accounting basis and source filing.
Adjust precedent transactions carefully
Review the transaction date, market conditions, control premium, strategic synergies, earn-outs, financing terms and preferred-share rights. A strategic buyer may pay for cost savings or distribution access that a financial investor cannot realize. A venture financing price may include liquidation preferences or other rights and therefore is not a clean market price for every class of equity.
Use asset and real-options views where appropriate
Cash, debt, tangible infrastructure, data rights and proprietary software can provide a floor or replacement-cost cross-check. Early-stage value may instead be driven by options on future products, distribution or technical breakthroughs. Those options should be expressed as explicit scenarios or probability weights rather than an unexplained premium.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesBuild a range, not a point estimate
Present at least base, upside and downside cases. The cases should differ in assumptions that actually drive value, not merely in a final valuation label.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Convert enterprise value into the security’s value
For an operating company, bridge enterprise value to equity value by subtracting debt and debt-like obligations and adding excess cash. Then allocate equity value among the actual securities.
- List cash, restricted cash, debt, leases and other debt-like claims.
- Determine whether any cash is required for operations rather than excess.
- Build a fully diluted capitalization table including common shares, preferred shares, options, warrants, SAFEs and convertibles.
- Model liquidation preferences, participation, conversion rights, seniority, option-pool top-ups and vesting.
- Apply the appropriate discounts or premiums for control, marketability and liquidity.
- State clearly whether the output is control value, marketable minority value or illiquid minority value.
Do not divide enterprise value by a basic share count and call the result common-stock value when preferred rights, convertibles or a large option pool exist.
An end-to-end assessment workflow
- Define the question: record date, purpose, security, currency, geography and whether the result is enterprise or equity value.
- Map the model: classify products, customers, billing triggers, contract terms, usage variability and pass-through costs.
- Gather primary records: use audited statements, filings, notes, releases, contracts, invoices and operating data.
- Rebuild revenue: reconcile GAAP revenue with ARR, bookings, billings, deferred revenue, one-time services, acquisitions, foreign exchange, refunds and concentration.
- Normalize earnings: reconcile adjusted EBITDA and free cash flow to GAAP and document recurring adjustments.
- Measure AI unit economics: separate inference, data-center, energy, licensing, data, engineering, security and support costs.
- Test demand durability: analyze retention, cohorts, payback, renewals, backlog, pipeline conversion, concentration and channel dependence.
- Triangulate and stress-test: combine DCF, matched comparables, relevant transactions and an asset cross-check, then publish base, upside and downside ranges.
Common valuation mistakes and how to correct them
Applying a software multiple to every AI business
Why it fails: infrastructure, hardware and services models can carry materially different delivery costs and capital requirements.
Correction: match the denominator to the business model and test EV/gross profit or cash-flow measures when revenue alone hides cost differences.
Treating ARR, bookings and billings as earnings
Why it fails: these are operating or contractual measures with different timing and collection characteristics.
Correction: bridge each measure to GAAP revenue and cash receipts, explaining deferred revenue and usage-based billing.
Accepting adjusted EBITDA without a recurring-cost review
Why it fails: repeated “one-time” exclusions can remove normal expenses required to operate the business.

Ignoring workload-level compute economics
Why it fails: model substitution, context-window expansion, energy prices and utilization can change margin rapidly.
Correction: calculate contribution margin per request, token, seat, workflow or cohort and run cost sensitivities.

A defensible assessment identifies the business model, accounting basis, valuation date, security and value standard. It shows how revenue becomes cash, how AI delivery costs affect gross and contribution margin, which demand indicators support growth, and how the chosen methods fit the company.
The conclusion should report a base, upside and downside range, identify the assumptions that create the spread, reconcile enterprise value to equity value and state the dilution and security-rights assumptions. It should also label every management-defined metric and avoid presenting a volatile market multiple as a universal rule.
