Assess a corporate bitcoin treasury as a leveraged financial and operational system, not as a simple asset purchase. A defensible program sets a hard allocation cap and minimum cash floor, stress-tests 20%, 40%, 60% and 80% price declines, models collateral calls and refinancing, documents custody and private-key controls, quantifies fair-value earnings and tax effects, and gives the board explicit authority, monitoring and exit rules.
The central question is not whether bitcoin might appreciate. It is whether the company can continue paying employees, suppliers, taxes and lenders through a severe drawdown, market disruption or control failure without selling at an unacceptable price or weakening the operating business.
Define what the company is actually proposing
“Bitcoin treasury strategy” can describe very different exposures. The board should approve a precise perimeter before discussing an allocation. Spot bitcoin held directly is one risk profile; bitcoin bought with borrowed money, pledged to a lender, embedded in a convertible financing or exposed through derivatives is another.
Separate the possible activities
- Unlevered spot ownership: the company buys bitcoin with existing cash and does not pledge it. Market loss, liquidity and custody remain material, but there is no lender margin call.
- Debt-funded purchases: a loan or note finances the acquisition. Interest, maturities, covenants and refinancing become part of the bitcoin risk.
- Collateralized borrowing: bitcoin secures a facility. A falling price can trigger a haircut increase, a margin call or forced liquidation even if management still believes in the long-term thesis.
- Convertible or preferred financing: the instrument may create dilution, redemption, dividend or conversion pressure when the share price or bitcoin value moves.
- Derivatives and structured products: futures, options and swaps add margin, settlement, model, counterparty and documentation risks that do not exist in a simple spot holding.
- Customer-facing or yield activities: lending, staking-like arrangements, brokerage or payment services can bring a different regulatory and operational perimeter from a passive treasury investment.
Write down whether the purpose is preservation of purchasing power, a strategic investment, a hedge, a financing strategy or an operating capability. A purpose that cannot be stated in one sentence is difficult to test and even harder to govern.

Set a measurable risk appetite before buying
Use limits that can be calculated from the latest balance sheet and rolling cash forecast. A single percentage of total assets is inadequate because an apparently modest holding can still consume the cash needed for payroll or debt service.
Core limits to approve
| Limit | How to measure it | Why it matters |
|---|---|---|
| Bitcoin allocation | Bitcoin fair value divided by total treasury assets, liquid assets and shareholders’ equity | Shows concentration from several perspectives; a company can look diversified against total assets while being highly concentrated in liquid reserves. |
| Operating-liquidity floor | Unrestricted cash and committed, available facilities after haircuts, measured against projected 12–24-month payroll, suppliers, taxes, capex and debt maturities | Prevents a volatile asset from displacing funds required to run the business. |
| Leverage cap | Debt or preferred funding attributable to bitcoin, plus related interest and maturity obligations | Stops an investment allocation from silently becoming a solvency or refinancing bet. |
| Collateral headroom | Stressed collateral value minus lender-required collateral, after contractual haircuts and liquidation discounts | Identifies the price decline that would produce a call before it occurs. |
| Counterparty concentration | Bitcoin, cash and credit exposure by custodian, exchange, broker, lender and technology provider | Limits the damage from one service-provider failure. |
| Key and signer concentration | Number and location of signing devices, people and recovery shares required to move assets | Reduces dependence on one employee, device, office or jurisdiction. |
| Authority threshold | Dollar and bitcoin limits for treasury staff, the CFO, CEO and board | Creates a documented escalation path for purchases, transfers, collateral changes and sales. |
Set both a target allocation and an absolute maximum. Include an automatic review when market appreciation pushes exposure above target; otherwise the company may become more concentrated without approving another purchase. Define whether limits use gross holdings, net of short positions, or an economic exposure measure that includes derivatives and pledged bitcoin.
Do not treat volatile holdings as cash
Cash and cash equivalents can normally fund an invoice without a market sale. Bitcoin may require an accessible venue, a functioning withdrawal process, a willing buyer, settlement time and tolerance for price slippage. MicroStrategy’s Form 10-K states that its bitcoin holdings are less liquid than existing cash and cash equivalents and may not serve as a source of liquidity to the same extent. Your policy should therefore exclude bitcoin from the minimum operating-cash calculation unless the board has tested liquidation time, venue access, execution limits and the resulting price impact.

Build a rolling cash-flow model rather than relying on a point forecast. At minimum, project payroll, suppliers, taxes, capital expenditure, interest, principal maturities, margin or collateral calls and the minimum cash reserve for each month in the next 12 to 24 months.
Use scenario bands, not one price forecast
| Scenario | What to calculate | Decision question |
|---|---|---|
| 20% bitcoin decline | New fair value, allocation percentage, collateral headroom, covenant ratios and earnings effect | Does the policy remain inside all limits without action? |
| 40% decline | Cash runway after any margin requirement, refinancing need and planned operating spending | Would management need to sell, raise capital or defer essential spending? |
| 60% decline | Liquidation value after haircuts, venue limits, taxes and execution slippage | Can the company meet obligations without a distressed sale? |
| 80% decline | Solvency, covenant breach, collateral liquidation, dilution and recovery operations | What prevents a market move from becoming an existential operating event? |
| Prolonged sideways market | Interest, custody, insurance, audit and opportunity costs over the planned holding period | Can the company carry the position without relying on appreciation? |
| Market-structure disruption | Unavailable exchange, delayed withdrawals, widening spreads or a suspended lender | Where does emergency liquidity come from if the preferred venue cannot execute? |
Run the scenarios on a combined balance sheet. A 40% decline can be survivable for an unlevered, cash-rich company and dangerous for one that has pledged bitcoin, issued debt or has a short operating runway. Test correlations rising at the worst time: the company’s equity, financing access and customer demand may weaken while bitcoin is falling.
Define the sale process before it is needed
- Specify the events that permit or require a sale, such as breaching the allocation cap, approaching the liquidity floor or receiving a collateral call.
- Name the person who can authorize an emergency sale and the board committee that must be notified.
- Set execution rules: approved venues, maximum order size, staging, price limits, settlement account and segregation of duties.
- Document how the company will communicate with lenders, auditors, regulators and investors during a forced or discretionary sale.
- Record the post-sale review, including execution price, fees, slippage, tax consequences and control exceptions.
A policy that says “sell if necessary” is not an exit plan. It should identify the trigger, authority, venue, time limit and fallback if the primary venue or custodian is unavailable.

Model leverage, collateral and capital-structure risk
Review bitcoin exposure separately from the way it is financed. An unlevered holding can lose value; a leveraged holding can create obligations larger than the original investment and can force action at the lowest price.

- Term loans and revolving facilities may impose minimum liquidity, leverage or asset-value covenants.
- Convertible notes can create dilution when the share price falls or conversion becomes unattractive, while cash redemption may arrive at a fixed maturity.
- Preferred instruments can require dividends, redemption or consent rights that compete with operating cash.
- Bitcoin-backed facilities may apply maintenance margins, discretionary haircuts, cross-defaults and rapid liquidation rights.
- Options and futures can require variation margin even when the underlying bitcoin has not been sold.
For each instrument, model the bitcoin price at which collateral is insufficient, the notice period before liquidation, the lender’s right to add haircuts, the source of cash for a margin call and the effect of a covenant breach on unrelated facilities. Include refinancing failure: a company may be solvent on paper yet unable to replace a maturing loan during a market shock.
Measure dilution and recovery choices
Stress-test the alternatives available after a decline: sell bitcoin, issue shares, issue debt, cut capital expenditure, reduce distributions or seek emergency financing. Each choice has a different effect on control, credit quality and future growth. Board materials should show the order in which those actions would occur and who can approve them.
Control custody, private keys and operational access
Loss of a private key, signing device or recovery material can make some or all bitcoin inaccessible. A cyberattack, insider action, corrupted backup or unavailable key person can produce the same economic result as a market loss.
Choose and document the custody design
- Qualified custodian: review legal title, segregation, withdrawal controls, insurance scope, insolvency treatment and service-level commitments.
- Exchange custody: assess withdrawal limits, asset segregation, rehypothecation rights, proof-of-reserves limitations and the venue’s business-continuity plan.
- Multisignature self-custody: define the number of required signers, geographic separation, backup generation, recovery testing and a process for replacing a lost signer.
- Hybrid model: keep operating liquidity and long-term reserves in separately governed arrangements so one incident cannot immobilize the entire position.
Require dual control for transfers, role-based permissions, transaction allowlists, independent verification of destination addresses, out-of-band confirmation for unusual requests and immutable change-management logs. No single employee should be able to create a wallet, approve a transfer and reconcile the ledger.
Test people, devices and vendors
Run exercises for the loss of a signer, device, office, cloud account and custodian. Verify that recovery material can be accessed by authorized successors without exposing a complete key to one person. Review employee departures immediately, rotate credentials, and reconcile on-chain balances to the accounting ledger at a defined frequency. Obtain independent assurance over critical service providers where available, but do not treat an assurance report as proof that your own approval and recovery procedures work.

Questions for due diligence
- Who legally owns the bitcoin while it is held, and can the provider lend, rehypothecate or commingle it?
- What happens to customer assets if the provider becomes insolvent, is sanctioned or loses access to a banking partner?
- Are withdrawals subject to daily limits, manual approval, geographic restrictions or a suspension right?
- How are prices sourced, and what happens when reference markets diverge or stop trading?
- What insurance exists, what exclusions apply, and does coverage include employee fraud, cyber events and key compromise?
- Which jurisdictions, sanctions regimes and anti-money-laundering obligations apply to the relationship?
- Can the provider restore service from a tested backup, and how quickly can the company move to a fallback venue?
Proof-of-reserves disclosures may show that assets exist at a point in time but generally do not answer questions about liabilities, legal title, withdrawal rights or operational resilience. Treat them as one input, not a substitute for contractual, legal and control review.
Plan for accounting, tax and reporting effects
For U.S. GAAP reporters, ASU 2023-08 requires in-scope crypto assets to be measured at fair value on the statement of financial position, with changes recognized in net income each reporting period. That treatment can make earnings move sharply even when the company does not sell.

Understand the transition and comparability issue
MicroStrategy reported $4.059 billion of cumulative impairment on its bitcoin holdings through December 31, 2024 under the prior model. After adopting ASU 2023-08, it recorded a $12.745 billion cumulative-effect increase to opening retained earnings on January 1, 2025. Its filing explains that the new model can increase earnings volatility and that post-adoption results are not comparable with earlier periods because prior periods were not retrospectively restated.
Block’s 2026 annual report illustrates how quickly the reported result can reverse: it reported a $55.9 million bitcoin-remeasurement loss for 2025 compared with a $420.9 million gain for 2024. These are company-specific figures, not a forecast for another issuer, but they show why the board should model income, retained earnings, covenants and investor communication separately from cash flow.
Build an accounting and tax memorandum
- Identify which assets and activities fall within the applicable accounting guidance and which do not.
- Document the valuation source, market hierarchy, cut-off time, foreign-exchange treatment and controls over fair-value inputs.
- Reconcile wallet and custodian records to the general ledger and investigate timing differences at each reporting date.
- Model deferred and current tax effects, taxable disposals, basis tracking, withholding, local indirect taxes and losses whose use may be restricted.
- Assess how fair-value gains and losses interact with debt covenants, compensation plans, investor metrics and non-GAAP measures.
- Prepare a disclosure describing exposure, custody, liquidity, concentration, valuation and material control weaknesses in plain language.
Accounting treatment does not remove economic risk. A gain recognized in net income may not provide cash for debt service, and a loss may arise without a sale.

Track legal, regulatory and policy uncertainty
Bitcoin and related services can be subject to different rules depending on the jurisdiction, the activity and the legal form of the company. A passive treasury investment is not regulated in the same way as lending, derivatives, custody, brokerage, staking or customer payments.

Define the activity perimeter
Ask counsel to classify each proposed action under securities, commodities, money-transmission, custody, sanctions, anti-money-laundering, privacy, accounting and corporate-tax rules. Document where the company holds the asset, where decisions are made, where counterparties operate and which employees can access it. Revisit the analysis when the company adds yield, lending, derivatives or customer-facing services.
Assign an owner to monitor legal and tax developments in every operating and holding jurisdiction. A policy that was acceptable at approval can become unsuitable after a change in custody rules, reporting requirements, sanctions or tax treatment.
Make governance and strategic fit explicit
The board should approve the purpose, target and maximum allocation, liquidity floor, leverage prohibition or limit, eligible venues and custodians, valuation source, reporting cadence and exit triggers. Management can execute within those boundaries; it should not be able to redefine them through ordinary trading decisions.
Use a clear authority matrix
| Decision | Minimum approval | Evidence to retain |
|---|---|---|
| Initial strategy and maximum allocation | Full board or delegated board committee under a written charter | Investment thesis, alternatives analysis, stress results and legal/accounting memoranda |
| Routine purchase or sale within limits | Named treasury officers with independent settlement approval | Order, price source, venue, counterparty, wallet and reconciliation record |
| New venue, custodian or lender | CFO plus risk, legal and security review | Due-diligence file, contract terms, concentration impact and fallback plan |
| Limit breach, collateral call or emergency sale | Designated executive and prompt board notification | Trigger calculation, decision log, execution report and incident review |
| Material Treasury Reserve Policy change | Board approval | Revised policy, rationale, disclosure assessment and implementation date |
MicroStrategy’s filing says the board has broad discretion over investment, leverage and cash-management policies, while a major Treasury Reserve Policy change requires board approval. That division is a useful model: routine execution can be delegated, but the risk appetite cannot be changed informally.

| Candidate | Downside liquidity | Earnings volatility | Leverage and collateral | Custody and counterparty complexity | Reversibility |
|---|---|---|---|---|---|
| Cash and cash equivalents | Usually highest, subject to bank access and concentration | Usually low | Usually none unless pledged | Bank and deposit-insurance limits still require review | High for operating payments |
| Short-term investments | Generally high, but depends on maturity, credit quality and market depth | Lower than bitcoin in many structures, but not zero | Usually none unless financed or pledged | Broker, issuer and settlement risks | High if maturities match cash needs |
| Unlevered bitcoin | Lower than cash because price, venue and settlement conditions affect liquidation | High under fair-value accounting | No lender call, but market loss remains | Key, custodian, exchange and cyber controls required | Medium; sale may be fast in normal markets but not guaranteed in disruption |
| Debt-funded bitcoin | Lowest under a severe decline because obligations remain while collateral value falls | High, plus interest and possible accounting effects | High; covenant, margin, refinancing and dilution exposure | All unlevered risks plus lender and documentation risk | Low during a stressed market |
| Debt repayment | Improves future cash obligations but does not create a liquid reserve | Usually reduces interest-related earnings pressure | Reduces leverage and covenant risk | Primarily lender and settlement controls | Low once repaid, but economically predictable |
| Capital expenditure or acquisitions | Illiquid and execution-dependent | Depends on asset performance and impairment rules | May require financing and integration capacity | Project, vendor and integration risks | Low after commitment |
| Shareholder distributions | Cash leaves the company and cannot fund future obligations | Usually no recurring fair-value exposure | May reduce liquidity and affect covenants | Payment and approval controls | Irreversible once paid |
This table is directional rather than a forecast. The right choice depends on the company’s cash runway, debt terms, investment opportunities, tax position and ability to tolerate reported volatility.
Follow a documented approval process
- Write the investment thesis. State the business purpose, expected holding period, acceptable loss, liquidity assumptions and reasons the strategy is preferable to cash, short-term investments, debt repayment, capex or distributions.
- Calculate the starting exposure. Measure bitcoin against total treasury, liquid assets, equity and 12–24-month cash needs. Include derivatives, pledged assets and financing obligations.
- Set limits and triggers. Approve target and maximum allocation, minimum operating cash, leverage and collateral limits, venue and custodian concentrations, and suspension or exit events.
- Run integrated stress tests. Apply the 20%, 40%, 60% and 80% declines, sideways markets and market-structure disruption to cash flow, covenants, collateral and accounting results.
- Design custody and recovery. Select the custody model, assign signers, separate duties, secure backups, test recovery and document incident escalation.
- Complete counterparty due diligence. Review legal title, segregation, rehypothecation, insolvency treatment, withdrawal rights, insurance, sanctions, cyber controls and business continuity.
- Obtain accounting, tax and legal memoranda. Cover ASU 2023-08 where applicable, valuation, basis, taxable events, jurisdictional rules and disclosure effects.
- Approve execution controls. Specify authorized venues, order limits, settlement accounts, address verification, reconciliations and independent review.
- Present the board decision. Include alternatives, stress outputs, authority matrix, implementation timetable and the conditions under which the strategy is suspended.
- Reassess after launch. Set a monthly management report and a quarterly board review, with an immediate review after a limit breach, cyber incident, venue outage, regulatory change or financing amendment.
Build a monitoring dashboard that can trigger action
Monthly reporting should show, at minimum:
- Bitcoin units, cost basis, fair value, unrealized gain or loss and percentage of total treasury, liquid assets and equity.
- Cash runway for 12 and 24 months, including committed facilities and the amount that is genuinely available after conditions and haircuts.
- Debt attributable to the strategy, interest expense, maturities, covenant headroom and collateral coverage at current and stressed prices.
- Exposure by custodian, exchange, broker, lender, bank and technology provider.
- Key and signer inventory, access changes, failed transactions, reconciliation breaks and control exceptions.
- Venue liquidity, withdrawal status, execution slippage, settlement delays and any unusual pricing divergence.
- Accounting and tax estimates, including fair-value effects on net income, retained earnings and covenant calculations.
- Open legal, regulatory, audit and insurance issues, with an owner and due date for each.
Triggers should be mechanical enough to avoid debate during a crisis. Examples include a breach of the maximum allocation, cash below the board-approved floor, collateral headroom below a specified amount, a counterparty concentration above its limit, an unresolved key-control exception or a venue becoming unavailable. Each trigger should name the required action, not merely generate a warning.
Recognize common failure modes and their fixes
| Failure mode | Why it is dangerous | Control or recovery action |
|---|---|---|
| Using the purchase price as the risk measure | Ignores current concentration, fair value and the cash needed to operate | Recalculate exposure and stress outcomes from current fair value and projected obligations. |
| Counting bitcoin as a cash reserve | A market or venue disruption can make liquidation slow or expensive | Exclude it from the liquidity floor unless tested liquidation assumptions are approved. |
| One person controls the keys | Illness, departure, coercion or compromise can immobilize assets | Use multisignature or dual control, separated backups and tested succession. |
| Relying on one exchange or custodian | Outage, insolvency or withdrawal limits can block access to the entire position | Set concentration limits, maintain a qualified fallback and test migration. |
| Assuming proof of reserves proves solvency | It may not disclose liabilities, legal title or withdrawal rights | Review contracts, segregation, insolvency treatment and independent controls. |
| Ignoring fair-value earnings swings | Net income, retained earnings and covenants can move without a sale | Model accounting outcomes separately from cash flow and explain them to lenders and investors. |
| Buying with debt because the asset “will recover” | Interest, maturity and margin obligations do not wait for a recovery | Stress refinancing and liquidation; prohibit leverage unless the board accepts quantified downside. |
| Leaving exit decisions undefined | Management may delay action or disagree during a fast decline | Pre-approve triggers, authority, venues, staging and communications. |
Use an illustrative exposure calculation
Suppose a company has $100 million of liquid assets, $30 million of unavoidable 12-month cash needs and $20 million of debt maturities. It buys $20 million of bitcoin without leverage. The holding is 20% of liquid assets, but it equals two-thirds of the funds left after the identified 12-month needs. A 60% decline would reduce the holding to $8 million before fees and taxes. If the board’s operating-cash floor is $30 million, that decline does not automatically force a sale because the company retained $80 million in non-bitcoin liquidity; however, the concentration and fair-value effect still require review.
Recommended Free Tools
Now assume the same $20 million position is pledged against a facility with a maintenance requirement. The relevant question is no longer only the $12 million market loss. It is the price at which the lender demands more collateral, the time available to respond, the amount of unencumbered cash, and whether selling into the decline breaches another limit. This example is illustrative; each company must substitute its own obligations, contracts, taxes and execution assumptions.
Board decision: when the strategy is governable
A corporate bitcoin treasury can be considered only when the company can preserve its operating liquidity under severe scenarios, absorb fair-value earnings volatility, control keys and counterparties, and act quickly under pre-approved rules. If the proposed allocation depends on continuous appreciation, easy refinancing or uninterrupted access to one venue, it is not a treasury policy; it is an unbounded market and operating bet.
Approval should be withheld until the written thesis, allocation and liquidity limits, downside and collateral tests, custody design, counterparty review, accounting and tax memorandum, legal analysis, authority matrix, incident playbook, monthly reporting and suspension or exit triggers are complete.
