Assess an AI cloud provider as a critical counterparty, not merely as a software subscription. Before signing, establish whether it can fund operations, pay debt as it falls due, withstand a funding shock, keep the service running, and help you migrate if the relationship ends. That requires dated financial evidence, independent operational assurance, and contract terms that protect continuity and exit.
Define what “financially healthy” means for an AI cloud provider
Revenue growth or a high valuation does not prove that a provider can support your workload. A financially resilient provider generates enough cash, has accessible liquidity, manages debt and covenant obligations, and can obtain funding without jeopardizing service. It also has an operating model that can survive the loss of a major customer, GPU supplier, colocation facility, model partner, or lender.
Your decision should answer five practical questions:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Can the provider fund normal operations and planned capacity for the life of the contract?
- Can it meet debt, lease, payroll, infrastructure, and supplier obligations when due?
- Could a funding shock, lost investor, or sudden demand change force service cuts?
- Is there enough independent evidence to trust its statements and controls?
- If it fails, is your data and workload portable under a workable transition plan?
There is no authoritative liquidity, runway, uptime, or failure-rate percentage that applies to every AI cloud provider. Use each provider’s dated evidence, the criticality of your workload, and the cost and time required to migrate rather than a universal pass mark.

Request a dated evidence package before negotiations conclude
Send a written request to the contracting entity, not only to a sales representative. Ask for the latest available period and at least two prior comparable periods where the provider can lawfully disclose them. Record the document date, reporting period, preparer, scope, exceptions, and any restrictions on use.
| Evidence to request | What to examine | Questions for the provider |
|---|---|---|
| Audited or reviewed financial statements | Revenue, gross margin, operating expenses, operating cash flow, free cash flow, debt, leases, contingencies, related parties, and going-concern wording. | Who audited or reviewed the statements, under which standard, and were there qualifications or emphasis paragraphs? |
| Interim management accounts | Current cash, bookings, collections, burn, capital spending, and changes since the last annual statements. | What has changed since the reporting date, and which figures are unaudited? |
| Liquidity and financing schedule | Cash and short-term investments, committed undrawn facilities, maturities, interest expense, covenants, refinancing dates, and restrictions on cash. | How much liquidity is immediately available, and what conditions could prevent access? |
| Ownership and support documents | Contracting entity, parent or investor support, guarantees, material shareholders, and planned transactions. | Would a parent guarantee survive a sale, restructuring, or insolvency of the operating entity? |
| Independent control reports | Current SOC 2 or equivalent report, scope, audit period, exceptions, complementary user controls, and remediation. | Does the report cover the exact service, region, subprocessors, and environment you will use? |
| Continuity and recovery evidence | Recovery-time objectives (RTOs), recovery-point objectives (RPOs), test dates, results, unresolved findings, and dependency maps. | When was the last full restoration test, and can you review evidence rather than a policy summary? |
| Incident and SLA history | Material incidents, service credits, missed availability or performance commitments, root-cause reports, and remediation status. | How are incidents classified, disclosed, and tracked to closure? |
If a private provider cannot share full statements, ask for a confidential review by your advisers, a bank or investor reference, a parent guarantee, or an attestation covering specific metrics. Record every information gap instead of treating silence as neutral.
Analyze revenue quality and cash generation
Separate durable revenue from volatile usage
Review several years of revenue, not a single growth headline. Break revenue into committed recurring contracts, renewals, minimum-spend commitments, and usage-sensitive charges. AI workloads can expand rapidly and then contract when a customer changes models, optimizes inference, or moves computation in-house. Ask for renewal rates, customer concentration, contract duration, cancellation rights, and the share of revenue from the largest customers.
Reconcile management’s growth narrative to financial statements or reviewed accounts. Investigate large differences between bookings, recognized revenue, accounts receivable, and cash collections. A provider can report strong sales while cash arrives slowly or depends on concessions that reduce future margins.
Track gross margin and infrastructure economics
Examine gross-margin direction and the assumptions behind it. Compute-serving costs may include GPUs, networking, electricity, colocation, model licenses, storage, support, and capacity reserved in advance. Ask whether the provider owns equipment, leases it, or relies on short-term capacity commitments. Falling margins while revenue grows can indicate that each additional customer consumes disproportionate infrastructure or that pricing is not keeping pace with supplier costs.
Use operating cash flow and free cash flow together
Operating cash flow shows cash generated by the operating business after working-capital movements. Free cash flow is commonly assessed as operating cash flow less capital expenditure. Request a reconciliation and identify whether positive cash flow depends on delayed supplier payments, customer prepayments, one-time tax effects, asset sales, or other temporary items.
For an AI provider, capital expenditure and equipment financing deserve special attention. A provider may need continual GPU purchases or long-term capacity reservations to meet demand. Ask how much planned spending is required to deliver contracted capacity, whether it is funded, and what happens if the provider cannot obtain the next tranche of hardware.

Test liquidity, burn rate, and access to funding
Build a 12-month obligations view
List cash and short-term investments that are actually available to the contracting entity. Then map the next 12 months of payroll, infrastructure invoices, leases, debt principal, interest, taxes, committed equipment purchases, and customer refunds. Separate unrestricted cash from balances pledged to lenders or trapped in another subsidiary.
Calculate expected net cash burn from a realistic operating plan, not only the best-case budget. Show the effect of lower usage, delayed collections, higher power or hosting costs, and the loss of a major customer. A simple runway calculation is available cash divided by monthly net burn, but the result is meaningful only when the cash definition and burn assumptions are disclosed. Do not convert a management forecast into a guarantee.
Check facilities and refinancing exposure
Record undrawn committed credit facilities, expiry dates, borrowing conditions, collateral, and financial covenants. An announced facility is not the same as cash that can be drawn immediately. Ask whether lenders can refuse an advance after a material adverse change, whether availability depends on borrowing-base calculations, and whether security interests cover essential hardware or intellectual property.
List every debt maturity and refinancing date. A provider that appears liquid today may face a large repayment before your contract ends. Review interest expense, variable-rate exposure, hedges, and any dependence on a new equity round or asset sale. Repeated covenant waivers, emergency financing, or reliance on short-term borrowing are escalation signals.
Read going-concern and obligation language carefully
The U.S. Securities and Exchange Commission says management should consider whether conditions and events, taken together, raise substantial doubt about the company’s ability to meet obligations as they become due within one year after the financial statements are issued. Treat going-concern language, substantial doubt, material uncertainty, or unresolved liquidity warnings as a request for a higher level of protection—not as a footnote to ignore.
Assess solvency, debt structure, and covenant headroom
Review total debt, secured versus unsecured obligations, liens, guarantees, lease liabilities, and contingent commitments. Compare debt service to operating cash flow and examine leverage trends over time. There is no single ratio that determines safety; the relevant question is whether cash generation and available liquidity remain adequate under plausible stress.
Obtain the actual covenant definitions. Test headroom under lower revenue, lower margin, delayed collections, and higher interest costs. Identify reporting deadlines, cure rights, cross-default provisions, and events that could accelerate repayment. A breach at one lender can trigger defaults elsewhere. Ask for a history of waivers, amendments, or late filings and why each occurred.

Escalate when the provider depends on repeated waivers, short-term refinancing, sale-leasebacks, emergency investor support, or an asset base that cannot be monetized without interrupting service. If the provider will not disclose covenant status, treat the missing evidence as a material risk and seek a guarantee, escrow, shorter commitment, or stronger termination and transition rights.
Evaluate business concentration and operating durability
Customer and revenue concentration
Ask what percentage of revenue comes from the largest customers and how many contracts are up for renewal during your term. Concentration can create a sudden liquidity event if one customer leaves, disputes an invoice, or renegotiates pricing. Request anonymized ranges if names cannot be disclosed, plus renewal and churn measures calculated consistently across periods.
Critical supplier and partner dependence
Map dependence on GPU manufacturers, chip lessors, cloud or colocation operators, model licensors, network carriers, power providers, and financing partners. Determine whether the provider has alternatives, inventory, contractual capacity, and tested failover. A provider can be profitable yet unable to serve you if one supplier withdraws capacity or imposes new terms.
Capital intensity and growth assumptions
Ask whether projected growth requires continual external capital. Compare planned capacity additions with cash from operations, committed financing, and purchase obligations. If the model assumes another funding round, document the amount, timing, investors, and consequences if it does not close. Do not accept “well funded” without a dated cash and financing schedule.
Investigate ownership, leadership, and change risk
Confirm the exact legal entity that will sign, invoice, own the data, and operate the service. Identify its parent, material investors, subsidiaries, and any guarantees. A financially strong parent does not automatically support a thinly capitalized operating subsidiary.

Ask about planned or recently completed mergers, acquisitions, divestitures, recapitalizations, restructurings, and leadership turnover. Federal Reserve third-party-risk guidance treats changes in strategy, culture, leadership, mergers, acquisitions, and divestitures as review triggers. Determine whether a transaction could move data to a new jurisdiction, alter security controls, terminate a key supplier agreement, or invalidate a parent guarantee.
Require advance notice of a change of control and a right to terminate or transition if the new owner creates a material security, financial, regulatory, or service risk. Obtain assurances that records, logs, models, and customer data remain accessible during a transaction.

Grade transparency instead of relying on assurances
Create a simple evidence grade for each material claim:
- Verified: supported by audited or reviewed statements, an independent report, a signed schedule, or test evidence covering the contracted service.
- Partially verified: supported by management accounts or a summary with limits on period, scope, or independence.
- Unverified: an assertion without supporting documentation.
- Contradictory: statements conflict across documents, periods, or interviews.
Apply the grade to liquidity, debt, customer concentration, recovery capability, incident history, and ownership. Timeliness matters: a year-old statement may not reveal a recent borrowing, loss, or acquisition. Inconsistent definitions—for example, changing the meaning of “recurring revenue” or “available cash”—should trigger written reconciliation.

Validate operational resilience that protects your financial exposure
Financial strength does not guarantee continuity. Request a current SOC 2 or equivalent independent report, its scope and audit period, exceptions, management responses, and remediation dates. Confirm that it covers the services, regions, subprocessors, and production environment you will use. A report is evidence of controls over a period; it is not a promise that every future incident will be prevented.
Request relevant penetration-test summaries, material incident history, root-cause analyses, and proof that corrective actions closed. Obtain documented RTO and RPO commitments, dependency maps, backup architecture, and results from restoration and disaster-recovery tests. Ask whether tests included a total regional outage, loss of a key supplier, corrupted data, and inability to access the primary control plane.
Review subcontractor disclosure and flow-down obligations. You need to know who hosts data, processes telemetry, supplies models, and controls physical facilities. Check data location, cross-border access, encryption-key control, administrative access, logging, and retention. Ensure that your team can export data, configurations, model artifacts, logs, and metadata in usable formats within a defined time.
Federal Reserve, NCUA/FFIEC, and New York Department of Financial Services guidance all emphasize independent assurance, test results, continuity planning, and periodic reassessment. Use that principle even when your organization is not directly regulated.

Put measurable protections in the contract
Contract language determines whether financial diligence has practical value. Allocate responsibilities precisely and avoid promises that cannot be measured.
| Clause area | Minimum points to define |
|---|---|
| Service levels and remedies | Availability, latency or throughput where relevant, maintenance windows, measurement method, exclusions, service credits, and stronger remedies for repeated failure. |
| Incident notification | Notice deadline, required facts, update cadence, cooperation, evidence preservation, and post-incident report. |
| Security and audit | Control framework, independent reports, penetration testing, audit rights, remediation deadlines, access to relevant records, and subprocessor obligations. |
| Continuity and disaster recovery | RTO, RPO, backup frequency, restoration testing, geographic redundancy, test evidence, and customer participation rights. |
| Information rights | Periodic financial or risk reporting, notice of material deterioration, covenant default, funding stress, ownership change, or loss of a critical supplier. |
| Data location and access | Permitted regions, cross-border transfers, administrator access, legal-process handling, encryption, and key-management responsibilities. |
| Return and deletion | Export format, export window, assistance, verification of deletion, retention exceptions, and costs. |
| Transition assistance | Personnel, documentation, migration support, continued service during transition, rates, and cooperation with a replacement provider. |
| Termination | Termination for cause, convenience, repeated SLA failure, material deterioration, security event, change of control, insolvency, or regulatory prohibition. |
| Insolvency protections | Access to customer data and backups, license or escrow rights for necessary materials, survival of assistance obligations, and protection from unilateral suspension where legally possible. |
FDIC guidance describes effective contracts as an important risk-management tool for technology-service-provider risks, including business continuity and incident response. ESMA guidance likewise addresses exit without undue disruption. Use those principles to make rights operational, not aspirational.
Compare credible providers on risk-adjusted fit
When more than one provider passes your minimum requirements, compare the same evidence period and definitions. A lower price can be poor value if migration is difficult or the provider’s liquidity is fragile.

| Liquidity and funding runway | Available cash, committed undrawn facilities, burn assumptions, and upcoming funding needs. | Prefer liquidity that remains adequate under a documented downside case. |
| Leverage and maturities | Debt, secured assets, interest burden, maturity calendar, covenant headroom, and waiver history. | Large near-term maturities or thin headroom require stronger protections. |
| Transparency | Statement quality, reporting timeliness, reconciliations, independent assurance, and unresolved exceptions. | Discount unsupported claims and price compensating controls. |
| Reliability and recovery | SLA history, incidents, RTO/RPO commitments, restoration tests, and dependency failover. | Choose evidence of tested recovery, not policy language alone. |
| Concentration and portability | Customer and supplier concentration, export formats, migration time, and transition support. | High switching friction increases the financial impact of failure. |
| Contract remedies | Audit, reporting, termination, data return, deletion, and assistance rights. | Prefer enforceable rights that activate before a collapse. |
| Jurisdiction and insolvency exposure | Contracting entity, governing law, data locations, parent support, and local insolvency consequences. | Obtain specialist advice where recovery of data or access could be contested. |
Use a staged decision process
- Classify the workload. Record data sensitivity, regulatory obligations, maximum tolerable outage, recovery point, and the cost of rebuilding elsewhere.
- Send a standardized evidence request. Give every shortlisted provider the same list and a deadline. Require written explanations for unavailable items.
- Reconcile the financial picture. Tie management summaries to statements, test cash availability, map maturities and covenants, and model lower demand and higher costs.
- Map operational dependencies. Identify subprocessors, hardware and facility concentration, recovery evidence, incident history, and portability constraints.
- Score gaps by impact. A missing document is more serious when the workload is mission-critical, migration takes months, or the provider is the sole source of a specialized capability.
- Negotiate controls before price. Add reporting, audit, continuity, incident, transition, and termination terms while leverage is highest.
- Approve with conditions. Set exposure limits, milestones, guarantees, escrow, dual sourcing, or a shorter renewal period where evidence is incomplete.
- Document the decision. Keep the evidence register, assumptions, approvals, exceptions, and review date with the contract record.
Monitor the provider after signing
Set a formal review at least annually and more often for a critical or rapidly changing provider. Maintain an evidence register with document date, reporting period, owner, exceptions, remediation status, and next review date.
Trigger an interim review after any of these events:
- Declining revenue, rising debt, missed collections, emergency financing, or a covenant waiver.
- Repeated SLA misses, a material security incident, or an unsuccessful recovery test.
- Leadership turnover, a merger, acquisition, divestiture, restructuring, or change in strategy.
- Loss of a major customer, GPU or colocation partner, model supplier, lender, or insurance coverage.
- Material change in data location, subcontractors, pricing, service scope, or regulatory requirements.
Federal Reserve third-party-risk guidance specifically asks whether financial condition has changed, including declining revenues or increasing debt obligations, and whether continuity and disaster-recovery capability remain adequate. Tie those questions to named owners and dates rather than waiting for the provider’s marketing update.
Recognize red flags and choose a response
| Red flag | Why it matters | Possible response |
|---|---|---|
| Statements are late, unaudited, or repeatedly revised. | You may be making a commitment on stale or unreliable information. | Obtain an adviser review, shorten the term, require reporting, or pause approval. |
| Cash is falling while capital spending and debt are rising. | Capacity growth may depend on new financing. | Stress-test funding, cap exposure, and require a continuity plan. |
| Repeated covenant waivers or emergency loans. | Liquidity or solvency pressure may already be material. | Escalate to senior risk owners; seek guarantees, escrow, or an alternative provider. |
| Customer or supplier concentration is undisclosed. | A single loss could impair service or cash generation. | Require ranges, dependency evidence, and tested failover. |
| SOC scope excludes your service or current period. | Independent assurance may not apply to your environment. | Request a scoped report, bridge letter, or compensating audit rights. |
| No usable export or transition commitment. | Failure could strand data and increase outage costs. | Make portability, assistance, and termination rights contractual before deployment. |
| Ownership or leadership changes are not disclosed promptly. | Control, jurisdiction, strategy, and support obligations may change. | Add change-notice and termination rights and reassess the counterparty. |
Make the go/no-go decision
Approve an AI cloud provider when dated evidence shows adequate liquidity under a realistic downside case, manageable debt and covenant exposure, durable operations, transparent reporting, tested recovery, and a contract that gives you information, remedies, and a practical exit. If a material part of that chain is unverified, do not compensate with optimism. Reduce the commitment, add enforceable controls, diversify the workload, or select a provider whose financial and operational evidence supports the risk you are taking.
