Do not underwrite a GPU cloud provider on uptime and an attractive hourly rate alone. Treat it as a leveraged infrastructure counterparty. Before signing, obtain audited financial statements and current management accounts; reconcile unrestricted cash, operating burn, debt, leases, covenants and committed capital expenditure; test customer and supplier concentration; verify that the promised GPUs, power and facilities actually exist; and negotiate remedies that still work if the provider defaults or enters insolvency.
There is no published universal “safe” runway or leverage limit for this market. Your threshold should reflect the contract’s value, workload criticality, time needed to replace capacity and the provider’s cash flow under stress.
Why financial stability matters for GPU capacity
A GPU cloud can be technically competent and still fail to deliver over a multi-year contract. Building clusters requires expensive servers, networking, data-center space, power and cooling. Providers often finance those assets with debt, leases, customer prepayments or take-or-pay commitments. If financing is withdrawn, a lender enforces its security, a major customer stops paying or a facility cannot obtain power, your workloads can be interrupted even while the provider’s marketing pipeline looks strong.
Aethir’s public filing identifies customer concentration, non-payment, power availability, deployment delays, GPU obsolescence, utilization and secured debt as factors that can materially affect results. Those are credit risks as well as operating risks: each can reduce cash available to maintain or expand your capacity.

Public filings illustrate why headline growth is insufficient. CoreWeave’s 2025 disclosures report $60.7 billion in remaining performance obligations, $21.6 billion of total indebtedness, $6.862 billion of total liquidity and $4.4 billion of debt-service cash flows. These figures are company-specific, measured for 2025, and not benchmarks for every provider. They show why contracted revenue must be analyzed alongside debt service, collateral, timing and liquidity.
CoreWeave also warns that substantial indebtedness could materially adversely affect its financial condition, ability to raise capital and ability to operate. Its contracts generally include multi-year take-or-pay commitments and prepayments, yet the filing notes that a small number of customers account for a substantial portion of revenue. A large order book can therefore coexist with refinancing and concentration risk.
1. Define the legal and reporting perimeter
Start by identifying exactly which entity will sign your agreement and which entities own the assets that support it. A parent company, operating subsidiary, GPU-finance vehicle and data-center landlord may all be different legal entities. A claim that the provider is “well funded” is not useful unless the cash and assets are available to the contracting entity or supported by an enforceable guarantee.
Questions to document
- What is the full legal name, registration jurisdiction and address of the contracting entity?
- Which parent, subsidiaries or affiliates own the GPUs, network equipment and data-center leases?
- Will a parent guarantee payment, service continuity and transition obligations? Is the guarantee capped or unconditional?
- Which law governs the contract, and where would you enforce an award or judgment?
- Are the provider’s statements audited, independently reviewed or internally prepared? Identify the accounting firm, reporting period and audit opinion.
- Who are the beneficial owners, directors and financing counterparties?
- Are there material lawsuits, regulatory actions, bankruptcy filings, receiverships or defaults?
For a private provider, request CPA-reviewed or audited statements, an ownership chart, beneficial-owner information, litigation disclosures and bankruptcy searches. For a public provider, read the latest audited annual filing and interim report, including debt, lease, customer-concentration, supplier-concentration and risk-factor sections. Public filings are valuable context, but they do not replace diligence on the entity serving your workloads.
2. Request a complete diligence pack
Make document delivery a condition of approval rather than an informal request. Ask for data covering at least the last two fiscal years and the latest quarter. Require explanations for material changes instead of accepting a data-room export without reconciliation.
Financial and financing documents
- Audited annual balance sheets, income statements and cash-flow statements for the last two fiscal years.
- Latest quarterly management accounts, prepared on the same basis where possible.
- A cash-flow bridge showing recurring operating burn, working-capital movements and one-time items.
- Debt and lease schedules listing borrower, lender, principal, currency, interest rate, amortization, maturity, collateral, priority and financial covenants.
- The latest covenant-compliance certificate and any waivers, amendments, defaults or reservation-of-rights letters.
- Unrestricted cash by legal entity and currency, plus legally available undrawn committed facilities. Separate restricted cash, customer deposits and cash held for another entity.
- Committed capital expenditure for GPUs, networking, construction, power interconnection and data-center fit-out, with payment dates.
- Insurance coverage for property damage, business interruption, cyber incidents and equipment failure.
Asset and operating documents
- GPU inventory by model, generation, quantity, location and operational status.
- Evidence of ownership, lease or financing status for the GPUs assigned to your service. Identify liens and the secured party.
- Data-center leases, power contracts, contracted megawatts, cooling design and network-fabric capacity.
- Deployment schedules showing ordered, delivered, installed, accepted and available capacity.
- Maintenance, spare-parts and replacement arrangements, including expected lead times.
- Major customer and supplier concentration, with contract duration, termination rights and payment terms.
- Material litigation, insolvency notices, threatened claims and regulatory correspondence.
Require management to certify that the pack is complete as of a stated date. Track every missing item, its owner and the decision impact. Refusal to provide audited or independently reviewed information is itself a material risk signal.

3. Measure liquidity and stressed runway
Liquidity is the cash that can legally be used when obligations fall due. Do not count an uncommitted fundraising target, a hoped-for equity round, restricted cash or customer money that must be refunded as available liquidity.
Build the base calculation
Reconcile unrestricted cash and legally available undrawn facilities to recurring cash needs. A useful first model is:
Stressed runway (months) = available liquidity ÷ monthly net cash outflow
Monthly net outflow should include operating expenses, interest and scheduled principal, lease payments, power, maintenance, insurance, taxes, GPU purchases and committed data-center capital expenditure. Show obligations by month for at least the next 12 to 24 months; an annual average can hide a large payment due next quarter.
Reconcile the provider’s cash balance to bank statements or lender reports where permitted. Tie debt service to the debt schedule, and tie capital expenditure to purchase orders, construction contracts and deployment milestones. A provider can show strong contracted revenue while facing a cash squeeze if debt amortization and build-out payments arrive before customer receipts.

- Utilization falls by 20% and by 30%, with no immediate reduction in fixed costs.
- A major customer pays late, reduces usage or terminates.
- GPU delivery or data-center commissioning is delayed, deferring revenue while deposits and construction bills remain due.
- Power prices, facility charges or insurance premiums rise materially.
- GPU resale values decline as a newer generation arrives, reducing refinancing collateral.
- Debt is refinanced at a higher interest rate or a committed facility is unavailable.
- A supplier fails and replacement hardware or networking takes longer than planned.
Record the month in which cash becomes negative, a covenant is breached or a required deployment milestone cannot be funded. Ask management which actions are actually available: reducing expansion, selling assets, drawing a committed facility, obtaining a waiver or cutting service. Label an action as a plan, not liquidity, until it is contractually committed.
4. Analyze leverage, collateral and refinancing risk
Map every secured and unsecured obligation by borrower and collateral pool. The important question is not only “How much debt exists?” but also “What can a lender take, and when?”
| Item to map | What to verify | Why it matters to your contract |
|---|---|---|
| Principal and priority | Outstanding amount, first- or second-lien status, guarantees and intercreditor terms | A senior lender may control assets or cash before an operating customer is protected. |
| Maturity and amortization | Due dates, mandatory repayments, balloon payments and extension options | A large payment during your term can create a refinancing cliff. |
| Interest and covenants | Fixed or floating rates, coverage tests, borrowing-base limits and cure rights | A breach can trigger restricted spending, default interest or acceleration. |
| Collateral | GPUs, servers, receivables, bank accounts, leases and intellectual property pledged | Foreclosure or a blocked transfer can interrupt service or trap your data. |
| Default remedies | Acceleration, foreclosure, funding stop, set-off and control of contracts | Determines whether a lender can terminate the practical ability to operate. |
Search applicable public lien or UCC records and obtain written confirmation of liens affecting the GPUs, racks or receivables supporting your service. Ask whether the equipment assigned to you is pledged and whether the lender has agreed to a customer continuity, non-disturbance or step-in arrangement. If a lender can seize servers on default, a promise of uptime alone does not protect you.

The filing states that substantial indebtedness may divert cash flow, limit additional financing and impair operations. Treat those disclosures as an example of the questions to ask, not as a pass/fail ratio.
5. Test the quality of revenue and concentration
Contracted revenue is valuable only if customers can and will pay, and if the provider can convert it to cash before obligations mature. Request the percentage of revenue and contracted cash flow represented by the top five customers, contract duration, take-or-pay provisions, prepayments, termination rights, renewal terms and customer credit quality.
Customer concentration
Aethir states that concentration creates counterparty-credit risk: a reduction, non-renewal or termination by a major customer can leave purpose-built assets underutilized or stranded. Ask whether clusters can be redeployed to other customers or whether they depend on a customer-specific model, network topology or location. Review receivables aging, disputed invoices, days sales outstanding and any customer concessions.

Contract quality
- Separate committed minimum payments from usage-based forecasts.
- Identify prepayments and whether they are refundable, held in escrow or available for general corporate purposes.
- Check termination-for-convenience, suspension, force-majeure and credit-support provisions.
- Review customer credit ratings, parent guarantees and concentration by industry or geography.
- Determine whether a contract survives a change of control, lender foreclosure or asset sale.
CoreWeave reports that its committed contracts generally use multi-year take-or-pay commitments and prepayments while also warning that a small number of customers drive a substantial portion of revenue. Ask every provider for the equivalent detail rather than treating a large backlog as proof of solvency.
6. Verify the physical assets behind the promise
Financial statements cannot prove that your reserved capacity is installed and usable. Request evidence for each deployment milestone and reconcile it to invoices, serial numbers, rack locations and acceptance tests.
Capacity and hardware checks
- Confirm GPU model, generation, quantity, memory, interconnect and whether the units are installed, in transit, ordered or merely planned.
- Obtain data-center location, contracted power capacity, cooling capability and network-fabric design.
- Check spare-parts inventory, maintenance coverage and mean replacement times.
- Ask for historical deployment slippage, incident records and the process for reallocating capacity during an outage.
- Test a representative workload and verify that promised throughput, storage and network paths are available under load.
CoreWeave states that all GPUs in its infrastructure were NVIDIA GPUs and discloses significant supplier concentration. That illustrates a broader diligence point: dependence on one manufacturer, integrator, data center or power interconnection can turn a supply disruption into a financing problem. Aethir similarly warns that power constraints, deployment delays, supply disruption and rapid GPU obsolescence can damage financial performance.
Replacement and migration timing
Estimate how long it would take to obtain equivalent capacity elsewhere, move data and models, rebuild images, validate performance and return to production. Include export bandwidth, egress charges, software dependencies, secrets rotation and customer communications. The longer this process takes, the more liquidity and contractual protection you need before accepting a provider’s credit risk.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Negotiate protections before signing
Protections matter most when switching is expensive. For contracts longer than six months, substantial prepayments or mission-critical workloads, put financial-monitoring and failure remedies in the agreement rather than relying on a sales promise.

- Quarterly delivery of management accounts, liquidity, debt and covenant-compliance certificates.
- Notice of material adverse changes, financing defaults, covenant breaches, ownership changes, lender enforcement, insolvency filings or a material loss of power or facility capacity.
- A right to audit records relevant to capacity, billing, service levels and financial compliance, subject to reasonable confidentiality controls.
- Notice periods long enough to test a replacement environment before service is interrupted.
Continuity and exit mechanisms
- Configuration escrow containing infrastructure definitions, images, deployment scripts, model and metadata needed to recreate the environment.
- Data escrow or export obligations, with periodic restoration tests rather than a promise that files can be delivered someday.
- Transition assistance, engineering hours, documentation and access to logs during termination or insolvency.
- Step-in rights, direct-payment rights or a non-disturbance agreement with the relevant equipment owner or lender where feasible.
- Termination rights for uncured financial defaults, repeated deployment failure, loss of required capacity or insolvency events.
- Clear treatment of prepaid capacity: refund, service credit, escrow release and priority in an insolvency proceeding.
- Ownership and return rules for customer data, trained models, checkpoints, keys, hardware-specific configurations and derived artifacts.
Do not rely on the commercial SLA alone. Security, confidentiality, integrity and availability obligations are contractual terms that must be read together with uptime credits, exclusions and termination rights. An SLA that excludes power, network, hardware or facility failures may offer little remedy for the events most likely to accompany financial distress.

8. Score providers with a weighted decision model
Use a documented scorecard so a low hourly rate cannot silently outweigh a weak balance sheet. Set weights according to your workload and record evidence for every score.
| Axis | Evidence to score | Buyer-specific question |
|---|---|---|
| Liquidity and stressed runway | Unrestricted cash, committed facilities, monthly burn and stress-case survival | Can the provider fund service and migration through the replacement period? |
| Leverage and refinancing | Maturities, covenant headroom, lien priority and lender remedies | Could a default remove the assets supporting my contract? |
| Customer and supplier concentration | Top-five shares, payment history and single-source dependencies | Would one failure strand the cluster or block expansion? |
| Owned versus leased capacity | Title, liens, lease terms and third-party dependencies | Who controls the GPUs during a dispute or insolvency? |
| Power and facility redundancy | Interconnections, cooling, sites and disaster recovery | Can workloads move if one facility or power source fails? |
| Service history | Incident frequency, deployment performance and response times | Does the provider meet obligations in practice? |
| Contract enforceability | Escrow, audit, reporting, step-in, termination and insolvency language | Can I obtain data and assistance when the provider is distressed? |
| Replacement economics | Lead time, egress, engineering effort and total migration cost | What would failure cost before an alternative is live? |
Weight each axis, score providers on documented evidence and apply a minimum gate for critical items such as unrestricted liquidity, enforceable exit rights and verified capacity. Recalculate the score when quarterly reports, debt maturities or deployment milestones change.
Red flags that should pause approval
- Refusal to provide audited or independently reviewed financial statements.
- Liquidity claims that include uncommitted fundraising, restricted balances or customer deposits.
- Debt maturities or covenant tests inside your contract term without a documented refinancing plan.
- GPUs pledged to lenders with no customer continuity, non-disturbance or step-in mechanism.
- Heavy dependence on one customer, supplier, data center or power interconnection.
- Pricing materially below plausible power, financing, maintenance and hardware costs without a credible explanation.
- Repeated deployment slippage, unexplained capacity shortages or inability to evidence installed GPUs.
- Requests for large prepayments without refund, escrow or insolvency protections.
- SLA exclusions that remove power, network, hardware or facility failures from meaningful remedies.
One red flag does not automatically prove failure, but unexplained combinations should trigger enhanced diligence, stronger security or a decision not to proceed.
A practical approval sequence
- Classify the workload. Record criticality, maximum tolerable downtime, data sensitivity, migration complexity and replacement lead time.
- Identify the entities. Map the contracting company, asset owners, parent guarantees, lenders and governing law.
- Collect and reconcile documents. Tie statements, cash, debt, leases, capex, inventory and contracts to a common reporting date.
- Model the next 12–24 months. Include monthly debt service, lease, power, maintenance and capex obligations.
- Run combined stress cases. Test utilization decline, customer non-payment, delays, higher power costs, GPU obsolescence and refinancing at a higher rate.
- Verify capacity. Inspect evidence of GPUs, power, cooling, network fabric, deployment milestones and liens.
- Quantify failure and migration. Price data export, engineering work, replacement capacity and business interruption.
- Negotiate protections. Add reporting, audit, warning, escrow, transition, step-in, termination and prepaid-capacity provisions.
- Apply the scorecard and approval gates. Document unresolved issues, owners, deadlines and the executive who accepts residual risk.
- Monitor after signature. Review quarterly accounts, covenant certificates, liquidity, incidents, concentration and deployment changes; exercise notice and audit rights when triggers occur.
How to set your own financial thresholds
The reviewed public sources do not establish a universal safe runway, leverage ratio or probability-of-failure cutoff. Do not present a generic 90-day or 48-month rule as an industry standard. Instead, derive thresholds from your exposure:
- Contract value: include prepaid amounts, minimum commitments, termination charges and replacement spending.
- Workload criticality: a research sandbox can tolerate more counterparty risk than a production service with contractual customer obligations.
- Replacement lead time: longer lead times require more liquidity, escrow and notice.
- Stress-case cash flow: require survival through the period in which you would migrate, not merely through the next reporting date.
- Collateral and enforceability: reduce acceptable exposure when lenders can seize equipment or the contract is difficult to enforce.
Approve a provider only when the evidence, contract and contingency plan together make failure manageable. A lower hourly price is not cheaper if the provider lacks the runway to complete deployment or support migration.
