Assess a GPU cloud provider as a leveraged infrastructure counterparty, not merely as a source of hourly compute. Before you prepay or reserve capacity, identify the legal entity that owns the GPUs and controls the facilities, obtain evidence of liquidity and debt, verify that power and installation milestones are real, and negotiate continuity rights that still work if the provider defaults or enters insolvency. Your commitment should match how certain your workload demand is, and you should maintain a tested route to move data and jobs elsewhere.
What “financially stable” means for a GPU cloud buyer
A provider can advertise a large fleet and still be unable to finish your training run. GPU clouds commonly finance expensive hardware with secured debt, lease capacity from another operator, or depend on future customer commitments to fund power, cooling and deployment. Stability therefore has several dimensions:
- Counterparty identity: the company on your invoice may be a reseller, while another entity owns the GPUs, signs the colocation agreement or grants liens to lenders.
- Liquidity: cash and available borrowing must cover operating losses, power bills, payroll, debt service and deployment costs during a downturn.
- Leverage and collateral: GPU loans, leases and covenants can give lenders rights that interrupt service if the provider misses payments.
- Delivery readiness: contracted megawatts, interconnection, cooling and installation are prerequisites; purchased GPUs do not create usable capacity by themselves.
- Commercial durability: concentrated revenue, expiring anchor contracts or prices below the provider’s cost of capital can undermine renewal and refinancing.
- Operational protection: measurable service levels, export rights and a migration plan limit the damage if capacity disappears.
Do not treat any single ratio as a pass/fail test. Thresholds suggested by advisers are screening heuristics, not universal standards for every region, GPU generation or business model.
1. Map the real counterparty and ownership chain
Start with a corporate-structure diagram before discussing price. Ask the sales contact to identify every entity involved in delivering your workload:

- the exact legal entity that signs your order and receives payment;
- the entity that owns each GPU model allocated to you;
- any lessor, reseller or upstream cloud operator supplying capacity;
- the power utility, interconnection counterparty and colocation provider;
- lenders or equipment-finance companies holding security interests;
- subcontractors responsible for operations, support, networking or replacement parts.
Request certificates of incorporation, ownership information and a written description of which entity holds title to the hardware. Jason Sun of AdaNomad framed the first diligence question this way on June 18, 2026: “Is the company on your contract the same company that owns the GPUs? Or is it reselling capacity it leases or subleases from someone else?”
Why title and liens matter
GPU financing is usually secured. If a borrower defaults, a lender may be able to repossess or foreclose on equipment even while your service contract remains in force. Ask for a description of all liens affecting the GPUs, servers, networking equipment and related accounts, together with the lender’s consent to your use and data retrieval. Your contract should state whether a foreclosure, lease termination or upstream insolvency is a provider default, and how much notice you receive.
Require the provider to notify you before changing the ownership, lease or financing structure that supports your reserved capacity. An assumption that “our contract is with the cloud brand” is not protection if that brand has no title to the machines.

For a public company, obtain the latest annual and quarterly filings and read the notes on debt, leases, commitments, related parties and major customers. For a private provider, make delivery of a finance pack a condition of contracting. Request:
- audited financial statements for the last two fiscal years, including cash-flow statements and auditor opinions;
- current management accounts and a monthly cash balance;
- a cash-burn bridge showing operating expenses, capital expenditure, interest and one-time deployment costs;
- a debt and lease schedule listing principal, interest, maturities, amortization, security, covenants and refinancing assumptions;
- GPU inventory by model, generation, location, ownership status and operational availability;
- supplier and construction commitments, including non-cancellable purchase orders and minimum power obligations;
- revenue by customer and GPU class, contract term, renewal date and committed versus on-demand usage;
- gross margin by GPU class after power, colocation, networking, support and depreciation;
- two or three customer references operating at a scale comparable to yours.
If the provider will not disclose audited statements, ask for a confidentiality agreement and a restricted review by your adviser. A refusal to provide even a debt schedule, maturity profile or cash-flow explanation is itself a risk signal, regardless of the sales forecast.

Metrics that belong in your review
| Metric | Evidence to request | What it reveals | Warning sign |
|---|---|---|---|
| Cash runway | Unrestricted cash, committed facilities and monthly net burn | How long the business can fund operations without new capital | Runway depends on an uncommitted loan, customer prepayment or optimistic utilization |
| Debt and maturities | Principal, rates, covenants, collateral and dates through your contract term | Whether a refinancing or covenant test can occur before your workloads finish | Large maturities, floating-rate exposure or tight maintenance covenants |
| Fleet utilization | Utilization by GPU model and site, separated into contracted and spot demand | Whether revenue assumptions are supported by actual demand | High average utilization hiding idle new generations or heavy dependence on one customer |
| Gross margin per GPU | Revenue less power, colocation, networking, support and depreciation | Whether each additional GPU contributes cash to debt service and overhead | Prices below fully loaded cost or margins that require falling power prices |
| Customer concentration | Revenue share and committed capacity for the largest customers | Exposure to one cancellation, renegotiation or delayed payment | A single customer dominates revenue or reserved GPUs |
| Contract coverage | Percentage of fleet covered by take-or-pay or minimum-commitment agreements | Visibility of future revenue | “Booked” capacity is only non-binding interest or short-term spot demand |
| Capital commitments | GPU purchase orders, power reservations and construction obligations | Fixed costs the provider must pay during weak demand | Large obligations with no matching customer contracts or financing |
ClusterBid recommends examining days of cash, fleet utilization, debt-to-equity, gross margin per GPU, customer concentration and the share of fleet covered by contracts. Use those measures to compare providers consistently, not as a substitute for understanding their accounting definitions.
3. Stress-test liquidity, leverage and refinancing
Build a downside model for the entire proposed term. Start with the provider’s own forecast, then change one assumption at a time and in combination:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Reduce utilization and delay your expected workload start.
- Apply a realistic decline in resale value as newer GPU generations arrive.
- Increase power and colocation costs and test exposure to variable-rate electricity.
- Push a data-center or interconnection milestone beyond the promised date.
- Raise interest rates at each refinancing date.
- Remove the largest customer or assume it pays late.
List every debt maturity, covenant test and mandatory equipment payment inside your contract term. Ask management which refinancing assumptions are essential to staying solvent, who has provided written commitments and what happens if financing is unavailable. A provider that is profitable on an annual income statement can still run out of cash when a large GPU loan matures before receivables arrive.
GPU assets also depreciate economically. Clifford Chance reported in 2026 that GPUs commonly have an average economic life of three to five years. That does not mean a card stops working after that period; it means its earning power and collateral value can fall as more efficient generations enter the market. Your downside case should therefore test both lower resale value and lower rental rates.
AdaNomad reported a $2.3 billion GPU-collateralized facility disclosed by CoreWeave in 2023 and an $8.5 billion delayed-draw facility announced March 31, 2026. Treat those figures as examples of the scale and structure that can exist in this market, and verify any current provider’s amounts in its primary filings before relying on them.

4. Verify power, cooling and deployment—not just hardware orders
Obtain dated evidence for the exact site and GPU pool you are buying. Your checklist should include:
Crashes, No Sound, or Screen Glitches?
Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteWindows Errors? Fix Them Before They Spread
Repair common Windows errors and clear accumulated junk for a smoother, more stable PC - no reinstall needed.Free scan · no reinstall- contracted megawatts, utility tariff or energy-price formula and any curtailment rights;
- interconnection application, approval status and expected energization date;
- cooling design, rack density, facility power-usage effectiveness (PUE) and redundancy;
- GPU delivery, rack installation, networking and acceptance-test milestones;
- named dependencies, responsible parties and a remedy for each delay.
Ask for commissioning records, not only a slide deck. A purchase order proves that equipment was ordered; it does not prove that the site has the power, liquid-cooling loop, transformers, network fabric or trained staff to run it. Clifford Chance has highlighted rising power requirements, high-density AI facilities and contract terms that allocate installation-delay risk. Make those risks explicit in your order form: define the service start date, the acceptance test, partial-delivery treatment and your right to cancel or reduce commitments when a milestone slips.
5. Examine concentration, history and the operating team
Request the largest-customer revenue share for each of the last two years, renewal dates and termination rights. Compare those figures with your own dependency: if your training program would consume a large portion of one site or GPU class, the provider’s failure affects you even when its overall business looks diversified.
AdaNomad reported that Microsoft represented 35% of CoreWeave revenue in 2023 and 62% in 2024, based on CoreWeave’s S-1 figures reproduced in a 2025 filing. Verify those percentages in the relevant SEC filing before quoting them in an investment or procurement decision. The broader lesson is to investigate concentration changes, not merely the latest percentage.
Ask about prior restructurings, pivots, litigation, missed deployments and changes in the engineering or operations leadership. Request reference calls with customers using comparable GPU generations, regions and support hours. Ask each reference whether capacity arrived on the promised date, how replacement incidents were handled and whether invoices matched measured usage.

6. Match commitment length and payment structure to workload certainty
Long reservations can produce better unit economics, but they transfer financing risk from the provider to you. Civo notes that commitment economics depend on workload certainty. Separate your demand into three buckets:
| Workload pattern | More suitable structure | Reason |
|---|---|---|
| Predictable, continuously running training or inference | A reserved tranche with milestones, service credits and termination rights | Stable demand can justify a commitment without placing every job at one provider |
| Seasonal or forecastable bursts | Smaller baseline reservation plus elastic capacity and renewal options | You avoid paying for idle GPUs between peaks |
| Experimental or uncertain demand | Shorter term, on-demand or cancellable capacity | Flexibility is worth more than the lowest nominal rate |
Be especially cautious with 12–36 month prepayment. Treat the prepaid amount as an unsecured exposure unless the contract gives you a perfected security interest, segregated funds or another enforceable protection. Negotiate staged payments tied to acceptance and monthly service delivery rather than a single deposit. If prepayment is unavoidable, cap it, require a refund mechanism for undelivered capacity and obtain a parent guarantee or letter of credit only after confirming that the guarantor has assets and authority to honor it.
7. Put continuity protections in the contract
A price and uptime percentage are not enough. The order form, master agreement and any financing acknowledgements should address the following measurable terms:
- Capacity or throughput: identify GPU model, quantity, location, interconnect, minimum usable throughput and permitted substitutions.
- Provisioning: set the time from order or release to usable instances, acceptance tests and treatment of partial delivery.
- Support: define severity levels, response and restoration targets, escalation contacts and 24/7 coverage if required.
- Replacement: specify the window for failed GPUs, spare-parts obligations and equivalent-or-better substitution rules.
- Remedies: provide service credits, fee refunds, capacity make-goods and a termination right when failures exceed a stated threshold.
- Auditability: allow reasonable audits of utilization, incident records, security controls, capacity allocation and subcontractors.
- Data and configuration escrow: preserve images, job metadata, infrastructure definitions, keys and documentation in a form you can retrieve.
- Portability: require export of data and model checkpoints in documented formats, with network egress assistance and a defined deadline.
- Step-in: permit you or a nominated operator to access the environment, continue essential operations or retrieve assets after a serious default.
- Assignment and insolvency: restrict transfers that change the operator, disclose liens, recognize your data ownership and give you notice of bankruptcy, foreclosure or upstream termination.
Clifford Chance reports that compute contracts are adding guaranteed capacity and performance, refresh mechanics, installation-delay allocation, step-in and termination, portability, auditability and security assurances. AxeCompute likewise recommends defining SLA scope, financial remedies, support response and a representative proof of concept. Run a proof of concept on the exact GPU class and network topology before committing; record the workload, dataset, throughput and failure-handling results as acceptance criteria.
8. Design for a provider failure before it happens
If a lender forecloses
Your contract should require advance notice, continued service during a transition period and cooperation with a replacement operator. Keep current copies of checkpoints, container images, dependency manifests, infrastructure-as-code, secrets-rotation procedures and billing records outside the provider environment. Confirm that a lender’s rights do not allow it to erase or withhold your data.

If the provider enters insolvency
Determine whether your agreement is assumable by a buyer, whether you can terminate immediately, and how quickly you can export data. Escrow should be updated on a schedule, not created once at contract signing. Include contacts, credentials and a runbook that an administrator or step-in operator can use without the provider’s original sales team.
If capacity is delayed or unavailable
Use the contractual milestone and remedy rather than waiting indefinitely for a revised estimate. Release workloads in stages, maintain a secondary account and test a smaller representative job on that alternative. A migration route that has never been exercised is an assumption, not a continuity plan.
9. Compare finalists with a weighted scorecard
When two or more providers remain, score evidence rather than promises. Weight the categories according to the cost of interruption to your organization.

10. A practical approval workflow
- Map entities and assets: obtain the ownership chart, title information, upstream contracts and lien description.
- Collect the finance pack: review statements, management accounts, cash burn, debt, inventory, margins, commitments and concentration.
- Build the downside case: model utilization loss, GPU depreciation, higher power and interest costs, delayed deployment and customer default.
- Validate the site: confirm megawatts, energy terms, interconnection, cooling, PUE, installation schedule and acceptance testing.
- Call references: speak with customers at comparable scale and ask for incident and delivery examples.
- Run the proof of concept: measure your workload’s throughput, networking, checkpointing and recovery on the proposed configuration.
- Negotiate continuity: add capacity and support SLAs, remedies, escrow, portability, audit, step-in, assignment and insolvency language.
- Stage commitment: tie payments and expansion to accepted milestones; reserve only the capacity supported by your forecast.
- Test migration: export a checkpoint and redeploy a representative job on an alternative provider before production dependence begins.
- Monitor quarterly: refresh financial, delivery, concentration and lien information throughout a multi-year term.
Questions to ask in the final diligence meeting
- Which legal entity owns the GPUs allocated to my contract today, and can that change without my consent?
- What debt, lease or lien could allow a third party to repossess those GPUs or terminate the facility?
- How many months of unrestricted cash remain under the downside case, and which maturities occur before my term ends?
- What percentage of this GPU class is covered by binding contracts rather than forecasts or letters of intent?
- What happens to my service, data and export access if an upstream operator, lender or colocation provider terminates its agreement?
- Which milestone proves that my capacity is usable, and what refund or termination remedy applies if it is missed?
- Can I retrieve images, checkpoints, logs and configuration without your staff, and how long will the export remain available after termination?
Conclusion
The safest GPU-cloud commitment is not necessarily the one with the lowest rate or the largest advertised fleet. It is the one where you can identify the asset owner, understand cash and debt pressure, verify physical delivery, measure service performance and leave quickly if the counterparty weakens. Treat prepayment and long reservations as credit exposures, stage them against evidence, and keep a working migration path. As Jason Sun put it, the important question is the one asked before the deposit goes out, not after you need the answer.
