A cement divestiture affects the financial statements according to two separate judgments: what legal and economic business perimeter was sold, and whether that perimeter meets IFRS 5’s held-for-sale and discontinued-operation tests. If the cement business is a qualifying component—normally a separate major line of business or geographical area—and is held for sale or sold, its post-tax result and disposal gain or loss are presented separately, its disposal-group assets and liabilities are shown separately, depreciation stops on classified non-current assets, and operating, investing and financing cash flows are disclosed. If it is not a discontinued operation, the remeasurement gain or loss remains in continuing operations.
The analysis must also follow obligations that did not transfer: debt, guarantees, tax-sharing arrangements, environmental remediation, employee benefits, warranties, indemnities and transition services can change the apparent proceeds and the company’s future risk even after the plant or subsidiary leaves the group.
Start with the reporting framework and transaction perimeter
This workflow is IFRS-centered. IFRS 5 is the controlling standard for held-for-sale classification, disposal-group measurement and discontinued-operation presentation. A US-GAAP or local-GAAP issuer must perform a separate framework analysis before applying these conclusions. The reporting date, currency, tax jurisdiction and transaction structure can change the result.
Define exactly what was sold
Do not begin with the sale price. Build a legal-to-accounting perimeter that identifies every item included, excluded or shared:

Reconcile that list to the consolidated reporting entity and to the IFRS 8 operating-segment structure. A share sale may transfer an entire subsidiary, while an asset sale can leave the legal entity, excluded liabilities and shared contracts with the seller. A loss-of-control transaction may require a different consolidation analysis before IFRS 5 presentation is completed. The sale agreement, board papers and accounting records must describe the same perimeter.
Decide whether the business is held for sale
IFRS 5 requires a non-current asset or disposal group to be classified as held for sale when its carrying amount will be recovered principally through a sale transaction instead of continuing use. Classification is not triggered merely because management is considering a sale or because a broker has been engaged.
Document every held-for-sale criterion
- Management approval: The appropriate level of management has committed to a plan to sell.
- Immediate availability: The disposal group is available for immediate sale in its present condition, subject only to customary terms for such transactions.
- Active marketing: A program to locate a buyer is active, and the asking price is reasonable compared with current fair value.
- Highly probable completion: The sale is highly probable, not merely possible. Evidence can include a signed sale agreement, a credible bidder process, banker materials and board authorization.
- Expected timing: Completion is normally expected within the period required by IFRS 5, subject to the standard’s limited exceptions for circumstances outside the seller’s control.
- Recovery through sale: The carrying amount is expected to be recovered principally through the sale rather than through continuing operations.
Retain the board resolution, marketing materials, valuation work, bidder correspondence, sale agreement and evidence supporting the expected closing date. If a criterion ceases to be met, reassess classification and measurement at that date rather than leaving the disposal group in a stale category.

Test whether the disposal is a discontinued operation
Every discontinued operation is a disposal of a component, but not every asset or business disposal is a discontinued operation. The central question is whether the cement component represents a separate major line of business or a separate major geographical area. It may also qualify when it is part of a coordinated plan to dispose of such a line or area, or when it is a subsidiary acquired exclusively for resale.
Record the judgment, not just the conclusion
Describe the cement component’s products, markets, geography, management reporting and cash flows. Explain why it is, or is not, a major line or area in relation to the group as a whole. Materiality is relevant to the judgment, but a small plant sale should not be labeled a discontinued operation solely because its gain is large, and a large business should not be excluded solely because its disposal gain is small.

| Question | If the answer is yes | Financial-statement consequence |
|---|---|---|
| Does the perimeter meet IFRS 5 held-for-sale criteria? | Classify the disposal group as held for sale. | Measure under IFRS 5 and present qualifying assets and liabilities separately. |
| Is it a separate major line of business, major geographical area, coordinated disposal of one, or resale-acquired subsidiary? | It is a discontinued operation when held for sale or disposed of. | Present the operation’s post-tax result and disposal or measurement gain or loss separately, with required cash-flow and note analysis. |
| Does it fail the discontinued-operation definition? | It remains a disposal of assets or a disposal group in continuing operations. | Any IFRS 5 remeasurement gain or loss stays in continuing operations; explain the disposal and its effects in the notes. |
Measure the disposal group at classification
At classification, compare the carrying amount with fair value less costs to sell. Recognize a loss when fair value less costs to sell is lower. Subsequent increases in fair value less costs to sell are recognized only to the extent permitted by IFRS 5 and cannot reverse losses beyond the applicable carrying-amount limits.
Once non-current assets are classified as held for sale, stop depreciating and amortizing them. Continue measuring other items in the disposal group under their applicable standards where IFRS 5 does not replace those requirements. Keep a schedule showing each asset’s pre-classification carrying amount, valuation adjustment, costs to sell, later changes and the resulting balance-sheet amount.
Separate disposal costs from operating costs
Identify banker fees, legal fees, restructuring costs, employee termination costs and other transaction expenses. Their recognition and presentation depend on the relevant standard and whether they are included in fair value less costs to sell. Do not bury recurring operating expenses or post-close stranded costs in the disposal gain.
Build the income-statement bridge
For a qualifying discontinued operation, the income statement can present one post-tax amount for the discontinued operation, combining its operating result with the post-tax effect of the IFRS 5 measurement adjustment and the gain or loss on disposal. The notes must analyze the major components so users can distinguish recurring performance from the transaction effect.
Prepare the bridge from records to the reported amount
- Extract the cement component’s revenue and operating expenses through the classification date and through disposal, as applicable.
- Allocate directly attributable production, selling, general and administrative, pension and environmental costs using documented methods.
- Separate finance costs, foreign-exchange effects and taxes attributable to the component.
- Calculate the carrying amount, fair value less costs to sell, measurement loss or permitted reversal, and final disposal gain or loss.
- Remove intercompany sales, purchases, loans, interest and unrealized profits on consolidation.
- Identify one-time transaction costs and distinguish them from continuing corporate costs that remain after closing.
- Present the resulting post-tax discontinued-operation amount separately and provide the required note analysis.
| Bridge item | What to include | Why it matters |
|---|---|---|
| Operating result | Cement revenue, production costs, distribution, selling and administration through the relevant period. | Shows the earnings that no longer belong to continuing operations. |
| Tax on operating result | Current and deferred tax attributable to the component under the applicable tax facts. | IFRS 5 discontinued-operation presentation is post-tax. |
| Measurement adjustment | Loss or permitted reversal from comparing carrying amount with fair value less costs to sell. | Separates remeasurement from ordinary operating performance. |
| Disposal gain or loss | Consideration, transferred or retained balances and transaction costs, after required tax effects. | Explains why net income may change sharply at closing. |
| Stranded corporate costs | Shared-service, headquarters, insurance, pension or other costs that remain with the seller. | Prevents continuing EBITDA from being overstated by removing costs that will still be incurred. |
EBITDA is not an IFRS-defined subtotal. If management reports continuing EBITDA, disclose the allocation policy, intercompany eliminations, one-time items and stranded costs. A sale gain can raise reported net income while the group’s continuing revenue, cash generation and operating capacity decline.

Present assets and liabilities on the balance sheet
Assets in a qualifying disposal group classified as held for sale and liabilities directly associated with it are presented separately from other assets and liabilities. They are not offset. Show major classes separately rather than presenting one net disposal-group number, and disclose accumulated other comprehensive income amounts associated with the group where required.

Mark each obligation as transferred, retained, shared or contingent:
- Environmental remediation may remain with the seller even when a plant and quarry transfer.
- Parent guarantees, letters of credit and performance bonds may survive closing or require replacement.
- Pension and other employee-benefit obligations may transfer only for specified employees or may remain in a group plan.
- Warranties, product claims and customer contracts can create post-close obligations for periods before or after closing.
- Tax liabilities and attributes may follow the legal entity rather than the economic business, subject to the sale agreement and local law.
- Indemnities and escrow arrangements can create recoveries or additional payments after disposal.
Use the sale agreement to support classification, but recognize provisions, contingent liabilities, deferred tax and financial liabilities under their own applicable standards. A liability excluded from the disposal group is not eliminated merely because management expects the buyer to reimburse it.
Disclose the discontinued operation’s cash flows
Discontinued-operation disclosures must enable users to see how the sold business generated and used cash. Disclose net cash flows from operating, investing and financing activities for the discontinued operation, with the required analysis in the financial statements or notes.
Trace the items that commonly get lost
- Operating: Collections from customers, payments to suppliers and employees, taxes and cash interest attributable to the cement component.
- Investing: Proceeds from the sale, capital expenditure, asset purchases and proceeds from disposals.
- Financing: Borrowings, repayments, interest where classified as financing, dividends or cash transfers under the group’s policy.
- Closing mechanics: Debt settled at closing, working-capital true-ups, tax payments, escrow funding and cash retained or transferred under the agreement.
- Committed expenditure: Capital expenditure approved before closing but paid afterward, with its responsibility assigned to the correct party.
Reconcile the cash consideration to the cash-flow statement and explain non-cash transfers, debt assumed or extinguished, restricted cash and foreign-exchange effects. Sale proceeds are not the same as free cash flow: debt repayment, taxes, working-capital movements and retained obligations can materially reduce cash available to the continuing group.

Re-present comparatives and recalculate performance measures
When a disposal is a discontinued operation, re-present prior-period discontinued-operation disclosures so users can compare continuing operations on a consistent basis. The re-presented information should use the same perimeter and allocation policy where practicable, with changes explained.
Recompute the metrics readers rely on
| Metric | Continuing-operation treatment | Required explanation |
|---|---|---|
| Revenue and operating margin | Exclude the cement component from both periods after re-presentation. | State whether shared revenue, logistics and corporate costs were reallocated. |
| EBITDA and EBIT | Remove the divested operation but retain costs that remain with the seller. | Identify stranded and one-time costs separately. |
| Net debt and leverage | Remove debt transferred or repaid and include debt retained or newly incurred for the transaction. | Explain guarantees, cash transfers and covenant definitions. |
| Interest coverage | Use continuing finance costs and continuing operating earnings. | Do not include a disposal gain as recurring earnings. |
| Asset turnover and return measures | Use continuing revenue and the appropriate post-disposal asset base. | Describe classification-date and closing-date effects. |
| Earnings per share | Use the required continuing-operation and total-company presentations. | Explain the post-tax disposal result and any tax or share-count effects. |
Show both reported and continuing-operation measures when the distinction is material. A large disposal gain can improve total-company net income and EPS even as continuing margins, leverage or future cash generation worsen.
Compare share sales, asset sales and loss-of-control transactions
The legal form does not automatically determine the accounting answer, but it changes the perimeter and the obligations that must be examined.
| Structure | Perimeter question | Typical financial-statement focus |
|---|---|---|
| Share sale | Does the sold subsidiary constitute the cement component, and which liabilities remain legally inside it? | Loss of control, disposal-group classification, retained guarantees, tax attributes and post-close indemnities. |
| Asset sale | Which plants, quarries, contracts, employees and liabilities transfer, and which remain in the seller’s legal entities? | Asset and liability derecognition, allocation of carrying amounts, environmental and employee obligations retained by the seller. |
| Loss of control or staged transaction | When does control cease, and are interests retained after that date? | Consolidation change, measurement of retained interests and timing of any IFRS 5 presentation. |
Reconcile the purchase-price allocation and closing statement to the accounting perimeter. A buyer’s assumption of debt is not automatically cash received by the seller, and a liability described as transferred may still require recognition if the seller has a present obligation or continuing guarantee.

Questions to ask for each exposure
- Was the obligation recognized before classification, at closing or only when a later event occurs?
- Is there a present obligation, a contingent liability, a financial guarantee or a possible reimbursement asset?
- Does the item belong in the disposal group, in continuing operations or outside the consolidated group after loss of control?
- What assumptions support measurement, and what changes would require remeasurement?
- Does the item affect cash flow, net debt, covenant calculations or the tax rate used in continuing-operation measures?
- Is a material uncertainty or concentration required to be disclosed?
A practical close-and-reporting checklist
- Obtain the executed sale agreement, board approval, valuation report, marketing evidence and closing statement.
- Map every legal entity, asset, liability, employee, contract, tax attribute, debt instrument and guarantee to the transaction perimeter.
- Reconcile the perimeter to consolidation records, IFRS 8 segments and management reporting.
- Document each held-for-sale criterion and the date it was met.
- Document the discontinued-operation judgment and its separate-major-line or geographical-area analysis.
- Calculate carrying amount, fair value less costs to sell, transaction costs and permitted subsequent changes.
- Stop depreciation and amortization on classified non-current assets from the correct classification date.
- Prepare the income-statement bridge, including tax, intercompany eliminations, transaction costs and stranded costs.
- Prepare the balance-sheet schedule of major asset and liability classes, accumulated other comprehensive income and retained obligations.
- Prepare operating, investing and financing cash-flow disclosures and reconcile sale proceeds to cash received.
- Re-present comparatives and recalculate continuing revenue, margins, EBITDA, leverage, net debt, interest coverage, returns and EPS.
- Obtain legal, tax, treasury, environmental and human-resources sign-off on guarantees, indemnities, pensions, remediation and transition services.
- Draft a post-close monitoring schedule for purchase-price adjustments, escrow releases, claims and obligations that can reverse or change the reported result.
Common errors and how to correct them
Calling every plant sale a discontinued operation
Correct the label by applying the component and separate-major-line or geographical-area test. If the test fails, keep the remeasurement and disposal effects in continuing operations and explain the transaction in the notes.
Recording the gain as ordinary operating profit
Separate the post-tax discontinued-operation amount or, for a continuing-operation disposal, clearly identify the non-recurring measurement and disposal effects. Do not use the gain to describe recurring EBITDA.
Continuing depreciation after classification
Recheck the classification date and stop depreciation and amortization on the classified non-current assets from that date. Preserve the pre-classification depreciation schedule for the audit trail.
Netting disposal-group assets against liabilities
Present major classes separately and without offsetting. Show which liabilities transferred and which remain with the seller.
Reporting only the cash received
Bridge sale proceeds to net cash impact after debt settlement, taxes, working-capital true-ups, escrow, committed capital expenditure and cash retained or transferred under the agreement.
Leaving comparatives unchanged
Re-present prior-period discontinued-operation information so continuing trends are comparable, and explain allocation changes or material stranded costs.
What the final assessment should say
A defensible assessment states the framework, reporting date, transaction structure and perimeter; identifies the held-for-sale and discontinued-operation judgments; shows measurement at fair value less costs to sell; and reconciles income, balance-sheet and cash-flow effects. It then separates one-time disposal gains from continuing performance and quantifies obligations that remain after closing. Without those reconciliations, a headline gain can give a misleading picture of the company’s future earnings, leverage and cash generation.
The IFRS Foundation summarizes the core principle this way: "IFRS 5 requires: a non-current asset or disposal group to be classified as held for sale if its carrying amount will be recovered principally through a sale transaction instead of through continuing use." Applying that principle to the complete legal perimeter—not just the cement plant’s sale price—is the basis for a reliable financial-statement conclusion.
