The Trade Desk won shareholder approval for a one-time repricing of eligible stock options after a steep decline left many awards underwater. At its virtual special meeting on October 19, 2026, the company reset every eligible option with an exercise price above that day’s Class A closing price to $12.26. The change covered current employees and executives, but not non-employee directors, incentive stock options or Jeff Green’s market-based performance options. Green’s dual-class voting control was central to the outcome: he held 50.2% of total voting power and 97.6% of Class B voting power as of July 31, 2026.

How did The Trade Desk rescue its underwater stock options?

Shareholders approved a one-time reset of eligible options granted under The Trade Desk’s 2025 Incentive Award Plan. Any covered option whose exercise price exceeded the Class A closing price on October 19, 2026 was repriced to $12.26, that day’s closing price.

The company said market volatility had pushed many awards well above the recent trading range, reducing their incentive and retention value. The repricing changes the strike price, while the other terms of each award remain in place. The board described the structure as a way to restore incentive value without increasing the overhang of outstanding equity awards.

The repricing was approved at the virtual meeting on October 19; The Trade Desk reported the transaction in a Form 8-K filed October 20, 2026.

How many options were repriced, and how much did executives hold?

Up to 15,582,540 shares were underlying eligible options. The awards were granted between April 13, 2017 and September 16, 2026, with exercise prices ranging from $3.69 to $122.59. For context, the Class A closing price was $14.49 on September 16, before the reset date.

Holder group Eligible options Share of eligible pool
Four current executive officers 3,186,931 Approximately 20.5%
2,342 current non-executive employees 12,395,609 Approximately 79.5%
Total eligible options 15,582,540 100%

CEO Jeff T. Green held 1,618,489 eligible options. His disclosed tranches were:

Options Weighted-average exercise price
737,028 $25.00
450,045 $49.24
215,696 $61.46
215,720 $74.90
Total: 1,618,489 Varied by tranche

Green’s separate market-based performance options, granted in October 2021 and September 2026, were not eligible.

Why did the board choose repricing instead of another remedy?

The board considered several ways to address options whose strikes had moved far above the share price. It selected a direct repricing because it could restore retention value without adding another layer of equity awards.

Approach considered Retention effect Overhang and dilution Accounting or legal trade-off
Exchange underwater options for another equity award Could restore value, but would require a new award design Could create additional equity overhang More complex documentation and valuation
Issue new awards Provides fresh incentive value Typically adds awards on top of existing options Additional compensation cost and administration
Wait for a market recovery Leaves employees with ineffective awards if recovery does not occur No immediate new dilution Does not solve the retention problem
Reprice without a premium exercise period Restores value immediately at the market reference price Board said it would not increase outstanding-award overhang Still creates incremental fair-value accounting under ASC Topic 718

In its Form 8-K, the board said repricing would restore incentive and retention benefits without the additional costs and complexity of alternative compensation arrangements. The proxy also records the board’s concern that options with exercise prices meaningfully above the recent trading range were no longer effective incentives.

Did Jeff Green control the shareholder vote?

Green’s voting power made the dual-class structure decisive. As of July 31, 2026, he beneficially controlled 50.2% of The Trade Desk’s total voting power and 97.6% of its Class B voting power. Each Class B share carried 10 votes, compared with one vote for each Class A share.

Proposal One passed with 441,097,211 votes for, 232,477,009 against and 299,747 abstentions. Proposal Two, which authorized a possible adjournment to solicit additional proxies, also passed, although no adjournment was needed.

The SEC filing does not provide a final vote breakdown by holder or share class. Accordingly, it establishes Green’s ability to determine the result through supervoting stock, but it does not disclose the exact number of votes he personally cast or the precise margin attributable to him. The Wall Street Journal characterized the outcome as Green using that power to approve the repricing despite opposition from outside investors.

What happens if an employee exercises or leaves?

The reset is conditional during a six-month protection period. If a holder exercises a repriced option or leaves service before April 19, 2027, the option reverts to its original exercise price. The exception is a termination by the company without cause.

  1. Remain in service through the protection period: the $12.26 exercise price remains available under the award’s existing terms.
  2. Exercise before April 19, 2027: the original, higher exercise price applies instead of the reset price.
  3. Leave before April 19, 2027: the original exercise price applies, unless the company terminated the holder without cause.
  4. After April 19, 2027: the special reversion condition no longer applies; the award continues under its other existing provisions.

The filing says the repricing does not otherwise change the awards’ terms. Vesting schedules, expiration dates and other provisions therefore remain governed by the original grants, subject to the reversion rule.

Which options were excluded?

Not every option held by a service provider qualified. The approved action excluded:

  • Options held by non-employee directors.
  • Incentive stock options.
  • Jeff Green’s market-based performance options granted in October 2021 and September 2026.

The eligible pool therefore consists of qualifying awards held by current service providers, including executive officers and employees, rather than every outstanding option issued by The Trade Desk.

How will the repricing affect The Trade Desk’s accounting?

The company expects to recognize any incremental compensation cost under ASC Topic 718. The incremental amount is measured as the excess of an option’s fair value immediately after repricing over its fair value immediately before repricing.

The filing does not disclose a dollar estimate for that incremental cost. Because the reset lowers exercise prices for in-the-money potential, the accounting charge will depend on the fair-value calculations required at the repricing date, not simply on the number of options involved.

What does the deal mean for employees and shareholders?

Employees receive a renewed chance to benefit from future share-price gains rather than watching options remain above market. That can improve retention, particularly for grants with exercise prices as high as $122.59.

Shareholders face a governance trade-off. Repricing does not add a new block of options, but it transfers value to existing holders after a major decline in the stock price. Green’s majority voting power allowed the company to implement that transfer even though the publicly disclosed vote was not separated by investor type or share class. The arrangement therefore combines an employee-retention objective with a significant dual-class governance issue.

Frequently Asked Questions

What does it mean for a stock option to be underwater?

An option is underwater when its exercise price is higher than the company’s current share price. Exercising it immediately would cost more than buying the same shares in the market, so it generally provides little incentive until the stock rises.

Does repricing create new shares for option holders?

The approved action changes the exercise price of qualifying existing options; it does not describe issuing a replacement award or increasing the number of shares underlying those awards. The board specifically said the structure would not increase outstanding-award overhang.

Why was October 19 used as the reset date?

The repricing price was tied to an observable market reference: the Class A closing price on the date shareholders approved the proposal. That produced a single $12.26 exercise price for eligible options above that level.

Can a former employee keep a repriced option after leaving?

The special terms provide that a departure before April 19, 2027 generally restores the original exercise price, unless The Trade Desk terminated the person without cause. Any post-employment exercise window and forfeiture rules still depend on the original award agreement.
