An Indian group can establish a Northern Ireland operation either by incorporating a new UK private company owned or controlled by the Indian parent, or by registering the Indian company itself as an overseas company with a UK place of business. The first route creates a separate UK legal person; the second leaves the Indian parent operating through a registered UK branch or place of business. That choice determines liability, governance, tax residence, filing obligations, banking, contracts and the immigration evidence available for transferred staff.

Use UK and Indian legal, tax and immigration advisers before committing funds or signing contracts. The UK–India treaty, transfer-pricing rules, sector licences and the parent’s existing constitutional documents can materially change the best structure.

Choose the right legal route

Northern Ireland is one of the UK jurisdictions administered through Companies House. When you incorporate, the registered-office address determines that the company is registered in Northern Ireland rather than England and Wales, Scotland or another jurisdiction. The address must be an appropriate physical address where documents can come to the attention of someone acting for the company and must be kept current. A home address used as the registered office is publicly visible.

UK subsidiary

A subsidiary is a new UK company. It is normally a private company limited by shares, with the Indian parent holding the shares and appointing directors. Under the Companies Act control concept, the parent is generally a subsidiary relationship where the parent holds a majority of voting rights or controls appointment of a majority of the board. The UK company owns its own assets, signs its own contracts and is normally responsible for its own debts. The Indian parent’s exposure is therefore usually limited to its investment and any guarantees or other commitments it has expressly given, subject to insolvency, wrongful trading, fraud and other exceptions.

Registered overseas company (branch or place of business)

If the Indian company itself will maintain a UK place of business, it must register as an overseas company with Companies House. The registration does not create a separate legal person: the Indian parent remains the contracting party and is directly exposed to the branch’s liabilities. Companies House says an overseas company must be registered if it wants to set up a place of business in the UK. The filing is made on form OS IN01 within one month of opening that UK place of business, with the required certified constitutional and accounting documents and the statutory fee.

Do not choose solely on the incorporation fee. Compare liability, the volume of certified documents, statutory accounts, tax residence, access to UK banking and contracts, sponsor-licence evidence, and how easily the operation can later be sold, separated or closed.

Issue UK subsidiary Overseas-company registration
Legal personality Separate UK company that contracts and owns assets in its own name. No new legal person; the Indian company operates through its registered UK presence.
Parent liability Normally limited to investment, guarantees and other documented commitments. Indian parent remains liable for branch obligations.
Formation filing UK incorporation application with name, officers, shareholders, persons with significant control, articles, SIC code and Northern Ireland registered office. OS IN01, certified constitutional and accounting documents, filed within one month of opening the UK place of business.
Governance UK directors and statutory registers; board decisions and shareholder actions are recorded for the subsidiary. Branch details and parent-company changes are reported; parent governance remains central.
Tax residence A company incorporated and centrally managed in the UK is generally UK-resident and taxable on worldwide profits, subject to treaty residence rules. A non-UK-resident Indian company is generally taxed on profits attributable to its UK permanent establishment or other UK activities; treaty analysis is essential.
Local contracting and banking Usually straightforward because the UK entity has its own company number, accounts and contracts. Possible, but banks and counterparties may require more parent-company evidence and guarantees.
Immigration evidence Can support a sponsor licence and, before trading, the UK Expansion Worker route if all conditions are met. Can support branch-establishment immigration evidence, but the parent must demonstrate the overseas business and UK expansion directly.
Exit or restructuring Can be sold, liquidated or reorganised as a distinct company. Closing the UK place of business requires branch deregistration and parent-level changes.

Incorporate a Northern Ireland subsidiary step by step

  1. Document ownership and control. Decide the Indian parent’s shareholding, any minority investors, board appointment rights, reserved matters, funding method, dividend policy and beneficial ownership. Agree whether the UK company will be funded by equity, an intercompany loan or both. Prepare an intercompany services, intellectual-property, licensing or distribution agreement before transactions begin.
  2. Select and check the company name. Check Companies House name availability and avoid names that require consent or imply a regulated status without the necessary approval. Decide the company’s principal activity and the appropriate Standard Industrial Classification (SIC) code.
  3. Secure the Northern Ireland registered office. Use an address in Northern Ireland that can receive official documents during normal delivery. Put in place mail handling and scanning arrangements, and remember that the registered-office address is public.
  4. Appoint officers and identify control. Provide at least one director who is an individual aged 16 or over. List the Indian parent or other shareholder, identify every person with significant control, and collect residential and service-address information required by the application. Directors should understand their UK duties before appointment.
  5. Adopt articles and submit the incorporation application. File the company details, articles, officers, shareholders, persons with significant control, SIC code and registered office with Companies House. Incorporation has legal effect only when Companies House issues the certificate of incorporation; do not represent the company as incorporated or sign in its name before that certificate arrives.
  6. Complete the post-incorporation file. Keep the certificate, memorandum, articles, share allotment records, statutory registers, board minutes and beneficial-ownership evidence. Issue shares to the Indian parent, record payment or the agreed consideration, and approve bank mandates and intercompany agreements in board minutes.

If the parent will operate directly: register the overseas company

Use the overseas-company route when the Indian company, rather than a new UK subsidiary, will maintain the UK place of business. File OS IN01 with Companies House within one month of opening that place of business. The filing normally requires the overseas company’s legal name and governing law, its registered office and principal place of business, directors and secretary where applicable, the UK establishment details, and the name and address of a person authorised to accept service in the UK. Constitutional and accounting documents generally need certification and, where not in English, an acceptable translation.

The Companies House registration fee is £124 under GOV.UK guidance current on 19 October 2026. This is a one-time statutory registration fee, not the total cost of translation, certification, professional advice, premises or ongoing filings. Keep the branch information current and file the overseas company’s accounts or accounting documents when required; the parent’s reporting rules and the UK establishment’s activities can both affect what must be delivered.

Set up tax, accounting and banking before trading

Corporation Tax and residence

Use the Companies House service to add Corporation Tax where available and obtain the company’s Unique Taxpayer Reference (UTR). Establish the accounting reference date, bookkeeping system and approval timetable immediately. A UK-resident company is generally within UK Corporation Tax on worldwide profits. A non-UK-resident Indian company with a UK branch or office is generally taxable on profits attributable to its UK activities. The UK–India tax treaty, central management and control, permanent-establishment rules and any dual-residence issue can alter that result, so document where strategic decisions are made and how profits are allocated.

Intercompany pricing and records

Charge services, royalties, goods and financing between the Indian parent and the UK operation on an arm’s-length basis. Keep agreements, invoices, cost-allocation workings, evidence of services received and transfer-pricing documentation. A low or zero UK margin is not automatically acceptable merely because the parent funds the operation; the functions, assets and risks of each entity must support the result.

Banking and funding controls

Open a UK account in the subsidiary’s or branch’s legal name. Banks commonly request the certificate or OS registration, constitutional documents, ownership chart, passports and addresses of directors and beneficial owners, expected transaction volumes, source-of-funds evidence and details of the Indian parent. Decide who can authorise payments, how foreign-exchange risk is managed and whether the parent will guarantee facilities. Reconcile the bank, intercompany current account and payroll each month.

VAT, customs and Northern Ireland goods movements

Assess VAT registration against the operation’s taxable turnover and planned supplies; voluntary registration may be possible even before the compulsory threshold is reached. Map where goods are bought, stored and sold, whether the operation has a fixed establishment, and whether VAT grouping with other UK entities is useful or creates joint-and-several exposure. Contracts should state who is importer of record and who accounts for VAT.

Obtain the appropriate Economic Operators Registration and Identification (EORI) number before importing or exporting goods. HMRC describes an XI EORI for specified EU customs activity by qualifying Northern Ireland establishments. Whether an XI or GB EORI is needed depends on the establishment, the movement and the customs procedure, so confirm the route for every lane between India, Northern Ireland, Great Britain and the European Union. Keep commercial invoices, commodity codes, origin evidence, valuation records and import authorisations.

Move Indian directors or employees to Northern Ireland

UK Expansion Worker route

The UK Expansion Worker route is designed for a senior manager or specialist employee sent to establish a new UK branch or subsidiary of an overseas business that has not started trading in the UK. The Home Office describes it as permission to come to the UK to set up a branch of an overseas business before UK trading begins. The UK entity or branch must meet sponsor-licence requirements, and the worker needs a certificate of sponsorship, an eligible occupation, qualifying overseas employment and the required salary.

Under eligibility guidance current on 19 October 2026, the salary floor is £52,500 a year or the occupation’s going rate, whichever is higher. The going-rate test is occupation-specific, and other requirements such as English language, maintenance funds, genuineness of the role and sponsorship duties still apply. Obtain the sponsor licence before assigning the certificate of sponsorship and build evidence showing the overseas company, the planned UK establishment, business plan, premises, funding and the proposed worker’s employment history.

After the UK operation starts trading

Do not assume the Expansion Worker route remains available once trading has begun. Review the Senior or Specialist Worker and Skilled Worker routes instead, depending on the employing entity, role, salary and sponsor status. A sponsor must report relevant changes, keep contact and right-to-work records, monitor attendance and comply with Home Office audit requirements. Immigration permission is separate from Companies House registration and does not replace tax, payroll or professional-qualification checks.

Operate and file continuously

  • File annual accounts and confirmation statements for the subsidiary, and make required overseas-company filings for the branch.
  • Keep accounting records, statutory registers, persons-with-significant-control information, board minutes and shareholder resolutions accurate and accessible.
  • Submit Corporation Tax computations and returns, VAT returns and payroll reports by their deadlines.
  • Update Companies House promptly when the registered office, directors, shareholders, persons with significant control, SIC code or overseas-company particulars change.
  • Renew licences, insurance, sponsor permissions and customs authorisations before expiry.
  • Document related-party transactions, cross-border payments, withholding-tax analysis and transfer-pricing support.
  • Review whether Northern Ireland activities have created additional UK tax, VAT, customs or regulatory obligations as the business expands.

Directors remain legally responsible for accurate filings and proper accounting records even when an accountant, company secretary or immigration adviser prepares the paperwork. Missed filings can lead to penalties, loss of good standing, enforcement action and reputational damage.

A practical launch sequence

  1. Approve the business plan, route selection and Indian-parent resolutions.
  2. Map ownership, beneficial owners, directors, funding and intercompany services.
  3. Secure the Northern Ireland address and incorporation or OS IN01 documents.
  4. Obtain the certificate of incorporation or overseas-company registration before trading or contracting as the UK operation.
  5. Set up UTR, Corporation Tax, bookkeeping, bank mandates, VAT and EORI analysis.
  6. Register as an employer, establish payroll and pensions, and complete right-to-work checks.
  7. Apply for a sponsor licence and Expansion Worker certificates only if the pre-trading conditions are met.
  8. Sign customer, supplier, employment and intercompany agreements in the correct legal entity’s name.
  9. Start a compliance calendar covering accounts, confirmation statements, tax, VAT, payroll, customs and immigration reporting.

Common mistakes to avoid

  • Calling a branch a subsidiary: a branch does not shield the Indian parent from its liabilities.
  • Using a Northern Ireland address that cannot reliably receive official mail or exposing a director’s home address unnecessarily.
  • Signing contracts before the certificate of incorporation or describing a planned company as already incorporated.
  • Waiting until the first shipment or payday to assess VAT, EORI, payroll and importer responsibilities.
  • Setting intercompany prices informally or moving cash without a loan, equity or services record.
  • Applying for UK Expansion Worker sponsorship after trading has started, or assuming a visa approval covers every employee and role.
  • Leaving Companies House updates to an adviser without director-level review of the information filed.
