A country renegotiates debt with private creditors through a coordinated process: it first demonstrates that existing payments are unsustainable, agrees an IMF-supported financing framework when applicable, organizes bondholders or commercial lenders into representative committees, and offers amended payment terms. Creditors vote under the bond or loan contracts—often using collective action clauses (CACs)—so a qualified majority can bind the affected class and limit holdouts.
The IMF can analyze sustainability, set a financing envelope for its program and convene discussions, but it cannot order private investors to forgive debt or rewrite contracts. The sovereign, advised by lawyers and financial specialists, makes the offer; creditors decide whether to accept it under the governing documents.
What a sovereign debt restructuring with private creditors is
A sovereign debt restructuring changes the legal or economic terms of government obligations so that scheduled payments fit the country’s available financing and a credible path back to debt sustainability. “Private creditors” generally means investors holding international or domestic bonds, commercial banks, trade-finance lenders and other non-government lenders. The final package may cover one class of debt or several, depending on the financing gap and the contracts involved.

How the negotiation proceeds, step by step
1. Establish the financing gap and debt sustainability
The finance ministry and central bank assemble a complete picture of public and publicly guaranteed debt: principal, interest, maturity dates, currency, governing law, collateral, guarantees, arrears and creditor identity. They also prepare macroeconomic assumptions covering growth, inflation, exchange rates, fiscal balances, reserves and the balance of payments.
In an IMF-supported case, the IMF and World Bank debt sustainability analysis (DSA) tests whether the government can meet payments under realistic assumptions. The DSA identifies the amount of debt relief or new financing needed to close the financing gap and keep debt on a sustainable trajectory. It is a model, not a court judgment: changing growth, interest rates or exchange rates can change the required adjustment.
2. Define the official-sector framework
When official bilateral debt is involved, the country seeks a common position from government creditors. Paris Club members can coordinate there; eligible low-income countries may use the G20 Common Framework, in which official bilateral creditors can form a single Official Creditor Committee. The Common Framework applies a case-by-case approach and ties the requested relief to the IMF-World Bank DSA.
The IMF’s current sovereign-debt FAQ says up to 73 countries eligible for the former Debt Service Suspension Initiative could be coordinated under the Common Framework. That number describes potential eligibility, not the number undergoing a restructuring at any particular time.
3. Obtain an IMF program or other financing assurances when required
An IMF program can provide a financing envelope, policy conditions and assurances that the debt operation is consistent with restoring sustainability. Official creditors may require those assurances before committing to their own treatment. A country does not need an IMF program for every private-debt exchange, but without one it must still persuade creditors that its projections and proposed relief are credible.

4. Appoint advisers and open talks with private lenders
The sovereign appoints legal advisers familiar with each governing law and financial advisers who can model cash flows, market value and alternative offers. It releases debt data and macroeconomic assumptions, usually under confidentiality arrangements for sensitive information. Private creditors commonly organize a steering group or one or more bondholder committees; commercial-bank lenders may form a separate loan-creditor committee.
5. Build representative creditor committees
Representation matters because a committee that excludes a major instrument or investor type may not be able to deliver votes or speak for the market. IMF 2024 guidance says committees should account for different instruments, jurisdictions, geographies, retail and institutional holders, special-purpose vehicles and distressed-debt investors. Committees generally retain their own counsel and financial advisers, and they may sign confidentiality or cooperation agreements governing information sharing.
6. Exchange information and negotiate the economic terms
The parties compare the sovereign’s projections with creditors’ models, test the size of the financing gap and discuss which obligations are included. Negotiations can cover:
- Maturity extension: moving principal repayments into later years, sometimes with a grace period.
- Coupon changes: lowering interest, deferring it, or using a step-up schedule.
- Principal reduction: a face-value haircut when other measures cannot restore sustainability.
- Instrument exchange: swapping old notes for new bonds with different legal terms, currencies or collateral.
- State-contingent features: additional payments if growth, exports or commodity prices exceed agreed thresholds.
- Buybacks: using available financing to retire eligible debt, often alongside an exchange.
The offer is assessed by expected present value (PV), which discounts future payments to a common date. Two creditors can receive different coupons, maturities or instruments yet make a broadly equivalent economic contribution when PV, risk, collateral and legal protections are considered.
7. Apply official-private comparability
Under the Common Framework, the country must seek treatment from other creditors at least as favorable as the treatment agreed with official bilateral creditors. The IMF FAQ describes comparability as an assessment of private creditors as a group, not a requirement that every holder receive identical securities or the same percentage reduction.

Authorities and creditors compare the economic effort made by each class, taking account of maturity, coupons, collateral, guarantees, seniority, legal enforceability and expected recovery. A bond with long maturities and no collateral cannot be compared mechanically with a short, secured commercial loan.

8. Document, solicit votes and implement the exchange
Once the economics are settled, lawyers prepare an exchange memorandum, consent solicitation or amendment documents. They must identify eligible holders, disclose material information, satisfy securities-law and solicitation requirements, and follow the trustee, fiscal-agent and paying-agent procedures in each instrument. Holders submit instructions through their custodian by the deadline. If the required thresholds are met, the new terms become effective on the stated settlement date; otherwise the sovereign may extend the offer, revise it, pursue a different series or face default and litigation.
Who negotiates and what each party can decide
| Participant | Role in the process | What it cannot do alone |
|---|---|---|
| Sovereign authorities | Set policy objectives, appoint advisers, disclose information, choose which debts to include and make the restructuring offer. | They cannot unilaterally bind every creditor unless the contracts or applicable law provide a mechanism. |
| IMF | Conduct or support debt-sustainability analysis, define a program-consistent financing envelope, lend and provide financing assurances, and support dialogue. | It cannot force private creditors to forgive loans or rewrite bilateral contracts. |
| Paris Club or G20 Official Creditor Committee | Coordinate official bilateral lenders and set terms for their own claims under the relevant framework. | It does not set private bond contracts or vote private instruments. |
| Bondholder committees | Represent participating investors, review data, negotiate terms and recommend whether members should tender or vote. | A committee does not automatically represent every holder or control votes outside its agreements. |
| Commercial-bank or other lender committees | Negotiate loan amendments, waivers, maturity changes and collateral arrangements for participating lenders. | They cannot amend loans whose required consent thresholds are not met. |
Collective action clauses: how a minority holdout can be bound
A collective action clause is a provision in a bond contract allowing a qualified majority to approve changes that bind all holders of the affected series, or—under aggregated clauses—holders across several series. The threshold and the matters covered depend on the wording and governing law. A clause may require separate approval by each series, a two-limb vote across series, or a single aggregated vote with protections for each class.
CACs solve a coordination problem. If unanimity is required, one investor can refuse an exchange and demand full payment or threaten litigation while other holders accept a sustainable deal. IMF research finds that CACs can internalize the gains from coordination, whereas unanimity rules create incentives for opportunistic behavior; the formal analysis does not fully model transaction costs.
CACs do not decide the economics. The sovereign and creditors still must agree which instruments are eligible, calculate recoveries, comply with disclosure and solicitation rules, and reach the contractual voting thresholds. A holder may be bound only if the relevant clause covers that series and the process is conducted correctly.

The IMF’s account of Argentina’s restructuring records that 93% of bondholders approved the transaction in 2014, yet a minority of holdouts helped paralyze implementation. Enhanced clauses introduced after that experience were designed to reduce the risk that a small group could block a broadly supported exchange. The figure is specific to that restructuring and is not a universal CAC threshold.
What the IMF can and cannot force
The IMF can condition its lending on a credible path to debt sustainability, require financing assurances, and use its analysis to indicate the relief needed for its program to work. It can also bring official and private parties into technical discussions. Those powers give the IMF substantial influence over the size and timing of a deal.
It cannot order an investor to accept a haircut, cancel a bond, or change a loan’s governing law. The IMF’s published explanation is explicit: “The IMF cannot force creditors to forgive loans or interfere in bilateral debt contracts; restructuring decisions and terms are made by sovereign authorities in consultation with legal and financial advisors.” Creditors’ rights remain governed by their contracts and applicable courts.

Fragmented debt and conflicting incentives
A country may have international-law bonds, domestic-law bonds, syndicated loans, collateralized facilities, state-owned-enterprise debt and bilateral claims. Each has different holders, voting rules, collateral and remedies. Bond funds may prefer a quick exchange, while distressed-debt investors may value litigation or a higher recovery.

Incomplete or disputed data
Hidden guarantees, arrears, collateral terms or uncertain debt from state-owned entities can change the DSA and the amount of relief required. Creditors often request loan-level evidence before accepting the sovereign’s projections.

Legal protections and litigation risk
Pari passu wording, cross-default clauses, acceleration rights, immunity waivers, trustee duties and court jurisdiction affect negotiating leverage. Lawyers must determine whether an amendment can be made with a majority, requires unanimity, or needs a new issuance and exchange.
Sequencing between official and private relief
Official creditors may first need an IMF program and financing assurances; private creditors may wait for clarity on the official terms before pricing an offer. In the reverse direction, a bond exchange can alter the debt profile that official creditors use for comparability. Coordinating the sequence without creating unequal treatment adds months.
Multiple rounds of approvals
Committee mandates, confidentiality agreements, term sheets, formal documentation, investor roadshows, voting periods and settlement each introduce deadlines. A failed vote can require a revised offer and another solicitation.

The IMF’s April 15, 2026 Global Sovereign Debt Roundtable playbook reports that the best case recently observed under the Common Framework took six months from IMF program approval to an agreement in principle with official bilateral creditors. That is a best-case observation for an official-sector milestone, not a standard duration for private-bond negotiations or the entire restructuring.
How to analyze a country’s proposed deal
Readers comparing restructurings should use the same six-part checklist rather than focusing only on the headline haircut:
- Debt composition: Separate bonds, commercial loans, domestic debt, collateralized claims and official bilateral debt.
- Legal architecture: Check governing law, CAC design, pari passu language, trustee and fiscal-agent roles, court jurisdiction and immunity provisions.
- Creditor coordination: Identify committee membership, information-sharing arrangements, standstills and the realistic exposure to holdouts.
- Economic offer: Record maturity extension, grace period, coupon path, principal haircut, buyback and any state-contingent payments.
- Official-sector sequencing: Note whether an IMF program, official assurances or an Official Creditor Committee decision preceded the private offer.
- Implementation and recovery: Examine voting thresholds, participation, settlement mechanics, litigation, and whether post-restructuring projections restore debt sustainability.
This framework also reveals why two exchanges with the same nominal haircut can produce very different outcomes: one may rely on long maturities and low coupons, while another cuts face value but leaves substantial near-term payments.
What happens when negotiations fail
If talks stall, a government can continue paying while negotiating, request a standstill, make a unilateral exchange, miss payments and enter default, or seek court protection where domestic law permits. Each choice affects reserves, access to new financing, creditor remedies and the eventual recovery. A missed payment does not automatically create a negotiated solution; it can instead accelerate litigation and complicate official-sector coordination.

Quick Recap
Key takeaways for borrowers and investors
- A restructuring starts with a verified financing gap and debt-sustainability assessment, not with a coupon number.
- The sovereign negotiates the offer; the IMF supports analysis and financing but cannot compel private creditors.
- Official bilateral and private creditors are assessed for broadly comparable economic effort, not identical instruments.
- Creditor committees improve coordination, but their representativeness and voting authority must be checked.
- CACs can bind a minority after the required vote, yet they do not remove the need to negotiate economics or follow legal procedures.
- Timelines are case-specific. The six-month Common Framework figure is a recent best case for reaching an official agreement in principle, not a promise for any private restructuring.
