When war, civil unrest or a sudden security alert makes a conference venue or business trip unsafe, a company can usually move an investor meeting to a fully virtual or hybrid format—but only after checking its governing documents and the law in the relevant jurisdiction. The change is more than a new webcast link. It affects notice, shareholder access, questions, voting, disclosure controls, cybersecurity, accessibility and the evidence the company must retain.
The safest approach is to treat the move as a controlled incident: establish a decision team, select a legally permitted format, notify investors with precise instructions, test a resilient meeting setup, rehearse failures and preserve a complete record.
Start with the legal and governance decision
Before changing the format, confirm that the company’s articles, bylaws, shareholder agreement, listing rules and applicable corporate-meeting statute permit a virtual or hybrid meeting. Requirements differ by jurisdiction and can change, so corporate counsel or the company secretary should verify the rules in force for the meeting date. A proxy statement, exchange notification or regulator filing may also need to be amended.

Use a fully virtual meeting when travel is unsafe, borders are closed, the venue cannot operate securely or a physical room would exclude a substantial part of the investor base. Removing the physical dependency simplifies venue risk, but it makes platform availability, authentication, support and voting continuity critical.

When a hybrid meeting is appropriate
A hybrid meeting can work when a safe physical room remains available and the company can give remote participants an equivalent practical opportunity to hear presentations, submit questions, receive answers and vote. A physical chair or board room may be retained, but an online audience cannot be treated as a passive livestream.

Activate a cross-functional incident team
Make the format decision through a small group with authority to act. Include investor relations, the corporate secretary, legal, communications, information security or IT, the meeting chair and an executive sponsor. Add the finance or disclosure-controls owner when the disruption may affect reporting.
Record the trigger and authority
Write down what made the original plan unreliable: for example, a venue closure, a government travel warning, a border restriction or a credible threat to attendees. Record who approved the change, when the decision was made, which format was selected and which legal review supports it. This incident log becomes part of the meeting record and prevents later uncertainty about why notices or dates changed.

Set decision deadlines
Agree on a cut-off for changing the date, publishing the notice, freezing presentation materials and switching to the backup channel. Assign one owner for each decision. If facts are changing quickly, use a short update cycle rather than waiting for a perfect forecast; investors need a reliable plan and a clear explanation of what remains subject to change.

Notify investors with operational detail
Send the revised notice as soon as the company has a legally supportable plan. Use the channels normally used for meeting notices, filings and investor-relations updates, and keep the wording consistent across them. SEC staff guidance from 2020 says companies should provide clear directions about how shareholders can remotely access, participate in and vote at a virtual or hybrid meeting. It also states that robust disclosures supporting informed voting are as important online as they are for an in-person meeting.
Include these instructions
- The meeting date, start time and time zone, including any change from the original notice.
- The primary web address or application path, telephone dial-in details and any browser, device or software requirements.
- How a shareholder authenticates, such as an invitation code, control number or another approved identity check.
- How to enter the meeting, request technical help and obtain accessible materials.
- How to ask a question, whether questions must be submitted before the meeting, and how the chair will recognize and answer them.
- How to vote, including deadlines, the treatment of proxy votes and what happens if a connection drops during voting.
- Whether the meeting will be recorded, how the recording or transcript will be made available and any limits on redistribution.
- A support telephone number or monitored email address, with operating hours that cover the meeting.
- The fallback method if the webcast fails, such as an independent dial-in or a second platform.
Do not assume that a link alone is sufficient. An investor who cannot determine how to authenticate, ask a question or cast a vote has not received a usable remote notice.
Design a resilient access and production setup
Use a primary meeting service plus an independent backup path. The backup should not depend on the same provider, network route or administrator account as the primary service. A telephone bridge or low-bandwidth audio option can keep the meeting usable when video, screen sharing or a local internet connection fails.
Test the complete participant journey
- Create test accounts representing an authenticated shareholder, a proxy holder, a guest observer and a moderator.
- Verify the join link, dial-in numbers, time-zone display, waiting room and identity checks on more than one device and network.
- Test presenter handoffs, microphone and camera permissions, screen sharing, slide readability, recording, captioning and chat moderation.
- Run a sample question and voting round. Confirm that the moderator can identify the shareholder, route the question to the chair and capture the vote in the official record.
- Check the low-bandwidth path with video disabled and confirm that the agenda, instructions and voting process remain understandable.
- Give the support team a written troubleshooting script and escalation contacts for the platform, telecom provider, security team and meeting chair.
Protect the meeting against misuse
Use unique credentials, least-privilege moderator roles, waiting-room controls and a process for removing disruptive participants. Keep the question policy neutral and publish it in advance. A hostile or abusive question can be declined under the published rules, but ordinary critical questions should not be suppressed simply because the meeting is remote.

Rehearse the failures that matter
A table-top rehearsal should include the chair, presenters, moderator, legal adviser, IT or security lead and support staff. Run the scenario rather than merely discussing it.
- Primary webcast failure: announce the fallback, move to the independent channel and publish a short status update using the pre-approved wording.
- Presenter loses connection: have a second presenter device, a downloadable deck and a person authorized to read the prepared script.
- Voting service fails: pause the vote, explain the issue, preserve the agenda position and follow the legally approved alternative procedure.
- Captioning becomes unavailable: activate the alternate captioning provider or distribute the prepared transcript while support restores the feed.
- Late or inaccessible speaker: use the order-of-business rule and the backup contact method rather than improvising a new voting or disclosure process.
- Coordinated abuse or security incident: lock down participant permissions, preserve logs and move to the emergency channel if the chair and security lead determine that the primary room is compromised.
Decide in advance who can pause the meeting, who can authorize a channel change and who must approve any revised statement to investors.
Make remote participation genuinely equal
OECD corporate-governance principles recognize that virtual and hybrid meetings can reduce participation time and cost, but they also emphasize secure infrastructure and transparent handling of shareholder questions. Apply that standard to the practical experience, not just the technical specification.

Publish the opening and closing times for questions, the order in which they will be handled and any reasonable limits on length or repetition. Keep a log of every question received, including questions that could not be answered live. After the meeting, provide appropriate written responses where the answer is material and disclosure is permitted.

Voting
Explain whether votes are submitted through the platform, by telephone, through a proxy or by another method. State the deadline, how a shareholder can correct an error and what evidence the company retains. In a hybrid meeting, reconcile in-room ballots, proxy instructions and remote votes before announcing results.
Accessibility
Provide captioning, readable presentation files and documents that work with common assistive technologies. Offer a support contact for access problems and test the accessible path during rehearsal. If a participant cannot hear the chair, read the slides or submit a question, the nominal availability of the webcast is not meaningful access.

The geopolitical event may be material even if the meeting itself proceeds smoothly. Assess effects on operations, liquidity, supply chains, employees, facilities, financial reporting systems, internal controls and disclosure controls. SEC continuity guidance asks companies to consider these effects and any material expenditures required to maintain operations. For a U.S. issuer, apply the familiar materiality test: information matters when a reasonable shareholder would consider it important to an investment decision or when it significantly changes the total mix of available information.
Separate logistics from material business effects
A venue change may be only a logistical update. It becomes a broader disclosure issue when violence, travel restrictions, damaged facilities, sanctions, cyber incidents, workforce displacement or emergency spending affect the company’s business or reporting process. Coordinate the assessment with the finance, risk and disclosure committees rather than assuming that investor relations can decide alone.

Keep messages consistent
Use the same confirmed facts in regulatory filings, the investor-relations page, the meeting notice, the chair’s script and support responses. Identify what is known, what remains uncertain and when the next update will be issued. Do not speculate about security operations or disclose sensitive details that could increase risk.
Run the meeting with a documented script
The chair should open by explaining the format, participation rules, question process, voting procedure and fallback plan. The moderator should monitor the participant queue and technical status while a separate person maintains the official event log. Presenters should use the approved deck and avoid introducing unreviewed information about the crisis.
At each voting item, state the resolution, confirm that the voting window is open, announce when it closes and preserve the system report. If the connection degrades, tell participants what has happened and what they should do; silence creates uncertainty about whether a vote or question was lost.
Preserve the record and publish the follow-up
Retain the final notice, legal approvals, agenda, presentation deck, attendance and authentication records, questions and answers, voting reports, recording or transcript, accessibility logs, incident log, platform status reports and any related filing or website disclosure. Apply the company’s normal retention schedule and any longer period required by law or listing rules.
After the meeting, check that announced results match the retained voting evidence. Publish the recording, transcript or written answers when the company’s policy and applicable law call for them. Document unanswered questions and route any material answer through disclosure review before release. Close the incident only after the team confirms that investors can find the final materials and that all required notices have been made.
